Short answer: a bond rating is a type of credit rating. A credit rating can describe an issuer—such as a company or government—or a particular debt security. A bond rating applies to one specific bond issue. Because that bond has its own collateral, seniority, guarantees, maturity and other terms, its rating can be higher or lower than the issuer’s overall rating. Ratings are agency opinions about relative credit risk, not guarantees of repayment, market-value forecasts or personal investment advice.
What a credit rating measures
The U.S. Securities and Exchange Commission (SEC) defines a credit rating as “an assessment of an entity’s ability to pay its financial obligations.” The rated subject may be a corporation, bank, municipality, sovereign government or another obligor, or it may be a debt instrument issued by that obligor. Rating agencies analyze financial information, legal terms, expected cash flows and their assumptions about future conditions before assigning a symbol on their scale.
A rating is relative. Within one agency’s scale, a higher category generally indicates a lower assessed likelihood of default than a lower category. It is not a promise that every payment will be made, and it is not a statement that one security will outperform another. Agencies can use different definitions, methods, time horizons and treatments of expected loss, so symbols from different agencies should not be treated as perfectly interchangeable.

| Term | What is rated | What the rating is intended to describe | Why it matters |
|---|---|---|---|
| Credit rating | An issuer or a debt obligation | Ability to meet specified financial obligations | It is the broad category that includes issuer and issue ratings |
| Issuer credit rating | The borrower or obligor as a whole | Overall creditworthiness across its obligations | It provides a baseline view, but does not capture every bond’s legal priority or protection |
| Bond (issue) rating | One named bond or other debt security | Credit risk of that particular obligation | Terms such as seniority, collateral, guarantees and maturity can move it above or below the issuer rating |
| Investment-grade designation | A rating category on an agency’s scale | Relatively lower assessed default risk than speculative-grade categories | The exact boundary depends on the agency’s symbols and definitions |
In ordinary conversation, “the company’s credit rating” often means its issuer rating. “The bond’s rating” should mean the rating assigned to a specific issue. A fund document, prospectus or quotation service may display both; check which one is being shown before drawing a conclusion.

Why a bond can be rated differently from its issuer
An issuer can have many obligations with different legal and economic protections. Rating an individual bond requires analyzing those features rather than assuming every debt has identical risk.
Seniority and payment priority
Senior debt generally has a higher claim on an issuer’s assets and cash flow than subordinated debt. If the issuer defaults or enters bankruptcy, senior creditors may be paid before junior creditors. A subordinated bond can therefore receive a lower issue rating than the issuer’s general credit rating, while unusually senior or well-protected debt may be rated above it.
Collateral and security
A secured bond is backed by specified collateral, such as equipment, receivables or property. The value, legal enforceability and liquidity of that collateral affect recovery prospects. An unsecured bond relies more directly on the issuer’s general ability to pay.

Guarantees and structural support
A parent-company guarantee, government support or a pledge from another entity can improve an issue’s expected payment position. Conversely, debt issued by a subsidiary may be structurally subordinated to creditors of the parent or other subsidiaries if cash must first remain at the operating company.
Maturity, covenants and payment terms
Shorter maturities may expose investors to fewer years of changing conditions, while long maturities create a longer period in which credit quality can deteriorate. Covenants can restrict additional borrowing, asset sales or distributions and may protect bondholders. Floating-rate terms, payment-in-kind provisions, optional redemption rights and other clauses also enter an agency’s analysis.
For these reasons, an issue rating may be “notched” above or below the issuer rating. “Notching” is a relative adjustment for a particular obligation’s position and expected recovery; it does not mean the agency has made a separate promise about market performance.

How agency rating symbols work
Use the issuing agency’s own scale when reading a symbol. Investor.gov identifies the investment-grade boundary as Baa or above for Moody’s and BBB or above for S&P and Fitch. The SEC’s 2017 investor bulletin describes BBB− or higher as investment grade on scales that use plus and minus modifiers. These descriptions refer to each agency’s notation; do not rewrite one agency’s symbol as if it were another agency’s exact label.

|---|---|---|
| Moody’s | Baa or higher | Lower assessed credit risk than Moody’s speculative-grade categories, subject to the agency’s definitions |
| S&P | BBB or higher; BBB− or higher where modifiers are shown | Investment-grade range on S&P’s scale |
| Fitch | BBB or higher; BBB− or higher where modifiers are shown | Investment-grade range on Fitch’s scale |
Within a scale, modifiers such as plus or minus, or numerical modifiers used by some agencies, indicate relative position inside a broad category. They do not create a universal cross-agency conversion. If two agencies disagree, read each definition and the date of each rating rather than averaging the letters.
Investment grade and non-investment grade
Investment-grade bonds
Investment grade is a label for the higher portion of an agency’s credit scale. It generally signals a lower assessed probability of default than speculative-grade debt, not an absence of risk. Investment-grade bonds can still lose market value when interest rates rise, when an issuer’s finances weaken or when investors demand a larger risk premium.

Non-investment-grade, speculative-grade and high-yield bonds
Bonds below the investment-grade boundary are often called non-investment grade, speculative grade or high yield. They are generally considered to carry greater default risk and therefore often offer higher yields to compensate investors. “Higher yield” is compensation for risk, not evidence that the bond is a better value or that a loss cannot occur.
What a rating does—and does not—tell you
- It can provide: an agency’s relative assessment of the likelihood that an issuer or specified obligation will meet its promised payments, using the agency’s stated framework.
- It can help with: initial screening, comparison within one agency’s scale and identification of securities that may require deeper credit analysis.
- It does not provide: a guarantee of repayment, a prediction of the bond’s trading price, a measure of liquidity, or a determination that the security is suitable for your objectives.
- It does not cover every risk: ratings do not fully capture market risk, interest-rate risk, inflation risk, currency risk, call or reinvestment risk, tax consequences, transaction costs or the price at which a security is offered or sold.
The SEC’s Updated Investor Bulletin: The ABCs of Credit Ratings (October 12, 2017) expressly says that a credit rating is not a guarantee that a financial obligation will be repaid and is not an investment recommendation. Treat the symbol as one input among several.
How ratings change
Agencies periodically review ratings and may revise them when financial conditions, business prospects, legal protections or their expectations change. A downgrade can increase an issuer’s borrowing costs and pressure a bond’s market price; an upgrade can have the opposite effect, but neither reaction is automatic. The market may anticipate a change before the agency announces it.

When reading a current quote or offering document, distinguish the rating from an outlook or watch status. The rating is the category assigned today; an outlook expresses the agency’s directional view over a stated horizon, while a watch or review indicates that a change is being actively considered. Those labels are agency-specific and can change independently of a final rating action.

- Identify the exact security. Record the issuer, legal name, coupon, maturity date, currency, call features and identifying number. Do not rely on a ticker or a company name alone.
- Confirm what is rated. Determine whether the displayed symbol is an issuer rating or the rating of that particular bond. Read the prospectus, offering memorandum or official issue description for the obligation’s ranking and security.
- Record the agency and date. Write down whether the rating comes from Moody’s, S&P, Fitch or another agency, when it was assigned or affirmed, and any outlook or watch status. Compare symbols only within a clearly defined agency framework.
- Read the payment protections. Check seniority, collateral, guarantees, covenants, sinking-fund provisions, optional redemption rights and events of default. These terms explain why an issue rating may differ from the issuer’s rating.
- Review the issuer’s finances. Examine revenue and cash-flow trends, leverage, interest coverage, liquidity, refinancing needs and the maturity schedule. A rating summarizes an agency’s analysis; it does not replace the underlying documents.
- Assess market and personal risks. Consider yield relative to comparable bonds, duration, spread, liquidity, call risk, inflation, currency exposure, taxes and the possibility that you may need to sell before maturity. Decide whether the security fits your time horizon and loss tolerance.
- Recheck before trading. Ratings can change after an offering. Verify the latest agency action and the issuer’s current filings rather than using an old prospectus rating as if it were current.
A simple example of issuer and bond ratings
Imagine a company with an issuer rating in the BBB category. It sells two bonds. Bond A is senior secured and backed by identifiable collateral. Bond B is subordinated and unsecured. An agency could rate Bond A above the issuer rating and Bond B below it because recoveries and payment priority differ. The example is illustrative, not a rating of any real company or security.
Now suppose two agencies assign different symbols to the same bond. That does not automatically mean one agency is wrong. They may use different default horizons, expected-loss assumptions, sector models or definitions. Compare each agency’s published meaning, the rating dates and the bond’s terms before deciding whether the difference is material.
Common mistakes to avoid
- Confusing issuer and issue ratings: a company’s headline rating may not apply to every bond it has issued.
- Treating letters as universal: Baa, BBB+ and similar symbols belong to specific agency scales.
- Assuming investment grade means safe: the designation addresses relative credit risk, not price stability or suitability.
- Ignoring the date: an old rating can miss a subsequent downgrade, upgrade or review.
- Equating yield with return: a high coupon or yield may reflect default, liquidity, duration or call risk.
- Using one rating alone: market price, liquidity, legal terms and your own circumstances remain separate questions.
- Assuming a rating predicts price: agencies assess credit risk, not the price at which a bond should trade.
Where to verify information
Start with the bond’s prospectus or offering document, which describes payment priority, collateral, covenants, calls and other legal terms. Check the issuer’s current filings and the rating agency’s latest public action. SEC Investor.gov’s “Corporate Bonds” and “Investment-grade Bond (or High-grade Bond)” educational pages explain the investor terminology, while the SEC’s Office of Credit Ratings describes the regulatory framework. The SEC-filed “Appendix A – Description of Bond Ratings” (2026) illustrates how issue-level descriptions can distinguish categories and modifiers. Availability, naming and rating status can change, so use the current version of each document.
The practical bottom line
Think of “credit rating” as the umbrella and “bond rating” as the rating of one specific debt instrument. An issuer rating gives a broad view of the borrower; the bond’s issue rating adds the legal and structural details that determine where that obligation stands in a default. Use the agency, scale, date and issue terms together, then weigh market, liquidity, price and suitability risks separately. No rating removes the need to read the bond documents or to make an independent decision.
