JPMorgan and Goldman Sachs reportedly committed to underwrite only the $1.3 billion lease-supporting portion of a roughly $5 billion loan package for Volta Infrastructure Holdings, leaving the larger $3.712 billion GPU loan to be marketed without their underwriting. As of Oct. 12, 2026, the six-year financing was still being marketed, with lender commitments due Oct. 14; the reported yields and prices were talk, not final terms.
What Volta’s loan package includes
PitchBook News reported on Oct. 9, 2026, that the launched package totaled $5.012 billion and had two tranches. Bloomberg’s Oct. 5 reporting described the overall amount as roughly $5 billion. The transaction was reported as a six-year financing.
| Tranche | Reported amount | Reported purpose | Underwriting status reported Oct. 12 |
|---|---|---|---|
| First-lien term loan C | $1.3 billion | Cash collateral for a letter of credit supporting Volta’s data-center lease at a Bitdeer facility | Underwritten by JPMorgan and Goldman Sachs |
| GPU term loan | $3.712 billion | Funding for approximately 36,000 Nvidia GPUs | Marketed without the banks underwriting it |
The amounts and uses were reported by PitchBook News and Bloomberg, based on market reporting and people familiar with the deal; the sources reviewed did not include a public offering memorandum or borrower filing. Bloomberg also reported that Anthropic had a six-year compute agreement at the Norwegian site. That detail was attributed to reporting, not to a public statement from Anthropic or Volta.

Underwriting means a bank agrees to take on specified financing risk, rather than merely helping market a loan to potential lenders. Bloomberg’s Oct. 12 summary reported that JPMorgan and Goldman underwrote the $1.3 billion term loan but left the approximately $3.7 billion GPU loan unwritten. The distinction is about how much risk the banks committed to carry: it does not mean they had stopped marketing or arranging the larger tranche, and it is not evidence that the tranche had already been sold.
#1 Best Overall
For a deal this size, the split is material because the GPU loan accounts for most of the package. The reported structure leaves that larger tranche’s placement dependent on lender demand rather than on an underwriting commitment from the two banks. The available coverage did not report final demand, allocations, or how much of the GPU loan, if any, had been placed.
What the reported 11% yield means
Bloomberg reported on Oct. 5 that the loan was being pitched at a spread of 6.25–6.5 percentage points over the benchmark, with a price of 97–98 cents per dollar. It described the resulting yield as about 11% at then-current benchmark levels. PitchBook News reported launch-stage yield-to-maturity talk of 11.21%–11.75% on Oct. 9. Those are dated marketing indications, not final pricing or a promise of investor returns.
Yield-to-maturity is an estimate based on the loan’s price, interest payments and expected repayment terms. A price below 100 cents per dollar can increase the calculated yield relative to the stated interest spread. The reported spread and price help explain the quoted yield, but the sources reviewed do not provide enough detail to independently reconstruct the calculation or separate the effects of every loan term.
The high quoted yield signals that lenders were being offered substantial compensation for the reported financing risk, but the available coverage does not establish a market ranking or quantify a premium against comparable loans. An unrated loan is also not directly comparable to an investment-grade borrowing rate: rating, benchmark, structure, term and amortization all affect pricing.
Why the financing was reported as unrated
Bloomberg’s Oct. 12 summary described the package as unrated and said that this typically limits eligibility for collateralized loan obligations, or CLOs. CLOs are investment vehicles that buy and pool corporate loans, so reduced eligibility can narrow a potential source of demand. The report did not establish the final investor base or say how much demand the deal received.

The available reporting does not establish that it closed. PitchBook News reported that lender commitments were due Oct. 14, 2026, at 5 p.m. ET. Bloomberg’s Oct. 12 summary still described the package in the marketing process. The reported launch, pricing talk and underwriting split should therefore not be treated as confirmation that lenders funded the loans or that final terms matched the initial indications.
