Yes, you can share customer or staff personal data with a third-party vendor under the UK GDPR, but the legal route depends on the vendor’s actual role. A supplier processing data only on your documented instructions is usually a processor and requires an Article 28 contract. A supplier deciding its own purposes and means may be a separate controller, or you may be joint controllers. Each classification brings different duties.

Before any disclosure, map the data, establish a lawful basis, update privacy information, assess security and overseas access, and document the decision. A contract alone does not make sharing lawful or transfer accountability away from your organisation.

What “sharing personal data” means under the UK GDPR

The Information Commissioner’s Office (ICO) describes data sharing broadly as disclosing personal data by transmission, dissemination or otherwise making it available. Sending a customer list to a cloud service, giving a payroll provider employee records, allowing a support engineer to view an account, and exposing data through an application programming interface can all be sharing or processing activities.

The rules apply whether the vendor receives a copy, accesses your system remotely, or handles data temporarily. Include production databases, backups, logs, telemetry, test environments, support tickets and disaster-recovery systems in your assessment. A vendor’s sales description is not decisive: classify each processing operation by examining who determines the purpose and essential means.

Classify the vendor before signing or disclosing data

The first decision is whether the organisation is a separate controller, a joint controller or a processor. One supplier can occupy different roles for different services, so record the role for each data flow rather than assigning one label to the whole commercial relationship.

Relationship How to recognise it Main legal consequence
Processor The vendor processes personal data on your behalf and follows your documented purposes and instructions. You remain the controller and must use an Article 28-compliant written contract, select the processor carefully and supervise compliance.
Separate controller The vendor decides why it will use the data, or determines material purposes and means independently of your instructions. Each organisation needs its own lawful basis, transparency and security arrangements. A processor DPA is not the correct legal structure merely because the parties call the supplier a “vendor”.
Joint controllers You and the vendor jointly determine purposes and essential means for the same processing. Document respective responsibilities and how individuals can exercise their rights. The arrangement must reflect the parties’ real decision-making.

The ICO states that when a controller asks another party to process personal data on its behalf, that party is a processor under Article 4(8) of the UK GDPR. It also warns that a processor has its own liabilities and responsibilities under both the contract and the UK GDPR. Do not assume a supplier’s contract can transfer every regulatory risk to you or to the supplier.

Questions that reveal the role

  • Who decided the original purpose for collecting the data?
  • Can the vendor use the information for its own analytics, advertising, product development or compliance purposes?
  • Who decides which data fields are used, how long they are retained and who can access them?
  • Does the vendor have meaningful discretion, or must it follow your written instructions?
  • Will the vendor combine your data with information from its other customers?

Document the answers, the processing operation covered, the parties’ roles and the evidence supporting your conclusion. Reassess the classification if a service adds a new feature or purpose.

Establish a lawful basis before disclosure

A vendor agreement is not a lawful basis. The controller must identify an Article 6 basis for collecting and disclosing the information, and a separate condition where special-category data is involved. Depending on the situation, the basis may be consent, contract, legal obligation, vital interests, public task or legitimate interests; choose the basis that genuinely applies rather than the one that is easiest to administer.

Transparency and purpose limitation

Privacy information should explain the purposes of processing and the relevant recipients or categories of recipients. If a new vendor changes who receives the information or why it is used, update the notice before the disclosure where practicable and provide any other information required by the transparency rules. Do not describe a supplier as merely providing “services” if that wording hides a material use of the data.

Data minimisation and accuracy

Send only the fields, records and access permissions needed for the stated service. Use role-based access, filtered exports, pseudonymisation or aggregation where those measures still allow the service to work. Keep information accurate, apply storage limits and prevent incompatible reuse. These principles continue throughout onboarding, operation, support, renewal and termination.

What an Article 28 data processing agreement must cover

When the vendor is your processor, put the arrangement in a binding written contract or other legal act that meets Article 28. Commercial terms can be negotiated, but they cannot omit mandatory protections. Identify the parties and allocate operational responsibilities clearly.

  1. Subject matter and duration: describe the service, processing activities, start and end conditions, and any transition period.
  2. Nature and purpose: state what the processor may do and prohibit uses outside your documented instructions.
  3. Types of personal data and categories of data subjects: list, for example, contact details, account records, transaction data or employee information, and identify customers, employees, children or other groups where relevant.
  4. Documented instructions: require the processor to act only on your instructions, including instructions about international transfers, unless UK law requires other processing. Require the processor to tell you if an instruction appears unlawful.
  5. Confidentiality: bind people authorised to handle the data to confidentiality obligations, whether contractual or statutory.
  6. Security: require appropriate technical and organisational measures, with enough detail to evaluate access control, encryption, resilience, recovery, testing and staff security for the risk involved.
  7. Sub-processors: require your specific or general written authorisation, an approval and objection process, advance notice of proposed changes and equivalent obligations flowing down to each sub-processor. The original processor remains responsible for its sub-processors’ performance.
  8. Assistance with individual rights: require help with access, rectification, erasure, restriction, portability and objection requests within your response timetable.
  9. Assistance with security and assessments: require cooperation with breach investigations, regulator communications, data protection impact assessments and prior consultation where applicable.
  10. Deletion or return: at the end of the service, require deletion or return of all personal data and copies, unless UK law requires storage. Set out how deletion is verified, including backups.
  11. Audit and information: require the processor to provide information demonstrating compliance and permit or contribute to audits and inspections, with sensible confidentiality and security controls.

Attach or reference your current instructions, retention schedule, security requirements, approved sub-processor list and incident contacts. A short procurement clause that says “the supplier will comply with data protection law” is unlikely to document these particulars adequately.

Vendor due diligence: what the controller must verify

Accountability stays with the controller. Before appointing a processor, gather evidence proportionate to the risk and record why the vendor is suitable.

Area Checks to perform Evidence to retain
Data and access Fields, volumes, sensitivity, user groups, privileged access and retention. Data-flow diagram, data inventory and access matrix.
Security Authentication, least privilege, encryption, vulnerability management, resilience, backup recovery and staff training. Current independent assurance reports, test summaries, policies and remediation records.
People and confidentiality Background screening where justified, confidentiality commitments and administrator access controls. Supplier responses and contract clauses.
Sub-processors Names, functions, locations, change notices and objection rights. Approved register and review history.
Rights and incidents Ability to locate, export, correct, restrict and delete records; escalation and notification times for incidents. Test results, runbooks and contact details.
Retention and exit Deletion from live systems, replicas, archives and backups; handover format and timing. Exit plan and deletion certificate or equivalent confirmation.
International access Hosting, support, remote administration, telemetry, backups and onward transfers. Current architecture, destination list and transfer assessment.

Reassess the vendor when processing changes, a new sub-processor is proposed, a new country is added, an incident occurs or the law changes. Keep an audit trail showing approvals, objections, risk decisions and remediation.

International vendors, remote support and sub-processors

UK personal data can lose the protection of UK data protection law when transferred outside the UK, which is why restricted-transfer rules apply. Physical hosting is only one part of the analysis. A UK-hosted service may still create an overseas transfer if engineers abroad can access production data, if support tickets are viewed overseas, or if backups, telemetry or a sub-processor are located in another country.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Map who initiates each transfer

Draw the complete architecture: your organisation, the primary processor, every sub-processor, storage and backup regions, support locations and onward recipients. Identify the exporter and importer for each movement. A controller sending data to an overseas processor is one common pattern; a processor sending data to an overseas sub-processor with the controller’s authorisation is another. The contractual chain and the actual access route must match.

Select the transfer route

  1. Check whether the destination benefits from a UK adequacy regulation. If it does, document the adequacy route and continue to apply the other UK GDPR principles.
  2. If adequacy is unavailable, select an appropriate safeguard, such as the UK International Data Transfer Agreement (UK IDTA), the UK Addendum to approved EU standard contractual clauses, or UK Binding Corporate Rules where the corporate structure and approval requirements fit.
  3. Complete the required transfer-risk or data-protection assessment for the destination and processing. Consider local laws, government-access risks, the data’s sensitivity, the importer’s technical controls and the practical ability to challenge access.
  4. Record supplementary measures where needed, such as strong encryption with keys retained in the UK, strict pseudonymisation, minimised fields, split processing, access logging and tightly limited support windows.
  5. Put the chosen mechanism and operational measures into the relevant controller-processor or controller-controller documents, and review them when destinations, laws or services change.

Do not treat a vendor’s statement that it is “GDPR compliant” as proof of a valid UK transfer mechanism. Verify the countries, entities, access paths and signed documents yourself.

Operate the arrangement and prepare for incidents

Onboarding is not the end of compliance. Monitor the vendor against the contract and your documented instructions. Require prompt notice of personal-data breaches, suspected unauthorised access, law-enforcement demands where legally permitted, security failures and material service changes. Define an escalation route that allows you to investigate and meet your own reporting obligations.

Test how the vendor handles an access or erasure request, correction, restriction, export and deletion. Confirm that the process covers indexes, caches, replicas, logs and backups, not just the primary database. Review evidence of security testing and remediation rather than accepting an unqualified certification statement.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Set a regular review date and trigger reviews for new sub-processors, new processing purposes, mergers, destination changes, major architecture changes and amendments to UK data-protection law. If a processor cannot meet an instruction or a transfer safeguard, suspend the affected disclosure, restrict access and document the corrective decision.

  8. Approve and monitor: keep the decision record, approved sub-processor register, review dates, incident contacts and change-notification process.

Current-law and guidance checks

The current text of the Data Protection Act 2018 records amendments made by the Data (Use and Access) Act 2025, including provisions with commencement information extending into 2026. The ICO also notes that some related guidance is under review. Before signing a new arrangement or publishing a definitive checklist, verify the live legislation, commencement status and current ICO guidance. A contract or assessment prepared under an earlier version of the law may need updating.

Common mistakes to avoid

  • Calling every supplier a processor without examining its independent purposes.
  • Relying on a generic data-protection clause instead of documenting Article 28 particulars.
  • Assuming a UK data-centre location rules out overseas support or sub-processor access.
  • Using the vendor contract as a substitute for a lawful basis, transparency notice or minimisation analysis.
  • Approving sub-processors once and never reviewing later additions or country changes.
  • Assuming the processor bears all accountability; the controller must still demonstrate compliant selection and oversight.
  • Leaving deletion, backup handling, rights assistance or breach escalation undefined.

Frequently Asked Questions

Do I need a data processing agreement with every supplier?

No. You need an Article 28-compliant contract when the supplier is acting as your processor. A separate or joint controller relationship requires documentation that reflects those parties’ independent or shared decision-making instead.

Is a SaaS provider automatically a processor?

No. Examine the provider’s actual purposes and decision-making for each data flow. It may be a processor for one feature and a controller for another use, such as an independently determined purpose.

Can a vendor’s overseas sub-processor access UK personal data?

Potentially, but map the access, identify the transfer initiator, check adequacy or put an appropriate safeguard such as the UK IDTA, Addendum or UK BCRs in place, and complete the required transfer-risk assessment.

Does signing a DPA make the sharing lawful?

No. You still need a lawful basis, transparency, minimisation, security and ongoing accountability, plus a valid international-transfer route where applicable.
