Udaan’s business-to-business marketplace returned to annual operating-revenue growth in FY26 after four years of weak or falling sales. The recovery came from concentrating on dense retail clusters, increasing repeat purchases and private-label sales, and tightening fulfilment and procurement economics—not from a return to broad geographic expansion. The company is still loss-making, and its balance sheet carries a material going-concern warning.
What changed in Udaan’s FY26 numbers
Udaan’s FY26 operating revenue was ₹5,134 crore, compared with ₹4,561 crore in FY25. That is a 12.6% increase; news coverage rounds it to 13%. It was the company’s first full-year revenue increase after a four-year period of weak or negative performance.
| Financial year | Operating-revenue trend | What it indicates |
|---|---|---|
| FY23 | Approximately 40% decline | Sharp contraction |
| FY24 | About 1% to 1.7% growth | Near-stagnation, depending on the published comparison |
| FY25 | Approximately 20% decline | Another major setback |
| FY26 | ₹5,134 crore, up 12.6% from FY25 | First clear annual recovery |
The improvement reached the bottom line but did not produce a profitable year. Net loss fell to ₹851.5 crore in FY26 from ₹1,055.4 crore in FY25, a reduction of about 19%, according to Udaan’s financial statements as reported by Inc42. The Economic Times described the FY26 loss as approximately ₹850 crore.

Udaan replaced broad expansion with dense clusters
The operating model now focuses on smaller, high-density markets organized around individual pin codes or groups of pin codes. Instead of spreading resources across a wide geography, Udaan aims to become more useful to retailers in the clusters it already serves.
#1 Best Overall
Higher buyer penetration in a concentrated area can produce several effects at once: retailers place orders more frequently, average baskets can increase, warehouses are used more intensively, procurement teams gain bargaining and forecasting advantages, and delivery costs per order can fall. These mechanics improve the economics of an existing market before the company spends money opening another one.
Managers are measured on economics, not just sales
City and category leaders are now accountable for contribution margin, customer retention, order frequency, basket size, procurement efficiency and fulfilment cost, alongside topline revenue. Udaan cofounder and chief executive Vaibhav Gupta told Business Standard that “business leaders now own the economics of their categories and markets, not just topline growth.”
Udaan senior vice president Vishnu Menon reported that revenue compounded at about 25% over the ten quarters from Q4 CY23 through Q1 CY26. Over that period, the contribution margin improved by nearly 500 basis points and EBITDA burn declined by about 70%. Those are operating indicators, not evidence of consolidated net profitability.

The priority is a larger share of existing retailers’ spending
Gupta said the biggest opportunity was “to win more of existing retailers’ procurement spend, rather than overinvest in customer acquisition or new markets.” This strategy lowers the dependence on continually finding new buyers and makes repeat purchasing central to growth. It also explains why cluster density, product availability and fulfilment reliability matter as much as adding more cities.
Private labels and institutional distribution changed the mix
Private labels add margin and wallet share
Private labels now represent approximately 15% to 25% of staples sales across Udaan’s operating cities, according to Menon. He said the products help improve margins, increase the share of each retailer’s spending captured by Udaan and extract more value from its existing sourcing and distribution infrastructure.
The percentage is a range across cities and applies to staples sales; it is not a claim that private labels make up the same share of Udaan’s entire company revenue.
Rank #3
horeca360 broadens the buyer base
Udaan’s horeca360 business serves hotels, restaurants, caterers and other institutional buyers. It expanded into Hyderabad and Chennai during FY26, adding demand beyond the traditional small-retailer base. In Bengaluru, private labels and HoReCa together contributed about half of Udaan’s revenue, according to Business Standard. That city-level mix should not be read as a consolidated company-wide percentage.
Acquisitions and new capital support the reset
LYNK adds distribution capacity
Udaan agreed to acquire Swiggy-owned LYNK Logistics in a ₹500 crore all-share transaction. Under the agreement, Swiggy would receive 2.8% of Udaan and invest ₹75 crore. Udaan chief executive Gupta said the combination made sense because the companies could be stronger together on the B2B side. LYNK is intended to add distribution capacity and retail reach to the cluster strategy rather than simply increase geographic breadth.
Udaan had previously acquired ShopKirana in July 2024, another step toward building a denser retail-distribution network.
July 2026 recapitalisation provides liquidity, but also highlights financing needs
A July 2026 recapitalisation combined fresh equity, new debt and debt-to-equity conversion and totaled $160 million. The package included $45 million of private credit from BlackRock. Because the financing occurred after the FY26 reporting period, it is balance-sheet support for the reset, not FY26 operating revenue.
Has Udaan become profitable?
No. The lower annual loss is meaningful progress, but Udaan still reported a net loss of roughly ₹850 crore for FY26. Improved contribution margin and lower EBITDA burn show that parts of the operating model are moving in the right direction; they do not eliminate corporate overhead, financing costs or other items included in net income.
Likewise, a profitable city, category or operating cohort would not establish profitability for the consolidated company. The Bengaluru mix and any city-level economics need to be separated from the group’s audited result.

How financially secure is the turnaround?
The FY26 financial statements contain a material going-concern uncertainty. At year-end, current liabilities exceeded current assets by ₹1,391 crore, while total liabilities exceeded total assets by ₹790.9 crore. Inc42 reported those figures from the statements.
Udaan said post-year-end funding and cost reductions should improve operating cash flow. That gives the company additional time to execute the cluster model, but it does not remove the need for sustained cash generation or further balance-sheet discipline. The recapitalisation and LYNK transaction therefore support the recovery while also underscoring how dependent it remains on financing and execution.
What to watch next
- Repeat purchasing: whether order frequency, retention and basket size continue rising in the dense clusters.
- Margin conversion: whether private-label growth and procurement improvements translate into lower consolidated losses, not only better contribution margin.
- Fulfilment efficiency: whether higher warehouse utilisation and LYNK’s distribution capacity reduce cost per order.
- Cash flow: whether the post-year-end funding and cost cuts produce the operating cash-flow improvement management expects.
- Balance-sheet repair: whether liabilities can be brought back into a sustainable relationship with assets and current liquidity.
- Execution claims: any IPO timetable or longer-term growth target remains a management expectation until completed and reported.
Bottom line
Udaan’s 12.6% FY26 revenue increase is a real operational reversal after four difficult years, driven by denser clusters, repeat retailer spending, private labels and more disciplined unit economics. It is not yet a completed turnaround: the company remains deeply loss-making and carries a disclosed going-concern risk. The next test is whether the improved operating metrics can generate enough recurring cash to make the recovery financially durable.
