For most chip companies, using a merchant foundry such as TSMC is financially safer than building a fab. Outsourcing replaces an enormous, largely fixed capital commitment with manufacturing charges and supplier dependence. Owning a factory can make sense when dependable capacity, process differentiation, national resilience, or strategic control is worth the cost of funding construction, equipment, process development, specialist staff, upgrades, and utilization risk for many years.

There is no reliable universal answer to “How much does a chip factory cost?” or “What utilization rate breaks even?” The answer changes with location, wafer size and capacity, process node, equipment scope, financing, subsidies, yield ramp, product mix, and contracted demand. The comparison below separates what is established from what must be modeled for a specific project.

The short answer: a foundry buys flexibility; an owned fab buys control

Buying wafers from a scaled foundry lets a chip designer concentrate capital and people on architecture, software, packaging design, sales, and research rather than on cleanrooms and process tools. The trade-off is dependence on the foundry’s capacity, technology roadmap, geography, pricing, allocation decisions, and business continuity.

Building a factory reverses that balance. The owner controls planned capacity and can align manufacturing tightly with its own products. It also becomes responsible for an asset base that is expensive to build and difficult to shrink when demand falls. A fab must be staffed, qualified, supplied with reliable power and water, maintained, upgraded, and kept technologically relevant. Empty capacity still incurs much of its cost.

TSMC is a useful reference for the foundry model, but it is not a price tag for a hypothetical single fab. Its economics reflect a global network of fabs, process-development teams, packaging capabilities, customer relationships, purchasing scale, and demand from many end markets.

What TSMC’s model actually provides

A pure-play manufacturing relationship

TSMC says it pioneered the pure-play foundry model in 1987 and focuses on manufacturing products designed by customers. It says it does not make semiconductor products under its own name, which is intended to avoid competing directly with the customers whose chips it manufactures. That separation can make a foundry relationship easier to govern than dealing with a supplier that sells competing chips.

In an owned-fab scenario, a company making its own products does not face that particular supplier-conflict question. A company trying to become a merchant foundry would face it: prospective customers will assess whether their designs, roadmaps, and confidential process information are protected, especially if the operator also sells products in adjacent markets.

The scale behind the headline numbers

TSMC’s 2025 Annual Report reported more than 17 million 12-inch-equivalent wafers of annual capacity, 534 customers, 305 distinct technologies, and 12,682 products manufactured during 2025. Those figures show the scale a new entrant would have to approximate before it could claim comparable diversification. They do not mean every customer can use every process, or that every fab has identical cost and utilization economics.

TSMC also reported that 74% of its 2025 wafer revenue came from processes at 7 nanometers and below, up from 69% in 2024. Its customer exposure spans high-performance computing, smartphones, the Internet of Things, automotive, and digital consumer electronics. That mix can help offset weakness in one market with demand in another, but diversification does not eliminate semiconductor cycles.

Network effects a single factory does not automatically have

A large foundry spreads process-development spending, procurement, engineering expertise, and capacity risk across many customers and sites. It can qualify a process once and sell access to numerous design teams, while a single-company fab may have only a narrow set of internal products to absorb the cost. The network also helps a foundry support customers through different generations of technology rather than relying on one product cycle.

TSMC Chairman and Chief Executive Officer C.C. Wei described the company’s stated mission in its 2025 Annual Report as “TSMC’s mission is to be the trusted technology and capacity provider for the global logic IC industry for years to come.” That is a description of the company’s objective, not an independent guarantee of capacity, pricing, or performance for every customer.

What “building your own fab” includes

The phrase “build a factory” hides several separate investments. A credible business case must cover all of them, not just the shell of the building.

Site, building, and cleanroom infrastructure

  • Land, grading, foundations, structural systems, and controlled-environment cleanrooms.
  • High-reliability electrical distribution, backup generation, and power-quality systems.
  • Ultra-pure water production, wastewater treatment, chemical distribution, and waste handling.
  • Gas systems, ventilation, temperature and humidity control, fire protection, security, and logistics.
  • Connection to roads, ports, data networks, and other regional infrastructure.

Location changes both cost and risk. Electricity prices and reliability, water availability, seismic and weather exposure, permitting, construction labor, taxes, transport, and access to a semiconductor workforce all affect the project. Public incentives may reduce the owner’s net cost, but support is specific to a jurisdiction and a negotiated project; it should not be treated as guaranteed funding.

Process equipment and facilities systems

The building is only a container. A production line needs lithography, deposition, etch, implantation, cleaning, metrology, inspection, test, material-handling, and process-control equipment, plus the facilities systems that operate them. Tool delivery, installation, qualification, spare parts, software, and service contracts can extend well beyond the initial construction schedule.

Process technology and yield learning

An owner must either license, develop, or otherwise secure a process technology and then improve its yield. Research, development, design-rule documentation, process integration, device modeling, and customer qualification continue after construction. A fab that cannot deliver the performance, power, reliability, or cost customers require can become economically obsolete even while its equipment remains operational.

People and operating systems

Engineers, technicians, operators, maintenance specialists, quality teams, safety staff, supply-chain managers, and production planners are recurring requirements. Recruiting a complete team in a new location can be slower than building the facility. Training, shift coverage, retention, and relationships with equipment suppliers affect uptime and yield.

Expansion, upgrades, and sustaining capital

TSMC’s 2025 Form 20-F describes semiconductor manufacturing facilities as substantial, largely fixed-cost assets and says significant capital is needed to build, expand, and upgrade production facilities and equipment. The economic commitment therefore continues after the opening ceremony: capacity additions, new tools, technology transitions, maintenance, software, replacement parts, and safety or environmental improvements require more spending.

Why there is no honest universal fab price

The U.S. Department of Commerce’s 2023 industry report estimated total semiconductor-industry capital expenditure at US$182 billion in 2022, nearly twice the 2017 level. That is an industry-wide historical total, not the construction cost of one factory.

The same report estimated that TSMC held about 60% of foundry property, plant, and equipment value and nearly 20% of total semiconductor-industry PP&E in 2022. These figures describe concentration of manufacturing assets, not 60% of foundry revenue or market share.

A single-fab estimate is meaningful only when the project specification is fixed. At minimum, a model needs:

  • Country, site, labor market, utility prices, taxes, incentives, and financing terms.
  • Wafer diameter, monthly wafer starts, cleanroom area, and the number and type of production modules.
  • Process node, technology-development path, equipment generation, and packaging scope.
  • Construction standard, schedule, contingency, and whether laboratories, offices, and pilot lines are included.
  • Expected yield ramp, product mix, selling prices, depreciation policy, maintenance, and consumables.
  • Committed internal and external demand, timing of customer qualification, and a plan for downturns.

Because those variables are not fixed, the reviewed company and government sources do not establish a current comparable price for one fab or a generic break-even utilization percentage. Publishing one number without these assumptions would create false precision.

TSMC’s US$165 billion U.S. plan is not a one-fab quotation

In March 2025, TSMC announced that it intended to add US$100 billion to its U.S. advanced-manufacturing investment, bringing its stated planned total to US$165 billion. The announcement described a portfolio of three additional fabs, two advanced-packaging facilities, and a major research and development center.

That figure is a corporate, multi-project commitment. It includes fabrication, packaging, and R&D elements, and it represents planned investment rather than a realized spend figure. It must not be divided by three and presented as the price of one factory. The mix of facilities, timing, public support, customer partnerships, and local construction conditions all matter.

Current footprint context from TSMC’s 2025 report

TSMC’s 2025 Annual Report said its first Arizona facility began volume production of 4nm chips in the fourth quarter of 2024. The report said construction of the second facility was complete and facility-system installation was under way, while construction of a third facility began in 2025. It also described facilities in Taiwan, Nanjing, and Japan, plus a specialty-fab project in Dresden.

These are dated project-status statements, not a promise that every listed facility is operating at full capacity. Construction completion, tool installation, process qualification, volume ramp, and profitable utilization are separate milestones.

Foundry versus owned fab: the decision dimensions

Decision axis Using a merchant foundry Owning a fab
Capital exposure Pay for manufacturing services instead of owning the full fabrication asset base. Capital is still needed for chip design, masks, packaging, inventory, and contractual commitments. Fund buildings, equipment, process development, staffing, utilities, maintenance, expansion, and upgrades.
Capacity control Rely on the supplier’s available capacity, allocation policies, and process portfolio. Set planned capacity directly, subject to construction, equipment delivery, yield, and ramp execution.
Utilization risk Capacity risk is shared across the foundry’s customer base, although a customer can still face shortages or allocation limits. The owner must generate enough internal or external demand to support largely fixed-cost assets.
Technology Access the foundry’s qualified processes and manufacturing ecosystem without funding the entire process-development organization. Maintain a competitive process, tool set, workforce, design enablement, and upgrade path.
Customer and IP position A pure-play supplier’s focus on customer products can reduce direct-competition concerns. An integrated manufacturer controls its own products; a merchant operator must earn customer trust and protect confidential designs.
Execution The foundry carries construction and production execution, while the chip company remains exposed to supplier concentration and geography. The owner carries site selection, permitting, construction, tool installation, staffing, qualification, yield, and production execution.
Strategic resilience Avoids direct construction but remains dependent on external sources and their locations. Can provide direct geographic or supply control, but at the cost of substantial capital and operational complexity.

Fabless economics: attractive averages, real failure risk

A fabless company outsources wafer production and avoids direct ownership of fabrication assets. The Commerce Department report identifies lower capital-expenditure needs as a characteristic that can leave more resources for research and development. That does not make fabless companies automatically successful: they still face design risk, mask costs, foundry pricing, capacity access, packaging constraints, inventory exposure, and competition.

The report’s 2017–2022 company survey is a useful warning against simplistic conclusions. Fabless companies had higher net-profit margins in all but one of the covered years; in 2022, the survey showed 32% for fabless firms versus 20% for integrated device manufacturers, a 12-percentage-point difference. At the same time, an average of 44% of surveyed fabless companies reported a net loss in any year from 2017 through 2022, compared with 17% of IDMs.

These are historical, group-level observations. They are not a forecast for a particular entrant, and they do not isolate the causal effect of outsourcing from differences in products, scale, market timing, or business strategy.

When owning manufacturing can be strategically justified

Demand is durable and large enough to support the asset

An owner needs credible multi-year demand, not a single strong product cycle. Internal forecasts should be stress-tested for delayed launches, lower yields, price declines, customer cancellations, and downturns in the end markets that TSMC identifies as cyclical, including smartphones, automotive, consumer electronics, and high-performance computing.

The process itself is a competitive advantage

Ownership is more defensible when manufacturing know-how, specialized process integration, reliability requirements, or unusual materials create value that a standard external process cannot provide. If the product can use a widely available qualified process, the additional control may not justify the fixed-cost burden.

Supply or geographic control has a measurable value

Some companies or governments may value assured local capacity, reduced exposure to a particular region, or the ability to prioritize critical products during a disruption. That benefit should be expressed as a decision criterion—such as acceptable outage exposure, strategic inventory, or guaranteed capacity—not assumed to outweigh cost automatically.

There is a credible customer strategy

A merchant fab needs external customers willing to qualify its process and commit volume. An internal fab needs a product portfolio broad enough to keep tools productive as individual chips mature. TSMC’s 534-customer scale is not something a new plant can assume at launch.

When the foundry route is usually stronger

  • The company’s differentiation lies primarily in architecture, software, system integration, or intellectual property rather than process technology.
  • Demand is uncertain, seasonal, or concentrated in one product or market.
  • The company cannot recruit and retain a complete process-engineering and operations organization.
  • Time to market matters more than owning a long-lived asset.
  • Several qualified foundries or process generations can meet the product’s requirements.
  • The required capital would displace research, design, packaging, or customer investment with a clearer return.

Outsourcing does not remove all manufacturing risk. A company should qualify more than one source where technically and economically practical, negotiate capacity and allocation terms carefully, understand lead times and change-control provisions, and plan for packaging and testing capacity as well as wafer supply.

A practical decision framework before committing capital

1. Define the product and process requirement

Specify performance, power, area, reliability, automotive or other qualification requirements, wafer size, expected volumes, package, and launch date. A decision cannot be made from the word “semiconductor” alone; a mature-node analog product and a leading-edge logic product have very different tool and ecosystem needs.

2. Build two complete cash-flow cases

For the foundry case, include wafer pricing, masks, design enablement, packaging, testing, logistics, inventory, capacity reservations, and second-source qualification. For the owned-fab case, include site and building costs, tools, process development, staffing, utilities, maintenance, depreciation, financing, insurance, compliance, upgrades, ramp losses, and unused capacity.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

3. Model ramp and downside conditions

Run scenarios for slow construction, delayed equipment, lower initial yield, a late product launch, a 20% or larger volume shortfall, pricing pressure, and a multi-year downturn. The point is not to choose a dramatic stress number but to reveal which assumptions determine survival.

4. Test the utilization requirement with committed demand

Separate contracted or internally approved volume from optimistic market forecasts. Identify who bears the cost if a customer delays qualification or cancels. Do not substitute TSMC’s diversified demand base for the demand an entrant can actually secure.

5. Verify location and public-support assumptions

Confirm power, water, wastewater, permitting, construction labor, tax treatment, incentives, security, export controls, and emergency response. Treat incentives as conditional and project-specific until the legal terms, timing, and clawback provisions are known.

6. Set technology and upgrade gates

Define the process-performance targets, tool availability, yield milestones, customer-qualification gates, and dates at which management will pause or cancel expansion. A facility plan without upgrade funding can leave the owner with capacity that no longer matches customer demand.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

7. Compare strategic alternatives

Evaluate a long-term foundry agreement, multi-foundry sourcing, a joint venture, a specialty or mature-node fab, acquisition of an existing site, or an internal pilot line before selecting a greenfield leading-edge fab. Each alternative changes control, cost, timing, and execution risk.

Principal risks and how to interpret them

Demand and utilization cycles

TSMC’s annual report notes differing market outlooks and identifies trade conflicts and protectionism as risks to end demand. A current surge in artificial-intelligence-related demand should not be treated as a permanent guarantee that any new facility will remain full.

Technology obsolescence

Leading-edge manufacturing requires continuing investment. If the owner cannot fund the next process generation, improve yield, or offer the design ecosystem customers need, the factory may lose relevance before its accounting life ends.

Construction and ramp slippage

An announced project is not operating capacity. Construction, facility-system installation, tool move-in, process qualification, yield learning, and customer acceptance can each delay revenue. Financial models should recognize those milestones separately.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Concentration and bargaining power

A foundry customer depends on an external supplier, but a new fab depends on its customers. TSMC’s reported scale and broad customer count provide a contrast: an entrant cannot assume it will immediately aggregate equivalent demand or purchasing leverage.

Geopolitical and location exposure

Multiple sites can reduce dependence on one geography, but they also multiply capital and operating complexity. TSMC’s expansion across Taiwan, the United States, Japan, and planned European specialty manufacturing illustrates geographic diversification as a portfolio strategy, not proof that every company should replicate it.

Historical data can be misused

The Commerce Department’s margin and loss figures cover surveyed companies from 2017 through 2022. They are useful context, not a current profitability forecast or a direct estimate of what a particular factory will earn.

Questions a board or investment committee should demand answers to

  • Which products and customers fill the line during the first three years, and what evidence supports those volumes?
  • What process capability is required at launch, and how much will the next two upgrades cost?
  • What happens to cash flow if yield reaches target six or twelve months late?
  • Which costs remain when the factory runs below plan?
  • Who owns the process intellectual property and customer data, and how are conflicts handled?
  • What utilities, permits, incentives, and workforce commitments are legally secured?
  • Can the company obtain packaging, testing, substrates, chemicals, gases, and spare parts at the required scale?
  • What is the fallback if the preferred tool supplier, site, customer, or process is unavailable?

Bottom line for different types of companies

A fabless start-up or most established chip designers should begin with foundry economics. The external route generally preserves optionality and directs scarce capital toward product development, provided the team manages capacity, supplier concentration, packaging, and qualification risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

An integrated device manufacturer with durable volume and specialized process needs may justify ownership. The case becomes stronger when internal demand is broad, strategic supply control has a measurable value, and management can fund technology upgrades through downturns.

A proposed merchant foundry needs an even higher bar. It must finance the fab and persuade outside customers to trust its technology, confidentiality, quality, delivery, and long-term roadmap. TSMC’s scale demonstrates what a mature network can provide; it does not establish a generic return on a new single-fab project.
