Transfer-pricing documentation is the broader compliance record; a cost-sharing agreement (CCA) is a contract for associated enterprises to share contributions, risks and expected benefits for a defined activity. A CCA may be described and supported in the group’s transfer-pricing documentation, but it does not replace the master file, local file or any other records required by applicable local law.
The short answer
These terms describe different things and operate at different levels.
- Transfer-pricing documentation is a body of evidence explaining a multinational group’s related-party transactions and supporting its arm’s-length pricing. Depending on the applicable rules, it can include a master file, a local file and country-by-country (CbC) reporting within its own framework.
- A cost-sharing agreement is a contractual arrangement among associated enterprises for a defined shared activity. Under the OECD terminology, it is generally called a cost contribution arrangement (CCA). Participants agree how to contribute resources, share risks and obtain the anticipated results.
The practical relationship is simple: the agreement is an arrangement; the documentation is the record that describes and analyzes it. A CCA can therefore be one of the important arrangements documented in a transfer-pricing file.

How the two concepts differ
| Comparison | Transfer-pricing documentation | Cost-sharing agreement / OECD CCA |
|---|---|---|
| What it is | A structured set of information supporting a taxpayer’s transfer-pricing position and helping tax administrations assess transfer-pricing risk. | A contract among associated enterprises concerning a defined shared activity. |
| Main purpose | Describe the group and relevant transactions, explain the pricing, and provide evidence for the arm’s-length position. | Allocate contributions and risks among participants who expect mutual benefits from the activity. |
| Scope | Can cover many intercompany transactions and arrangements across a group. | Is limited to the activity, participants and results specified in the arrangement. |
| Typical evidence | Group and entity information, transaction amounts, parties, material agreements and pricing analysis. The Action 13 approach uses a master file, local file and a CbC report template. | Participants, activity scope, expected benefits and projections, contributions and valuation, responsibilities, and adjustment or entry and exit terms. |
| Legal character | A compliance record assembled under applicable transfer-pricing rules. | A contractual arrangement; it need not create a separate legal entity. |
| Relationship | The wider documentation framework. | One arrangement that the framework may need to describe and analyze. |
Calling a CCA “documentation” can therefore cause confusion. The signed agreement is an important document, but it is not the whole transfer-pricing file and, by itself, does not demonstrate that contributions, risks and expected benefits satisfy the arm’s-length principle.

What transfer-pricing documentation does
It explains the group and its transactions
Documentation gives a tax administration a factual picture of the multinational group, the entities involved, their roles and the related-party transactions that may affect taxable income. The local file is transaction-specific: it normally records the parties, the nature and amounts of transactions, material agreements and the analysis supporting the pricing.
It supports an arm’s-length position
The record should show why the terms of a controlled transaction are consistent with what independent parties would have agreed in comparable circumstances. That support can involve functional facts, contractual terms, financial information, valuation work and the method used to test the price. The exact content, threshold and filing or retention rule depend on local law.
It is broader than a single arrangement
A group may have documentation for manufacturing, distribution, financing, services, licensing and research arrangements at the same time. A CCA is only one possible arrangement within that wider population. Documentation can also cover important service arrangements and important agreements related to intangibles, including CCAs.

The OECD’s Action 13 approach, described in the Transfer Pricing Documentation and Country-by-Country Reporting, Action 13 – 2015 Final Report published on 5 October 2015, uses three connected elements:
- Master file: a high-level overview of the multinational group, its global business, transfer-pricing policies and important arrangements.
- Local file: detailed information about a local entity’s material controlled transactions, including transaction descriptions, amounts, associated enterprises, agreements and pricing support.
- Country-by-country report: a report using its own framework for specified information about the group’s jurisdictions, income, taxes and business activity. It is not a replacement for the master file or local file.
Not every country applies these elements in the same way. Local thresholds, deadlines, language rules, filing requirements, penalties and exemptions must be checked for the relevant country and tax year.
What a cost-sharing agreement is
A contract for a defined activity
OECD Chapter VIII describes a CCA as a contractual arrangement. Participants agree to conduct or obtain a defined activity collectively and to share the contributions and risks in proportion to the benefits they reasonably expect to receive. The arrangement can concern development, services or another shared activity, depending on the facts.

It does not require a new company
Participants do not have to combine their operations or create a separate legal entity. Nor must they exploit resulting intangibles jointly or share revenues or profits. Each participant can exploit its interest in the outcomes of the arrangement. The contract should make clear what each participant is entitled to use and what obligations it has to the others.
Mutual and proportionate benefits are central
A participant should be expected to obtain a benefit from the activity itself. The participant’s share of contributions should be consistent with its share of expected benefits. If the value of what a participant contributes does not match the benefit it is expected to receive, a balancing payment can correct the mismatch.
This is more demanding than simply dividing the activity’s invoices. Contributions can include existing value as well as current cash or services. For example, pre-existing technology, know-how, data, facilities or personnel may contribute to the expected outcome. A cost-only measure may therefore fail to capture the economic value of a development contribution.
What records should support a CCA?
OECD guidance says the information should be proportionate to the arrangement’s complexity and importance. Its list is useful and relevant, but it is neither a universal minimum compliance standard nor an exhaustive checklist. The facts and circumstances determine what is needed.
Participants and users of the results
- Identify every participating associated enterprise.
- Identify other associated enterprises that are involved in the activity or are expected to use its results.
- Explain each participant’s interest in the expected results and the rights it receives.
Activity, governance and control
- Define the activity and the projects covered by the arrangement.
- Describe the arrangement’s duration, management and decision-making structure.
- Set out who performs, supervises and controls each task.
- Explain how work involving intangibles or tangible assets is managed and controlled.
Expected benefits and projections
- Describe the benefits each participant expects to obtain from the activity.
- State the method used to measure expected benefits and why that measure is appropriate.
- Keep the projections used when the arrangement was established and explain material changes.
- Compare projected benefit shares with actual results over time.
Contributions and valuation
- List initial and ongoing contributions, including non-cash or pre-existing contributions where relevant.
- Explain how each contribution is valued.
- Apply accounting treatment consistently across participants.
- Record budget-to-actual adjustments and the reasons for them.
- Test whether each participant’s contribution share remains aligned with its expected-benefit share.
Responsibilities and contractual protections
- Describe the division of responsibilities among participants.
- Include the method for approving changes to budgets, projects or responsibilities.
- Set out entry, withdrawal and termination rights.
- Address balancing payments, buy-in payments and buy-out payments where applicable.
- Document how a departing participant’s interest and obligations are valued.
Actual performance and changes
- Retain actual expenditure and contribution records.
- Record amendments to the arrangement and the date they took effect.
- Explain significant differences between projected and actual benefit shares.
- Update the transfer-pricing analysis when the activity, participants, assets, risks or expected benefits change.
How a CCA appears in the transfer-pricing file
The CCA and the transfer-pricing file serve different evidentiary purposes. The agreement supplies the contractual starting point; the file explains whether the arrangement’s economics are consistent with the arm’s-length principle.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsMaster-file treatment
OECD guidance states that the transfer-pricing documentation standard in Chapter V requires important service arrangements and important agreements related to intangibles, including CCAs, to be reported in the master file. The master file should place the CCA in the context of the group’s business, strategy, intangible assets and transfer-pricing policies.

Local-file treatment
The local file should contain the local entity’s transaction-specific information. For a CCA, that can include the local participant’s contributions, payments received or made, the other associated enterprises, the material agreement, the benefit-allocation method, valuation support and the analysis showing why the arrangement is arm’s length.
Supporting schedules and working papers
A signed contract is rarely enough to reproduce the pricing analysis. Retain contribution ledgers, budgets, forecasts, valuation reports, allocation calculations, invoices, time records where relevant, board or committee approvals, amendments and reconciliation schedules. The exact retention period and format are matters of local law.
Step-by-step: documenting a CCA defensibly
- Define the activity. State precisely what work, development or service the arrangement covers, what is excluded and when the arrangement begins and ends.
- Map participants and rights. Identify the associated enterprises, the results each expects to use and the rights attached to those results.
- Analyze functions, assets and risks. Determine who performs and controls the work, who supplies relevant assets or capabilities and who bears the important risks.
- Choose the benefit metric. Select a method that reasonably predicts each participant’s expected benefit. Explain the data, assumptions and review process.
- Identify all contributions. Include cash, services, personnel, facilities, technology, know-how and existing value when they contribute economically to the activity.
- Value contributions consistently. Document the valuation method, accounting treatment, timing and any assumptions that affect the result.
- Set adjustment mechanics. Explain how balancing payments, budget changes, revised forecasts and differences between projected and actual benefits will be handled.
- Write entry and exit rules. Address new participants, withdrawals, termination, buy-in and buy-out amounts, and continuing rights or obligations.
- Execute and govern the agreement. Obtain approvals, assign responsibility for records and document decisions that materially affect the activity or allocation.
- Integrate the file. Cross-reference the agreement and schedules in the master file and local file as required, then refresh the analysis for each relevant tax year.
Illustrative example
Two related companies agree to fund development work and expect to use the resulting intangible. Their CCA defines the development activity, identifies each participant’s responsibilities and describes the expected benefits. One company contributes existing know-how and personnel; the other provides funding and development capacity. The participants document how those contributions are valued, select a method for estimating expected benefits and establish a process for reconciling forecasts with actual results.
The transfer-pricing file then records the agreement, the parties, the activity, the contribution analysis, the benefit projections, the valuation work and the reasons the resulting allocation is arm’s length. If the forecast changes materially or a participant withdraws, the agreement and supporting analysis are updated. This example illustrates the documentation logic; the correct method and outcome depend on the facts and the jurisdiction.

Treating the contract as the entire compliance record
Problem: The group keeps a signed CCA but cannot show how expected benefits or contributions were calculated.

Dividing costs without testing benefits
Problem: Participants split invoices by a convenient percentage even though their expected uses differ.
Correction: Start with the expected-benefit analysis and test whether each contribution share is proportionate. Use a balancing payment when the values do not align.
Ignoring existing contributions
Problem: The analysis counts only current cash spending and overlooks pre-existing technology, know-how, data or facilities.
Correction: Identify existing value that contributes to the activity and determine whether it requires valuation or compensation under the applicable analysis.
Using one forecast forever
Problem: The original projections remain unchanged even after markets, projects, participants or responsibilities change.
Correction: Set review triggers, compare projected and actual benefit shares and document amendments and revised assumptions.

Assuming OECD guidance overrides local rules
Problem: A group follows the OECD description but misses a domestic threshold, filing form, deadline, language requirement or penalty rule.
Correction: Check the transfer-pricing legislation and administrative guidance for each relevant country and tax year. OECD country profiles are a starting point for identifying domestic differences, not a substitute for local law.
Which document does a tax authority usually need?
That depends on the question being asked. To understand the group’s overall policy, an authority may look to the master file. To test a local participant’s CCA payments or receipts, it will generally need the local-file information and the underlying agreement and schedules. To understand the group’s jurisdictional footprint, it may use the CbC report within its separate framework.

In practice, a defensible package connects the documents rather than choosing one. The agreement states the rights and obligations; the calculations show how contributions and benefits were measured; the master and local files place the arrangement in the group and entity context; and local filings satisfy the country-specific procedural rules.
Jurisdiction, date and version caveats
The OECD Guidelines cited here are the 2022 edition, including Chapters V and VIII and the CCA material in paragraphs 8.1 and 8.50–8.53. The OECD’s country-profiles page stated that it was last updated on 22 January 2026. Domestic rules can change independently of the OECD text.
Before relying on any checklist, confirm:
- the country or countries involved;
- the relevant tax year;
- whether the entities meet local documentation thresholds;
- which master-file, local-file or CbC filings apply;
- the required deadline, language, format and retention period; and
- local rules for CCAs, intangibles, services, withholding tax and penalties.
Professional advice may be necessary where the arrangement includes valuable pre-existing intangibles, uncertain benefits, multiple participants, major changes or an exit.
Bottom line
Transfer-pricing documentation is the broad evidentiary framework for related-party pricing. A cost-sharing agreement is a specific contract within that framework. The CCA must identify a defined activity, participants, expected mutual benefits, contributions, valuation, responsibilities and adjustment or exit mechanics. The transfer-pricing file must then explain and support those terms under the arm’s-length principle, while the applicable domestic rules determine what must actually be filed or retained.
