Tokenization changes how a security is represented, recorded, and transferred; it does not automatically change the security’s legal nature or the rights it gives its holder. Traditional securities generally move through account-based book-entry systems and intermediaries. A tokenized security may use a crypto network and smart contracts for some ownership records or transfers, but its legal rights, authoritative ownership record, trading access, and settlement finality still depend on its structure and applicable rules.
The practical difference is therefore not simply “blockchain versus paperwork.” It is which record controls, who owes what to whom, how securities and cash settle, and whether faster settlement gives up some of the funding benefits of netting.
What is a tokenized security?
The SEC staff defines a tokenized security as a financial instrument that qualifies as a security under federal securities laws and is formatted as or represented by a crypto asset, with its ownership record maintained in whole or in part on or through one or more crypto networks. The definition focuses on securities: “tokenized assets” is a broader phrase, and a token representing an asset does not necessarily represent a security.

In practical terms, “tokenized” describes some aspect of the security’s format or recordkeeping, not a single standardized product or market model. A network might maintain the ownership record in whole or in part, while other records, intermediaries, or payment systems remain involved. So two products described as tokenized securities can differ substantially in what the holder owns, how transfers work, and who bears responsibility when something goes wrong.
How traditional and tokenized securities differ
Traditional securities are commonly held as electronic book-entry positions rather than paper certificates. Brokers or custodians may record a client’s position, while securities are held and transferred through intermediaries and central securities depositories (CSDs). The information identifying an investor’s interest can therefore be distributed across several links in the custody chain.
In a tokenized arrangement, a crypto network may hold or update some or all of the ownership record. A transfer may be executed through ledger transactions or smart contracts. But the network entry is not necessarily the only legally authoritative record, and an on-chain transfer is not automatically final legal settlement in every design. The governing documents, custody chain, payment leg, and applicable rules determine what the holder owns and when the transfer is effective.
This difference in recordkeeping can affect how participants reconcile positions. In an account-based chain, different intermediaries maintain records relevant to their clients and obligations. In a tokenized arrangement, the ledger may provide a shared record for some participants, but only if the legal and operational structure makes that record meaningful to them. If the issuer, custodian, venue, or payment provider still relies on a separate system, the ledger does not make those other records disappear. Participants need to know how updates are passed between systems and what procedure governs a mismatch.
| Comparison | Traditional securities | Tokenized securities |
|---|---|---|
| Ownership record | Usually electronic book-entry records, often maintained through brokers or custodians and central securities depositories. | Ownership information may be maintained on or through one or more crypto networks. Which record controls depends on the arrangement. |
| Transfer and settlement | Account-based book-entry transfers through intermediaries and market infrastructure. | Ledger-based transfers may use smart contracts. Securities and cash may be coordinated on a ledger, but links to other systems may still be needed. |
| Trading access | Conventional exchanges and over-the-counter markets operating under applicable rules and infrastructure. | Depends on the token’s structure and venue. Some arrangements are permissioned; U.S. securities-law analysis still applies to the security. |
| Settlement timing and funding | For U.S. equities, T+1 is the relevant comparison in the SEC committee discussion. Multilateral netting can reduce funding needs. | Atomic settlement may shorten the interval between asset and cash transfer, but can reduce netting benefits and increase participants’ capital needs. |
| Risks to assess | Counterparty, custody, operational, and settlement-failure risks. | Those risks remain, alongside questions about token rights, counterparties and custodians, authoritative records, interoperability, and technology operations. |
The table describes common characteristics, not a guarantee about every market or product. Traditional settlement can involve multiple parties and records; tokenized settlement can still depend on intermediaries and off-ledger systems. The meaningful comparison is between specific arrangements: the rights attached to the instrument, the recordkeeping chain, the venue, and the process that links delivery of the security to payment.
Two tokenized-security structures can give holders different rights
Issuer-sponsored tokens
In an issuer-sponsored model, the issuer or its agent sponsors the token and may use network transfers to update its master securityholder file. The token is more directly integrated with the issuer’s recordkeeping, but a reader should still check the instrument’s terms and identify which record governs ownership. A ledger transaction alone does not explain the rights attached to the security or settle every legal question.
The important question is not just whether an issuer supports a token, but how that support works. If a transfer on the network updates the issuer’s or agent’s master securityholder file, the ledger transfer can be connected to the issuer’s own ownership records. Readers should still establish what procedures apply to transfers, what records are authoritative, and how a discrepancy would be addressed. The label “issuer-sponsored” does not, by itself, answer every question about holder rights or settlement finality.
Third-party tokens
A third party may issue a token connected to securities held by another person or institution. The token may give its holder a contractual claim against that third party rather than direct ownership of the underlying security. The exact result depends on the arrangement: the token could represent a distinct security or another kind of instrument, and the holder may be exposed to the token issuer, custodian, or other counterparty.
Before treating a third-party token as equivalent to the underlying security, establish what legal claim the token conveys, who is obligated to honor it, where the underlying securities are held, how the holder’s interest is recorded, and what happens if an intermediary fails. Peirce’s statement discusses these structural and counterparty concerns; the SEC staff statement distinguishes issuer-sponsored and third-party models.
This distinction is central to assessing what a token holder can actually claim. The token’s name, interface, or connection to a familiar security does not establish that its holder is recorded as that security’s owner. A third-party arrangement may add a contractual layer between the token holder and the underlying asset. That makes the identity and obligations of the token provider, and the custody of any linked securities, part of the investment and settlement analysis—not merely technical details.

What changes in trading—and what does not
Traditional securities trade through conventional exchanges and OTC markets, subject to the rules and market infrastructure applicable to the security and participants. A tokenized security might trade in a different venue or under different access controls, but the existence of a token does not by itself authorize trading outside securities-law requirements.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsIn the United States, the SEC announced a temporary, conditional Innovation Exemption on September 17, 2026, concerning limited tokenized NMS stock trading on qualifying permissioned venues. It is not blanket approval for unrestricted trading of tokenized securities. Eligibility and operation are bounded by the exemption’s conditions, so anyone considering a specific venue or product should consult the SEC’s September 17, 2026 announcement and underlying order rather than infer permission from the headline. This is a jurisdiction-specific development, not a general rule for other countries or for every tokenized security.
The practical consequence is that trading access is structure-dependent. A permissioned venue may limit participation or activity under the conditions applicable to that arrangement; the existence of a crypto network does not mean a token can be traded freely wherever the network is accessible. For a U.S. product, the legal character of the instrument remains relevant even when its trading and recordkeeping technology differs from a conventional market. In other jurisdictions, readers must look to the rules that apply there rather than assume the U.S. example governs.
When assessing a venue, separate three questions: what instrument is being traded, what rules govern the venue and its participants, and what permissions or conditions apply to that particular activity. The exemption described here is limited and temporary; it should not be generalized into a conclusion that tokenized securities as a category have received unrestricted regulatory approval.
How settlement works: book entries, ledgers, and cash
Settlement is the completion of the exchange: the buyer receives the security and the seller receives payment. In conventional markets, the securities and payment legs move through account-based systems, intermediaries, and market infrastructure. Those systems can coordinate the exchange and net multiple obligations before participants fund the remaining amounts.
A tokenized design can record or transfer securities on a ledger and may coordinate that movement with a tokenized cash leg. When both assets can be settled within a compatible system, smart contracts or ledger processes may enable delivery-versus-payment, in which delivery of the security is linked to payment. The potential benefit is less reliance on separate, sequential instructions and a more closely synchronized exchange.
That benefit is conditional. If the cash leg is outside the ledger, if the security record is maintained elsewhere, or if participants use different networks, the systems need a dependable connection. Interoperability is not an optional detail: the token-based system has to work with account-based records and payment arrangements where those remain part of the transaction. The Bank for International Settlements’ March 2020 discussion, “On the future of securities settlement”, examines these settlement structures, interoperability, and failure risks.

It is useful to distinguish a ledger transfer from the full settlement process. The transfer is one event in the system; the complete exchange also depends on the payment leg, the applicable ownership records, and the rules that establish when obligations have been discharged. If one leg is on a network and the other is handled through a conventional account-based arrangement, participants need a dependable way to coordinate them. If the two legs or records use different systems, a delay or failure in one connection can matter even when the on-chain transaction itself executes as intended.
For that reason, “same-ledger” coordination is a possibility, not a universal feature of tokenized securities. A compatible ledger-based cash leg could make the securities and payment transfer more closely linked. But a tokenized security may still interact with conventional payment rails or account-based records. The design and its legal arrangements determine whether the transfer is synchronized, what counts as completion, and which party must act if the process does not complete.

Atomic settlement: the speed-versus-netting trade-off
Atomic settlement links the two sides of a transaction so that either both transfer or neither does. It can reduce the time an asset or payment is exposed between separate settlement steps. It does not mean that every trade becomes instantaneous, risk-free, or cheaper: participants still need valid records, functioning systems, available cash or assets, and counterparties able to complete the transaction.
There is also a funding trade-off. Conventional market infrastructure can multilateral-net obligations, offsetting purchases and sales among participants so that they fund a smaller net amount rather than every gross trade. If trades settle individually and atomically, participants may lose some of that netting benefit and need more capital or liquidity available at the time of settlement. The SEC Investor Advisory Committee’s February 26, 2026 recommendation discusses this tension in the context of tokenized equities and T+1. Faster settlement may lower some exposures while increasing immediate funding demands; the outcome depends on how the system handles netting and liquidity.
This is why “faster” is not a complete measure of settlement quality. A system that completes each transaction promptly may reduce the interval during which delivery and payment are outstanding, but participants also need to be ready to fund those transactions. Netting can reduce the amount they must fund by offsetting obligations across trades. The choice is therefore not simply between slow and fast: it involves the balance among timing, exposure, netting, and the liquidity or capital participants must have available.
Atomic settlement also does not resolve every source of failure. It links the transfer conditions for the two legs, but it cannot ensure that records are correct, that a counterparty has the required assets, or that connected systems and operations function properly. Its benefit depends on the design and on whether participants can manage the funding requirements without losing useful netting benefits. The SEC committee’s discussion of tokenized equities against the U.S. T+1 context is a reminder to assess the whole settlement model, rather than treating atomicity as an automatic improvement in every dimension.

What risks remain, and what new questions arise?
Risks that do not disappear
- Settlement failure: A participant or system can still fail to deliver cash or securities. Tokenization does not guarantee completion.
- Counterparty and custody exposure: A holder can depend on an issuer, intermediary, custodian, or third-party token provider, particularly where the token is a claim linked to securities held elsewhere.
- Record mismatch: A network record and an issuer’s or intermediary’s authoritative records may not align. The legal and operational process for resolving discrepancies matters.
- Operational and technology risk: Networks, smart contracts, access controls, and connected systems must function as intended. A ledger transfer cannot cure faulty instructions or unclear governance.
- Interoperability risk: A tokenized security may need to move between networks or interact with account-based securities and payment systems. A link between systems can introduce dependencies that a single-ledger description obscures.
These risks should be considered together, not in isolation. For instance, when a token represents a claim against a third party, the investor’s exposure depends on that claim and the counterparty structure as well as on the custody of any underlying securities. When more than one record or system is involved, operational reconciliation and legal authority matter alongside the technology. A smooth on-chain transaction does not settle questions about whether the right party was recorded or whether the other settlement leg completed.

Questions to ask about a particular token
- Is the token issued or sponsored by the security’s issuer, or by a third party?
- What legal instrument does the token represent, and what rights does its holder have?
- Which record is authoritative for ownership, and how are updates reconciled across records?
- Who holds the underlying security and cash, and who is liable if a transfer or intermediary fails?
- Are both legs of settlement on the same system? If not, how are they linked and when is settlement legally final?
- Can trades be netted, or must participants supply funding for each transaction individually?
- Which venue and jurisdiction’s rules apply, and are any permissions limited by conditions?
These are also useful questions for comparing two tokens that appear to track the same security. Look beyond the trading interface to the legal instrument, the ownership record, the parties in the custody chain, and the settlement workflow. The answers determine whether the products offer the same rights and what dependencies a holder accepts.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What this means for investors and market participants
Do not judge a tokenized security solely by its on-chain interface, transfer speed, or marketing description. Evaluate the legal claim and the settlement architecture together. For a holder, the central question is whether the token confers the intended security rights or only a claim against an intermediary. For a trading firm or institution, the key design questions include how ownership records reconcile, how the cash leg is funded, whether the venue is permitted, and what netting and liquidity arrangements remain.
The BIS has described tokenization as having the potential to reduce costs and complexity in settlement, while emphasizing that it does not eliminate settlement-failure risks. The practical gains therefore depend on implementation: a ledger can change how records and transfers are coordinated, but it cannot by itself settle legal authority, counterparty creditworthiness, interoperability, or funding needs.
Recommended Free Tools
There is no single cost or speed result that follows from the word “tokenized.” The research supports the possibility of lower costs and complexity, not a guarantee of cheaper transactions for every participant or structure. Any claimed benefit should be weighed against the system’s recordkeeping, interoperability, operational, and funding demands. In particular, a faster transfer is not automatically a reduction in the total resources needed to complete trades if it also limits netting and increases immediate capital needs.
For investors, the due-diligence task is to identify the actual right being acquired and the party responsible for it. For market participants designing or selecting infrastructure, it is to understand how the ledger connects with cash, account-based systems, and any authoritative records outside the network. In both cases, the relevant comparison is not a promise of technology against a description of legacy processes; it is the legal and operational arrangement that will govern the particular transaction.
Frequently asked practical questions
Does owning a token mean I directly own the security?
Not necessarily. An issuer-sponsored token may be linked to an issuer’s securityholder records, while a third-party token may represent a claim connected to securities held by someone else. Read the governing terms to establish the actual rights and the party responsible for honoring them.
Does an on-chain transfer prove that legal settlement is final?
No universal conclusion follows from the ledger entry alone. The authoritative ownership record, payment arrangement, custody structure, and applicable rules determine the legal effect and finality of a particular transfer.

What are the benefits of atomic settlement, and what are the risks?
Atomic settlement can link delivery of the security to payment so that both transfers occur or neither does, potentially reducing exposure between separate settlement steps. It does not eliminate settlement-failure or operational risks, and settling trades individually may reduce multilateral netting benefits and increase capital or liquidity needs.
Does tokenization make settlement cheaper?
Not automatically. The BIS describes potential to reduce settlement costs and complexity, but the result depends on the design and its connections to other systems. Interoperability, custody, record reconciliation, and funding requirements still matter.
Should the SEC encourage adoption of atomic settlement?
This is a question raised to the Commission in SIFMA’s request-for-information response, not evidence of a settled policy conclusion or survey result. The trade-off to weigh is whether closer coordination and faster settlement justify any reduction in netting benefits and resulting increase in participants’ capital needs.
Does the September 2026 U.S. exemption allow unrestricted tokenized-stock trading?
No. The SEC’s September 17, 2026 Innovation Exemption is described as temporary, conditional, and limited to certain tokenized NMS stock trading on qualifying permissioned venues. Its conditions and scope matter, and it should not be generalized to all tokenized securities or jurisdictions.

The Bottom Line
Bottom line: Tokenization can change how a security’s ownership is recorded and how transfers are coordinated, but it does not automatically change the legal instrument or its holder’s rights. Check who issued the token, which record controls, how cash and securities settle, and whether faster settlement reduces netting or increases funding needs. The technology changes the rails; the legal and operational structure determines what the holder actually owns and when a trade is complete.
