Vesting controls when an allocated token balance is released; a lock-up controls whether tokens can be transferred or sold. They can apply at the same time: tokens may be untransferable for an initial period and then become available in scheduled tranches. Because projects sometimes use the terms loosely, the only dependable answer is in the allocation documents, contract code, and disclosed administration rules—not in the label alone.
This distinction matters to investors estimating future tradable supply and to projects designing credible, auditable token distributions. A release can increase availability without minting new tokens, while a restriction can be contractual, enforced by protocol code, or both.
What token vesting means
Token vesting is a timetable or set of conditions for releasing an allocation to its intended holder. The allocation may already be minted and held in a treasury, escrow account, or smart contract, or it may be issued as the schedule is satisfied. Vesting answers when the recipient earns or receives access to the allocation.
A schedule can be purely time-based, tied to milestones, or subject to another verifiable condition. Common elements include a cliff before the first release, periodic or linear releases afterward, and a final date when the full allocation is available. A vesting schedule does not, by itself, answer every question about whether a released balance can immediately be sold or transferred.

Cliffs, tranches and cadence
- Cliff: an initial period during which no tokens are released. The first tranche arrives when the cliff ends.
- Linear vesting: the allocation releases continuously or in regular small intervals over a stated period.
- Periodic tranches: a fixed amount or percentage unlocks monthly, quarterly, or on another cadence.
- Milestone vesting: release depends on an event such as a product launch, governance decision, or independently verifiable performance condition.
Questions a vesting clause should answer
- What event starts the clock: token generation, first transferability, a sale closing, a calendar date, or another trigger?
- How much is released at the cliff and at each later interval?
- When is the final tranche released?
- Who determines whether a milestone occurred?
- Can an issuer, administrator, or governance body accelerate, pause, amend, or cancel the schedule?
The SEC Division of Corporation Finance Crypto Task Force lists “Vesting and/or Lock-up Schedules” among information that may be relevant for tokens allocated to material participants, to the extent known. Its May 16, 2025 Token Information Guidelines Letter is staff disclosure guidance, not a binding regulation.
What a token lock-up means
A token lock-up is a restriction that prevents or limits transfer, sale, or trading for a defined period. Binance Academy’s Token Lockup glossary entry describes the basic idea as a period when tokens cannot be sold, transferred, or traded.
A lock-up may end on one date, operate in stages, or continue alongside a vesting schedule. The restriction can be written into a purchase or employment agreement, enforced by a token contract or protocol, or implemented through both. It may bind a named wallet or recipient, or it may follow the tokens if they move to another address. Those are materially different designs.
Lock-up is about transferability, not ownership timing
A holder can have an economic allocation recorded on paper while being unable to move it. Conversely, tokens can be described as vested while still subject to a transfer restriction. “Locked” and “unvested” are therefore not interchangeable terms. Read the operative clause and inspect the controls that make it effective.
How vesting and lock-up work together
The most common combined arrangement is an initial lock-up followed by staged vesting. For example, a contributor’s allocation might remain non-transferable for 12 months, then release in equal monthly portions over the next 36 months. The first condition controls transferability; the second controls the pace at which the allocation becomes available.
Other structures include a fully vested balance that remains locked until a single date, or a balance that vests monthly but has an additional restriction on secondary sales. A project’s documents may call the entire arrangement “vesting,” “lock-up,” or “vesting and lock-up.” The schedule, enforcement method, and trigger date are what determine practical rights.
Vesting vs. lock-up: the operational differences
| Axis | Vesting | Lock-up |
|---|---|---|
| Core question | When, or under what conditions, is an allocation released? | Can the holder transfer, sell, or trade the tokens now? |
| Typical shape | Cliff followed by linear or periodic releases; may be milestone-based. | One end date, a staged restriction, or a continuing transfer condition. |
| Trigger | Token generation, first transferability, a sale date, calendar date, or condition. | A contractual date, protocol state, wallet rule, or other specified event. |
| Enforcement | Escrow, allocation contract, administrative approval, or issuance logic. | Agreement terms, smart-contract/protocol restrictions, or both. |
| What is released | Access to some or all of an allocated balance. | Permission to transfer or dispose of an already-held balance. |
| Does it change minted supply? | Not necessarily; release can make existing tokens available. | No; a lock-up changes transferability, not the number minted. |
| Can terms overlap? | Yes. A vested balance may remain locked. | Yes. A lock-up may precede or accompany vesting. |
What investors should check before buying or valuing a token
Record each allocation separately. Founders, employees, private investors, community programs, market-making accounts, and treasury balances can have different rules. A single headline “unlock” may combine several schedules with different transfer restrictions.

1. Identify the holder and amount
Write down the recipient category, token amount, percentage of total supply, and percentage of circulating supply when those figures are reliably disclosed. A large allocation can be immaterial to current trading if it remains locked, while a smaller allocation can be significant relative to a thin circulating float.
2. Pin down the start event
“Launch” is ambiguous. The clock might start at token generation, the first exchange listing, the date the community can transfer tokens, a financing close, or another event. Use the exact event named in the documents. Eigen Foundation documentation says investor and core-contributor allocations remain fully locked for one year after the date the token first becomes transferable for the community; that wording makes the transferability date, rather than a generic launch date, decisive. See EIGEN’s purpose, unlock, transferability (accessed October 13, 2026).
3. Map the cliff and release cadence
Capture the first unlock date, tranche size, frequency, and final release date. Distinguish a single large unlock from a stream of smaller releases. A schedule that says “36 months” but omits whether releases are monthly, daily, or continuous is incomplete for practical analysis.
4. Separate conditions from discretion
Time-based vesting is easier to model than milestone vesting, but both require detail. Ask who certifies a milestone, what evidence is required, and whether an administrator or governance body can accelerate, pause, or rewrite the timetable. A discretionary power can make a nominal schedule less predictable than its dates suggest.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minute5. Determine what is actually restricted
Look for the enforcement layer. A contractual promise may create obligations between parties without technically blocking a wallet transfer. A smart-contract or protocol rule may reject transfers until a timestamp or state change. Some structures use both: agreement provisions (“paper-lock”) plus on-chain controls.
An example appears in Avalanche Treasury Corporation’s Form 10-Q for the quarter ended June 30, 2026. The company described AVAX transfer restrictions implemented through agreement provisions and Avalanche P-chain restrictions, with investor-specific staged monthly schedules. One reported schedule covers 7,317,966 AVAX released in 48 equal monthly increments beginning September 2026 and ending August 2030. It is a dated, company-specific filing—not a universal model. Read the filing at the SEC-hosted Form 10-Q.
6. Compare the release with supply changes
An unlock increases the amount that may become transferable; it does not necessarily mint tokens. Separately scheduled issuance can increase total supply. For each event, record circulating supply before and after, newly minted amounts, and the portion merely moving from a restricted balance into circulation.

7. Check the source and its date
Prefer current project documentation, filed disclosures, and inspectable contract details. Note when each schedule was last updated and whether it describes a future plan or a timetable already in progress. A dashboard or social-media post can be useful for discovery but should not replace the operative document.

Projects can reduce disputes and surprise supply events by publishing one allocation table per recipient category and explaining how each row is enforced. At minimum, disclose:
- allocation category, token amount, and share of total and circulating supply;
- schedule start and end, with the exact trigger event and time zone where relevant;
- cliff length, first release, tranche size, and cadence;
- milestone definitions, evidence standards, and the decision-maker for conditional releases;
- whether tokens are already minted and held or may be issued later;
- transfer restrictions, including whether they bind a named holder or follow the tokens;
- the agreement, contract, or protocol component that enforces each restriction;
- administrator, issuer, or governance powers to amend, accelerate, pause, or revoke the schedule; and
- the date and version of the disclosure.
The SEC staff letter identifies total supply, circulating supply, token release schedule, allocation and distribution, and vesting and/or lock-up schedules as potentially relevant information. Describing those items clearly is disclosure practice, not a guarantee of a particular legal classification or market result.
Explain release versus issuance in plain language
State whether an event changes availability only or creates additional units. “Unlocking 1 million tokens” can mean 1 million already minted tokens become transferable. “Issuing 1 million tokens” means supply is created. If both happen, report them as separate figures.
Document change authority
A schedule is not fully specified until readers know who can alter it. Identify the multisig, administrator, foundation, issuer, or governance process with that power, the voting threshold, and any notice or timelock. If no change power exists, say so; if the documents reserve one, do not present the timetable as immutable.

How to analyze a scheduled unlock without assuming a price outcome
Unlock data can inform supply and liquidity analysis, but the sources here do not establish a guaranteed price effect, selling behavior, or legal consequence. An investor should instead ask:
- How large is the unlocked amount relative to current circulating supply and typical trading volume?
- Are recipients long-term holders, service providers, treasury managers, or investors with different incentives?
- Does the event also include new issuance?
- Will all released tokens be transferable immediately, or do secondary restrictions remain?
- Is the event a one-time cliff or a predictable stream of smaller tranches?
- Could an administrator or governance decision change the date?
This approach avoids treating an unlock calendar as a forecast. It describes potential availability; it does not prove that holders will sell or that a market will absorb the tokens at a particular price.

Implementation and verification for project teams
Choose the control model deliberately
Compare a contractual schedule, a programmable token or escrow contract, and a hybrid. Contract-only controls may be easier to amend but rely on legal and administrative enforcement. On-chain controls can make dates and wallet permissions inspectable, but they introduce code, key-management, and upgrade risks. A hybrid can align the legal promise with the technical restriction, as the Avalanche example illustrates.
Test the schedule before launch
- Write the schedule as a machine-readable table with UTC timestamps, allocation IDs, recipient addresses, tranche amounts, and conditions.
- Simulate the cliff, every recurring release, the final release, and edge cases such as leap days, paused contracts, and failed milestone approvals.
- Verify that a restricted transfer fails exactly when expected and succeeds only after the intended state change.
- Publish the contract address, source code or verification method, and the administrative keys or governance process that can change parameters.
- Reconcile on-chain balances with the published allocation table after each release and record corrections publicly.
Use tooling without outsourcing the definition
Distribution platforms can automate escrow, vesting calculations, and recipient claims, but a tool’s terminology or product recommendation is not independent evidence that one schedule is superior. Streamflow’s vendor-authored discussion of “token lock vs. token vesting” is useful for seeing how a distribution provider describes these functions; evaluate any platform against your own requirements for auditability, custody, upgrade controls, and exportable records at its article.
Common mistakes and how to correct them
Calling every future release a new token supply
Why it fails: an unlock may release tokens that were minted earlier. Correction: report minted supply and newly transferable supply as separate columns.
Assuming “vested” means freely tradable
Why it fails: a second lock-up can continue after vesting. Correction: check both the release schedule and the transfer restriction.
Using an imprecise launch date
Why it fails: documents may start the clock at first community transferability or another event. Correction: quote the exact trigger and calculate dates from it.
Relying on a calendar without the underlying terms
Why it fails: dashboards can omit milestone discretion, wallet scope, or amendments. Correction: reconcile the calendar with current project documents, filings, and contract behavior.
Recommended Free Tools
Treating a contractual lock as an automatic technical block
Why it fails: a promise in an agreement may not cause a token transfer to fail on-chain. Correction: identify whether the restriction is legal, technical, or both, and who can enforce it.

Assuming a schedule prevents selling or stabilizes price
Why it fails: the available evidence does not establish a universal market or legal effect. Correction: treat unlocks as one supply and liquidity input, not a guaranteed outcome.
Regulatory and legal limits
Vesting and lock-up language does not determine token classification or enforceability by itself. Rights depend on the agreements, implementation, disclosures, facts, and jurisdiction. The SEC document cited here is staff guidance and should not be described as a regulation. The same schedule can have different legal consequences in different jurisdictions or for different participants.
Investors should obtain professional advice for a specific purchase, employment arrangement, or transfer restriction. Projects should have counsel review the allocation documents, disclosure language, custody model, and amendment powers before distribution.

FAQ
Is vesting the same as a lock-up?
No. Vesting sets the timing or conditions for releasing an allocation; a lock-up restricts transfer or sale. They can overlap, so a vested balance may still be locked.
Does an unlock create new tokens?
Not necessarily. An unlock can make already-minted tokens transferable. Check separately for any scheduled issuance.
What is the most important date in a schedule?
The precisely defined start trigger. It may be first community transferability, token generation, a sale close, or another event rather than a loosely defined “launch.”
Can a lock-up be enforced on-chain?
Sometimes. The restriction may be contractual, implemented in token or protocol code, or supported by both. The documents should state which mechanism applies and whether it follows the token or only binds a named holder.
Frequently Asked Questions
Can vested tokens still be subject to transfer restrictions?
Yes. Vesting and transferability are separate questions; inspect the lock-up terms and enforcement mechanism.
How should I compare two projects’ unlock calendars?
Normalize each schedule by its exact trigger, tranche cadence, amount relative to circulating supply, issuance component, and any amendment or discretionary powers.
