The 16.7% figure is not a guaranteed Bitcoin return. It is the simple annualized dividend yield calculated from a $15 annual dividend on a $90 offer price for Strive’s preferred-stock financing. The reported transaction involved 7 million shares and about $630 million in gross proceeds. Investors are buying a corporate preferred security whose payments depend on Strive’s board and finances—not an interest-bearing Bitcoin deposit.
How the 16.7% figure is calculated
The reported offer used a $100 stated dividend base, a $15 annual dividend and a $90 issue price. Dividing $15 by $90 produces 16.666…, normally rounded to 16.7%.

This is an offer-price yield, not necessarily the yield available to someone who buys after listing. If the security trades above $90, the current yield on that purchase price falls; if it trades below $90, the arithmetic yield rises. A buyer’s actual return also depends on distributions, purchase and sale prices, fees, taxes and the issuer’s ability to pay.
What the security actually is
The transaction is a financing instrument built around Strive’s Bitcoin treasury and digital-credit strategy. The reported transaction uses the name SATS, while Strive’s official product page labels its Nasdaq-listed preferred security SATA. Because the supplied reports use both labels, investors should verify the ticker and the final offering documents before placing an order.

Strive says offering proceeds may be used for Bitcoin and Bitcoin-related products, income-generating assets, working capital, capital expenditures and repurchases of securities. The company therefore has to deploy borrowed or preferred capital into activities that can cover the preferred funding cost and the other risks of operating a volatile treasury.
Why this is not Bitcoin yield
Bitcoin itself does not pay interest or dividends. The SEC risk disclosure states that plainly. Any cash distribution on this security comes from Strive’s corporate financing and treasury operations, including whatever income or gains the company realizes, rather than from a native Bitcoin protocol payment.
That distinction matters. A Bitcoin price increase may improve the value of Strive’s holdings, but it does not automatically create cash available for a dividend. The company may need to sell assets, raise additional capital, earn income elsewhere or use cash on hand to meet corporate obligations. Conversely, Bitcoin can fall while a dividend is still declared, leaving investors exposed to both security-price risk and issuer risk.

What holders receive—and what they do not
A preferred claim, not ownership of specific coins
Strive’s product information says the security is not collateralized by its Bitcoin. Holders have a preferred claim on residual company assets, not a lien on a segregated pool of coins. If the company encounters financial distress, the value available to preferred holders depends on what remains after higher-ranking claims and the costs of resolving the business.
A stated rate that can change
In its current snapshot, Strive lists a $13.00 annualized dividend and a 13.29% yield based on the market price as of October 15, 2026. The page also warns that the current rate is not indicative of the future rate and may be significantly lower. It says cash dividends are subject to declaration by Strive’s board and are not guaranteed.
The issuer page shows 92 consecutive SATA dividends, which documents a payment history but does not turn future payments into a contractual guarantee. A board declaration, the applicable security terms and the company’s financial capacity remain decisive.

The central economic trade
Common shareholders benefit only if Strive’s treasury and financing strategy generate enough value to cover the preferred funding cost and still leave an upside. The company can direct proceeds toward Bitcoin, credit products or other assets, but each choice introduces different liquidity, credit, market and operational risks.

How Strive’s Bitcoin metrics fit in
Strive reported holding 13,628 BTC as of March 17, 2026. It also reported a 22.2% “Bitcoin Yield” in the fourth quarter of 2025 and 13.8% quarter-to-date in the first quarter of 2026. Those are company-defined measures, not conventional measures of financial performance, valuation or liquidity, and they are not the same as an investor’s realized return on the preferred security.
A reported Bitcoin Yield can coexist with a falling share price, a missed dividend declaration or losses elsewhere in the business. Investors should read the metric as management’s selected operating indicator rather than as a coupon, APY or cash-on-cash result.

Risks hidden by the headline percentage
Market-price loss
The preferred security can lose market value while dividends are being declared. Selling below the purchase price can erase months of distributions, and trading below the offer price changes the market’s assessment of risk.
Variable or interrupted income
The issuer expressly reserves the possibility that the current rate may be significantly lower, and dividends require board declaration. A payment record is evidence of past declarations, not a promise of uninterrupted income.
Bitcoin and treasury volatility
Bitcoin prices can move sharply. A concentrated treasury can amplify gains and losses, while converting holdings to cash during a downturn may crystallize losses or reduce the assets supporting the company.

Priority and recovery risk
Without Bitcoin collateral, preferred holders do not have direct possession of the coins. Their recovery depends on the company’s remaining assets and the ranking of other liabilities.
Strategy and financing uncertainty
The SEC disclosure says Strive’s Bitcoin strategy has not been tested over a significant period or through varying market conditions. Additional financing could increase obligations, dilute common shareholders or alter the economics for preferred holders.
Tax and regulatory uncertainty
Tax treatment for distributions, sales and digital-asset transactions can vary by jurisdiction and may change. Investors should obtain advice for their own circumstances rather than assume that the advertised rate is an after-tax return.

- Identify the exact security and terms. Reconcile the SATS reference in transaction coverage with the SATA label on Strive’s product page, then read the prospectus for rate adjustments, payment mechanics, ranking and redemption provisions.
- Recalculate yield at your purchase price. Use the annualized dividend stated for the date you buy divided by your actual price, not automatically 16.7%.
- Separate income from principal risk. Model what happens if the market price falls, the rate changes or the board does not declare a dividend.
- Assess asset coverage and liquidity. Check the company’s liabilities, cash needs and the fact that Bitcoin is not pledged collateral.
- Test the funding spread. Ask whether expected returns from Bitcoin-related assets and other uses can plausibly exceed the preferred cost after volatility, operating expenses, taxes and financing risk.
- Limit concentration. Treat the security as exposure to one issuer’s capital structure and digital-asset strategy, not as a substitute for a diversified cash allocation.
Bottom line for income seekers
At the reported $90 offer price, 16.7% is a straightforward $15-divided-by-$90 calculation. It is not a fixed APY, risk-free income stream, Bitcoin staking yield or collateralized coupon. The cash comes from Strive’s corporate strategy; the rate can change; the board must declare dividends; market prices can fall; and holders have only a preferred claim on residual assets. The investment case ultimately rests on whether Strive can deploy capital profitably enough, and reliably enough, to support that preferred financing through changing Bitcoin and credit-market conditions.
