Tencent affiliate Songhua River Investment Limited owns 49% of Roblox China Holding Corp., a China-focused joint venture—not 49% of Roblox Corporation. Roblox owns 51% of the venture’s voting shares and says it controls and consolidates it. Roblox’s February 2026 proxy does not identify Tencent or Songhua as a known holder of more than 5% of Roblox Corporation’s shares, but that disclosure does not establish that Tencent owns zero shares.
How much of Roblox does Tencent own?
The answer depends on which company you mean. Songhua River Investment Limited, an affiliate of Tencent Holdings Limited, owns 49% of Roblox China Holding Corp. Roblox Corporation is a separate entity: its filings do not identify Tencent or Songhua as a known owner of more than 5% of its common stock in the ownership table dated February 13, 2026.
That proxy table covers known beneficial owners above the stated threshold. Tencent’s absence from it is not proof that Tencent holds no Roblox Corporation shares; it means the reviewed disclosure does not identify Tencent as a holder above that threshold as of the table’s date. Roblox and Songhua formed a joint venture in 2019. Roblox’s 2026 second-quarter filing describes Songhua as a Tencent affiliate and states that Songhua contributed $50 million in 2019 for a 49% interest in Roblox China Holding Corp. Roblox holds 51% of the venture’s voting shares. These percentages are ownership interests in the joint venture, not in Roblox Corporation, whose shares trade publicly. Who controls the China joint venture?
Roblox says it consolidates Roblox China Holding Corp. in its financial statements because it has a controlling financial interest through voting rights. Songhua’s 49% is treated as a noncontrolling interest. In the Form 10-Q for the quarter ended June 30, 2026, Roblox says the other member “does not have substantive participating rights or veto rights.” The 49% stake therefore gives Songhua a substantial economic interest in the venture, but the filing describes Roblox—not Tencent or Songhua—as holding voting control.
What is Tencent’s role in Roblox’s China operation?
The joint venture’s disclosed scope includes developing and localizing a Chinese version of Roblox Studio for creators, as well as licensing the Roblox application to Shenzhen Tencent Computer Systems Co., Ltd. for operation and publication in China. Roblox’s 2026 second-quarter filing says Tencent received the required publishing license in December 2020, allowing the localized client to be published as Luobulesi. Roblox’s Form 10-Q

That filing also says Luobulesi was not available to users in China during the reporting period while Roblox and Tencent worked on a next version. This describes the status as of June 30, 2026, not its availability after that date. Roblox also discloses that the publishing license could be withdrawn if Tencent fails to comply with applicable regulations; the filing states a contingency, not that withdrawal has occurred or is expected.

Roblox China Holding Corp. issued $30 million in notes. In the first quarter of 2026, their maturity was extended to May 10, 2028. Roblox and Songhua each funded $15 million, and the notes bear 6.0% annual interest. Either lender may voluntarily convert its notes into voting shares, but the conversion terms require the lenders’ combined pre-conversion voting percentages to remain the same immediately afterward. The filing does not say that a conversion occurred or that the reported 51% and 49% ownership interests changed. Roblox’s Form 10-Q

How is Roblox Corporation’s voting power structured?
Roblox Corporation has two common-stock classes with different voting rights. As of February 13, 2026, the company reported 662,895,615 Class A shares and 47,070,464 Class B shares outstanding. Each Class A share has one vote, while each Class B share has 20 votes. The proxy reported that David Baszucki and affiliates held all Class B shares and 58.8% of total voting power on that date. These dated figures provide context for the company’s control structure; they do not establish a Tencent holding below the proxy’s reporting threshold. Roblox’s 2026 proxy statement
