Telefónica S.A. is considering lending money to Melisa Acquisition LLC, the buyer of its Mexican business, to help complete the announced sale, Bloomberg reported on 15 October 2026. The proposal is not confirmed: the loan amount, terms and even whether it will be signed remain undisclosed.

The underlying transaction has been announced at a firm value of USD 450 million, but Telefónica Mexico has not yet legally changed hands. Competition approval has reportedly been granted, while closing conditions and financing arrangements remain outstanding.

What the reported loan would do

The reported arrangement would be seller financing: Telefónica, as the seller, would provide a loan to Melisa Acquisition rather than leaving the consortium to fund the entire purchase through banks, investors or other outside lenders. Bloomberg’s report, carried by Yahoo Finance España on 15 October, said the loan is being considered to help complete the transaction.

That wording does not establish that the sale is failing, that the buyer cannot pay, or that the purchase price has changed. It indicates only that the seller may provide financing support while the parties work toward closing. Telefónica declined to comment, and representatives of OXIO Inc. and Newfoundland Capital Management did not respond to requests for comment.

No public disclosure identified the proposed principal, interest rate, maturity, collateral, covenants, drawdown conditions or execution date.

What is being sold and who is buying

Telefónica announced the sale on 7 April 2026. Its Q1 2026 financial results, published on 14 May, stated: “The firm value for Telefónica México is USD 450 million.” Firm value is the headline transaction valuation; the final amount payable can differ because the agreement includes customary transaction adjustments.

The buyer is Melisa Acquisition LLC, a consortium led by OXIO Inc. and Newfoundland Capital Management. The transaction covers 100% of two Telefónica Mexico companies:

Those companies together comprise Telefónica Mexico. The announced purchase remains subject to regulatory closing conditions and the other customary requirements in the transaction documents.

Seller financing versus ordinary acquisition financing

The distinction matters because a loan from Telefónica would change how the buyer funds the purchase, not what assets are included in the sale. The public information supports this comparison:

Financing question Seller loan from Telefónica Third-party acquisition financing
Provider Telefónica, the business being sold A bank, investment fund or other external lender
Purpose Potentially help Melisa Acquisition complete the announced transaction Fund the purchase independently of the seller
Known amount and pricing Not disclosed Not disclosed for this transaction
Effect on ownership Would not transfer ownership by itself; closing still has to occur Would not transfer ownership by itself; closing still has to occur

Until a definitive financing agreement or company filing appears, it is not possible to tell whether any Telefónica loan would be a short-term bridge, a larger acquisition facility or a subordinated instrument. The report also does not say whether outside financing is unavailable or whether the proposed loan is simply part of the consortium’s preferred funding structure.

Regulatory approval did not complete the sale

Mexico’s Comisión Nacional Antimonopolios reportedly approved the transaction in late September 2026, according to an El País report published on 6 October. That approval removed a major competition hurdle, but it was not the legal closing.

The parties received six months from notification to close, with a possible one-time six-month extension for justified reasons. The timetable therefore provides a framework rather than a guaranteed completion date. Before ownership transfers, the parties must still satisfy the remaining contractual and regulatory closing conditions and complete the required transfer mechanics.

Why Telefónica wants to leave Mexico

Telefónica has described the disposal as part of its portfolio-management policy and its broader strategy of exiting Hispanoamérica. The company has been reducing its exposure to the region while concentrating on core markets. Selling Telefónica Mexico therefore fits a regional-exit objective, regardless of whether the buyer ultimately uses a Telefónica loan.

The strategy explains the seller’s interest in getting the announced transaction completed, but it does not reveal the commercial terms of any financing support or predict when the transfer will occur.

Is Telefónica Mexico already sold?

No. The sale has been announced and competition approval has reportedly been obtained, but the transaction remains pending until the parties satisfy all closing conditions and complete the legal transfer. A possible loan would support completion; it would not itself prove that the sale has closed.

What to watch next

The clearest confirmation would be a filing or announcement from Telefónica, Melisa Acquisition, OXIO, Newfoundland Capital Management or a relevant Mexican authority. Readers should look for four specific developments:

  • A statement confirming whether Telefónica will provide financing.
  • The loan’s principal, maturity, interest rate, security and drawdown conditions.
  • Notice that all remaining closing conditions have been met or waived.
  • A completion announcement confirming the transfer of Pegaso PCS and Celular de Telefonía.

Until those disclosures appear, the reliable position is limited: the buyer consortium is Melisa Acquisition, the announced firm value is USD 450 million, antitrust approval has been reported, and Telefónica may lend money to help the buyer finish the deal.
