Tata Motors CV’s offeror, TML CV Holdings, raised its cash offer for each Iveco Group common share from €14.10 to €14.40 on 9 October 2026. It said the €0.30 increase reflected a slight delay because prior-authorisation processes took longer than anticipated in a few jurisdictions. The offeror called €14.40 its best and final price; the revised price does not, by itself, mean the deal has closed.
What changed in the Iveco offer?
The consideration rose by €0.30 per Iveco common share, from €14.10 to €14.40 in cash. TML CV Holdings described the revised amount as its “best and final price,” and said the other offer terms were unaffected. TML CV Holdings’ 9 October 2026 announcement
The offeror reported that the new price represented a 6.77% premium to Iveco’s official closing price on 29 July 2025, the last trading day before the original deal announcement. It also cited a 33.47% premium to the official price on 17 July 2025, which it identified as the undisturbed date. These are historical comparisons based on Euronext prices, not premiums to Iveco’s or Tata Motors CV’s current share price. TML CV Holdings’ offer announcement
The announcement also reported premiums of 26.87%, 27.57%, 38.23% and 67.98% against Iveco’s one-, three-, six- and twelve-month volume-weighted average prices before 17 July 2025, respectively. Why did the offeror raise the price?
TML CV Holdings attributed the increase to a slight delay in completing the offer: prior-authorisation processes took longer than initially anticipated in a few jurisdictions. The timing differed from earlier expectations. In its Q1 FY27 update, Tata Motors CV said regulatory approvals were in the final stage, with one approval still pending, and expected final clearance by the end of August 2026. What is the tender timetable and what conditions apply?
The tender offer launched on 4 September 2026 at the original €14.10 per share. Its stated acceptance period ran from 7 September through 26 October 2026. Iveco’s board unanimously supported and recommended the offer. The 9 October price announcement did not establish that the transaction had completed. The offer included customary conditions, including a minimum acceptance threshold of 95%. That threshold would automatically fall to 80% if Iveco shareholders adopted the specified back-end resolution. The original transaction announcement also made the proposal conditional, among other matters, on the separation of Iveco’s defence business. The timetable and transaction status can change. The 26 October end date was the scheduled acceptance-period deadline stated in the launch materials; check for an official update for the latest status.
How large is the price increase in total?
TML CV Holdings calculated that, if all 271,215,400 shares were tendered, the €0.30 increase would add €81,364,620 to the maximum aggregate amount. At the revised price, the maximum would be €3,905,501,760. These are the offeror’s figures for a full-acceptance scenario, not the final amount paid. TML CV Holdings’ announcement

At the tender launch, Tata Motors and Iveco presented the proposed combination as a commercial-vehicle group with approximately 590,000 annual unit sales and approximately €21 billion in combined revenue. Their estimated revenue mix was Europe about 46%, India about 32%, South America about 8% and the rest of the world about 14%. At launch, Tata Motors Managing Director and CEO Girish Wagh said the tender offer marked “an important milestone” in bringing together the organizations. That statement expresses the company’s strategic case; it does not establish future performance. Tender launch announcement
What happened to Tata Motors CV shares?
CNBC-TV18 reported that Tata Motors CV shares closed at ₹410.5 on Friday, 9 October 2026, down 0.6% in that session. This is a dated closing-price report, not a live quote or evidence of the market’s response during trading on 12 October. Tata Motors CV’s share price is also a separate market measure from the cash consideration offered for Iveco shares. CNBC-TV18’s 9 October report
The revised offer provides an extra €0.30 per Iveco share, while the completion delay was attributed by the offeror to authorisation processes taking longer in some jurisdictions. Neither the offer increase nor the dated Tata share-price report supports a reliable prediction of future share movements.
