STRC and Strategy’s Class A common stock (MSTR) are not interchangeable ways to invest in the same company. STRC is a perpetual preferred security with a variable dividend and a stated place ahead of common equity in specified claims. MSTR is residual equity: it has no comparable preferred dividend entitlement and rises or falls with the value investors assign to Strategy, including its bitcoin-centered treasury strategy. Neither security offers a guaranteed income stream or a predictable return.

The most important date for current terms is August 23, 2026, when Strategy’s investor briefing listed STRC’s regular annual dividend rate at 12.00% on a $100 stated amount. That rate can change, dividends require board declaration from legally available funds, and STRC can trade materially above or below its stated amount. Your realized return in either security depends on the price you pay, payments actually declared, taxes and the price at which you sell.

What STRC and MSTR represent

Strategy issues several layers of securities. STRC is a perpetual preferred stock. MSTR is the company’s Class A common stock. They are claims on the same issuer, but they occupy different positions in the capital structure and have different return mechanics.

STRC: a perpetual preferred security

Strategy’s August 23, 2026 term briefing describes STRC as having a $100 stated amount, no scheduled maturity, no sinking-fund obligation and no conversion right. “Perpetual” means there is no contractual date when the security must be repaid. You should not assume that it will automatically be redeemed at $100.

STRC’s dividend is cumulative under the company’s summary: an unpaid installment accumulates, with compounding as specified by the governing instrument. That feature records an unpaid obligation, but it does not make payment risk-free. Cash distributions are made only when and if the board declares them and only from legally available funds. The certificate of designations and prospectus, rather than the plain-English summary, control the legal terms.

MSTR: residual common equity

MSTR represents the residual ownership interest after creditors and preferred claims. The cited company materials establish no comparable preferred dividend entitlement for common holders. Common shareholders participate in whatever value remains after the company meets higher-ranking obligations, so their upside and downside are tied to changes in the market’s valuation of Strategy and its strategy, financing and assets.

Both securities remain exposed to Strategy’s financial condition. STRC is not an independent bond and is not insulated from bitcoin-related risk: Strategy says bitcoin price and volatility are among the factors considered when setting STRC’s rate. MSTR, as residual equity, generally reflects those factors more directly through changes in the company’s market valuation.

STRC’s current dividend terms (dated)

For the current period reported in Strategy’s August 23, 2026 briefing, STRC’s regular annual dividend rate is 12.00% based on a $100 stated amount. At that stated amount and rate, the arithmetic annual amount is $12.00 per share. That is a stated rate, not a promise of what an investor will earn.

Rank #2
Term What Strategy reported What it means for an investor
Stated amount $100 per share The reference amount for the dividend calculation; it is not a guarantee that the market price will be $100.
Regular annual dividend rate 12.00% for the period reported August 23, 2026 $12.00 per year per share if the rate remains in effect and all installments are declared and paid.
Payment timing Semi-monthly in arrears, normally around the 15th and month-end Payments are scheduled in installments, but each installment remains subject to declaration and legally available funds.
Accumulation Cumulative, with compounding under the instrument’s terms Unpaid declared installments accumulate; accumulation is not the same as a guaranteed cash payment.
Maturity and conversion No scheduled maturity, sinking fund or conversion right There is no automatic repayment date or right to exchange STRC for common shares.

Strategy announced that the annualized rate for record dates beginning July 1, 2026 was set at 12.00%. Its June 29, 2026 filing says the company intends to evaluate the rate monthly. The factors listed include STRC’s trading levels, market yields, credit spreads, bitcoin price and volatility, USD Reserve coverage, capital-market conditions and the overall capital structure. The filing also says Strategy will not necessarily raise the rate merely because STRC trades below its stated amount.

Historical rates are context, not a forecast

Payment period reported by Strategy (May 5, 2026 disclosure) Annualized rate Per-share payment
January 2026 payment 11.00% $0.92
February 2026 payment 11.25% $0.94
March, April and May 2026 payments 11.50% $0.96 each

Those figures are historical payments under rates then in effect. They do not establish the next rate, the amount of a future installment or an investor’s total return.

Does STRC pay a guaranteed dividend?

No. The 12.00% figure is a variable stated rate, not a guaranteed yield. The board must declare each cash dividend, and payment is limited to legally available funds. Strategy’s filings identify the possibility that rates may be reduced, that the rate-adjustment approach may fail to keep the shares near $100 and that the market price or value may fall.

Cumulative treatment changes the accounting of unpaid declared installments; it does not remove issuer, legal-availability or market-price risk. A holder can therefore face a period with no cash distribution, a lower declared rate or a market price below the purchase price.

How STRC’s price can differ from $100

Strategy describes a policy intended to manage STRC around its $100 stated amount, but the company expressly warns that the shares may trade materially outside the targeted range. Supply and demand, interest rates, credit spreads, bitcoin volatility, expectations for future rate changes and Strategy’s financial condition can all affect the quote.

The distinction among three figures is essential:

  • Stated dividend rate: the annual percentage applied to the $100 stated amount for the applicable period.
  • Effective yield: the relationship between declared payments and the market price you pay. It changes when the share price changes.
  • Realized total return: declared cash payments, plus or minus the change in your purchase and sale prices, after applicable taxes and costs.

For example, a share bought above $100 can produce an effective yield below 12.00% even if that rate remains unchanged. A share bought below $100 can show a higher current yield, but the discount may reflect real credit, market or dividend risks. Neither calculation predicts the eventual sale price.

Capital priority: senior to common, not senior to everything

STRC has specified priority over common equity in certain dividend and liquidation respects. That priority is relative. Strategy’s term summary places STRC behind debt, subsidiary liabilities and STRF, while ahead of current STRE, STRK, STRD and common equity in the stated framework. The prospectus says STRC is junior to existing and future indebtedness and structurally junior to liabilities at subsidiaries.

Claim level described in Strategy materials Position relative to STRC Practical implication
Debt and subsidiary liabilities Senior to STRC These claims are paid before STRC in the relevant insolvency or liquidation analysis.
STRF Senior to STRC in the term summary STRC does not have the highest priority among Strategy’s preferred securities.
STRC Reference security Its contractual preference applies only as specified in the governing documents.
Current STRE, STRK and STRD Listed below STRC in the term summary Priority among preferred series remains subject to the documents for each series.
Class A common stock (MSTR) Junior to STRC Common equity receives value only after higher-ranking claims are satisfied.

Priority affects the order in which claims are considered; it does not promise a recovery, preserve the trading price or protect a holder from a total loss. In liquidation, equity holders receive value only after indebtedness has been paid in full, if assets remain.

How the two securities can produce returns

Comparison axis STRC MSTR common stock
Income terms Variable stated dividend; cash payment only when and if declared. No comparable preferred dividend entitlement is established in the cited materials.
Price movement Management targets trading around the stated amount, but the shares may trade materially outside that range. Market value can rise or fall as investors reassess Strategy, financing conditions, bitcoin exposure and risks.
Capital priority Specified priority over common equity, while junior to debt, subsidiary liabilities and higher-ranking claims. Residual claim after creditors and preferred securities.
Bitcoin and issuer exposure Exposed to Strategy’s credit and bitcoin-centered business; bitcoin price and volatility are among rate-setting considerations. Residual valuation can respond directly to bitcoin prices, concentration, liquidity, financing and regulatory risks.
Time horizon Perpetual; no scheduled maturity, sinking fund or conversion right. No dividend-based redemption value is established by the cited materials.

For STRC, the return mechanism is the combination of declared dividends and the change in the market price between purchase and sale. For MSTR, the return mechanism is primarily the change in the market value of residual equity. These descriptions explain how returns are generated; they are not forecasts of which security will perform better.

Risk comparison

Risks specific to STRC

  • Rate-reset risk: Strategy evaluates the rate monthly and may lower it.
  • Declaration risk: A scheduled payment date does not override the board’s declaration requirement or the legally available-funds test.
  • Market-price risk: STRC can trade below or above $100 and may move materially outside the company’s target.
  • Issuer and structural subordination: Debt and subsidiary liabilities rank ahead of STRC, and losses at subsidiaries can impair value available to the parent’s preferred holders.
  • Perpetual-term risk: Without a scheduled maturity or conversion right, an investor may have to sell in the market to exit.
  • Bitcoin-linked policy risk: Bitcoin price and volatility influence the company’s rate-setting considerations and broader capital-market conditions.

Risks specific to MSTR

  • Residual-equity volatility: Common holders stand last among the securities compared here and can lose value if the market’s valuation of Strategy falls.
  • Bitcoin concentration: Strategy’s June 2026 Form 10-Q discusses bitcoin market-price, concentration and liquidity risks.
  • Financing and dilution conditions: Changes in capital-market access and financing terms can affect the value assigned to common equity.
  • Regulatory and operating uncertainty: The company’s filings identify regulatory and other risks that can affect its strategy and valuation.
  • No preferred cash cushion: Common stock does not have STRC’s stated dividend mechanism or priority claim.

Owning STRC instead of MSTR does not eliminate bitcoin or issuer risk. It changes the order of claims and adds a variable preferred-dividend mechanism.

USD Reserve and capital-management policies

In its June 29, 2026 filing, Strategy described a board-approved USD Reserve policy intended to maintain at least 12 months of expected preferred-dividend and interest obligations. The policy is subject to board authorization for reductions below that threshold.

The filing reported a $2.55 billion reserve balance as of June 28, 2026, including expected unsettled ATM proceeds. That is a dated historical snapshot, not a current October 2026 balance and not a guarantee that every future dividend will be paid. The filing says the reserve can support preferred dividends and debt interest and may later be replenished through bitcoin sales or capital-markets activity.

Strategy’s broader framework also includes preferred-security repurchases, a Class A common-stock repurchase authorization and a bitcoin monetization program. These are company policies and authorizations, not commitments to complete transactions or support either security’s market price.

Tax treatment: what the May 2026 guidance does and does not say

Strategy’s May 2026 disclosure said it expected distributions on preferred instruments to be treated as non-taxable return of capital for U.S. federal tax purposes for the foreseeable future, based on its then-current expectations about earnings and profits. Return-of-capital treatment can affect tax basis and future gain or loss calculations; it is not the same as tax-exempt income in every circumstance.

The company also warned that special tax considerations may apply and directed shareholders to their own tax advisers. Your result can depend on your taxpayer status, jurisdiction, holding period, basis, account type and later company or tax-law developments. Do not use the May 2026 statement as personal tax advice.

A practical way to compare STRC and MSTR

  1. Define the objective. If you need a contractual dividend mechanism, examine STRC’s variable rate, declaration condition and price risk. If you seek residual participation in Strategy’s valuation, analyze MSTR’s common-equity exposure.
  2. Check the current terms date. Use the applicable company briefing and governing filing. The 12.00% rate is the rate reported for the current period in the August 23, 2026 briefing, not a permanent coupon.
  3. Compare market price with the $100 stated amount. A premium lowers the cash yield relative to your purchase price; a discount can reflect elevated risk and does not create a guaranteed gain to $100.
  4. Model declaration and exit scenarios. Consider a lower rate, a missed or delayed declaration, a sale below your purchase price and a prolonged holding period because STRC has no scheduled maturity.
  5. Map the capital stack. Account for debt, subsidiary liabilities and higher-ranking preferred claims before treating STRC’s seniority over common as meaningful protection.
  6. Separate company exposure from security design. Both securities depend on Strategy’s financial condition and bitcoin-centered strategy; STRC’s preference changes priority and income mechanics, not the underlying issuer exposure.
  7. Review taxes with a qualified adviser. Apply the May 2026 company guidance only as a dated expectation, not as a promise about your tax result.

Common mistakes to avoid

  • Calling 12.00% a guaranteed yield or assuming it will remain unchanged.
  • Multiplying the stated rate by your purchase price instead of the $100 stated amount, then treating that result as realized return.
  • Assuming cumulative dividends must be paid immediately or that they eliminate loss risk.
  • Assuming a $100 stated amount forces the market price to $100.
  • Describing STRC as independent of bitcoin because it is preferred stock.
  • Treating the June 28, 2026 reserve figure as an October 2026 balance.
  • Assuming perpetual preferred stock will be redeemed automatically or converted into MSTR.
  • Comparing STRC’s dividend rate with a common-stock price target as if both were forecasts of total return.

Bottom line

STRC may suit an investor evaluating a variable, declared preferred dividend and a claim ahead of common equity, while accepting perpetual maturity, issuer risk, bitcoin-linked business exposure and the possibility that the shares trade away from $100. MSTR is residual equity with no comparable preferred dividend entitlement, offering direct participation in changes to the market’s valuation of Strategy and its bitcoin-centered strategy. The choice is therefore between different risk and return mechanics, not between a guaranteed-income product and a speculative one.
