STRC and a spot bitcoin ETF are not interchangeable investments. STRC is Strategy’s perpetual preferred stock: an issuer claim with a variable cash-dividend rate and no security interest in Strategy’s bitcoin. A spot bitcoin exchange-traded product (ETP), such as IBIT, is a trust share designed to track bitcoin’s price before fees and expenses. Bitcoin held by the trust does not produce dividend income. The practical choice is therefore between potentially changing issuer-paid income and direct bitcoin-price exposure through a trust, with very different loss scenarios and legal protections.
What is STRC stock?
STRC is a perpetual preferred security issued by Strategy Inc. “Perpetual” means it has no stated maturity at which the issuer must return a fixed principal amount. You own preferred equity, not a bond or a deposit claim. Your return depends on declared dividends and the price at which the shares trade.
Where STRC ranks if Strategy has financial trouble
Strategy’s August 23, 2026 SEC-filed briefing describes STRC as junior to the company’s creditors, subsidiary liabilities and the STRF preferred series, while ranking senior to specified junior preferred securities and common equity. That position matters: creditors and senior claims are paid before STRC in a liquidation or restructuring. STRC is not secured by particular assets, and holders do not have a lien on Strategy’s bitcoin.
Why “bitcoin-backed preferred stock” is misleading
Strategy’s bitcoin holdings may influence how markets value the company, but they are not collateral pledged to STRC holders. If the value of those holdings falls, or if the company cannot meet its obligations, STRC does not give you a direct claim to a specified quantity of bitcoin. The security remains an equity claim on the issuer’s residual assets after higher-priority obligations.

How STRC’s dividend works in 2026
Strategy’s STRC page states a 12.00% annualized dividend rate on the $100 stated amount for record dates beginning in October 2026. The company also says the rate may be adjusted monthly, may be significantly lower, and that a cash dividend is not guaranteed. The stated rate is a current term for the specified record dates, not a promise that every buyer will receive a 12% return.
Semi-monthly payments are not the same as a monthly fixed coupon
Strategy describes cash payments as semi-monthly. If a 12% annualized rate remained in force for a full year and every dividend were declared, the arithmetic on a $100 stated amount would be $12 for the year, or about $0.50 per semi-monthly payment over 24 equal periods. That is an illustration of the stated rate, not a guaranteed payment schedule. The actual declaration, record date, payment date and amount must be checked in the issuer’s current notices and filings.

Stated rate versus your effective yield
The 12% figure is calculated on $100 of stated amount. Your effective cash yield is based on what you pay for the shares and what is actually declared. Buying above $100 lowers the yield on your purchase price; buying below $100 raises it if the stated amount and payments remain unchanged. A falling share price can also produce a capital loss that overwhelms several dividend payments. There is no guarantee that STRC will trade near $100, and there is no maturity date forcing a return to that level.
What can change the cash you receive
- The board can change the variable rate during its monthly review.
- A dividend must be declared and paid only from legally available funds; Strategy says cash payment is not guaranteed.
- The market price can move independently of the stated amount.
- Issuer credit conditions and the priority of other claims can alter how investors value the shares.
What a spot bitcoin ETF or ETP represents
“Bitcoin ETF” is common shorthand, but legal structures differ. A representative product such as IBIT is a trust share whose assets consist primarily of bitcoin held for the trust. It is intended to provide bitcoin-price exposure before the sponsor fee and other expenses, rather than to pay income from the bitcoin.

Why the trust does not generate a dividend
Bitcoin itself does not produce interest, rent or a contractual coupon. The trust’s bitcoin is held to support the shares’ exposure. Operating costs are paid from trust assets, so the amount of bitcoin represented by each share generally declines over time as fees are deducted. A share can therefore lose value even if bitcoin’s quoted price is unchanged, and it can fall substantially when bitcoin falls.
Trust structure and investment-company status
IBIT’s sponsor explains that it is not registered under the Investment Company Act of 1940. That means it does not have the same requirements as a registered mutual fund or ETF. It remains subject to the disclosure and other rules applicable to its specific offering, but investors should read the prospectus for the trust, custody arrangements, valuation process and redemption mechanics rather than assuming every product marketed as a bitcoin ETF has identical protections.

Where each product’s return comes from
STRC: income plus issuer and price exposure
STRC’s total return has two independent components: dividends that Strategy declares and the change in the share price. A high stated rate cannot offset an unlimited price decline. The market may demand a higher yield when it perceives greater issuer or structural risk, pushing the share price down; that price move raises the apparent yield for a new buyer but creates a loss for an existing holder. Because the rate can change, a yield calculated from today’s term may not describe future cash flow.

The trust’s result is driven mainly by bitcoin’s market price. If bitcoin rises, the share will generally benefit before fees and tracking differences; if bitcoin falls, the share can lose value. There is no contractual income stream to cushion a decline. Sponsor fees and other expenses reduce the bitcoin represented by each share over time, so the product’s return will trail the spot price by those costs and any additional tracking effects.

STRC’s issuer, dividend and seniority risks
- Payment risk: The variable rate may be reduced, and a cash dividend is not guaranteed.
- Credit risk: You depend on Strategy’s ability and legal capacity to pay; creditors and senior claims rank ahead of you.
- Perpetual risk: There is no maturity date at which the issuer must redeem your shares at $100.
- Price risk: The market price can move below the stated amount, potentially producing losses larger than received dividends.
- Concentration risk: The market can value STRC in light of Strategy’s bitcoin-linked business and capital structure even though STRC is not bitcoin collateral.
Spot bitcoin ETP risks
- Underlying volatility: The SEC’s Investor Bulletin dated September 9, 2024 says bitcoin and ether are highly speculative investments. A large bitcoin decline can translate into a large share-price decline.
- Fee drag: Sponsor fees are taken from trust assets and reduce the bitcoin represented by each share over time.
- Custody and operations: The trust depends on its custody arrangements, valuation procedures, trading systems and other service providers. Review the product’s prospectus for those controls.
- Trading and tracking differences: Shares can trade at a premium or discount to the trust’s net asset value, particularly when markets are stressed.
- Structural limits: A trust ETP does not automatically provide the same protections as a registered investment company.
Does STRC pay monthly dividends?
Not in the ordinary sense of one fixed payment each month. Strategy describes semi-monthly cash payments, while the rate may be reviewed and adjusted monthly. Each payment depends on a valid declaration and legally available funds. Confirm the current record date, payment date and declared amount before relying on a distribution for spending or portfolio planning.

A conventional spot bitcoin trust is designed for price exposure, not dividend income. The bitcoin held by the trust does not generate a coupon, and trust expenses are paid from its assets. Some unrelated funds may use options or other strategies to distribute cash, but those are different products and should not be treated as equivalent to a plain spot bitcoin trust.
Is STRC backed by bitcoin?
No. Strategy states that its preferred securities are not collateralized by its bitcoin holdings. STRC holders have a preferred-equity claim against the issuer, with the priority described in the offering documents. The company’s bitcoin position can affect market sentiment and credit analysis, but it does not create a pledged-asset claim for STRC investors.
How STRC differs from a bitcoin ETF in practical decisions
| If your priority is… | The relevant question | What to verify |
|---|---|---|
| Recurring cash flow | Can the issuer legally declare and fund the next payment? | Current rate notice, declaration, record date, payment date and issuer filings |
| Bitcoin-price exposure | How closely will the share track bitcoin after fees? | Prospectus, sponsor fee, custody terms, valuation method and tracking disclosures |
| Principal certainty | Is there a maturity or redemption obligation? | STRC is perpetual; a trust share has no promise that your purchase price will be recovered |
| Credit protection | Who is obligated to you and who ranks ahead? | STRC’s capital-structure priority; the trust’s asset and custody framework |
| Portfolio diversification | Would one issuer or one volatile commodity dominate the risk? | Position size, correlation with existing holdings and ability to tolerate a severe drawdown |
Which is riskier: STRC or a bitcoin ETF?
There is no universal ranking because the risks are of different kinds. A spot bitcoin ETP gives direct exposure to an asset the SEC characterizes as highly speculative and volatile; a sharp bitcoin decline can produce an immediate, substantial loss. STRC may appear less volatile when its dividend is paid, but it combines issuer credit risk, a changeable payment rate, subordination to creditors and perpetual market-price risk. Neither security guarantees a positive total return.
Use a scenario test instead of a single risk label
| Scenario | Likely pressure on STRC | Likely pressure on a spot bitcoin ETP |
|---|---|---|
| Bitcoin price falls sharply | Potential pressure through Strategy’s market value and financing outlook; dividend and price effects are not mechanically tied to bitcoin | Direct loss generally follows the bitcoin decline, less fees and tracking differences |
| Strategy’s credit quality deteriorates | Higher required yield, lower share price and greater concern about dividend declarations or recovery priority | No direct issuer-credit exposure to Strategy, though the trust has its own sponsor, custody and operational risks |
| Interest rates or preferred-stock demand change | Market value and effective yield can move even if the stated amount is unchanged | May affect broad market valuations and trading liquidity, but does not create a contractual dividend |
| Trust fees rise or operations are disrupted | Not applicable to STRC’s preferred-security terms | More asset erosion, tracking error or a trading premium/discount can result |
A due-diligence checklist before buying either security
- Identify the legal instrument. Confirm whether you are buying preferred equity, a trust ETP or another structure; do not rely on the generic phrase “bitcoin ETF.”
- Read the latest primary documents. For STRC, check Strategy’s current security page, declaration notices and SEC filings. For a spot product, read the current prospectus and sponsor disclosures.
- Separate stated terms from expected returns. Record STRC’s current rate and stated amount, then calculate yield on your actual purchase price. For a bitcoin ETP, start with bitcoin exposure and subtract the sponsor fee and other expenses.
- Map the failure case. Ask what happens if STRC’s dividend is cut or skipped, if the share trades well below $100, if bitcoin loses a large percentage, or if the trust experiences a custody or trading disruption.
- Check liquidity and execution. Use limit orders when appropriate, review bid-ask spreads and avoid assuming that a quoted price equals stated amount or net asset value.
- Size the position for a severe loss. Neither product should be funded with money needed for near-term expenses merely because one displays a high annualized rate.
- Get individualized tax advice. Tax results depend on your jurisdiction, account type, holding period and personal circumstances. The available information does not establish a universal after-tax winner.
Questions to ask when comparing income and appreciation
- Do I need a declared cash distribution, or do I want bitcoin’s price movement without an income expectation?
- Can I tolerate a payment reduction or suspension from an issuer?
- Would a large bitcoin drawdown be acceptable in my time horizon?
- Am I comfortable ranking behind creditors and senior preferred claims?
- Have I included sponsor fees, trading spreads and possible premiums or discounts in my return estimate?
- Have I checked the exact terms in force on the date I intend to trade?
Bottom line for the comparison
STRC is a variable-rate, perpetual preferred-equity claim on Strategy, with a disclosed 12.00% annualized rate on a $100 stated amount for October 2026 record dates but no guaranteed dividend, no maturity and no bitcoin collateral. A spot bitcoin ETP such as IBIT is a trust share intended to follow bitcoin’s price before fees; it does not turn bitcoin into an income-producing asset. Choose only after deciding whether your primary objective is issuer-paid cash flow or direct bitcoin-price exposure, then evaluate the distinct credit, volatility, fee, custody and market-price risks of that structure.
