Skydance shares fell about 25% to roughly $6.78 after the company separated 471 million warrants and began trading them independently. The decline reflects both a mechanical ex-warrant adjustment and investor concerns about the potential dilution from as many as 471.3 million new Class B shares.
What happened to Skydance shares?
Skydance distributed one warrant for each eligible Paramount Skydance Class B share held on the October 5, 2026 record date. The distribution followed Skydance’s October 6 closing of its acquisition of Warner Bros. Discovery. Approximately 471 million warrants began trading on the New York Stock Exchange on October 13 under the symbol SKYD.WS, with October 14 designated as the ex-dividend date.
TheWrap reported on October 14 that Skydance’s Class B stock had fallen about 25%, to approximately $6.78, giving the company a market capitalization of about $34 billion at the time of publication. The price move occurred as the warrants became a separate security rather than remaining embedded in the value of the common stock.

How Skydance’s warrants work
The U.S. Securities and Exchange Commission prospectus states: “Each Warrant will initially entitle the holder thereof to purchase one share of Class B Common Stock at an initial exercise price of $12.00 per share.” The initial terms are:

A holder may exercise some, all or none of the warrants, or sell or transfer them where permitted by law. Before exercise, a warrant generally does not provide the ordinary voting or dividend rights attached to a Class B share. Owning a warrant is therefore different from owning the underlying stock: it is a time-limited right to buy stock, not stock itself.
Why the stock dropped 25%
A mechanical ex-warrant adjustment
When a warrant separates from a share, part of the combined value moves into the separately traded warrant. Skydance said the NYSE adjusted the Class B reference price downward by $0.19368, from approximately $9.27 to $9.07. The calculation used the warrant’s $2.20 closing price and the proportion of shares entitled to warrants. This reference-price change is an exchange adjustment; it is not, by itself, evidence that investors believed the operating value of Skydance had suddenly fallen by the same amount.

Investor repricing and dilution concerns
The observed move to about $6.78 was much larger than the stated $0.19368 reference adjustment. Investors also had to price the possibility that warrant holders will exercise and that Skydance will issue a large number of additional Class B shares. The resulting increase in supply can reduce each existing holder’s percentage ownership and may affect the price investors are willing to pay for the stock.

The warrants therefore have no immediate intrinsic value at that share price, although their separate market price can reflect the possibility that Skydance’s stock rises above $12 before expiration. The $2.20 warrant close cited in Skydance’s reference-price calculation was a market price for the warrant, not a payment to exercise it.

How much dilution could full exercise create?
If all 471.3 million warrants were physically exercised, Skydance’s SEC share-count example increases Class B shares outstanding from 1,093,020,754 to approximately 1,564,320,754, before the PIPE transaction. That is an increase of roughly 43.1% relative to the starting Class B count.

For an existing holder who neither exercises nor sells, the arithmetic matters. The holder’s number of shares would remain unchanged while the total share count could rise. Using the SEC example, the original 1,093,020,754 shares would represent about 69.9% of the post-exercise total rather than 100% of the pre-exercise total. That illustrates a potential ownership reduction of about 30.1% for nonparticipants, before considering any other issuance or transaction effects.

Actual dilution depends on how many warrants are exercised, whether they are transferred, the settlement method and other terms in the prospectus. The maximum scenario is not a forecast that all warrants will be exercised.

What the warrant distribution means for investors
For people who received warrants
- The warrant can be held, sold or transferred where legally permitted.
- Exercise requires paying the $12 initial exercise price per share, subject to any applicable adjustments.
- The warrant does not generally carry ordinary Class B voting or dividend rights before exercise.
- The warrant has a stated outside expiration of October 13, 2036, unless an earlier expiration applies under the governing terms.
For existing Class B shareholders
- The stock may trade at a different value once the warrant entitlement has separated.
- Future exercise can increase the number of Class B shares and reduce the holder’s proportional ownership if the holder does not participate.
- Concentrated ownership and a limited public float can make both the stock and warrants less liquid and can amplify price movements.
How to interpret the 25% headline move
The decline should not be treated as a single, purely mechanical adjustment. The NYSE’s $0.19368 reference-price reduction accounts for the warrant leaving the stock, while the larger market move reflects repricing of dilution, transaction risk, liquidity and the uncertain value of a warrant that is initially out of the money. Skydance’s illustrative October 13 table showed $46.6 billion of pre-warrant equity value, $45.6 billion of implied value for the shares after separation, $1.0 billion of warrant value and $46.6 billion of total equity value including warrants. Those figures are an illustration for that date, not a projection of future market capitalization.
