Simple Mining announced on October 7, 2026, that it acquired an approximately 8-megawatt Bitcoin mining facility in Iowa from Sphere 3D Corp. The buyer says the site can support about 2,200 latest-generation miners and brings Simple Mining’s Iowa platform to nearly 160 MW. Those capacity and equipment figures are company-reported and approximate; the announcement does not define how the platform-wide figure is measured.
What Simple Mining acquired
The transaction covers an Iowa mining site that Simple Mining says it previously engineered, developed and operated for Sphere 3D under a managed-services arrangement. By purchasing the facility, Simple Mining is moving a site it had already built and run into its owned-and-operated Iowa platform.
According to Simple Mining’s announcement, the facility has approximately 8 MW of capacity and supports approximately 2,200 latest-generation miners. The announcement does not identify the miners’ manufacturer or model. It also describes the site as fully energized, while calling its capacity “high-performing”—a characterization from Simple Mining rather than an independently measured performance result.
Deal terms in Sphere 3D’s filing
Sphere 3D’s Form 8-K says the parties entered a definitive agreement on September 1, 2026. The filing puts the purchase price at $1.5 million, structured as follows:

The filing separately says Sphere 3D was entitled to the return of approximately $300,000 in utility prepayment and an approximately $225,000 security deposit. Those amounts are described apart from the $1.5 million purchase price.
How the acquisition changes Simple Mining’s Iowa platform
Simple Mining says the purchase raises its Iowa footprint to nearly 160 MW. Because the announcement does not state whether that figure represents gross facility capacity, critical information-technology load or another measure, it should not be treated as a directly comparable power or computing figure without further disclosure.

The company presents the acquisition as an expansion of infrastructure it owns and operates rather than a new third-party hosting relationship. Its described model combines machine sales, hosting and ASIC repair in-house. Customers purchase and host miners on Simple Mining infrastructure, and the company says customers at the acquired site can use its ASIC repair operation and support team.

Those statements describe Simple Mining’s operating model. The materials do not provide independent data on uptime, energy efficiency, utilization, profitability, repair turnaround or customer outcomes.
What customers can expect
More space on company-owned infrastructure
Simple Mining COO Nick Garland said, “Our customers want more room to grow on infrastructure we own and operate, and this site delivers exactly that.” The quote explains the company’s rationale; it does not independently verify customer demand.
Existing operational support
Because Simple Mining says it had already developed and operated the site, the acquisition is presented as a transfer of ownership and control of an operating facility rather than a greenfield build. The company says customers using the site will have access to its repair operation and support team, but no service-level metrics were disclosed.

Keep the separate legacy-machine sale distinct
Sphere 3D’s filing also describes a binding term sheet to sell approximately 5,500 legacy mining machines to RepairBit, LLC for aggregate proceeds of approximately $3.1 million. That is a separate transaction with a different buyer. It should not be interpreted as part of Simple Mining’s purchase of the Iowa facility or as the number of machines transferred in the site deal.
What remains undisclosed
- The make and model of the approximately 2,200 miners the site supports.
- Whether the nearly 160 MW Iowa figure is gross power, critical IT load or another capacity measure.
- Independent measurements of utilization, uptime, efficiency, performance or profitability.
- Any customer-level results or service guarantees associated with the acquired site.
- The purchase agreement’s operational details beyond the equipment rights and payment structure described in the SEC filing.
Why the deal matters
The acquisition gives Simple Mining a larger owned Iowa platform and consolidates a facility it says it had already engineered and operated. The stated 8 MW site and approximately 2,200-miner support count provide the clearest deal-level scale indicators, while the nearly 160 MW figure signals the company’s broader Iowa ambition but lacks a published measurement definition.

For Sphere 3D, the filing records a straightforward asset sale with $300,000 paid in cash and the balance financed through a one-year interest-free note, alongside the return of utility and security deposits. The separate proposed sale of legacy machines to RepairBit represents another monetization step and should be assessed independently.
