Short answer: a share buyback is the company’s purchase of its own shares; cancellation is a later legal action that removes shares from the relevant share count. Bought-back shares can be cancelled, held in treasury, or used for employee compensation and other obligations. A buyback therefore does not automatically mean cancellation, and cancellation does not automatically reduce stated share capital or total equity.
When an issuer announces either action, investors should identify where the shares go, which share-count measure changes, whether the transaction is complete, and what the issuer says about capital and equity. The distinction matters because ownership percentages, voting rights and per-share calculations depend on the denominator being used.
Buyback and cancellation are different events
A share buyback (or share repurchase) occurs when a company acquires its own shares, usually in the market or through an offer to shareholders. The company has spent cash and now controls those shares. What happens next depends on the issuer’s corporate law, its board authorization and the stated purpose of the program.

Share cancellation is the formal process of cancelling shares that the company already holds or has otherwise acquired under an approved transaction. Once cancelled, those shares generally cannot be voted or transferred as shares because they no longer exist in the applicable issued-share record. The legal and accounting consequences vary by jurisdiction and by the issuer’s governing documents.

Possible destinations for repurchased shares include:
- Treasury: the company keeps the shares for a later use. Treasury shares may be excluded from “in issue,” outstanding or voting-right counts, depending on the issuer’s reporting rules.
- Cancellation: the company completes the formal process of removing the shares from the relevant issued-share register.
- Compensation or other obligations: shares can be delivered to employees, executives or transaction counterparties instead of being cancelled.
RELX’s 2025 announcement illustrates the separation. It described a buyback in which purchased shares were intended to be held in treasury, while separately announcing cancellation of shares that were already in treasury. Treating the two announcements as one automatic process would misread the transaction.
What happens to shares after a company buys them back?
The company first becomes the holder
After a repurchase, the company has acquired its own shares. The cash payment, number of shares purchased, purchase price and settlement date are recorded under the applicable corporate and accounting rules. A program announcement is only an authorization or intention; it is not proof that any shares have yet been purchased.
Treasury shares may remain outstanding in a legal sense
An issuer may retain repurchased shares in treasury. Treasury shares are controlled by the company and may be excluded from some investor-facing counts, but the exact labels matter. A filing might report issued shares, shares in issue excluding treasury shares, outstanding shares, or voting rights. These are not interchangeable terms.
Later use can change the denominator again
Treasury shares can be used to satisfy share-based compensation, acquisitions or other corporate obligations. If the company later transfers those shares, the number of shares held by outside investors and the number carrying voting rights can change without a new market buyback. An interim issuer filing at June 30, 2026, for example, distinguished shares repurchased for cancellation from shares acquired for delivery under share-based compensation and reported approximately 5.5 million shares still available under its 2025 normal course issuer bid.

Cancellation is a separate completion step
Where the board or shareholders approve cancellation, the issuer must complete the procedure required by its corporate regime and disclose the effective date. Until that step is complete, a repurchase authorization, an executed purchase and a cancellation are three different points in time.
How cancellation changes share counts and ownership
The ownership-percentage calculation
Your percentage ownership is generally calculated as your shares divided by the relevant total. If you hold 1 million shares and the denominator is 1 billion, your stake is 0.10%. If the company cancels 100 million shares held in treasury and the relevant denominator falls to 900 million while you still hold 1 million, the arithmetic becomes about 0.111%. This is an illustration, not a forecast of any particular issuer’s treatment.
The increase occurs because your numerator stayed constant while the denominator fell. It does not mean the company transferred cash or assets to you, and it does not prove that the market value of your holding rose. The result also depends on which denominator the issuer uses for the ownership or voting calculation.
Voting rights can follow a different count
Some issuers report voting rights separately from total issued shares or treasury balances. A cancellation may remove shares from voting-right totals, while treasury shares may already be excluded from votes under local rules. Read the issuer’s stated basis rather than inferring voting power from a headline share number.
Per-share metrics are conditional
With a smaller share count, earnings or another numerator divided by that count can produce a higher per-share figure if the numerator is unchanged. In practice, the company paid cash for the repurchase, may incur financing costs, and may experience changes in earnings. A lower denominator alone does not establish a higher earnings-per-share result, a higher share price or value creation.

What cancellation does—and does not—tell you about capital and equity
“Cancellation” sounds as if stated share capital or total equity must fall. Issuer disclosures show why that assumption is unsafe.

- Nokia Corporation said in its December 4, 2024 stock-exchange release: “The cancellation of the shares does not affect the company’s share capital nor total equity.” The statement describes Nokia’s transaction and is not a universal legal rule.
- Vale S.A.’s March 12, 2026 announcement described cancellation of treasury shares “without reducing the value of its share capital.” Again, this is the company’s stated treatment under its applicable framework.
Depending on the transaction, entries may affect treasury-share accounts, reserves or other components without changing the stated share-capital amount or total equity. Investors should read the issuer’s explanation of reserves, capital and equity instead of applying a one-size-fits-all rule.
Issuer examples and the figures to compare
The following disclosures show why the mechanics must be read together with dates and definitions.
| Issuer and date | Action or balance reported | What to notice |
|---|---|---|
| RELX PLC, 2025 | 39.5 million shares purchased during 2025 at a total cost of £1.5 billion | The announcement described purchased shares as intended for treasury, while also announcing cancellation of treasury shares already held. |
| RELX PLC, 2025 | 55 million treasury shares cancelled; 4,107,872 remained in treasury; 1,823,866,471 ordinary shares were in issue excluding treasury shares after cancellation | The filing gave separate post-cancellation and remaining-treasury figures rather than one undifferentiated share count. |
| Nokia Corporation, 2024 | 157,646,220 shares cancelled; 5,605,850,345 total shares and votes after cancellation; 208,160,941 treasury shares remained | Nokia stated that the cancellation did not affect share capital or total equity. |
| Vale S.A., 2026 | 99,847,816 treasury shares cancelled, representing 36.9% of treasury shares held | Vale described the action as occurring without reducing the value of share capital. |
| Issuer interim filing, June 30, 2026 | Approximately 5.5 million shares remained available for repurchase under the 2025 normal course issuer bid | The filing distinguished shares repurchased for cancellation from shares acquired for share-based compensation delivery. |
These are issuer-reported examples from different corporate regimes, not a market-wide frequency or performance study. They demonstrate disclosure patterns, not a guaranteed effect on returns.
A practical framework for reading an issuer announcement
1. Identify the purpose and destination
Look for explicit wording such as “for cancellation,” “to be held in treasury,” or “for share-based compensation.” A program can use more than one purpose. The destination determines whether the shares disappear, remain controlled by the company or may later be transferred.

2. Separate authorization, execution and completion
Record three dates:
- Authorization: when the board, shareholders or regulator approved the program.
- Execution: when purchases actually occurred, including the number of shares and consideration paid.
- Completion: when cancellation became legally effective or treasury shares were delivered for another purpose.
Do not treat an announced maximum, an executed purchase and a completed cancellation as the same event.
3. Write down every share-count label
Compare the issuer’s figures for issued shares, shares in issue excluding treasury shares, outstanding shares, treasury shares and voting rights. Note the “as of” date beside each figure. A post-cancellation number may exclude treasury shares, while another total may include them for a different statutory purpose.
4. Read the capital and equity language
Search the filing for statements about share capital, reserves, retained earnings and total equity. If the company says the action does not affect share capital or total equity, preserve that qualification. Do not infer a reduction merely from the word “cancelled.”
5. Check subsequent filings
A later results announcement, capital-notice filing or voting-rights statement may supersede the original estimate. Confirm the final number of shares cancelled, the treasury balance and the effective date.

6. Assess the economics separately from the mechanics
Review the price paid, funding source, debt or cash position, alternative uses of funds and subsequent operating performance. A smaller denominator can improve per-share arithmetic, but it does not show that the company bought at an attractive price or created value.

Buyback versus cancellation: a side-by-side comparison
| Question | Share buyback | Share cancellation |
|---|---|---|
| What happens? | The company acquires its own shares. | The company completes a legal process to remove shares it holds or has acquired. |
| Must the company pay cash? | Usually yes, because the company is purchasing shares; the announcement should state the consideration. | Cancellation itself is a disposition of shares already held; the cash outlay generally occurred at the purchase stage. |
| Can shares remain in treasury? | Yes. Treasury may be the intended destination. | The cancelled shares no longer remain available as treasury shares. |
| Can shares be used for compensation? | Yes, if the program permits purchases for employee or other obligations. | Cancelled shares cannot later be delivered as shares. |
| Does the share count change immediately? | Not necessarily; the effect depends on the issuer’s reporting definitions and whether the shares are excluded from the applicable count. | The relevant issued, in-issue or voting count may change when cancellation becomes effective. |
| Does stated share capital or total equity necessarily fall? | No conclusion can be drawn without the issuer’s accounting and legal disclosure. | No. Nokia and Vale expressly reported treatments that did not reduce stated share capital; company-specific rules govern. |
| Does it guarantee a higher share price or return? | No. | No. The action changes share records; business results, price paid and capital allocation determine economic outcomes. |
Common investor mistakes and how to avoid them
“Every buyback cancels shares”
Why it fails: companies may retain treasury shares or use them for compensation. Fix: find the stated destination and later completion notice.
“Cancellation always reduces share capital”
Why it fails: Nokia and Vale reported no reduction in stated share capital for their disclosed cancellations. Fix: quote the issuer’s capital and equity explanation.
“The announced amount has already been repurchased”
Why it fails: an authorization sets a limit or intention, not an executed trade. Fix: use transaction-date notices and subsequent filings.
“A lower share count automatically means higher EPS and a higher price”
Why it fails: earnings, financing costs, cash deployment and market expectations also change. Fix: separate the mechanical denominator effect from the company’s operating performance.
“Issued, outstanding and voting shares are synonyms”
Why it fails: issuers and jurisdictions use these labels differently, especially when treasury shares are involved. Fix: reproduce the exact label, date and definition from the filing.
“A cancellation increases my economic wealth by the same percentage as my ownership”
Why it fails: ownership percentage is a ratio; your holding’s market value depends on the share price and the company’s assets and prospects. Fix: calculate the new ratio, then evaluate the business and price separately.
Questions to ask before acting on a headline
- How many shares were actually purchased, at what total cost and over what dates?
- How many shares are intended for cancellation, and how many will remain in treasury?
- Has the cancellation become legally effective, or is it still proposed?
- Which denominator is used for ownership and voting rights?
- What are the post-action issued, in-issue, outstanding and treasury balances?
- Does the issuer state an effect on share capital, reserves or total equity?
- Were any shares acquired for compensation or another obligation rather than cancellation?
- What cash, debt or investment trade-off did the buyback involve?
- Are the figures from the same date and reporting document?
What the available evidence cannot establish
The issuer examples above do not establish a general tax treatment, a rule that applies across all jurisdictions, or a typical percentage of repurchased shares that companies cancel. They also do not prove that buybacks or cancellations necessarily increase earnings per share, total shareholder return or the market price. Tax consequences for an individual investor depend on the investor’s jurisdiction, account type and transaction details and require professional advice.
For a specific company, use its latest capital-notice, repurchase, annual and interim filings, together with the corporate and listing rules that apply where it is incorporated and traded. The relevant question is not simply “buyback or cancellation?” but “which shares changed status, when, under which definition, and with what disclosed capital effect?”
