SEBI accepted a settlement payment of ₹40.56 lakh each from Nutrikosh India Private Limited and Alok Chaudhary in the Growpital matter. The settlement closes the proceedings against those two applicants arising from a 2025 show-cause notice; it does not settle the wider case or pay Growpital investors. On the same day, September 28, 2026, SEBI issued a separate final order against other noticees and directed a process to wind up the schemes and refund outstanding investor amounts.
What does “₹40.56 lakh each” mean?
The amount is the settlement payment for each of two applicants: Nutrikosh India Private Limited and Alok Chaudhary. SEBI’s order says the applicants proposed settling “without admitting or denying the facts and conclusions of law.” SEBI recorded that the payments had been remitted and receipt confirmed. The combined total is ₹81.12 lakh, but the order’s stated term is ₹40.56 lakh per applicant. SEBI settlement order, September 28, 2026.
This is not a refund to investors, a finding that the applicants were cleared of all possible wrongdoing, or a settlement of every Growpital-related proceeding. The order disposes of proceedings against these applicants arising from the March 3, 2025 show-cause notice, subject to its terms. It also preserves SEBI’s specified rights to restore or initiate proceedings in certain circumstances.
How does the settlement differ from SEBI’s final order?
SEBI issued two distinct orders on September 28, 2026. One approved the two applicants’ settlement. The other adjudicated the broader enforcement matter, recorded findings against other noticees, and set out directions including winding-up and investor refunds. The final order notes that proceedings against Nutrikosh and Chaudhary had been settled; it did not treat the settlement as ending the wider case. SEBI final order, September 28, 2026.

What did SEBI find about the wider Growpital scheme?
SEBI’s final order says its investigation covered April 1, 2020, through January 31, 2024, and examined fundraising by Farm Silo Tech LLP through the Growpital website. The order finds that the principal entities operated a collective investment scheme (CIS) without the required registration and contravened provisions of the SEBI Act, the CIS Regulations and the PFUTP Regulations. It also finds that specified other noticees aided and abetted the scheme.
According to the order, ₹192.88 crore was raised from 5,208 unique investors. SEBI describes investors contributing through LLPs, being onboarded as partners, receiving units, and being promised profits or returns. The order characterizes the pitch as “promising them assured tax-free profits/returns”; this is SEBI’s finding, not an independently verified assurance.

The order says investors’ land lease or ownership agreements did not give them legal ownership or control over land used for the claimed agricultural operations, while funds were pooled. It also records that about ₹95.60 crore was transferred from Farm Silo Tech LLP to Yotta without underlying business, and that the LLPs spent ₹8.53 crore to acquire Grobanana in Yotta’s name. These are findings recorded in SEBI’s final order.

SEBI’s final order directs the principal noticees to wind up the schemes and refund amounts still outstanding, with interest at 12% per annum from January 29, 2024, to the date of refund. It prescribes a staged process; it does not establish that the money has already been recovered or that every investor will receive full repayment.

The order records ₹50.14 crore frozen in escrow, including ₹6.07 crore held with Cashfree Payments India Private Limited, and identifies ₹32.79 crore in recoverables. It says these amounts fell short of collections. SEBI also records that the noticees had not provided details and evidence for ₹130 crore in expenditure they claimed. The order therefore provides for recovery and refunds based on amounts available, rather than confirming that all funds are in hand.
How the refund process is meant to work
- SEBI’s Recovery and Refund Department is directed to appoint a Nodal Refund Officer to oversee the process.
- The principal noticees must provide a documented investor list within 21 days, as specified in the order. After verification and publication, an investor omitted from the list—or shown with an incorrect bank account, PAN or outstanding amount—may submit a grievance within 30 days of publication.
- Available amounts are to be distributed proportionately according to investors’ outstanding contributions. Refunds are to go by bank transfer to the account from which the contribution came, or to a new verified account supplied by the investor.
- If necessary, the order provides for asset liquidation and further recovery, including recovery from the principal noticees’ personal assets to the extent of any refund shortfall. Unclaimed sums are directed to SEBI’s Investor Protection and Education Fund.
The order prescribes these steps, but it does not by itself establish that the Nodal Refund Officer had been appointed, that the investor list had been published, or that claims processing or payments had begun by October 12, 2026. Investors should look for official SEBI notices about publication of the list and the grievance window before submitting account details or relying on claims that a refund is already available.

What happened before the September 2026 orders?
SEBI’s final order recounts that an interim order dated January 29, 2024 directed the principal entities to cease and desist from unregistered CIS activity, among other measures. A confirmatory order followed on April 26, 2024, maintaining directions pending investigation. SEBI issued a show-cause notice to 30 noticees on March 3, 2025; Nutrikosh and Chaudhary were among them and later applied for settlement.
In the settlement process, an Internal Committee recommended ₹40.56 lakh for each applicant. The High Powered Advisory Committee agreed, and a panel of SEBI Whole Time Members approved the recommendation. SEBI’s order says the applicants reported remitting the payments and the concerned department confirmed receipt.
