The best founder interview is a testable diligence plan, not a pitch contest. Ask how the company solves a specific customer problem, what evidence customers will pay, who the competitors are, how the team operates, what the financial records show, what security you are buying, how dilution and governance work, and whether you can tolerate a total loss. Then verify the answers against company documents, independent records and the applicable U.S. securities rules.

This guide is written for prospective U.S. angel, seed and other early-stage investors. A confident answer, famous backer, large market forecast or label such as “seed” does not establish that an offering is sound.

What a founder interview can—and cannot—prove

Use the meeting to understand the business and identify claims that require evidence. The U.S. Small Business Administration (SBA) says investors examine a company’s management team, market, products and services, corporate-governance documents and financial statements. Those materials matter more than a polished presentation.

Investor.gov advises investors to research the company and the person selling the investment, and not to rely solely on unsolicited communications, message-board posts or company news releases. Treat every projection as an assumption to test. Ask for the underlying record, the date it covers and who prepared it.

The questions below are arranged in the order that usually makes diligence efficient: business model and demand first, then competition and team, financial condition, investment terms, liquidity and independent verification.

1. What does the company do, who is the customer and how does it earn revenue?

Questions to ask

  • What product or service does the company provide, in concrete terms?
  • Which customer has the problem, and how is that customer solving it today?
  • What is the pricing model, and what does it cost the company to deliver each sale?
  • Which revenue exists now, and which revenue is only expected?
  • What customer research or buying behavior supports the plan?
  • What niche does the company serve, and why is that niche reachable?

Evidence to request

Ask to see a current product demonstration, price list, contracts or order history where available, and a description of the sales process. Separate recurring revenue from one-time transactions and distinguish signed commitments from informal interest. The SBA’s business-plan guidance treats the company’s activities, target customer, revenue model and niche as core questions, but a business-plan description is not a substitute for records.

2. What evidence shows that customers want the product and will pay?

Demand is more than a large addressable market

Ask how many customers have paid, how recently, how often they return, and what proportion of revenue comes from the largest accounts. For a pre-revenue company, ask what customer interviews, pilots, letters of intent or other evidence support the assumptions—and what would cause those assumptions to fail.

Questions that expose the assumptions

  • What is the current sales pipeline, and which opportunities are qualified rather than speculative?
  • What conversion rate is assumed from lead to paying customer?
  • What retention, repeat-purchase or churn rate is assumed?
  • How concentrated is revenue in the top customer or a small group of customers?
  • Which claims are measured from company records, and which are forecasts?
  • What customer objections have prevented a sale?

Request a dated revenue report, customer-count definition and supporting contracts or invoices where appropriate. Compare the founder’s description with the general ledger, bank records or other independent documentation you are entitled to review. A projection can be reasonable without being certain; it should never be treated as proof by itself.

3. Who are the competitors and substitutes, and why will customers choose this company?

Map the alternatives customers actually use

Ask founders to name direct competitors, adjacent products and the manual or internal process a customer might use instead. “No competition” usually means the alternatives have not been described. Ask what customers switch from, what triggers a purchase and what prevents an easy copy.

Test differentiation

  • What feature, cost, distribution advantage or specialist knowledge makes the offering distinct?
  • Which part of that advantage is difficult to reproduce?
  • What evidence supports the founders’ view of market size and competitive position?
  • How do competitors price comparable solutions?
  • What happens if a larger incumbent changes its product or pricing?

The SBA recommends identifying a company’s niche and what sets it apart. Florida’s Office of Financial Regulation also lists market competition as a consideration. Ask for the source and date of market claims rather than accepting a headline number.

4. Who is on the team, and what gaps should I understand?

Responsibilities and relevant experience

Ask each founder to explain their responsibilities, time commitment and relevant experience in the product, market or operating function. Clarify who controls engineering, sales, finance, compliance and hiring. A résumé is a starting point; ask for references or other supporting information when the role is material to the investment.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Missing capabilities and dependence on individuals

  • Which essential roles are unfilled?
  • What skills does the company need before the next milestone?
  • What is the plan and budget for hiring those roles?
  • What happens if a founder leaves or becomes unavailable?
  • Are there related-party arrangements, outside commitments or key-person dependencies?

The SBA includes the management team in investor diligence, and Florida’s regulator calls out management experience and background. Do not treat a founder’s confidence or reputation as a substitute for understanding the company’s actual capacity to execute.

5. What do the financial records show, and how much capital is needed?

Request the financial picture

Ask for current financial statements, forecasts and the assumptions behind them. Request pricing and cost detail, cash needs, existing debt, obligations and a clear account of how the new investment will be used. Ask whether statements have been reviewed or audited by an independent third party, and understand exactly what that review covered.

Connect money to a measurable milestone

Founders should be able to state how much capital is required to reach the next significant milestone, what the milestone is and when the cash is expected to run out if it is missed. Probe the sensitivity of the plan: what changes if sales take longer, costs rise or a planned hire cannot be made?

The SBA says prospective funders will want projections, pricing plans and operating costs, while Florida’s regulator poses questions about financial statements, assumptions and use of proceeds. Compare the forecast with historical results and ask for explanations of material variances rather than accepting a revised forecast without a reason.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

6. What exactly am I buying?

Identify the security

Ask whether the offering is equity, debt or a convertible instrument. Request the actual subscription agreement, term sheet, charter or other governing documents—not only a slide describing the round. A term sheet describes investment terms; venture investors may seek ownership and board participation, but the documents control what you receive.

Rights, conversion and valuation

  • What ownership, repayment or conversion right does the instrument provide?
  • How is the valuation determined, and what happens in a later financing?
  • Which votes, information rights, liquidation preferences or other economic rights attach?
  • Can the company issue additional securities that dilute existing holders?
  • What happens if the company is sold, dissolves or raises money on different terms?
  • Are transfers restricted, and is there any company or investor right to approve a transfer?

The U.S. Securities and Exchange Commission (SEC) explains that early-stage investments can use different structures. A label such as friends-and-family, angel, seed or Series A does not itself determine which securities-law exemption applies. Confirm the exemption and required disclosures for the specific offering with qualified, jurisdiction-specific advisers.

7. How long could my money be tied up, and can I afford a total loss?

Plan for illiquidity

Private placements are often illiquid and may have limited resale options. Ask whether any realistic path to liquidity exists, whether transfers require approval and whether the company expects a sale, another financing or some other event that could provide an exit. Do not assume that a future funding round lets you sell.

Run a downside test

Ask what happens if the company never reaches its stated goals, runs out of cash or cannot raise the next round. Consider whether you can hold indefinitely and afford to lose most or all of the investment. Investor.gov states: “Every investment carries some degree of risk, which is reflected in the rate of return you can expect to receive.” A checklist can improve your questions; it cannot remove startup risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

8. How can I verify the claims, and what warning signs should stop the process?

Independent checks

  1. Read the complete offering and governing documents, including exhibits and risk disclosures.
  2. Reconcile key statements in the pitch with financial statements, contracts, filings or other records you are permitted to inspect.
  3. Research the company and the background of anyone selling or promoting the investment.
  4. Speak with customers, suppliers or references when the company and applicable confidentiality obligations permit it.
  5. Ask a qualified attorney, accountant or other professional to review issues outside your expertise.

Warning signs

  • Guaranteed or unusually certain returns.
  • Pressure to act immediately or to avoid normal document review.
  • Missing, stale or internally inconsistent financial information.
  • Claims that minimize risk or rely mainly on social proof.
  • Unclear use of proceeds, ownership, conversion mechanics or transfer restrictions.
  • Answers that change when you ask for a dated record or independent confirmation.

Investor.gov identifies guaranteed-return claims, pressure to act and social proof as warning signs. The SEC advises investors to ask questions and verify answers independently. If a basic fact cannot be documented, record that as an unresolved risk rather than filling the gap with optimism.

Documents to request before committing

Use the founder meeting to create a document list and a deadline for receiving it. The exact list depends on the company and offering, but these categories connect directly to the questions above:

  • Current cap table and a description of outstanding equity, options, warrants and convertible instruments.
  • The term sheet, subscription agreement and other offering documents.
  • Corporate-governance documents relevant to the investment and any board or shareholder approvals.
  • Current and historical financial statements, forecasts, assumptions and cash plan.
  • Revenue detail, major customer agreements and material supplier or partnership commitments.
  • Details of debt, liens, guarantees, contingent obligations and related-party transactions.
  • Product, technology or intellectual-property ownership information that is material to the business.
  • Management biographies, role descriptions and references appropriate to key responsibilities.
  • A use-of-proceeds schedule tied to milestones, hiring and operating costs.

Organize the documents by date and version. Ask who prepared each statement and whether an outside professional reviewed it. Keep a written log of open questions and the answer or document that resolves each one.

A practical interview and diligence sequence

Before the meeting

  1. Read the materials you already have and write down every material assumption.
  2. Separate questions about the business from questions about the security.
  3. Set a personal maximum loss and liquidity tolerance before hearing the pitch.
  4. Prepare requests for dated records rather than asking only for opinions.

During the meeting

  1. Ask the founder to describe the customer, problem, product and revenue model without relying on slides.
  2. Follow each major claim with “What record supports that, and what period does it cover?”
  3. Ask what has gone wrong, which assumptions changed and what the company learned.
  4. Clarify ownership, rights, dilution, use of proceeds and the next financing need.
  5. Note unanswered questions and any answer that depends on a future event.

After the meeting

  1. Reconcile the answers with the documents and independent checks.
  2. Ask for written clarification of inconsistencies; preserve both the question and response.
  3. Review legal, tax and accounting issues with qualified professionals when needed.
  4. Decide whether an unresolved issue is acceptable, requires a protective term or is a reason not to invest.

U.S. market context and regulatory cautions

The SEC’s early-stage investor guide, reviewed April 24, 2026, reports that angels invested more than $17.9 billion in early-stage companies in 2024. It gives typical ranges of $10,000 to $50,000 for friends-and-family deals and $200,000 to $400,000 per deal for a pooled angel syndicate. The same guide reports approximately $164 billion of venture-capital investment in 2023 and approximately $215 billion in 2024. These are market figures published by the SEC, not forecasts and not evidence that any particular startup is a good investment.

The SEC also emphasizes that offering labels do not determine the applicable exemption from registration. The rules and required disclosures depend on the actual transaction. The Florida Office of Financial Regulation advises: “Before investing in a small business, take the time you need to develop a good understanding of the company and the terms of the investment.” State and federal requirements can differ, so obtain advice specific to the transaction and your jurisdiction.

Final pre-investment checklist

  • I can explain the product, target customer, pricing and revenue model in specific terms.
  • I have seen evidence of customer demand and know which figures are historical versus projected.
  • I understand competitors, substitutes and the evidence for differentiation.
  • I know each founder’s responsibilities, relevant experience, gaps and succession risks.
  • I reviewed current financial statements, assumptions, cash needs and use of proceeds.
  • I know whether the instrument is equity, debt or convertible, and understand its rights and restrictions.
  • I understand valuation, conversion mechanics, dilution and governance provisions.
  • I have considered transfer limits, time to liquidity and the possibility of a total loss.
  • I independently checked material claims and investigated warning signs.
  • Any unresolved issue is documented and consciously accepted—not overlooked because of urgency or enthusiasm.
