ETFs generally let investors sell their shares on an exchange during market hours; a private-market fund’s route to cash depends on its structure and governing documents. That difference does not make every ETF holding easy to sell, or every private-fund interest impossible to transfer. The useful comparison is how you, as an investor, can exit; how the fund values its holdings; and which costs apply to the particular fund and share class.

What exactly are you comparing?

An ETF share and an interest in a private fund are different kinds of claims. An ETF is an exchange-traded fund: investors generally buy and sell shares in the market, while the fund holds a portfolio of investments. The SEC explains that open-end funds calculate net asset value (NAV) daily, and ETF investors typically transact by trading shares rather than asking the fund to sell a particular holding for them.

A private fund is a pooled investment vehicle that generally raises capital through exempt offerings. Investors purchase an interest in the fund, and the fund’s legal structure and offering documents govern that interest. “Private-market fund” is not one universal product type: strategies, investor rights, investment periods, and ways to exit can differ substantially.

Some registered closed-end funds, including interval funds, offer periodic opportunities to repurchase shares rather than continuous exchange trading. These are not interchangeable with a traditional private-equity fund interest or a conventional exchange-traded ETF. Check the vehicle’s actual documents before treating its name or investment strategy as a guide to its liquidity.

Question Private-fund interest ETF share
How does an investor seek cash? As the fund documents allow: for example, through distributions, a permitted transfer, or a repurchase opportunity if the vehicle provides one. Typically by selling the share on an exchange during trading hours.
Does investor-level liquidity guarantee liquid holdings? No. The fund may hold assets that are difficult to sell or lack frequent market transactions. No. Shares can trade even when some portfolio holdings are less liquid; the holdings still matter to fund operations and risk.
What does the reported value mean? Private assets may not have daily market prices; valuation methods and timing affect the reported value. The fund calculates NAV daily, while the exchange price can differ from NAV.
Can you assume one fee structure? No. Fees, expenses, and adviser compensation depend on the fund and its terms. No. The prospectus and other fund disclosures set out the applicable expenses and other relevant costs.
What should you inspect? Offering documents, governing terms, valuation disclosures, and fee and expense information. Prospectus, shareholder reports, trading information, and disclosures about expenses and premiums or discounts to NAV.

How liquid are private-market funds compared with ETFs?

ETF liquidity is about the share you trade

For a typical ETF investor, the practical exit is to place a sell order for ETF shares in the market. That can be simpler to access than waiting for a private fund to distribute proceeds or offer a repurchase. The price is the market price available for the trade, not necessarily the ETF’s latest NAV. Market conditions, trading hours, and the ETF’s premium or discount to NAV can all matter when deciding whether and when to sell.

Exchange trading should not be mistaken for a guarantee of a particular price or an assurance that all assets in the portfolio can be sold instantly. The SEC’s liquidity-risk-management materials describe liquidity requirements and programs for funds including ETFs, subject to rule provisions and exceptions. Those fund-level arrangements address risks in managing the portfolio; they do not eliminate the possibility that a share’s market price will differ from NAV.

A private fund’s exit depends on its terms

A private-fund interest does not automatically come with the right to redeem on demand. The governing documents determine whether an investor can withdraw, transfer an interest, participate in a repurchase program, or instead receive cash as the fund realizes investments and makes distributions. Some strategies have investment and realization periods, but there is no single lockup or timetable that describes every private-market fund.

Do not assume that a secondary market will be available simply because transfers are mentioned in the documents. Read any transfer provisions and conditions, and distinguish a right to request a transfer from a promise that a buyer will be found or a sale completed. Similarly, a scheduled repurchase opportunity does not necessarily mean that every investor can redeem any amount whenever they choose; eligibility, timing, and limits depend on the vehicle and its terms.

Interval funds are a separate case

An interval fund is a registered closed-end structure that can offer periodic repurchases under its terms and applicable requirements. That schedule is different from continuous exchange trading and from the cash-flow pattern of a traditional private-equity fund. Examine the interval fund’s documents for how often a repurchase offer is made, the applicable dates and process, and any limits or conditions.

On September 30, 2026, the SEC published a proposed rule that discusses possible changes affecting interval-fund repurchase arrangements, among other matters. A proposal is not a final rule: do not treat proposed changes as current requirements or assume they have altered the terms of a fund you already own.

Match the exit route to when you may need cash

Before investing, consider whether you may need to access the money on a set date. For an ETF, that means assessing the practicalities of a market sale, including the possibility that the trading price differs from NAV. For a private-fund interest or a periodic-repurchase vehicle, identify the contractual process and timing, and consider whether those conditions fit your cash needs. A planned distribution is not the same as a guaranteed withdrawal date.

Why daily trading and private-asset liquidity can diverge

A fund can offer investors a more frequent way to transact than it can sell every underlying asset. An ETF share may change hands in the market even while part of its portfolio consists of holdings that trade infrequently. In a vehicle offering periodic liquidity while holding less-liquid assets, the fund must manage the gap between investor flows and the pace at which portfolio assets can be sold or valued.

This is why “liquid fund” and “liquid investments” should not be treated as synonyms. The SEC’s liquidity-risk-management materials describe the relevance of portfolio liquidity to fund operations and outline requirements for funds including ETFs, with rule provisions and exceptions. For a specific fund, look at the portfolio composition and liquidity-risk disclosures, as well as how the fund says it handles subscriptions, redemptions, repurchases, or other investor flows.

Liquidity is not only about whether a transaction is technically possible. It also includes the terms, timing, limits, and price at which an investor may be able to exit. A quick market sale at an unfavorable price and a permitted repurchase that takes place only at specified intervals are different kinds of trade-offs. Neither a fund label nor a reported value answers all of those questions.

How to interpret NAV and private-asset valuations

NAV is a calculated value, not a guaranteed liquidation price

NAV represents a fund’s assets minus liabilities, expressed according to its calculation and reporting rules. For registered open-end funds, the SEC says NAV is calculated daily. That daily calculation does not establish that every underlying asset was sold on that day, or that it could be sold immediately at the amount used in the calculation. An ETF’s market price can be above or below NAV.

Many private assets lack daily market prices. The SEC Investor Advisory Committee’s September 18, 2025, final recommendation discusses that limitation and the valuation demands that arise when funds offer frequent liquidity while holding assets that trade infrequently. When observable transactions are scarce, valuation methods, available evidence, and the timing of an estimate become important to understanding a reported value.

Ask how the valuation is produced and used

A valuation is not automatically unreliable simply because a holding does not trade every day. Nor should an investor infer that a reported figure is stale, inaccurate, or “fake” without evidence. Instead, review the fund’s description of its valuation process and ask what information supports the estimate, how often it is updated, and who is responsible for oversight. Consider whether the reporting frequency is appropriate for the assets and for the liquidity the vehicle offers.

Valuation can matter beyond a statement of account. SEC materials connect the valuation of illiquid assets with accurate calculation and disclosure of fees and expenses. If charges are calculated using asset values, understand which values are used, when they are determined, and what the fund documents say about the calculation. That helps you evaluate the connection between reported performance, expenses, and the investor’s actual position.

How to compare fees without relying on labels

There is no supported category-wide rule that every private-market fund costs more than every ETF, or that every ETF is inexpensive. A headline management fee alone is not the total cost of investing. Compare the disclosures for the exact fund and share class, and separate ongoing fund expenses from other charges that may apply.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Recurring fund expenses: Review the expense disclosures for the particular ETF or private fund. Use the same basis and reporting period where the documents permit a like-for-like comparison.
  • Performance-based compensation: Check whether the fund’s terms provide for it, how it is calculated, and what conditions apply. Do not assume that all private funds charge it or that ETFs never have other cost considerations.
  • Transaction and intermediary costs: Identify costs that arise from buying, selling, transferring, or using an intermediary where the disclosures make them relevant. Keep them separate from recurring fund expenses.
  • Valuation-dependent calculations: If a fee or compensation calculation uses asset values, understand how and when those values are determined.

For certain SEC-registered private-fund advisers, SEC materials describe quarterly statements detailing fees and expenses, as well as certain adviser-related compensation in dollar amounts. The scope of those obligations depends on the adviser and applicable rules; do not assume that every vehicle or investor receives the same disclosure. In 2025 examination priorities, the SEC also highlighted accuracy in private-fund fee and expense calculations, including issues connected to illiquid-asset valuation and disclosures.

For a fair comparison, note the name of the fund, the share class or investor class if applicable, the date of the document, and which costs are included. Use the prospectus, shareholder report, offering documents, and other applicable disclosures rather than inferring a total cost from a product category or a single fee figure.

A practical document-check process

  1. Identify the legal structure. Determine whether you are considering an exchange-traded fund, a private-fund interest, an interval fund, or another vehicle. Do not infer redemption rights from the investment strategy or marketing name.
  2. Find the applicable documents. For an ETF, start with its prospectus and shareholder reports. For a private fund, review the offering materials and governing documents. For an interval fund, inspect the documents that describe its repurchase terms.
  3. Trace the route to cash. Look for redemption, withdrawal, transfer, distribution, or repurchase provisions. Record the process, timing, cutoffs, settlement terms, eligibility conditions, limits, and any fees that the documents specify.
  4. Read the liquidity disclosures alongside the exit terms. Check what the fund holds and how it describes liquidity risks and investor flows. Ask how the structure handles a mismatch between investor requests and the liquidity of its holdings.
  5. Examine valuation and NAV information. Note how often values are calculated, what methods and evidence are described, and whether a market price may differ from NAV. For private holdings, pay particular attention to the process for assets without frequent market transactions.
  6. Build the cost picture. Compare recurring expenses, performance-based compensation where applicable, and relevant transaction or intermediary costs. Record the source and date for each figure instead of mixing disclosures from different periods or share classes.
  7. Check whether the terms fit your own timeline. Decide whether the available transaction route and expected timing are compatible with when you might need the money. Do not treat a target, estimate, or possible distribution as a guaranteed exit date.

Common comparison mistakes to avoid

  • Equating exchange trading with liquid holdings. An investor may be able to trade ETF shares while some assets in the portfolio remain less liquid.
  • Treating NAV as a price guarantee. NAV is a calculation; an ETF share’s market price can differ, and a daily calculation does not mean each holding was sold at that value.
  • Assuming all private funds have the same lockup or exit path. The fund’s structure and documents matter. A traditional private-equity fund, an interval fund, and other vehicles can offer different routes to cash.
  • Comparing a headline fee with a total cost. Expenses, performance-based compensation, transaction costs, and intermediary charges are distinct items; inspect applicable disclosures rather than relying on one number.
  • Confusing a proposal with a current rule. The SEC proposal dated September 30, 2026, is not a final rule and should not be described as an effective change.

Which structure fits the question you are asking?

If your main concern is the ability to sell an investment through an ordinary market transaction, an ETF’s exchange-traded share provides a different route than a private-fund interest that is governed by fund terms. That is a structural distinction, not a promise that an ETF trade will happen at NAV or that every ETF will be equally easy to trade under all conditions.

If your concern is the value assigned to private holdings, focus on the valuation method, timing, available evidence, and oversight. If your concern is cost, compare the actual expense and compensation disclosures for the specific vehicles. These checks answer different questions: exit rights do not establish valuation quality, and a reported valuation does not establish an investor’s ability to withdraw cash.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The SEC’s materials provide useful context for these distinctions: its guidance on private funds explains the fund-interest structure; its ETF bulletin addresses NAV and market-price differences; its liquidity-risk-management materials describe fund-level liquidity requirements; and its 2025 Investor Advisory Committee recommendation discusses valuation challenges for private assets. These sources do not establish a universal fee average or a single liquidity timetable across either category. The fund documents remain essential for the terms that apply to a particular investment.
