For most investors who want accessible entry, listed-market liquidity and diversified exposure to rent-producing property, Indian REIT units are the simpler fit. A private real-estate equity fund (usually a SEBI-regulated Alternative Investment Fund, or AIF) can make sense when you meet its eligibility and commitment terms, can lock up capital for the fund’s life and are willing to underwrite a particular manager, strategy, fees and exit plan. Neither structure is automatically safer or more profitable; the right choice depends on liquidity needs, portfolio role, risk capacity, tax position and the quality of the specific vehicle.
This is a suitability framework, not personal investment or tax advice. Verify current regulations, offer documents and tax treatment before investing.
What you are actually buying
Indian REIT units
A Real Estate Investment Trust (REIT) pools income-producing property and issues units to investors. SEBI Investor describes REITs as vehicles that let people invest in real estate without owning the physical property. In India, listed REIT units trade on stock exchanges and are bought or sold through a demat account. You own units in the trust, not a particular office floor or shopping-centre shop.
The trust’s assets are held and operated through the REIT structure, with professional managers handling leasing, maintenance, acquisitions, financing and reporting. A listed price gives you a visible market value and an exit route, but it does not guarantee that you can sell immediately or at the price you want. Trading depth, market sentiment and the spread between buyers and sellers determine execution.

Private real-estate equity funds
A private fund pools capital under a specific strategy. In India, real-estate and private-equity funds may be registered as Category II AIFs, but “private real-estate fund” is not one uniform product. A scheme could target completed operating assets, development projects, land, distressed opportunities, real-estate debt or a mix.
You invest under a placement memorandum and related documents that define the commitment, drawdown schedule, tenure, fees, valuation policy, borrowing powers, distribution waterfall, transfer restrictions and exit process. Your return may come from periodic income, asset sales, refinancing, development profits or a combination. There is generally no exchange quotation or daily redemption promise.
REITs and private funds compared
| Decision axis | Listed Indian REIT | Private real-estate equity fund or AIF |
|---|---|---|
| How you access it | Buy or sell listed units through a demat account and the stock exchange. | Subscribe through the fund’s offer process, subject to eligibility and scheme terms. |
| Liquidity | Exchange trading provides an exit route; the price and speed of sale depend on market depth and sentiment. | Liquidity normally depends on the fund’s tenure and any permitted transfer, secondary sale or early-exit provisions. |
| Underlying exposure | Usually a portfolio of income-producing properties, assets and tenants. | Concentration and strategy vary; inspect whether the fund targets operating assets, development, debt or another approach. |
| Cash-flow framework | At least 90% of net distributable cash flow (NDCF) must be distributed at least semi-annually under the REIT framework; the amount can change. | Distributions and capital realisations follow the strategy and governing documents; there is no single payout rule for all funds. |
| Pricing and disclosure | Public unit price plus regulatory, valuation and NAV disclosures. These are reference points, not guaranteed realizable value. | Private valuations and reporting frequency are fund-specific; methodology and independent oversight require scrutiny. |
| Main risks | Listed-market volatility, occupancy and rent, interest rates, refinancing, operating costs, regulation and acquisition execution. | Manager and strategy risk, concentration, valuation, financing, execution, fund-life and exit risks. |
| Tax | Distribution components can receive different treatment; your investor category and circumstances matter. | Tax depends on fund structure, income character and investor status; a universal after-tax comparison is not established. |
Liquidity: the clearest practical difference
What selling a REIT unit involves
You place a sell order during exchange hours, just as you would for a listed security. The order may execute quickly when there are willing buyers, but a thin order book can produce a partial fill or a price below your target. The quoted price can also fall even while the properties continue generating rent, because listed units respond to interest rates, equity-market risk appetite and expectations about future growth.
Exchange listing therefore means potentially accessible liquidity, not a guaranteed cash-out facility. Check average trading activity, bid-ask spreads, recent disclosures and your own willingness to accept market prices.

What exiting a private fund involves
Private schemes commonly have a defined tenure and may draw committed capital in stages. Your money can remain invested until assets are sold or the fund reaches its end date. A document might permit an early transfer to another eligible investor, but that is not the same as a standing redemption window: you need a buyer, the manager’s consent where required and agreement on price.
Ask how the fund handles extensions, delayed exits, secondary transfers, in-kind distributions and conflicts when the manager buys or sells related assets. A strategy that looks attractive on paper can be unsuitable if you may need the money before its planned realisation date.
Income, growth and the meaning of a “return”
REIT cash distributions
The REIT framework requires distribution of at least 90% of NDCF at least twice a year. This is a distribution rule, not a promised yield. Payments can vary with occupancy, rent collections, operating expenses, interest costs, refinancing and asset sales. A trust may also retain or redeploy cash under the permitted framework.

Because each component can have a different tax treatment, a headline distribution yield is not the same as an after-tax return. Review the distribution statement for the period rather than assuming every rupee is dividend income.

Private-fund outcomes
A private fund may prioritise regular income, capital appreciation or a development exit. The return profile is determined by the assets and the waterfall in the documents: operating income might be paid periodically, while a large share of the investor’s outcome may arrive only when a property is refinanced or sold.
Do not compare a projected internal rate of return with a REIT’s current distribution yield as if they were equivalent. A projection depends on entry valuation, leverage, timing and exit assumptions; a listed distribution is a cash payment that can also change. Request base, downside and delayed-exit cases, and identify whether figures are gross or net of all fees and expenses.
Diversification versus concentration
A REIT generally spreads exposure across several assets and tenants. The exact mix still matters: a trust concentrated in one city, property type or large tenant can behave very differently from one with broader exposure. Read the portfolio schedule, occupancy, lease expiries, tenant concentration and acquisition pipeline.

Private funds can be highly diversified or deliberately concentrated. A vehicle investing in a few development sites has different risk from one holding many leased buildings. Determine how many assets are already acquired, how much capital remains to be deployed, the largest single-asset and tenant exposures, and whether the mandate allows the manager to change sectors or geographies.

Fees, transaction costs and leverage
Buying or selling listed units incurs brokerage, exchange charges, statutory levies and the bid-ask spread. The REIT itself also has property-management, trustee, transaction, financing and other operating costs reflected in distributable cash flow and NAV. Compare funds using total cost, not only the visible trading charge.
Private-fund documents can charge management fees, fund expenses, acquisition and disposal fees, performance or carried interest and other pass-through costs. The waterfall determines when performance fees are earned and whether a preferred return, catch-up or loss-recovery mechanism applies. Demand a fee schedule that shows the effect on net investor proceeds in a normal and a downside case.
Leverage magnifies both gains and losses. Arthapedia’s explanation of the Indian REIT framework describes a borrowing ceiling of 49% of REIT asset value; confirm the latest consolidated SEBI regulations before relying on that legal limit. For a private fund, examine permitted loan-to-value, interest-rate hedging, covenants, refinancing dates and what happens if a lender requires additional equity.

- Property income: vacancies, rent concessions, tenant defaults, lease renewals and operating-cost inflation reduce cash flow.
- Market pricing: listed REIT units can fall because of equity-market sentiment even when reported property values are stable.
- Interest and refinancing: higher rates increase borrowing costs and can lower valuation or distributions when debt matures.
- Development and execution: construction delays, approvals, cost overruns and slower sales can materially affect a private strategy.
- Valuation: private assets are not continuously priced; a periodic appraisal may lag changing market conditions.
- Governance and conflicts: related-party transactions, sponsor incentives, acquisition pricing and fee arrangements require review.
- Regulation and taxation: rule changes can affect permissible assets, leverage, distributions or the tax character of cash received.
“Listed” does not mean risk-free, and “private” does not imply a higher return. The sources available do not support a universal performance ranking or a single private-fund fee benchmark.

Tax: why a universal after-tax comparison fails
The Indian REITs Association describes distributions as potentially comprising dividend, interest, SPV-debt amortisation, other income or combinations of these. Its reference notes that dividend treatment can depend on the SPV’s corporate-tax election, interest is taxable to unitholders, and specified SPV-debt amortisation can be taxed under the cited income-tax provisions.
Your result depends on residence, investor category, holding period, applicable tax year, the trust and SPV structure, withholding and whether you are an individual, company, fund or other entity. A private AIF adds its own pass-through or entity-level questions. Obtain the current distribution statement, fund tax disclosures and advice for your circumstances; do not select solely on a pre-tax yield.
India’s current REIT and AIF landscape
Listed REIT market snapshot
The Indian REITs Association reported six listed REITs as of June 30, 2026: Embassy REIT, Mindspace REIT, Brookfield India Trust, Nexus Select Trust, Knowledge Realty Trust and Bagmane Prime Office REIT. Across the six, it reported ₹3.1 lakh crores in gross assets under management, combined market capitalisation above ₹2,15,000 crores and more than 214 million square feet of Grade A commercial and retail space. The group had more than 4.8 lakh unitholders and cumulative distributions above ₹34,800 crores since 2019. These figures are dated and should be refreshed before making an investment decision.
Rules to verify
SEBI’s REIT Regulations page reports amendments through April 18, 2026. The framework described by Arthapedia requires at least 80% of assets in completed, revenue-generating properties, at least 90% of NDCF to be distributed and sets out the 49% borrowing ceiling noted above. Treat those figures as a practical summary and check the latest consolidated regulations for legal detail.
SEBI’s AIF regulations page reports amendments through July 14, 2026 and identifies private-equity and real-estate funds among AIFs, with Category II commonly used for these strategies. SEBI’s original 2012 AIF notice referred to a ₹1 crore minimum investor commitment and a ₹20 crore minimum corpus. Those are historical figures from the original notice, not confirmation of today’s operative minimums or any exceptions. Use the current regulation and the specific placement memorandum to establish what applies.
Which route fits which investor?
REITs are usually the better starting point when you need
- A relatively accessible way to add income-producing property to a diversified portfolio.
- The ability to buy or sell through a demat account rather than negotiate a private transfer.
- Public disclosures, a visible market price and regular distributions, while accepting price volatility.
- Exposure spread across multiple assets without selecting and managing individual buildings.
A private fund may fit when you can
- Commit capital under the scheme’s eligibility and drawdown requirements.
- Hold through the stated tenure and tolerate extensions or a delayed exit.
- Assess a manager’s sourcing, operating capability, governance and prior strategy-specific record.
- Understand leverage, valuation, fees, waterfalls, conflicts and the realistic exit route.
- Accept concentration or development risk in exchange for a different return target and control structure.
If you cannot explain when and how you get your money back, how fees reduce proceeds or what happens in a downside case, the product is not yet understood well enough to buy.
Quick Recap
Due-diligence checklist for a listed REIT
- Read the latest offer, financial and valuation disclosures; identify the property sectors, cities and largest tenants.
- Check occupancy, lease expiries, rent escalations, tenant concentration and the proportion of revenue from major contracts.
- Review NDCF, distributions per unit, payout history and the stated components of each distribution.
- Examine debt maturity dates, interest-rate exposure, refinancing plans and leverage relative to asset value.
- Compare market price with disclosed NAV and understand that NAV is an estimate, not a guaranteed sale value.
- Check trading volume and bid-ask spreads before assuming you can exit at a particular price.
- Calculate your own tax outcome from the distribution components and your investor status.
Due-diligence checklist for a private real-estate AIF
- Obtain the current placement memorandum, subscription agreement, valuation policy, financial statements and all fee schedules.
- Confirm the legal category, investor eligibility, minimum commitment, drawdown timetable, tenure and extension rights.
- Map the strategy: operating property, development, debt, distressed assets or another mandate; note permitted changes.
- List acquired and target assets, concentration limits, development approvals, expected completion dates and exit assumptions.
- Test leverage: maximum loan-to-value, covenants, hedging, refinancing dates and investor obligations if costs rise.
- Understand valuation frequency, independent valuers, conflict procedures and how stale valuations are handled.
- Model net proceeds after management fees, acquisition and disposal charges, operating expenses, carried interest and taxes.
- Ask for base, downside and delayed-exit scenarios, including what happens if a sale cannot be completed on schedule.
- Verify the manager, trustee, custodian, administrator and auditor, and understand complaint and dispute channels.
How to buy and monitor a REIT
- Open or use a demat and trading account with a regulated intermediary.
- Read the trust’s latest disclosures and choose the unit, order type and quantity that match your allocation plan.
- Use a limit order when you need price control; review the order book rather than assuming the quoted price is fully executable.
- After purchase, track distributions, occupancy, lease renewals, debt, acquisitions, NAV disclosures and material announcements.
- Reassess the position when your liquidity need, asset allocation, tax situation or the trust’s risk profile changes.
Common mistakes to avoid
- Choosing a REIT solely for the latest annualised distribution and ignoring variable payments or unit-price loss.
- Assuming a private fund’s target return is guaranteed or comparable to a listed yield.
- Treating the historical ₹1 crore AIF figure as a current universal minimum.
- Ignoring the difference between committed capital and the amount already drawn.
- Overlooking extension clauses, transfer restrictions and the possibility of a delayed sale.
- Comparing pre-tax income from one structure with after-tax proceeds from another.
- Using NAV or an appraisal as proof that you can sell at that value.
- Concentrating too much of a portfolio in one property sector, city, sponsor or tenant.
A practical decision sequence
- Set the time horizon: if you may need the capital within the next few years, start with the liquidity terms, not the return projection.
- Set the portfolio role: decide whether you need recurring income, long-term growth, diversification or a tactical exposure.
- Screen the structure: compare exchange liquidity with the private fund’s tenure, transfer and redemption provisions.
- Underwrite the assets and manager: review occupancy, leases, leverage, valuation, governance and execution capability.
- Calculate net outcomes: include every disclosed fee, transaction cost and applicable tax component.
- Stress-test failure cases: model vacancy, higher rates, refinancing difficulty, construction delay and a lower exit value.
- Document your reason: record why the investment fits your risk, liquidity and allocation limits before placing an order or signing a commitment.
