Neither private credit nor corporate bonds is automatically safer. Private credit is often the more realistic and operationally flexible choice for a growing technology company that lacks the scale, disclosure history, or investor following required for a bond issue. Corporate bonds can be safer for a larger, creditworthy issuer that can lock in fixed-rate funding, maintain market access, and manage public disclosure and refinancing obligations.
The meaningful comparison is not simply the headline interest rate. Test the financing against higher rates, weaker software margins, a delayed product launch, customer concentration, covenant restrictions, and a closed refinancing market. Private credit concentrates control and negotiation with a small lender group but is usually floating-rate, illiquid, and opaque. Bonds offer tradable securities and often fixed coupons, but they require scale, continuing disclosure, broad investor consent, and disciplined maturity management.
What private credit and corporate bonds actually are
Private credit
Private credit is a loan negotiated directly between a company and one or more non-bank lenders, commonly private-credit funds, insurance companies, or other institutional lenders. The facility is usually privately documented rather than offered to a broad public investor base. Pricing commonly consists of a benchmark interest rate plus a negotiated spread, so the borrower’s cash interest expense generally moves when the benchmark moves.
Documentation can be highly customized. A lender may require a borrowing-base test, minimum liquidity, a minimum interest-coverage ratio, leverage limits, reporting packages, restrictions on acquisitions or dividends, mandatory prepayments, and rights to approve material changes. A small lender group can monitor the borrower closely and may be able to amend terms more quickly than a widely distributed bondholder base.

Private credit is not one uniform product. A senior secured direct loan, a unitranche facility, mezzanine debt, and a delayed-draw term loan have different priority, pricing, collateral, maturity, and control characteristics. Read the commitment letter, credit agreement, security documents, intercreditor agreement, and fee letter together; the label alone does not establish safety.
Corporate bonds
A corporate bond is a tradable debt security issued to a group of investors under an offering document and an indenture. The issuer promises scheduled interest and principal payments. Many bonds have fixed coupons, which gives the issuer more predictable cash interest during a period of rising benchmark rates, although floating-rate and other variable-rate bonds also exist.
Bond investors normally receive standardized disclosure, financial statements, risk factors, and covenant terms. The securities can generally be bought and sold in a secondary market. That market provides a visible price, but liquidity is not guaranteed: trading can become thin or disappear when investors are stressed. Amendments may require trustee processes, consent thresholds, or an exchange offer involving many holders.

Underwriters and investors normally assess scale, audited financial statements, leverage, profitability or a credible path to it, governance, legal structure, disclosure quality, and expected demand. Ratings are often helpful and may be expected by some investors, but there is no universal minimum revenue or rating that guarantees access.
Direct comparison for a growing technology company
| Safety consideration | Private credit | Corporate bonds |
|---|---|---|
| Access | Bespoke underwriting can serve middle-market or less profitable borrowers, including companies with strong recurring revenue but limited public-market history. | Usually requires sufficient scale, credible disclosure, investor demand, and often ratings or a recognizable institutional credit story. |
| Interest-rate exposure | Commonly floating-rate. A benchmark increase raises cash interest unless the borrower hedges or the loan has a negotiated cap. | Often fixed-coupon, reducing near-term rate volatility. Refinancing a maturing bond can still expose the issuer to higher rates. |
| Covenants and control | Terms are negotiated directly. Maintenance covenants and frequent reporting can provide early warning, but aggressive add-backs or weak tests can reduce protection. | Indenture covenants and public disclosure govern the relationship. Day-to-day lender monitoring is less bilateral, and changing terms can require broad holder consent. |
| Liquidity and transparency | Loans and fund interests are relatively illiquid and may be valued infrequently. A borrower normally cannot rely on an observable market price to refinance quickly. | Bonds generally have market quotations and secondary trading, although liquidity can vanish during market stress and quoted prices can be volatile. |
| Restructuring | A small lender group may negotiate quickly, but that group can exercise strong control over waivers, collateral enforcement, and a restructuring plan. | A broad holder base, trustee procedures, and consent thresholds can slow amendments, exchanges, or payment-term changes. |
| Recovery risk | Direct-loan recovery depends on security, priority, guarantees, cash flows, and asset value. Technology borrowers’ intangible assets can produce low recoveries even for first-lien loans. | Recovery varies by seniority, security, guarantees, structural subordination, and the issuer’s assets. Unsecured bondholders may have limited value if enterprise value falls sharply. |
| Best fit | Fast, customized financing for a growing, specialized, acquisitive, or not-yet-profitable company that can support lender controls. | A larger, creditworthy issuer seeking fixed-rate duration, a broad capital base, and repeat access to public or institutional bond markets. |
What the default and recovery data says about safety
Private credit’s historically low direct-lending default frequency does not prove that it produces lower losses. The Federal Reserve’s 2024 analysis reported post-default value of around 33% for direct loans, compared with approximately 52% for syndicated loans and 39% for high-yield bonds. These are recovery-value observations, not promises for a particular borrower or loan. They show why a low observed default rate can coexist with severe loss when a default occurs.
The same Federal Reserve work reported historically low direct-lending defaults relative to syndicated loans and high-yield bonds, but also described weakening debt-service capacity. Its quoted conclusion was that the average interest-coverage ratio, a key liquidity-risk metric, had shown a significant decline in recent quarters. A lender may therefore see few defaults in a historical sample while the risk profile is deteriorating for newly originated loans.
For a software company, enterprise value can depend on subscription retention, renewal rates, intellectual property, data rights, engineers, and customer relationships. Those assets may be valuable while the company is operating, yet difficult to sell in a forced liquidation. First-lien status establishes priority; it does not guarantee that collateral will cover principal, accrued interest, fees, and enforcement costs.

Why technology borrowers need a different safety test
Recurring revenue is helpful but not the same as cash flow
Annual recurring revenue can make revenue more predictable, but debt is paid with cash. Examine gross retention, net retention, renewal timing, prepaid contracts, implementation costs, customer concentration, usage-based components, and the cash conversion cycle. A business with high recurring revenue can still miss interest payments if it is spending heavily to acquire customers or fund infrastructure.
Profitability and leverage can move in opposite directions
The Federal Reserve has noted that private credit increasingly finances technology companies with strong recurring revenue but low profitability and high leverage. That combination makes interest coverage and refinancing capacity central safety tests. A growth plan that assumes continued access to cheap capital is not a substitute for a cash-interest budget that works under stress.
Cloud, data, and intellectual-property assets complicate collateral
Determine which assets are actually pledged, whether the company owns or licenses critical intellectual property, and whether contracts permit assignment after a default. Customer data may be subject to privacy restrictions, and key-person or service dependencies can reduce sale value. Ask the lender to state its recovery assumptions for software, patents, domain names, code repositories, receivables, and cash, rather than accepting a generic collateral percentage.
Large technology issuers demonstrate what bond access looks like
The OECD reported that nine hyperscalers raised USD 122 billion in bond markets during 2025, nearly half of global technology-firm issuance. It also forecast USD 4.1 trillion of capital expenditure by those nine companies from 2026 through 2030. This demonstrates the scale at which bond markets can fund technology infrastructure; it does not imply that a startup or ordinary scale-up can obtain the same terms.

Speed and certainty of execution
A negotiated facility can close without waiting for a broad public marketing process. That can matter when a company must fund an acquisition, refinance a near-term maturity, or preserve runway during a narrow market window. Certainty is valuable only if the commitment is genuinely committed, subject to clearly defined conditions, and not easily withdrawn.
Customized covenants and early intervention
Maintenance covenants can require the borrower to address a problem before cash is exhausted. A minimum-liquidity test, for example, may force a board to cut spending or raise equity while options remain. Direct reporting can also help a lender detect churn, delayed collections, or an underperforming product earlier than a public bond investor.
A concentrated group can negotiate a solution
If a viable company needs a waiver or maturity extension, a small group may reach a decision faster than thousands of bondholders. That same concentration gives lenders leverage over budgets, acquisitions, asset sales, management changes, and restructuring terms. The borrower should assess both sides of that bargain.

Where private credit can be riskier
Floating-rate cash interest
Model a 300- to 500-basis-point increase in the relevant benchmark for every floating-rate proposal. On illustrative debt of $100 million, a 3-percentage-point increase adds about $3 million of annual interest before considering fees, floors, or hedging costs. A company should calculate the resulting minimum interest-coverage ratio using cash operating profit, not an optimistic adjusted EBITDA number.
Covenant and amendment risk
Competition among lenders can weaken underwriting and covenants, a concern identified by the IMF in its April 2024 Global Financial Stability Report. “Enhanced covenants providing lenders with downside protection” are a stated feature of private credit, but the actual protection depends on drafting. A covenant that permits broad EBITDA add-backs, unrestricted debt baskets, or repeated equity cures may look strict while allowing leverage to rise.
Illiquidity and valuation uncertainty
A loan cannot normally be sold as easily as a listed security. Fund investors may face redemption requests, gates, or delayed valuations. The Federal Reserve’s 2026 report described redemption requests that exceeded typical fund gates, illustrating how liquidity pressure can appear even when underlying loans have not immediately defaulted. A borrower should not assume that its lender can always sell or syndicate the exposure.
Opacity and lender concentration
Private facilities may have fewer public disclosures and less frequent independent pricing. Identify the exact lender entities, their investment-period constraints, their ability to transfer the loan, and the voting threshold for amendments. A transfer to a distressed-debt investor can change the negotiation dynamic even if the contract remains the same.
Where corporate bonds can be safer
Fixed-rate duration
A fixed coupon can protect cash flow from immediate benchmark increases. This advantage matters when revenue and margins are predictable and the company can hold the bond until maturity. It does not eliminate risk: principal must eventually be refinanced or repaid, and a bond issued at a low rate can become expensive to replace.

A bond issue can spread exposure across many investors rather than leaving the company dependent on one private lender. Repeat issuers may build a maturity ladder with several tranches, reducing reliance on a single refinancing date. Diversification is useful only if the issuer can maintain disclosure quality and investor confidence.
Market pricing and investor discipline
Public or broadly distributed bonds provide an observable market signal. Falling prices and wider spreads can warn management that refinancing will be expensive. The signal is not a guarantee of liquidity, and a stressed price can itself make refinancing harder, but it is more informative than an infrequently marked private loan.

Where corporate bonds can be riskier
Refinancing and maturity-wall risk
Bond principal is often concentrated at maturity. A company that cannot repay from cash must issue new debt, sell assets, raise equity, or renegotiate. A fixed coupon protects current interest expense but not the rate available at the refinancing date. Map every maturity, call date, revolver expiry, lease obligation, and acquisition-related payment at least three years beyond the proposed bond maturity.
Disclosure, ratings, and execution burden
Issuing bonds can require audited financial statements, extensive risk-factor disclosure, legal opinions, underwriter fees, trustee fees, ratings work, investor presentations, and continuing reporting. A mistake or disappointing quarter can affect both reputation and market access. Compare this recurring burden with the upfront and ongoing fees in a private-credit facility rather than treating public issuance costs as a single transaction fee.
Less flexible amendments
A bond indenture may contain incurrence covenants rather than the regular maintenance tests common in some private loans. That can give management more operating flexibility until a default, but it can also mean that investors have less ability to intervene early. Once a problem is serious, obtaining consent from a dispersed holder base can be slow and expensive.
How to decide: a step-by-step safety framework
- Define the funding need and repayment source. Separate recurring operating funding, an acquisition, capital expenditure, and a refinancing. State whether repayment is expected from free cash flow, an asset sale, an equity raise, or another debt issue. If the only repayment plan is “refinance later,” label that explicitly as refinancing risk.
- Build a cash-interest stress case. For private credit, increase the benchmark by 300 and 500 basis points, apply any rate floor, include unused-commitment fees, and model hedging costs. Calculate interest coverage and minimum cash in each case. For bonds, model the coupon that would be available if the issue had to be refinanced during a weak public-market period.
- Use cash measures before adjusted measures. Start with cash operating profit, free cash flow after capitalized software and required capital expenditure, and cash taxes. Then reconcile to the lender’s EBITDA definition. List every permitted add-back and test whether it represents cash that can actually service debt.
- Map every covenant and remedy. Create a schedule covering leverage, interest coverage, minimum liquidity, recurring-revenue tests, reporting deadlines, restricted payments, acquisitions, additional debt, liens, asset sales, cash sweeps, equity cures, prepayment premiums, change-of-control provisions, and events of default. Record the cure period, waiver process, and voting threshold beside each item.
- Measure headroom under adverse operating cases. Test a major customer loss, a 20% decline in new bookings, slower collections, a delayed product release, a gross-margin reduction, and an acquisition that fails to contribute. A covenant with only a small buffer may become a control event before the company is economically insolvent.
- Build a maturity wall. Put principal, drawn revolvers, convertibles, leases, earn-outs, and other debt-like obligations on one timeline. Show the refinancing amount under base, downside, and weak-market assumptions. A private loan with a large bullet maturity and a bond with staggered maturities may have very different safety profiles despite similar coupons.
- Price the complete transaction. For private credit, include upfront fees, original-issue discount, unused fees, amendment fees, exit fees, prepayment premiums, hedging, legal costs, and any cash-sweep effect. For bonds, include underwriting discount, trustee and listing costs where applicable, ratings and legal work, investor-relations resources, reporting, and the expected cost of maintaining market access.
- Assess collateral and recovery realistically. Obtain an asset-by-asset analysis of receivables, cash, equipment, intellectual property, software code, contracts, and guarantees. Ask what can be sold quickly if the company fails. Do not treat a first-lien label as a recovery estimate.
- Compare control rights. Identify who can block a waiver, accelerate the loan, enforce security, replace a manager, or demand an equity cure. In a bond structure, review trustee powers, collective-action clauses, consent thresholds, and exchange mechanics. Choose the level of control the board is prepared to grant in a downside case, not just in the base case.
- Check execution and eligibility. Confirm the company’s jurisdiction, required financial statements, lender or underwriter mandate, sanctions and compliance requirements, rating expectations, and timetable. Obtain legal and tax advice on withholding, deductibility, security perfection, and intercompany guarantees.
- Set monitoring triggers before closing. Assign owners for weekly cash reporting, monthly bookings and churn metrics, quarterly covenant certificates, liquidity forecasts, and maturity updates. Early escalation is safer than discovering a breach after a payment is missed.
Private-credit term-sheet checklist
- Rate mechanics: benchmark, spread, floor, compounding convention, default rate, and whether a cap or swap is available.
- Size and availability: committed amount, delayed-draw conditions, borrowing-base rules, minimum draw, and lender discretion.
- Amortization: scheduled principal, cash sweep percentage, excess-cash-flow definition, and mandatory prepayments from asset sales or insurance proceeds.
- EBITDA definition: permitted add-backs, annual caps, pro forma synergies, restructuring costs, stock compensation, and revenue adjustments.
- Covenants: maintenance versus incurrence tests, testing frequency, baskets, builder provisions, and headroom in each downside case.
- Equity cures: who can contribute capital, how often, whether the contribution counts as EBITDA, and whether it permanently increases covenant capacity.
- Collateral: pledged accounts, intellectual property, receivables, shares, guarantees, exclusions, perfection steps, and release mechanics.
- Transfer and voting: permitted assignees, disqualified institutions, majority-lender threshold, sacred rights, and information-sharing rules.
- Default remedies: grace periods, cross-defaults, insolvency triggers, material-adverse-effect language, acceleration, and enforcement costs.
- Exit economics: call protection, prepayment premium, make-whole amount, exit fee, and fees payable on a refinancing or change of control.
Corporate-bond readiness checklist
- At least several periods of reliable financial statements with clear accounting for software development, deferred revenue, acquisitions, and stock compensation.
- A capital structure that remains understandable after including leases, convertibles, preferred equity, guarantees, restricted subsidiaries, and secured debt.
- A credible liquidity plan that does not depend on issuing a new bond immediately before an existing maturity.
- Disclosure controls capable of producing accurate, timely operating and financial information for investors.
- A clear use-of-proceeds narrative and a defensible explanation of leverage, profitability, customer concentration, and technology risks.
- Board and management capacity for investor meetings, earnings communications, covenant compliance, and responses to market volatility.
- An analysis of secured versus unsecured priority, subsidiary guarantees, structural subordination, and the effect of future secured borrowing.
Illustrative choices for three technology-company situations
The following examples are decision illustrations, not forecasts or recommendations.
| Situation | Private-credit considerations | Bond considerations | Likely safety question |
|---|---|---|---|
| Early scale-up with rapid growth, limited profitability, and a near-term acquisition | May provide faster execution and a tailored delayed-draw facility, but floating interest and maintenance covenants can consume runway. | May be inaccessible or uneconomic without scale, audited history, and investor demand. | Can cash flow cover stressed interest if the acquisition contributes late? |
| Established SaaS issuer with stable retention, positive free cash flow, and several years of audited reporting | Can offer flexibility and lender support, but compare spread, fees, covenants, and refinancing concentration with a fixed-rate alternative. | May lock in duration and diversify lenders, provided disclosure and maturity management are strong. | Is the company willing to maintain market access and public reporting in exchange for fixed-rate certainty? |
| Infrastructure-heavy technology company with large, predictable capital expenditure | Can finance a defined project or expansion with customized controls, but collateral and leverage need careful testing. | May support a large, staged funding program if investors accept the issuer’s leverage and cash-flow profile. | Are asset lives, contract cash flows, and maturities aligned, or is a refinancing wall being created? |
Common mistakes and how to correct them
Choosing the lowest initial coupon
A lower spread can be overwhelmed by an unhedged benchmark increase, an original-issue discount, cash-sweep requirements, or a large exit fee. Compare total cash paid and the effect on minimum liquidity across the entire expected holding period.
Assuming more covenants always means more safety
Count the practical headroom and remedies, not the number of covenant headings. A test filled with permissive definitions may offer less protection than a simpler covenant with a conservative calculation.

Treating fixed-rate bonds as permanently safe
Fixed coupons stabilize current interest expense but leave principal and refinancing risk. A company can remain current on interest while approaching a maturity it cannot refinance.

Ignoring market-access risk
Bond investors can stop buying, and private-credit funds can face redemptions, concentration limits, or fund-life constraints. Maintain committed revolver capacity, minimum cash, and an equity contingency where feasible.
Overvaluing software collateral
Ask what an administrator or buyer could monetize after a rapid shutdown. Separate going-concern value from liquidation value and test ownership, assignment, privacy, and key-person constraints.
Failing to read intercreditor terms
Future debt, venture debt, equipment financiers, landlords, payment processors, and acquisition lenders can all affect priority. Confirm who controls enforcement and how proceeds are distributed before signing.
Recommended Free Tools
Neglecting tax and jurisdictional differences
Interest deductibility limits, withholding taxes, security-registration rules, insolvency regimes, and guarantees vary by jurisdiction. Obtain local legal and tax review rather than importing a term sheet from another market.
A practical conclusion for founders and boards
For most growing technology companies, private credit is more realistic than a bond issue because it can accommodate bespoke underwriting, imperfect profitability, and a smaller capital structure. It is not automatically safer. Floating-rate exposure, covenant pressure, illiquidity, lender concentration, and potentially low technology-asset recoveries can make a private loan dangerous when the business has thin cash coverage.
Corporate bonds become compelling when the issuer is large enough to attract institutional demand, can produce dependable disclosure, and has the financial resilience to keep accessing markets. Fixed-rate duration and a diversified investor base can reduce near-term interest volatility and dependence on one lender. The trade-off is a potentially large maturity wall, continuing disclosure, issuance expense, and slower restructuring.
The board-level decision should be based on the stressed outcome: cash interest after a 300- to 500-basis-point rate rise, covenant headroom after an operating setback, recovery value if software assets must be sold, and available refinancing options if markets close. A regulated corporate-finance adviser, together with independent legal and tax counsel, should review the jurisdiction-specific documents before the company commits.
