Public stock is generally easier to buy, research, price and sell; private-company stock is usually restricted to specific investors, harder to value and potentially difficult to resell. Neither category is automatically safer or more profitable. The practical difference is how you gain access, what information you receive, how a price is established, what rights your security carries and how you might eventually get your money back.
What private and public stock actually mean
Public stock represents an ownership interest in a company whose securities are registered for public trading or otherwise trade in a public market. Investors commonly purchase it through a brokerage account, and prices change as buy and sell orders meet.
Private-company stock is an ownership interest issued by a company that has not registered its securities for public trading. It may be sold directly by the company, to employees, to venture investors or through another exempt offering. “Private stock” can also refer to different security classes, such as common shares, preferred shares, options or convertible securities. Those instruments can have materially different economic rights.
In the United States, the Securities and Exchange Commission (SEC) states that every offer and sale of securities—even to one person—must be registered or conducted under an exemption from registration. The exemption used, the investor’s eligibility and the deal documents determine what can be sold and how it can later be transferred.

How investors get access
Buying public stock
Most public shares are available to anyone who can open a brokerage account, satisfy the broker’s identity and funding checks, and trade during market hours. A broker may still restrict certain securities, require additional disclosures or limit access to complex products, but ordinary exchange-listed common stock does not normally require accredited-investor status.
Buying private-company stock
Private offerings are commonly structured under exemptions from registration. Eligibility can depend on income, net worth, investment experience, the investor’s relationship with the issuer and the terms of the exemption. A company may also impose its own minimum investment, geographic, employment or strategic-partner requirements.
Regulation D illustrates why the paperwork matters:
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitches- Rule 506(b): an issuer may sell to accredited investors and, subject to additional conditions, a limited number of non-accredited investors. The issuer must have a reasonable belief that a purchaser is accredited when relying on that status.
- Rule 506(c): the issuer may generally solicit the offering, but every purchaser who is represented as accredited must be verified through reasonable steps. The SEC says self-certification alone—such as checking a box without the issuer having other knowledge of the investor’s financial circumstances or sophistication—is not sufficient.
“Accredited” is a U.S. regulatory category, not a quality rating. Meeting the threshold does not mean an investment is suitable, liquid or well managed. Crowdfunding and other exemptions have their own limits and disclosure rules, so the exemption named in the offering documents should be read rather than inferred from a marketing description.
Liquidity and the ability to resell
Why public shares are usually easier to sell
Public exchanges and alternative trading systems provide a secondary market in which investors can usually sell during trading hours. A quoted price does not guarantee an immediate sale at that price: thinly traded shares can have wide bid-ask spreads, trading halts or significant price movement while an order is being filled. Still, a functioning market gives most public investors a practical exit that private investors may not have.
Why private shares can remain locked up
The SEC describes securities issued in exempt offerings as often illiquid. Unlike publicly traded securities that can generally be sold freely, private securities may be resold only after registration or under an exemption such as Rule 144. The security’s governing documents can add a right of first refusal, company approval, a transfer ban, a lock-up period or restrictions on sales to particular buyers.

A private holder may have to wait for a company acquisition, an initial public offering, a tender offer, a company-sponsored secondary transaction or another buyer approved by the issuer. Even when a secondary platform appears to offer a market, participation, pricing and settlement can be limited. Plan for the possibility that no buyer will be available when you want one.

Disclosure: what you can learn and how often
Public-company reporting
A U.S. reporting company generally files annual, quarterly and current reports with the SEC. These filings provide standardized financial statements, material risk factors, management discussion, ownership information and updates about significant events. Exchange rules can add governance and timely-disclosure requirements.
Registration can be triggered by an exchange listing or, subject to stated exceptions, by a company having more than $10 million in total assets and a class of securities held by at least 2,000 persons or 500 persons who are not accredited investors. The thresholds cited here are from SEC guidance published in 2024; the applicable test depends on the company’s facts and the specific class of security.
Private-company information
A private issuer can provide detailed quarterly accounts, audited statements and investor letters—or substantially less. The exemption and the negotiated deal documents determine the minimum information supplied. Investors may receive a private placement memorandum, capitalization table, financial statements, forecasts, board materials or none of those items on a regular schedule.
Less standardized reporting makes comparisons harder. Ask whether statements are audited, which accounting framework is used, how frequently results are delivered, whether debt and cash are disclosed, and whether the company has independent financial controls. A polished presentation is not a substitute for verifiable records.

Public prices update continuously because thousands or millions of orders reveal what participants are willing to pay at a given moment. The quoted price can be wrong about a company’s prospects, but it is observable and can be compared with market capitalization, enterprise value and peer multiples.
Private valuations are negotiated less often, commonly during a financing round, an employee tender offer or an internal valuation exercise. A new preferred-share round may establish a price for that preferred class without proving that common shares are worth the same amount. Liquidation preferences, conversion rights, anti-dilution provisions and control terms can make the economic value of each class diverge.

Because private trading and information are limited, a stated valuation can remain unchanged while the business improves or deteriorates. Treat a financing price as evidence of what a particular buyer paid for a particular security at a particular time—not as a guaranteed exit value.
Side-by-side comparison
| Investor consideration | Public stock | Private-company stock |
|---|---|---|
| Typical access | Usually purchasable through a brokerage account, subject to broker and market rules | Often limited by a registration exemption, offering terms and investor eligibility |
| Accredited-investor requirement | Not normally required for ordinary exchange-listed shares | Frequently required or relevant; Rule 506(c) requires reasonable verification, not simple self-certification |
| Secondary market | Usually available through an exchange or other public venue | Often absent or limited; resale may require registration, Rule 144 or issuer consent |
| Price updates | Continuous quoted prices while the market is open | Infrequent negotiated prices, often tied to financing or a company transaction |
| Financial disclosure | Annual, quarterly and current reports for reporting companies | Frequency and depth depend on the issuer, exemption and contract |
| Security classes | Classes and rights are described in public filings and exchange disclosures | Common, preferred, options and convertibles may have different preferences and transfer rules |
| Transaction friction | Broker commission policies, bid-ask spread, exchange fees and market impact | Legal review, transfer approvals, negotiated documentation, platform fees and long settlement periods may apply |
| Dilution visibility | Share counts, options and many new issuances are reported publicly | Requires reviewing the capitalization table, option pool, warrants, convertibles and planned financings |
| Governance information | Voting proposals, director elections and material governance events are disclosed through filings | Rights depend on the charter, investor agreement and class; information may arrive privately and irregularly |
| Tax treatment | Depends on jurisdiction, holding period, dividends and the specific security | Depends on jurisdiction, acquisition price, restrictions, entity structure and eventual exit; special rules may apply |
| Suitable time horizon | Can often be sold quickly, but price volatility may be substantial | Usually requires capacity to hold for an uncertain period and potentially absorb a total loss |
How a private company becomes publicly traded
Traditional initial public offering
In a traditional IPO, the company sells newly issued shares through underwriters. The proceeds can fund growth or repay debt, while existing holders may face lock-ups and dilution. The process involves extensive disclosure, accounting work, legal and underwriting costs, governance changes and continuing reporting obligations.
Recommended Free Tools
Direct listing
A direct listing typically allows existing shareholders to sell directly into a public market without the company raising new primary capital. It can provide a trading venue and price discovery, but the company may receive little or no new cash and trading volume can be uneven.
SPAC merger
A private company can combine with a publicly traded special-purpose acquisition company. This can provide a route to public trading and may include additional financing, but the structure can create dilution from sponsor shares, warrants and new capital. The merger documents, redemption levels and pro forma capitalization need careful review.
Public-company status brings potential access to more capital, shareholder liquidity, reputational visibility and stock-based compensation. It also adds disclosure, compliance and offering expense, liability and competitive exposure, media scrutiny and the possibility that founders lose some control.
Fees, friction and dilution
Investor-level costs
Public investors usually face the spread between the bid and ask, possible broker charges, exchange or regulatory fees and market impact on larger orders. These costs are visible at execution.

Private transactions can involve legal and tax advice, wire or platform fees, document review, transfer charges and a long settlement process. A secondary buyer may demand a discount for illiquidity, and the issuer may charge an administrative fee or require approval before a transfer.
Company-level costs that affect investors
Going public requires underwriting, accounting, legal, systems and compliance spending. Private financing also has legal and diligence costs, but generally fewer recurring reporting obligations. Those company expenses can reduce the cash available for growth and influence how much capital a financing actually adds.
Dilution occurs when a company issues additional shares or securities that convert into shares. Review the fully diluted capitalization table, not only the current outstanding common shares. Include employee option pools, warrants, convertible notes, preferred conversion ratios and any planned pool increase. A financing can raise the company’s value while reducing an existing holder’s percentage ownership.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Governance and economic rights
Public common shareholders typically vote on directors and specified corporate actions, although voting power can differ by class. Public filings make many proposals and ownership changes visible.
Private investors may negotiate board seats, information rights, vetoes, registration rights, pro rata participation and protective provisions. Preferred stock can receive liquidation proceeds before common stock, sometimes with a multiple or a participating feature. A headline company valuation therefore does not tell you what each class receives in a sale.
Read the charter, investors’ rights agreement, voting agreement, right-of-first-refusal terms and any side letters. Determine whether your shares vote, convert, receive dividends, participate in future rounds or are subordinated to other securities.

Tax and concentration issues
Tax treatment is security- and jurisdiction-specific
Public shares may generate taxable dividends and capital gains or losses when sold. Private shares can raise additional questions about the value assigned at acquisition, restricted stock, options, employer withholding, holding periods and the tax treatment of a later secondary sale or company exit. Entity structure and local law can change the result. Obtain advice for your jurisdiction before exercising options, transferring shares or relying on a tax benefit.
Concentration can dominate the risk
Employees and founders often hold private stock alongside their income, benefits and career exposure to the same company. That concentration can be far greater than the position’s percentage of a diversified portfolio. A private investment should be sized on the assumption that the business may fail, the security may be diluted and the holding may remain unsellable for years.
A due-diligence process before buying private stock
- Confirm eligibility and authority. Identify the exemption, verify whether you qualify, and confirm that the seller has the right to issue or transfer the security.
- Read the complete offering documents. Obtain the private placement memorandum or equivalent materials, subscription agreement, charter, investor-rights documents and risk disclosures.
- Reconstruct ownership. Review the current and fully diluted capitalization tables, option pool, warrants, convertibles, liquidation preferences and expected financing needs.
- Test the information. Ask for the latest financial statements, cash balance, debt, revenue concentration, burn rate, material contracts and the cadence of future reporting. Note whether accounts are audited.
- Map the exit routes. List a possible IPO, acquisition, tender offer or approved secondary transfer, then ask what conditions, lock-ups, fees and consents apply to each.
- Separate price from value. Compare the proposed price with the security class’s rights and with public-market alternatives. Do not treat a preferred financing price as a guaranteed common-share value.
- Model dilution and downside. Estimate ownership after planned rounds and conversion of all securities. Consider outcomes ranging from failure to a sale that pays senior preferences first.
- Check conflicts and control. Identify insider sales, related-party transactions, voting arrangements and whether founders or major investors can approve actions you cannot block.
- Plan taxes and liquidity. Determine when tax may be due, how funds will be held until an exit and whether the position is affordable if no sale occurs.
- Document your decision. Record the assumptions, valuation evidence, maximum loss you can tolerate and the date on which you will reassess the investment.
Questions to ask when choosing between the two
When public stock may fit better
- You need the ability to sell or rebalance without waiting for an issuer event.
- You want frequent standardized disclosures and independently observable prices.
- You are building a diversified portfolio rather than taking concentrated exposure to one employer or startup.
- You need a position whose value can be marked daily for a near- or medium-term financial goal.
When private stock may be considered
- You meet the legal and financial eligibility requirements and understand the exemption.
- You can tolerate an uncertain holding period, limited information and the possibility of losing the entire investment.
- You have reviewed the security’s seniority, voting rights, dilution mechanics and transfer restrictions.
- The position is small enough that an illiquid outcome will not disrupt essential spending or diversification.
These are decision criteria, not a recommendation. A public share can fall sharply, be diluted, lose its listing or become difficult to trade. A private company can succeed while an investor receives little because senior securities, dilution or transfer limits absorb the value.
Common misconceptions
“Private means higher return”
Private investments may include young companies with substantial growth potential, but the absence of a public price is not a return premium. Illiquidity, limited disclosure, business failure and dilution can reduce realized returns.
“Public means safe”
Public trading improves access and exit mechanics; it does not remove volatility, fraud risk, poor management, sector downturns, leverage or the possibility of permanent loss.
“SEC registration approves the investment”
SEC registration and staff review are disclosure processes, not an endorsement. The SEC’s IPO investor guidance says staff review is not a guarantee that a company’s disclosure is complete or accurate and does not determine whether an investment is appropriate for any investor.
Quick wins for a faster PC:
Clear out junk files and repair common Windows errorsFree Scan →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →“A valuation is a cash offer”
A private valuation is usually the negotiated price for a particular round and class under particular terms. It may not be available to you as a seller, and it may not reflect what common shareholders receive after preferences and dilution.
Geography and legal scope
The registration exemptions, accredited-investor concepts, reporting thresholds and Rule 144 example above are U.S.-focused. Other jurisdictions use different definitions, disclosure regimes, resale rules and tax treatment. If the issuer, investor or transaction is outside the United States, obtain advice under the governing local law before relying on these rules.
