Private-company shares are usually harder to sell and harder to value than publicly traded stock. A private-placement investor may have no exchange market, may face contractual and securities-law transfer limits, and may need to hold the investment indefinitely. Publicly traded stock can generally be bought or sold through a market, while an SEC-reporting company makes regular filings available through EDGAR. Neither structure guarantees a profit, liquidity, accurate valuation, or regulatory approval of the investment.

The practical answer depends on the exact security: its share class, issuer reporting status, offering exemption, shareholder agreement, transfer provisions, and the laws that apply. “Public” can mean that securities trade somewhere, or that the company has regular SEC reporting obligations; those descriptions are not always identical.

Private shares and public stock at a glance

Issue Private-company shares Publicly traded stock
Trading and liquidity Often no exchange market; a buyer may be difficult to find, and resale can be restricted. You may need to hold the securities for a long or indefinite period. Usually can be bought or sold through a market while trading, although market depth, price, trading halts, lockups, and security-specific restrictions still matter.
Disclosure Private placements generally do not carry the comprehensive disclosure requirements of registered offerings. Information may be limited and is not typically public. SEC-reporting companies file periodic reports and other materials that investors can generally access through EDGAR.
Resale rules Restricted securities may require an exemption such as Rule 144, legend removal, issuer consent, and compliance with company agreements. Ordinary trading of unrestricted shares is more straightforward, but insiders, affiliates, lockups, and restricted holdings can face additional rules.
Valuation Often based on a financing round or negotiated transaction. Without a continuous quote and complete public information, the price can be difficult to verify. A visible market price changes continuously during trading, but it is not a guarantee of intrinsic value or future return.
Offering framework May be sold under an exemption such as Regulation D. Materials are not necessarily reviewed by a regulator. Public offerings typically register with the SEC and provide a prospectus. SEC effectiveness is not an endorsement of the investment.
Main diligence task Review the offering documents, financial information, share class, dilution, transfer provisions, realistic resale path, and possibility of total loss. Read SEC filings, understand the business and capital structure, and assess price, volatility, liquidity, and company-specific risks.

This table describes common patterns, not guarantees. A particular private security can have negotiated liquidity rights, and a particular public security can trade thinly or be subject to restrictions.

Why liquidity is the biggest day-to-day difference

Private holdings may have no ready buyer

When you own a private-company share, there may be no exchange order book matching buyers and sellers. A sale might require finding an eligible buyer yourself, obtaining company approval, satisfying a right of first refusal, or waiting for a company transaction such as a tender offer, merger, or initial public offering. None of those events is assured.

The SEC describes a private placement as “highly illiquid” in its Investor.gov bulletin updated September 21, 2026. Illiquidity is not merely an inconvenience: an investor may be unable to raise cash for an emergency, rebalance a portfolio, or accept a favorable price before the company reaches a later financing or exit.

Public trading improves access, not certainty

Exchange trading normally gives an investor a mechanism to place a market or limit order during trading hours. The order can still fail to execute at the desired price, particularly when trading volume is low. Prices can move sharply, trading can be halted, and a market can close below the investor’s purchase price.

“Publicly traded” also does not mean every share is immediately saleable. Newly issued shares may be subject to lockups, insiders may have trading windows and volume limits, and restricted shares may require a separate resale route. Liquidity is therefore a spectrum rather than a simple private-versus-public switch.

Resale restrictions and Rule 144

Why private-placement shares are often restricted

Most securities acquired in a private placement are restricted securities. A restrictive legend on the certificate or account record signals that the holder cannot simply sell the shares in an ordinary public transaction. The relevant offering exemption, the holder’s relationship with the issuer, the issuer’s reporting status, and the wording of the governing documents determine what can happen next.

What Rule 144 can and cannot do

Rule 144 is a commonly used federal exemption for reselling restricted or control securities. Its conditions can include a holding period, the manner in which a sale is conducted, the amount sold, and current public information about the issuer. The SEC explains that the holding period can be six months or one year depending on reporting status and other circumstances. That is a conditional legal requirement, not a promise that an investor will be able to sell after a particular number of months.

Even when the applicable Rule 144 conditions have been met, a restrictive legend generally must be removed by a transfer agent. The transfer agent typically seeks issuer consent or a legal opinion before processing the transfer. A private contract can impose a separate restriction, so satisfying Rule 144 does not automatically override a shareholder agreement, right of first refusal, buy-sell clause, or board-approval requirement.

Questions to answer before buying

  • What exemption was used for the original offering?
  • Is the security common stock, preferred stock, a membership interest, a convertible instrument, or another form of security?
  • What holding period and other Rule 144 conditions could apply to this holder and issuer?
  • Who controls legend removal, and what documents or consents will the transfer agent require?
  • Does the company have a right of first refusal, a transfer-approval process, or a permitted-transferee list?
  • Is there any company-sponsored liquidity program, and what conditions would govern it?

Information and disclosure

What SEC-reporting public companies provide

A company with SEC reporting obligations generally files periodic reports and other materials through EDGAR. Those filings can include audited financial statements, management discussion, material events, executive compensation, ownership information, and risk disclosures, depending on the form and the issuer. The filings give investors a common baseline for comparing periods and checking company statements.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Public information does not eliminate uncertainty. Reports can be late, accounting judgments can change, a business can deteriorate between filings, and a filing can contain information that is difficult for a non-specialist to interpret. Public disclosure improves access to information; it does not guarantee that an investment is sound.

What a private placement may provide

A private placement is not generally subject to the comprehensive disclosure requirements that apply to a registered public offering. The issuer may provide a private placement memorandum, subscription agreement, capitalization table, financial statements, forecasts, or other materials, but a private placement memorandum is not required in every case and is not typically reviewed by a regulator.

Ask how often financial statements will be delivered, whether they are audited or reviewed, what assumptions support forecasts, and whether the issuer will notify holders about new financings, material contracts, litigation, or changes in control. The answer should be tied to a written obligation rather than an informal promise.

How valuation works when there is no continuous quote

Private valuation is negotiated and intermittent

A private-company valuation commonly comes from a financing round, a negotiated secondary transaction, an appraisal, or an internal valuation model. That price reflects the terms and information available to the participants at that time. It is not a continuously available market price, and it may include preferences or protections that make one share class economically different from another.

The SEC warns that valuing private companies, particularly startups, can be difficult and that investors may risk overpaying. A headline valuation can rise while common shares receive less value than preferred shares in a liquidation or sale. Dilution from later financing, option grants, warrants, or convertible securities can also reduce an existing holder’s percentage ownership.

Public price is visible but not automatically fair

A public stock’s quoted price is observable, and bid-ask spreads and trading volume provide clues about how easily a position can be entered or exited. The quote still reflects expectations, risk, liquidity, and market conditions rather than a guaranteed measure of underlying value. A visible price can be wrong, temporarily distorted, or disconnected from an investor’s long-term estimate of worth.

Offering registration, exemptions, and what the SEC does not promise

Federal framework

Under the federal securities laws, an offering generally must be registered with the SEC or qualify for an exemption. Regulation D offerings are among the private placements discussed by the SEC. Form D is a notice filing; it does not mean that the SEC approved or registered the offering.

Public offerings generally use a registration statement and prospectus. An IPO registration statement is typically filed on Form S-1 and describes the company, the securities, the offering terms, and material information for investors. When the SEC declares a registration statement effective, that action does not signify approval of the investment’s merits and does not guarantee that every disclosed fact is complete or accurate.

Accreditation is not a complete explanation

The conditions for a private offering depend on the exemption and offering terms. Do not assume that every private placement requires accredited-investor status, or that an investor’s eligibility alone makes the security liquid or suitable. The exemption determines how the offering may be conducted; it does not remove business risk, transfer restrictions, or the possibility of losing the entire investment.

“Public company” can mean two different things

The SEC distinguishes between trading status and reporting status. Securities of a company that does not provide regular SEC reports may still trade on a smaller public market. Such securities can offer less information than investors associate with a conventional reporting company.

Before comparing a private share with a “public stock,” identify both facts:

  • Where does the security trade? Is it listed on a national securities exchange, quoted in an over-the-counter market, or not traded at all?
  • Does the issuer report to the SEC? If so, which filings are current and available through EDGAR?

This distinction prevents an investor from treating every quoted security as if it had the same disclosure, liquidity, and oversight profile as a widely followed exchange-listed company.

Private-share due diligence: a document-by-document process

  1. Identify the instrument. Read the subscription agreement and charter terms to confirm the security type, class, number of shares, price, and whether the interest is direct ownership or a conversion right.
  2. Map economic rights. Check liquidation preferences, dividends, conversion terms, participation rights, anti-dilution provisions, voting power, protective provisions, and any difference between preferred and common stock.
  3. Calculate dilution. Review the fully diluted capitalization table, option pool, warrants, convertible notes, and securities that could be issued in later rounds. Ask how a new financing would affect your ownership percentage and rights.
  4. Test the information promise. Determine what financial statements, budgets, cap-table updates, and material-event notices the company must provide, how often, and whether statements are audited.
  5. Read every transfer clause. Look for legends, board or issuer consent, rights of first refusal, co-sale rights, drag-along provisions, permitted transferees, and restrictions that continue after a financing or change of control.
  6. Build a realistic exit plan. List the actual routes—company repurchase, approved secondary sale, merger, tender offer, or public offering—and the conditions and timing risks for each. If the only exit is an uncertain future event, treat the holding period as indefinite.
  7. Stress-test the loss. Consider what happens if the company raises money at a lower valuation, cannot raise more capital, fails, or sells for less than the preferred liquidation stack. Invest only an amount you can afford to lose completely.
  8. Verify the offering status. Confirm the claimed exemption, Form D information where applicable, signer authority, and whether state-law requirements or additional investor qualifications apply.

Public-stock due diligence

  1. Start with primary filings. Use the issuer’s EDGAR filings rather than relying only on promotional summaries. Read the latest annual and quarterly reports, current reports for material events, and the prospectus for a recent offering.
  2. Understand the share structure. Check authorized and outstanding shares, multiple voting classes, preferred securities, options, warrants, convertible debt, insider ownership, and any planned issuance.
  3. Measure trading conditions. Review average volume, bid-ask spread, recent halts, market capitalization, and whether the shares are subject to a lockup or other restriction. A quote alone does not prove that a large order can be executed without moving the price.
  4. Assess business and market risk. Examine revenue sources, cash use, debt maturities, customer concentration, competition, legal proceedings, and management’s stated risks. Public status does not protect the business from failure.
  5. Separate price from value. Compare the market price with the company’s financial performance, balance sheet, growth assumptions, and capital needs. Avoid treating a recent high or low as a guaranteed fair value.

Are private shares riskier than public stock?

They carry different concentrations of risk rather than a universal risk ranking. Private shares add liquidity, information, transfer, and valuation uncertainty to the underlying business risk. Public stock usually makes trading and disclosure easier, but it can experience severe price volatility, dilution, fraud, accounting problems, market-wide declines, trading halts, or a total loss.

Private investments can also have contractual protections that some public common shares lack, while public companies may have deeper markets and more frequent disclosure. Compare the actual rights and obligations instead of using “private” or “public” as a substitute for analysis.

Decision framework for an investor

A private share may be unsuitable when

  • You may need the money on a predictable schedule.
  • You cannot obtain reliable financial and ownership information.
  • You do not understand the share class or liquidation waterfall.
  • The transfer agreement leaves no practical resale route.
  • The proposed valuation depends mainly on optimistic projections.
  • A complete loss would disrupt your finances.

A public stock may still require caution when

  • Trading volume is low or spreads are wide.
  • The issuer is quoted publicly but is not an SEC-reporting company.
  • Most of the value depends on one unproven product, customer, or financing.
  • Insiders control voting rights through a dual-class structure.
  • Lockups, halts, or restricted shares limit the apparent liquidity.
  • The market price assumes growth that the filings do not support.

Common mistakes to avoid

  • Assuming a private valuation is a market price. A financing price is negotiated for particular terms and may not represent what an unaffiliated buyer would pay for your class.
  • Believing a Form D is approval. It is a notice filing, not SEC registration or a merits review.
  • Using a one-year rule as a universal lockup. Rule 144 holding periods and other conditions depend on the issuer, holder, and transaction facts.
  • Ignoring private contracts. Securities-law eligibility does not cancel a right of first refusal, consent requirement, or other transfer covenant.
  • Equating a ticker with full disclosure. A security can trade on a smaller public market without the reporting profile of a conventional SEC-reporting company.
  • Treating public filings as a guarantee. Disclosures improve access to information but cannot ensure accuracy, solvency, or investment success.
  • Forgetting dilution. New shares, options, warrants, and conversions can reduce ownership and economic participation in either a private or public company.

Questions to ask before signing or placing an order

For a private investment, ask the issuer or counsel to identify the security class, capitalization on a fully diluted basis, liquidation preferences, voting rights, financial-reporting commitments, transfer approvals, resale restrictions, legend-removal process, and realistic exit routes. Request the governing agreements, not only a presentation.

For a public investment, locate the latest SEC filings, confirm whether the issuer is current in its reporting, review the prospectus or offering document, check share-class and dilution details, and examine trading volume and restrictions. Keep a record of the assumptions behind your valuation and the conditions that would change your decision.
