Portfolio management services (PMS) and alternative investment funds (AIFs) are not interchangeable wrappers for the same investment. PMS manages securities in a portfolio opened for one client under an individual mandate. An AIF pools money from multiple investors into a fund or scheme that follows its stated strategy. That difference affects ownership, minimum investment, eligible assets, liquidity, fees, reporting and risk.

SEBI investor guidance gives PMS a general minimum investment of ₹50 lakh. AIF regulations set a general minimum contribution of ₹1 crore, with specified exceptions, and a general minimum scheme corpus of ₹20 crore. These amounts are entry gates, not signals of return, quality or safety. Your decision should depend on the mandate or placement memorandum, time horizon, liquidity needs, concentration, leverage, valuation method, total costs and ability to assess the manager.

PMS and AIF in one sentence each

Portfolio management services (PMS)

Under PMS, a SEBI-registered portfolio manager manages investments for a specific client. The client’s agreement records investment objectives, permitted investment areas, instruments and exposures, restrictions, tenure, withdrawal terms, fees, custody arrangements, risk disclosures and reporting. Holdings can therefore differ from one PMS client to another, even when the same manager runs several mandates.

Alternative investment funds (AIFs)

An AIF is a privately pooled investment vehicle organised as a fund or scheme. Investors commit or contribute capital to that pool, and the manager invests it according to the category, strategy and fund documents. Investors normally own an interest in the fund or scheme rather than a separately managed list of securities in their own name. The placement memorandum and constitutional documents govern subscriptions, drawdowns, distributions, valuation, transfers, redemptions and expenses.

Eligibility and minimum investment

PMS: the general ₹50 lakh threshold

SEBI’s investor-facing PMS guidance states a minimum investment of ₹50 lakh. Treat this as the general regulatory gate for a PMS relationship, not as a recommendation that every investor at that level is suitable. The manager should still assess the proposed strategy, your financial capacity, objectives and ability to tolerate losses. Check the current effective regulations and the specific manager’s agreement before transferring money.

AIF: ₹1 crore contribution, with exceptions

The AIF regulations state a general minimum contribution of ₹1 crore. The rules also contain exceptions, so the amount is not universal. Exceptions include certain employees or directors, accredited investors where the regulations permit different treatment, and a lower individual contribution for a qualifying social impact fund that invests only in securities of not-for-profit organisations registered or listed on a social stock exchange. The exact exception depends on the investor, the fund and the latest wording of the regulations.

An AIF scheme generally must reach a minimum corpus of ₹20 crore. That is a fund-level requirement, separate from an individual investor’s contribution. A social impact fund and other specifically covered structures may have different requirements. Ask the manager to identify the rule and clause that applies to the proposed scheme rather than assuming that a marketing summary captures every exception.

What the thresholds do—and do not—tell you

Neither minimum is a measure of expected return, downside protection or manager quality. An investor can meet a threshold and still be unable to absorb a prolonged loss, capital call, lock-in or valuation adjustment. Include emergency liquidity, debt obligations, tax position, concentration across investments and the cost of professional advice in the suitability decision.

How the structures work in practice

Client-specific PMS mandates

The PMS agreement is the operating rulebook. It should state the investment objective, permitted sectors and instruments, exposure limits, restrictions requested by the client, authority to trade, custody arrangements, fees, valuation and reporting frequency. Because the portfolio is managed for one client, the manager can reflect restrictions such as excluding a sector or limiting concentration, if the agreement and strategy allow it.

Read how cash is handled, how corporate actions are processed, when statements are issued and what happens if you terminate the mandate. Confirm whether securities are held in your account or through the disclosed custody arrangement, and understand the procedure for moving or selling positions after termination.

Pooled AIF schemes

An AIF manager invests pooled capital according to a defined strategy. The scheme’s documents usually address subscription and drawdown mechanics, investment period, permitted borrowing, valuation, distribution waterfall, transfer restrictions, conflicts, key-person events and winding-up. The manager generally cannot customise each investor’s portfolio in the way a PMS mandate can, although side-letter or regulatory arrangements may create limited differences.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Pooling can provide access to opportunities that are difficult to source or administer individually, but it also means that an investor shares the fund’s timing, expenses, valuation process and other investors’ effects on the vehicle. Review the governing documents, not only the presentation deck.

Assets and strategies: can PMS and AIF invest in the same things?

They can sometimes buy similar securities, but the legal permission and practical exposure come from different documents. A PMS may hold listed shares, debt instruments, units or other permitted instruments when the client mandate allows them. The exact list, position limits and use of derivatives must be confirmed in that mandate and the manager’s disclosures.

AIF investments depend on category and scheme documents:

Category I AIFs

Category I covers funds associated with policy-linked or socially and economically desirable areas identified in the regulations. Examples include venture or start-up, small and medium enterprise, social venture and infrastructure-oriented strategies. The category description is not a complete asset-by-asset permission list; the fund’s documents and current regulations control what a particular scheme may buy.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Category II AIFs

Category II includes strategies such as private equity and debt funds that do not fall within Category I or Category III. These funds commonly invest in unlisted companies, private credit or other less-liquid assets, creating longer holding periods and valuation uncertainty. Category II generally cannot leverage except for borrowing needed to meet permitted operational requirements.

Category III AIFs

Category III uses strategies that may involve complex trading, including derivatives and leverage. Depending on the scheme, exposure can change quickly and may be difficult to value or exit during stressed markets. The placement memorandum should specify permitted instruments, leverage limits, margin arrangements, liquidity terms and valuation procedures.

Do not infer that a category guarantees a particular risk level. Two funds in the same category can differ substantially in concentration, geography, use of derivatives, credit quality, liquidity and governance.

Liquidity, withdrawals and tenure

PMS withdrawals

PMS liquidity is contractual. The agreement should explain notice periods, any minimum balance, treatment of unsettled trades, charges on termination and how illiquid or suspended securities are handled. A request to withdraw cash may require selling positions, and the sale price can differ materially from the latest reported value. Ask whether partial withdrawals are allowed and whether they change the agreed strategy.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

AIF lock-ins and redemptions

Category I and Category II AIFs are close-ended and have a minimum three-year tenure. The fund may offer an extension, subject to the governing documents and required approvals, but an investor should not assume an early exit. Transfers, if permitted, usually require manager consent and a willing buyer. Category III AIFs may be open-ended or close-ended; an open-ended label does not guarantee daily liquidity because the documents can impose notice periods, gates, suspension rights, valuation dates or other limits.

Before subscribing, map when capital can be called, when distributions are expected, whether redemption proceeds can be delayed and what happens during a market disruption. Match those terms to the date on which you may need the money, rather than relying on a generic “liquid” or “long-term” description.

Fees, expenses and performance-related charges

There is no single PMS or AIF fee schedule that applies to every manager. PMS agreements may specify a fixed management fee, a performance-linked fee, brokerage and custody costs, taxes and other disclosed expenses. AIF documents may add management fees, carried interest or performance fees, administration, audit, legal, valuation, fund formation and transaction expenses. The calculation base and timing matter as much as the percentage.

Ask for a worked rupee example showing fees when the portfolio rises, falls, remains flat and is partly withdrawn. For an AIF, check whether performance fees use a hurdle, high-water mark, catch-up or deal-by-deal calculation, and whether expenses are charged to the fund or manager. Compare total costs after all pass-through expenses, not just the headline management fee. Tax treatment is investor- and structure-specific, so obtain current tax advice before committing.

Which is riskier: PMS or AIF?

Neither label is inherently safer. Risk follows the assets, strategy, leverage, concentration, liquidity and governance terms. A conservative PMS holding diversified listed securities may have different risks from a concentrated PMS mandate. A Category II private-credit AIF and a Category III leveraged trading AIF can have very different loss patterns, even though both are AIFs.

PMS-specific risk questions

  • How concentrated can the portfolio become, and can the manager override your requested limits?
  • What liquidity risk arises if a holding is thinly traded or suspended?
  • How much discretion does the manager have to change sectors, cash levels or instruments?
  • Are related-party transactions identified and explained?
  • How are performance, fees and audited financial information reported?
  • What happens if the portfolio manager, key employee or custodian changes?

SEBI’s PMS disclosure framework addresses portfolio risks, related-party transactions, fees, historical performance and financial information. Portfolio managers are not permitted to guarantee or assure returns. A past-return chart therefore cannot substitute for understanding the mandate and downside scenarios.

AIF-specific risk questions

  • What is the strategy’s actual exposure by asset, issuer, sector, geography and stage?
  • Can the fund borrow, pledge assets, use derivatives or post margin?
  • Who values unlisted or thinly traded holdings, how often and under what policy?
  • What are the fund’s redemption, transfer, suspension and extension rights?
  • How are conflicts, related-party investments and allocation between schemes managed?
  • Which costs are borne by the fund, and how are carried interest and distributions calculated?

Private equity and debt strategies can involve illiquidity, concentration, credit losses and valuation uncertainty. Category III strategies may add leverage, rapid trading, margin and model risks. These are mechanisms to investigate, not predictions that every fund will experience every risk.

A practical due-diligence process

  1. Verify registration and documents. Confirm the manager’s SEBI registration details and obtain the current PMS agreement or AIF placement memorandum, trust or scheme documents and latest amendments.
  2. Write down your constraints. Record the amount invested, required cash reserve, investment horizon, maximum tolerable loss, income needs, excluded sectors and liquidity deadline.
  3. Match the strategy to those constraints. Identify the actual instruments, expected holding period, concentration limits, leverage, derivatives and cash policy. Reject a strategy that needs money before its stated exit window.
  4. Model costs and cash flows. Include management and performance fees, fund expenses, brokerage, custody, taxes, drawdowns and possible delays in distributions. Request examples for positive, flat and negative outcomes.
  5. Test valuation and reporting. Ask who values positions, how often independent checks occur, what statements contain and how stale or disputed valuations are treated.
  6. Investigate conflicts and governance. Review related-party transactions, allocation among schemes and client accounts, key-person provisions, custody, auditor, administrator and complaint-handling process.
  7. Plan an exit before entering. For PMS, understand notice and liquidation terms. For AIFs, identify lock-in, transfer consent, redemption windows, extension rights and winding-up procedures.
  8. Obtain personalised advice where needed. A SEBI-registered investment adviser, tax professional or lawyer can assess suitability and documents for your circumstances; a general comparison cannot do that work.

When PMS may fit better

PMS may be more appropriate when you need a portfolio tailored to personal restrictions, want direct visibility into individual holdings, require a negotiated withdrawal process or prefer not to share a pooled vehicle’s investment timing. It can also suit an investor who can evaluate a mandate and tolerate the operational responsibility of a separately managed portfolio.

That flexibility comes with responsibility: your outcome depends on the selected mandate, manager discretion, position concentration and the liquidity of each holding. A personalised portfolio is not automatically diversified or lower risk.

When an AIF may fit better

An AIF may be more appropriate when you deliberately want a pooled strategy such as private equity, private credit, infrastructure or a complex trading approach, and can accept the fund’s tenure, valuation schedule and withdrawal restrictions. Pooling may give the manager scale and access to transactions that are impractical for one account.

The trade-off is less control over individual positions and greater dependence on fund governance, capital calls, valuation policy, expenses and the actions of other investors. Choose the specific category and scheme, not merely the AIF label.

Regulatory timing to check in 2026 and 2027

SEBI’s regulation index lists the Securities and Exchange Board of India (Portfolio Managers) Regulations, 2026 as effective from April 1, 2027. The currently listed 2020 Portfolio Managers Regulations are stated to have been last amended on September 3, 2025. Do not apply the future-effective 2026 rules to a transaction completed before their effective date without confirming the transition provisions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The AIF regulations page is stated to have been last amended on July 14, 2026. Because minimums, exceptions, reporting and permitted activities can change, confirm the version in force on the date of subscription and ask the manager to identify any grandfathering or transition rule relevant to the scheme.

Questions to ask before signing

  • What exact SEBI registration category and scheme or mandate applies to me?
  • What can the manager buy, and what limits apply to issuer, sector, asset class and leverage?
  • What is the maximum time before I can receive cash after requesting a withdrawal or redemption?
  • How are unlisted, suspended or hard-to-value assets priced?
  • What fees and expenses reduce my net return, and when are performance fees crystallised?
  • How are conflicts and related-party transactions disclosed?
  • What reports will I receive, how often and in what format?
  • What happens if the manager, key person, custodian, auditor or administrator changes?
  • Can I transfer my interest or terminate the mandate, and what costs or approvals apply?
  • Which regulatory version and exceptions were used to determine my eligibility?

Bottom line

PMS is an individually mandated portfolio; an AIF is a pooled fund or scheme. The general entry points are ₹50 lakh for PMS and ₹1 crore for an AIF contribution, with AIF exceptions and a separate general scheme-corpus rule. The useful comparison is not “which label is safer,” but whether the specific mandate or fund gives you acceptable assets, concentration, leverage, valuation, liquidity, fees, reporting and conflict controls for your objectives and time horizon.
