If you need cash from a stock portfolio, you can sell shares or borrow against eligible investments through a securities-backed line of credit (SBLOC). Selling removes debt and interest but permanently gives up the sold shares’ future gains and dividends. Pledging can preserve market exposure and postpone a voluntary sale, but it creates a variable-cost loan and exposes you to maintenance calls, repayment demands, and possible forced liquidation. The better choice depends on your tax position, borrowing terms, portfolio volatility, and ability to repay without selling into a falling market.

Should you sell shares or borrow against them?

Start with the decision that matters most: can you repay a loan even if your portfolio drops sharply? If the answer is no, selling some shares is usually the more controllable way to raise cash because the transaction ends with cash rather than an outstanding balance secured by your investments. If you can service and repay the debt from dependable non-portfolio cash flow, an SBLOC may let you keep the investments and their dividends, interest, and appreciation while the balance is outstanding.

These are not equivalent ways to obtain the same cash. A sale transfers market risk away from the shares sold. A pledge leaves that risk with you and adds lender rights over the collateral. The following comparison is general U.S. investor education, not individualized tax, legal, or investment advice.

Key differences at a glance

Decision factor Selling shares Pledging shares through an SBLOC
Cash available and timing Cash arrives after the sell order executes and the transaction settles under the account’s normal settlement cycle. The amount depends on the shares sold and their market price. Cash is drawn from an approved revolving line after the lender establishes a limit. Availability depends on eligible collateral, advance rates, account requirements, and lender approval.
Investment exposure You no longer participate in the sold shares’ price changes or future dividends. Unsold holdings remain exposed. You generally keep the pledged holdings and may continue receiving dividends, interest, and appreciation, but the lender can change collateral eligibility or the credit limit under the agreement.
Tax timing A taxable-account sale can realize a capital gain or loss. Treatment depends on basis, holding period, account type, and jurisdiction. A pledge is not a voluntary sale, so it generally does not create a sale event when the line is opened or drawn. A later voluntary or forced sale can have tax consequences.
Interest and fees No loan interest or debt-service obligation is created by the sale. Trading charges, spreads, or account fees may still apply under the account’s terms. Principal and interest must be repaid. Rates may vary, and fees, minimums, and other charges are contractual rather than universal.
Collateral and borrowing limit No collateral is pledged and no borrowing limit applies. Only assets the lender accepts count toward the line. Concentration, volatility, security type, account structure, and lender advance rates can reduce capacity.
What happens after a decline The sold shares cannot fall in your account because you no longer own them; remaining holdings can still lose value. A decline can produce a maintenance call requiring additional collateral or repayment. If you cannot meet the demand, the lender may sell securities.
Repayment and liquidation control There is no principal to repay and no lender controlling your remaining portfolio. An SBLOC may be a demand loan. The contract determines when repayment can be demanded, which assets may be sold, notice procedures, and the response deadline.
Moving the account or changing lenders After settlement, cash or remaining securities can generally be transferred subject to ordinary account rules. A balance and lien can restrict transfers or require payoff and release of collateral before assets move. Confirm the process with the lender.

What selling shares actually costs

You eliminate debt risk

A sale converts part of the portfolio into cash without creating a loan balance. There is no interest-rate reset, repayment schedule, maintenance call, or lender discretion to liquidate other holdings. That certainty is valuable when your future income is uncertain or the portfolio is concentrated.

You give up the sold shares’ future returns

Once the trade settles, the shares you sold cannot contribute further price appreciation or dividends to your portfolio. Selling a broad-market fund, a concentrated employer position, or a dividend-paying stock has different opportunity costs, but the principle is the same: the exposure ends for the quantity sold.

Tax results depend on your facts

In a taxable account, the gain or loss generally reflects the difference between proceeds and the shares’ tax basis, with holding period and local rules affecting treatment. Retirement and other tax-advantaged accounts can follow different rules. The materials available for this comparison do not determine any individual’s liability, so use your actual basis records and a qualified tax professional before placing a large order.

How an SBLOC works when you pledge shares

The line is secured by investment assets

The SEC Office of Investor Education and Advocacy and FINRA describe an SBLOC as a revolving credit line secured by securities in an investment account. Their investor alert says SBLOCs are “often marketed to investors as an easy and inexpensive way to access extra cash by borrowing against the assets in your investment portfolio without having to liquidate these securities.” You draw only what you need, up to the approved limit, and owe interest on the outstanding balance under the agreement.

The approved limit is not a fixed percentage for every portfolio

Lenders decide which securities qualify and how much each contributes to borrowing capacity. The agreement can address minimum line sizes, advance rates, concentration limits, rate formulas, fees, and the lender’s right to change eligible collateral or the limit. A diversified account may support more borrowing than a portfolio dominated by one volatile stock, but no general percentage should be treated as a current offer.

Keeping the shares does not make the loan free

While the securities remain in the account, you may continue receiving distributions and participating in market gains. You also continue bearing every loss in those holdings, while interest accrues on the loan. Your economic result is the portfolio’s performance minus borrowing costs, taxes that may arise later, and any fees.

What happens if pledged shares fall in value?

A maintenance call can arrive quickly

The joint SEC and FINRA alert explains: “If the value of your securities declines to an amount where it is no longer sufficient to support your line of credit, you will receive a ‘maintenance call’ notifying you that you must post additional collateral or repay the loan within a specified period (typically two or three days).” That wording is a dated general description, not a promise about your account. Your contract controls the trigger, notice method, deadline, and acceptable collateral.

Your choices after a call

  • Add collateral: Transfer eligible cash or securities, if you have them and the lender accepts them.
  • Repay principal: Use outside cash or sell assets yourself before the lender acts.
  • Reduce the line: Stop drawing and pay the balance down to restore the required cushion.

If you cannot respond in time, the lender may liquidate securities. The sale can occur after prices have already fallen, locking in losses and potentially realizing a taxable gain. A forced sale therefore combines market risk, financing risk, and tax risk; “not selling today” is not the same as permanently avoiding tax.

Demand-loan language matters

Some SBLOCs can be demand loans, meaning the lender may require repayment under the contract even without a dramatic market decline. Ask whether the lender can demand full or partial repayment, what events permit that demand, and how much notice you receive. Do not rely on an informal expectation that the line will remain available for a particular number of years.

Interest, fees, and the real cost of borrowing

Rates can move and terms differ by lender

There is no single current “typical SBLOC rate” that applies to every borrower. Ask how the rate is calculated, which benchmark or spread is used, how often it can change, whether there are minimum-rate provisions, and what fees apply at opening, drawing, maintaining, transferring, or closing the line. The SEC and FINRA alert emphasizes that advance rates, minimums, interest rates, and contractual features vary by lender and collateral.

Use the SEC illustration correctly

A 2022 SEC margin bulletin gives a hypothetical comparison, not a product quote: a $50,000 loan at 7% produces $3,500 of annual interest, or about $9.59 per day. In the same illustration, $50,000 of cash earning 1% produces $500 of annual interest, or about $1.37 per day. Under the bulletin’s stated no-netting assumption, the annual difference is $3,000, or about $8.22 per day. Your rate, cash yield, compounding, fees, and tax treatment can all differ.

Compare total cost with the tax cost of selling

To compare honestly, calculate the loan’s expected interest and fees over the period you expect to carry it, then compare that amount with the tax and investment consequences of selling. Include a higher-rate scenario and a repayment delay. A line that looks inexpensive for a few months can become costly if the balance remains for years or the rate rises.

Do you owe tax when you pledge shares?

Opening an SBLOC or drawing against it is generally borrowing rather than selling, so there is usually no capital-gain realization at that moment. Tax can arise later if you sell shares voluntarily, if the lender liquidates collateral, or if other account transactions occur. The result depends on cost basis, holding period, account type, and jurisdiction. A lender’s statement of interest or proceeds does not replace tax advice, and the sources for this guide do not establish deductibility of interest for any particular use of funds.

SBLOC versus margin borrowing: related, but not the same

An SBLOC is generally marketed as a non-purpose revolving loan secured by investments; the agreement may restrict using proceeds to purchase or trade securities. A margin loan is borrowing in a margin account and is subject to margin-account rules. Do not treat one as a rebranded version of the other.

SEC guidance on margin accounts warns that a firm can require additional funds, sell securities without consulting you, impose its own maintenance requirements, and leave you owing more than you deposited. Margin borrowing to buy securities also magnifies losses in the leveraged position. Read the specific agreement and ask the firm which product you are being offered, what uses are prohibited, and which regulatory requirements apply.

How to decide: a practical process

  1. Define the cash need and deadline. Identify the amount, whether it is one-time or recurring, and whether a delayed draw would work. A sale may require market execution and settlement; an approved line may provide reusable access but only within its terms.
  2. Inventory your holdings. List each position, tax basis, holding period, liquidity, volatility, and concentration. Separate assets the lender will not accept from those that may count as collateral.
  3. Model the sale outcome. Estimate proceeds after trading costs and the potential taxable gain or loss for the specific lots you would sell. Note the dividends and exposure you would give up.
  4. Model the borrowing outcome. Use the lender’s actual rate formula, spread, fees, minimums, and repayment rules. Test the balance at higher rates and with no portfolio appreciation.
  5. Stress-test a decline. Ask how much of the collateral could lose value before a call, then test a larger drop. Confirm that you could add collateral or repay within the contractual deadline without relying on another loan.
  6. Check concentration risk. If one stock or sector dominates the account, a single adverse event can reduce both portfolio value and borrowing capacity at once.
  7. Choose a repayment source. Identify cash flow outside the pledged account. If the only realistic repayment source is selling the collateral, the line may simply postpone the sale while adding interest and call risk.
  8. Confirm account flexibility. Before signing, understand restrictions on withdrawals, distributions, transfers, changing brokers, and moving securities while a balance remains.

Questions to ask an SBLOC lender

  • What is the current interest-rate formula, and how and when can the rate change?
  • What opening, annual, draw, transfer, inactivity, or closing fees apply?
  • Which securities qualify today, and can eligibility or advance rates change without my consent?
  • How are concentrated, volatile, restricted, or newly deposited positions treated?
  • What exact decline or balance condition triggers a maintenance call?
  • How will the call be delivered, and what is the precise response deadline?
  • Can you demand repayment even when collateral is above the maintenance threshold?
  • Which securities may be liquidated, in what order, and with what notice?
  • Can I continue receiving dividends, interest, and other distributions?
  • Can I withdraw cash, transfer securities, or change custodians while a balance is outstanding?
  • What happens to the lien and the transfer process if I refinance or move the account?
  • Are there prohibited uses of proceeds, including purchases of securities or repayment of another investment loan?

Situations in which selling may fit better

  • You have no dependable outside cash flow for interest and principal.
  • The portfolio is concentrated or unusually volatile.
  • You need certainty about the maximum cost and cannot tolerate a lender-controlled sale.
  • The shares are already a larger allocation than your plan calls for and reducing exposure is desirable.
  • The expected borrowing period is long enough that cumulative interest could exceed the tax cost and opportunity cost of selling.

Situations in which an SBLOC may fit the objective

  • You need temporary liquidity and have a credible repayment source outside the collateral account.
  • Maintaining exposure is important, and you understand that exposure remains fully at risk.
  • Your lender’s written terms are clear, the portfolio is diversified enough for the required cushion, and you can meet a call promptly.
  • The ability to draw and repay flexibly is more valuable than the certainty of a one-time sale, after comparing total costs.

Bottom line: the trade-off is control versus continued exposure

Selling shares gives you cash with no debt, interest, or collateral call, but it ends the sold position and may realize a taxable gain or loss. Pledging shares can defer a voluntary sale and preserve dividends and market exposure, but the loan accrues interest, terms can change, and a falling portfolio can force a sale at an unfavorable time. Compare the lender’s contract with your tax facts and repayment capacity; if you cannot withstand a call without liquidating under pressure, the apparent convenience of borrowing may not justify its risks.
