For Indian investors, demat is the practical format for selling or transferring listed shares. You may continue to hold old certificates on paper, but an ordinary transfer of listed securities cannot be completed in physical form. You must first open a demat account, dematerialise the certificates through a depository participant (DP), and then transfer the electronic securities.

Physical and demat are holding formats, not different types of investments. Your returns still depend on the underlying company and market price. The important differences are custody risk, transferability, paperwork, visibility, corporate-action handling and account charges.

What physical shares and demat shares mean

Physical shares

A physical share is represented by a paper certificate issued in the shareholder’s name. The issuer and its registrar and transfer agent (RTA) maintain the corresponding ownership record. The certificate normally shows details such as the company, folio number, certificate number, distinctive numbers and the number of shares.

Paper ownership can still be retained in India. Keeping a certificate is not itself prohibited, and it does not cause the investment to expire. The difficulty is that the certificate is no longer a usable route for an ordinary transfer of listed securities.

Demat shares

Dematerialised, or demat, shares are electronic entries in an account held through a SEBI-registered DP. India has two depositories: NSDL and CDSL. The DP provides the investor-facing account and communicates with the relevant depository; the issuer and its RTA maintain the security’s corporate records.

Dematerialisation converts an eligible paper certificate into an electronic holding. Rematerialisation is the reverse process: an eligible electronic holding is converted back into a physical certificate. Neither process changes the company’s business, the class of security or the economic value of the shares.

Can you transfer physical shares in India?

No. SEBI’s FAQ states: “No, transfer of securities in physical form has been stopped with effect from April 01, 2019.” This rule applies to an ordinary transfer such as a sale, gift or change of ownership of listed securities. SEBI’s March 2019 clarification distinguishes between holding paper shares, which remains permitted, and transferring them, which requires dematerialisation first.

In practical terms, a signed physical transfer deed and certificate are not enough to register a normal post-2019 transfer of listed shares. The current route is to convert the certificate into demat form in the correct holder’s name and perform the subsequent transfer electronically.

Physical versus demat: the practical differences

Issue Physical certificate Demat holding
Custody Paper must be stored and protected by the investor. Electronic record is maintained through a DP and depository.
Ordinary transfer of listed shares Not available in physical mode after April 1, 2019. Transfer is initiated through the demat account using the DP’s electronic process.
Sale on the market Certificate cannot normally be delivered as the settlement instrument. Eligible securities can be sold and settled through the demat account.
Certificate-specific risks Can be lost, stolen, damaged, forged or delayed in handling. Removes risks associated with moving and storing paper certificates.
Statements and visibility Investor must reconcile certificates, folio records and company communications. Holdings and debits or credits appear in DP and depository statements.
Corporate actions May require matching folio details and separate correspondence with the issuer or RTA. Electronic holdings generally allow the issuer, RTA and depository to process eligible actions against the demat record.
Account charges No demat account is needed merely to keep a certificate, although case-specific RTA or document expenses can arise. Account opening is free under SEBI’s Investor Charter; maintenance and transaction charges depend on the account type and DP tariff.
Record and access risk Physical loss or a mismatch in the registered name can block action. Requires secure credentials, monitoring and safe handling of delivery instruction slips.

Demat reduces the risks unique to paper custody, but it is not a guarantee against loss of investment, price declines, fraud or account misuse. It changes how ownership is recorded and moved.

How to dematerialise paper certificates and transfer the shares

The standard sequence is conversion first and transfer second. The seven-day figure in SEBI’s Investor Charter is a stated DP processing timeline after receipt of proper documents; it is not an end-to-end promise covering postal delivery, issuer or RTA verification, rejected documents or corrections.

  1. Open a demat account. Choose a SEBI-registered DP and complete its account-opening and identity-verification requirements. Confirm that the account holder names and order of names will match the certificate and the issuer’s records.
  2. Ask the DP for a dematerialisation request. The DP supplies the dematerialisation request form (often called a DRF) and explains how certificates must be marked or packaged. Do not alter certificates or use a form from an unrelated account.
  3. Submit the certificates and matching details. Give the DP the original certificates and the completed request. The folio, certificate, distinctive-number, holder-name and quantity details must be legible and consistent with the issuer or RTA record. Keep a complete copy and obtain an acknowledgement.
  4. Wait for verification. The DP forwards the request for depository and issuer/RTA processing. The RTA may reject or place the request on hold when signatures, names, certificate details, KYC information or other documents do not match. A rejection is a correction task, not proof that the shares have disappeared.
  5. Confirm the electronic credit. Check the demat statement and the quantity, ISIN and holder details after processing. If the credit does not appear within the DP’s stated timeline, ask the DP for the request status and the RTA’s response, keeping the acknowledgement and certificate details available.
  6. Transfer through demat. Once credited in the correct name, initiate a sale, gift or other permitted transfer using the DP’s electronic instruction route. Follow the DP’s current instructions for online authorisation, delivery instruction slips, off-market transfers and any applicable charges.

SEBI’s Investor Charter says, “No charges are payable for opening of demat accounts.” That statement concerns account opening; it does not make every later service free.

What the conversion normally requires

Exact checklists vary by DP, issuer and RTA, so obtain the current checklist before sending original documents. Typical checks include:

  • Names and sequence of holders on the certificate, demat account and issuer/RTA record.
  • Folio, certificate, distinctive-number and share-quantity details.
  • Completed dematerialisation request in the DP’s prescribed format.
  • Current KYC, PAN and bank or contact details where the DP or RTA requires them.
  • Evidence resolving any signature, address, transmission, consolidation or split issue identified during verification.
  • Original certificates submitted by a trackable method, with copies and an acknowledgement retained by the investor.

Do not send certificates to an unverified intermediary or sign blank delivery instruction slips. If a DP or RTA asks for additional documents, treat that as a case-specific requirement rather than assuming a universal list.

Old certificates bought years ago but never registered in your name

Possessing a certificate does not by itself prove that you are the registered owner. SEBI says securities can be dematerialised in the registered holder’s name, not in the name of an unregistered buyer.

If the seller can be found

Contact the seller and work with the seller and the relevant DP to complete the transfer through demat. The seller may need to establish or update the registered holding before the electronic transfer can occur. Keep the original sale evidence, payment records, correspondence and certificate copies.

If the seller cannot be found

SEBI indicates that the buyer may approach a court to establish title. A certificate in your possession is not a substitute for that legal determination. Because the evidence and limitation issues differ by case, obtain qualified legal advice and follow the issuer or RTA’s instructions after any order.

Joint holders: why deleting a name is not a shortcut

Changing a joint holding into a single holding changes beneficial ownership. SEBI says a change from joint to single ownership must be completed by transfer in demat mode; it should not be treated as a simple name deletion on a certificate.

The joint demat account’s holder names and their sequence should match the certificate. Where the facts qualify, the investor may use the prescribed transposition-cum-dematerialisation route. Ask the DP and RTA whether that route applies before submitting documents. A mismatch in name order, initials or spelling can cause rejection and delay.

Transmission after a shareholder’s death

Transmission is different from a voluntary sale or gift. It moves securities to a surviving joint holder, nominee or legal heir after the holder’s death. SEBI’s current FAQ states that securities pursuant to transmission are issued in demat mode only under the 2025 RTA master circular.

The documents depend on the claimant and circumstances. A surviving joint holder, registered nominee and legal heir do not use identical evidence. Obtain the relevant issuer/RTA or DP checklist, which may address the death certificate, identification, nominee or succession evidence, affidavits, indemnities and other case-specific requirements. Do not try to use a sale-transfer form to bypass transmission rules.

Costs: separate free account opening from ongoing tariffs

Charges established by SEBI

SEBI’s Investor Charter establishes two useful reference points:

  • There is no charge for opening a demat account.
  • The DP service timeline for dematerialisation is seven days after receipt of proper documents.

The timeline does not include the time for sending certificates, correcting deficiencies, issuer/RTA verification or resolving ownership questions.

Basic Services Demat Account (BSDA) limits

For an eligible BSDA, the charter states the following annual maintenance charge (AMC) caps:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Holding value Equity and general holdings Debt securities
Up to ₹50,000 No AMC No AMC up to ₹1,00,000
₹50,001 to ₹2,00,000 AMC not exceeding ₹100 Not applicable to this equity/general threshold
₹1,00,001 to ₹2,00,000 Not applicable to the equity/general row AMC not exceeding ₹100

These are BSDA caps attributed to SEBI’s Investor Charter, not a universal price list for every demat account. Eligibility conditions and the DP’s current tariff determine whether they apply.

Charges you must verify with the chosen DP

Compare the DP’s current tariff sheet for:

  • Regular AMC when the account is not a qualifying BSDA.
  • Dematerialisation, rematerialisation and physical-document handling, if charged.
  • Delivery, off-market transfer and other transaction fees.
  • Statement, closure, pledge, address-change or additional-service fees.
  • Postage, courier and document-correction expenses, which can depend on the provider or the case.

The reviewed SEBI material does not establish one universal current charge for every DP or every transaction. Ask for the tariff in writing and distinguish recurring account costs from one-time conversion or document expenses.

Risks and safeguards for each format

Risks specific to paper

  • A certificate can be lost, stolen, damaged or destroyed.
  • Forgery or altered documents can create a dispute.
  • Postal or courier handling can delay a transfer or expose original documents.
  • A name, signature or certificate-number mismatch can prevent dematerialisation.
  • An unregistered historical purchase may require seller cooperation or a court order.

Risks that remain in demat

Electronic custody removes paper-specific risks but introduces account and credential responsibilities. An unauthorised instruction, compromised password or overlooked debit can affect the holding. Market prices can also fall regardless of the format.

SEBI’s practical security measures

  • Never share passwords, one-time passwords or depository login credentials.
  • Keep delivery instruction slips secure and never sign a blank slip.
  • Review DP and depository statements for every debit and credit.
  • Report an unauthorised transaction promptly to the DP and follow its escalation process.
  • Keep account-opening forms, dematerialisation acknowledgements, certificates and transfer records.
  • Appoint a nominee and update the nomination when family circumstances change.

Corporate actions and record keeping

Demat records make the quantity and security identifier visible in account statements, which helps investors reconcile purchases, sales and corporate-action credits. Physical holders must keep the certificate and folio correspondence accurate and respond to issuer or RTA communications. In either format, monitor dividend, interest, bonus, split, rights and other notices and report a missing entitlement to the issuer or RTA with supporting records.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A demat statement is evidence of the electronic account record, not a promise that a company action will be profitable. Reconcile it with contract notes and your own transaction log rather than relying on memory.

The January 2026 special-window development

SEBI published a circular on January 30, 2026 titled “Ease of Doing Investment – Special Window for Transfer and Dematerialisation of Physical Securities.” The publication confirms that the circular exists, but the information currently established here does not set out the window’s eligibility conditions or exact operating dates.

Do not assume that every certificate holder qualifies or that the window overrides the ordinary name-matching, ownership and document requirements. Before acting, read the operative circular text and the latest instructions from SEBI, the issuer or RTA and your DP. If a provider advertises a deadline or eligibility category, request the underlying official notice.

Which format suits which situation?

Keeping a certificate temporarily

Keeping paper may be reasonable when you are preserving records while confirming the registered holder, resolving an inheritance matter or waiting for instructions. Store certificates securely, make clear copies and keep the folio and RTA contact details.

Planning to sell, gift or change ownership

Start dematerialisation early. The conversion cannot be completed in the buyer’s name when the buyer is not the registered holder, and a joint-to-single change requires the correct demat transfer route.

Managing an inherited holding

Use transmission, not a sale form. Identify whether the claimant is a surviving joint holder, nominee or legal heir and obtain that route’s checklist before submitting originals.

Choosing a new demat account

Compare the DP’s registration, security controls, service channels, BSDA eligibility, AMC and transaction tariffs. The cheapest opening offer is not necessarily the lowest total cost if delivery, statement or service fees are high.

A document and status checklist

  • Record the issuer, RTA, folio, certificate numbers, distinctive numbers and quantities.
  • Confirm the registered holder names and their sequence against the proposed demat account.
  • Photocopy or scan every certificate and form before submission.
  • Use a trackable delivery method and retain the DP acknowledgement.
  • Note the submission date and the seven-day DP processing benchmark for proper documents.
  • Check the demat statement for the correct ISIN and quantity.
  • For a rejection, obtain the written reason and submit only the correction requested.
  • For an unauthorised debit or credit, contact the DP immediately and preserve statements and messages.

Bottom line for Indian investors

Demat is usually the more usable format when you need to sell, transfer, gift or administer listed shares. Physical certificates can still be held, but ordinary transfer has required dematerialisation since April 1, 2019. The safe route is to match the registered ownership details, convert through a SEBI-registered DP, verify the electronic credit and then use the demat transfer process. Account opening is free under SEBI’s charter, while AMC and transaction costs depend on BSDA eligibility and the DP’s current tariff. Demat reduces paper-custody hazards, but secure credentials, monitor statements and handle inheritance or legacy ownership as separate legal and administrative processes.
