Northpointe Bancshares’ filings show how weaker mortgage conditions could pressure its loan sales, mortgage operations and Mortgage Purchase Program (MPP). But the latest reported results do not show an MPP contraction: balances grew through June 30, 2026, and net gain on loan sales increased after specified fair-value changes are excluded. The evidence supports a risk analysis, not a claim that those risks have already materialized.
What Northpointe’s mortgage exposure includes
Northpointe Bancshares, Inc. is a bank holding company headquartered in Grand Rapids, Michigan. Its common stock trades on the New York Stock Exchange under NPB. Through Northpointe Bank, it combines residential mortgage origination and servicing with digital banking and a nationwide MPP. The latest company filing covered the six months ended June 30, 2026; it does not establish whether the broader mortgage market was weakening as of October 13, 2026.
The two main mortgage-related businesses have different risk pathways. The bank originates residential mortgages, sells a substantial portion, and services loans. MPP, by contrast, provides short-term, floating-rate funding to independent mortgage bankers secured by one-to-four-family loans they are preparing to deliver to the secondary market. Northpointe says loans generally remain in an MPP client’s facility for less than 30 days. Northpointe’s second-quarter 2026 Form 10-Q and its 2025 Form 10-K describe these activities and risks.

|---|---|---|---|
| Direct residential mortgage banking | Originates loans, sells a substantial portion, and services loans. | Borrower demand, production volume, costs, sale pricing, servicing economics, and access to secondary-market buyers. | Residential mortgages were 24.56% of total loans at June 30, 2026, down from 28.05% at December 31, 2025. Northpointe attributed the lower share to normal amortization and pay-offs while focusing on MPP and All-in-One loan growth. |
| MPP | Provides short-term advances to independent mortgage bankers against loans awaiting delivery to the secondary market. | Client production and financial health, collateral value and liquidity, repayment, and continued access to secondary-market exits. | MPP represented 57.98% of total loans at June 30, 2026, and balances had risen $513.0 million since December 31, 2025. |
The MPP figures show both concentration and growth. At June 30, 2026, MPP made up 57.98% of total loans; that is a material balance-sheet exposure, but its $513.0 million increase since year-end is not evidence of contraction. Separately, Northpointe reported that MPP accounted for 30.4% of revenue for the year ended December 31, 2025. That annual revenue share should not be treated as a 2026 interim figure.

How weaker mortgage conditions could affect earnings
Rates can change demand, refinancing and servicing economics
Northpointe states in its 2025 Form 10-K that “Mortgage production, especially refinancing activity, declines in high interest rate environments.” Fewer borrowers seeking to refinance can reduce direct loan production. Lower production at independent mortgage bankers could also mean less demand for MPP funding. The company’s disclosure describes a risk mechanism, not a forecast that rates or mortgage demand will move in a particular direction.
Rates do not have a single, uniformly negative effect. Lower rates may bring more borrowers into the market or make refinancing attractive, but can also change prepayment behavior and the value of mortgage-servicing rights. The net effect depends on how borrower demand, loan sales and servicing valuations move together.

Lower production can leave costs spread over fewer loans
Mortgage businesses need enough volume to cover production and operating costs. Northpointe says its profitability could decline if it cannot originate and resell a high volume of mortgage loans. If revenue falls faster than expenses, lower production can weaken margins even when the business continues to close and sell loans.
Loan-sale results require a fair-value distinction
For the six months ended June 30, 2026, reported net gain on loan sales was $4.3 million lower year over year. The 2026 reported amount included a $564,000 loss from combined fair-value changes in loans held for investment and the lender risk account. Excluding the specified fair-value items, net gain on sale was $34.2 million, up $1.7 million from $32.4 million in the same period of 2025. Northpointe attributed the increase primarily to higher saleable residential mortgage rate-lock commitments. The reported decline and the adjusted increase are different measures; neither alone proves a broad deterioration or improvement in mortgage unit economics.

Secondary-market disruption can affect both revenue and funding
Northpointe depends on selling or securitizing loans. Delays, weaker investor demand, changes in loan eligibility, or reduced market liquidity could make those exits harder. The company warns that an inability to sell loans could constrain funding for new closings and pressure revenue and margins. This channel matters to direct originations and to MPP, whose client loans are being prepared for secondary-market delivery.
Why MPP concentration creates a distinct risk
MPP exposes Northpointe not only to mortgage demand but also to the condition of independent mortgage bankers and the loans securing advances. Northpointe says MPP clients face many of the same macroeconomic risks as its own mortgage business. If clients fail, collateral loses value or liquidity, or competitors and government-sponsored enterprise funding options displace MPP, the bank could face lower activity or losses.
The filing says Northpointe has recourse to the originator and to unsold loans in a facility. That is a potential recovery source, not a guarantee that the bank would recover all amounts owed, particularly if both a borrower and its collateral are under stress. MPP’s large share of loans makes client performance and collateral conditions important to watch even while reported balances were growing.

Funding and collateral are part of the risk picture
At June 30, 2026, Northpointe reported $5.23 billion in total deposits, including $2.74 billion in brokered time deposits, compared with $2.64 billion in brokered time deposits at December 31, 2025. It also reported $1.43 billion in Federal Home Loan Bank advances. Those advances were secured by approximately $4.1 billion of mortgage loans, including MPP facilities, and loans held for sale.
These figures identify funding exposures to monitor, not evidence of a liquidity crisis. Northpointe says it monitors brokered-deposit concentrations and considers current levels appropriate given its funding sources, liquidity position and balance-sheet strategy. If loan-sale liquidity or collateral values deteriorate, the relationship between mortgage assets and funding becomes more consequential.

Real-estate exposure extends beyond the mortgage business itself. Northpointe’s 2025 annual report said approximately 99% of loans had real estate as a primary or secondary component of collateral at December 31, 2025. That dated figure is not the June 2026 mortgage portfolio mix, but it indicates why weaker property values or liquidity could affect recoveries and credit losses across the loan book.
Quick Recap
What the latest results do—and do not—show
- MPP was growing in the reported period: balances increased $513.0 million between December 31, 2025 and June 30, 2026, reaching 57.98% of total loans.
- Residential mortgage share declined: it was 24.56% of total loans at June 30, 2026, versus 28.05% at year-end 2025. Northpointe cited normal amortization and pay-offs and its focus on growing MPP and All-in-One loans.
- Loan-sale gains tell two different stories depending on fair-value treatment: the reported six-month figure was down $4.3 million year over year, while the measure excluding specified fair-value changes rose $1.7 million.
- The filings disclose vulnerabilities, not proof that every downside has occurred: they do not establish a current market contraction, a liquidity emergency, or subsequent-quarter performance.
Signals to watch in future filings
- MPP balances and their share of total loans, alongside originator delinquencies, defaults, and collateral recoveries.
- Residential production, saleable rate-lock commitments, loan-sale gains, and the company’s explanation of fair-value changes.
- Evidence of delays, tighter eligibility, weaker investor demand, or reduced liquidity in loan sales and securitizations.
- Brokered-deposit balances, FHLB advances, collateral pledged against advances, and management’s discussion of liquidity and funding costs.
- Mortgage-servicing-right valuations and prepayment assumptions as interest rates and refinancing activity change.
