“Netflix, Amazon, and Apple are reportedly planning to buy Warner Bros.” was a legitimate October 2025 report about possible buyer interest, not a joint purchase plan or completed deal. Netflix later signed a proposed agreement, but Paramount Skydance outbid Netflix; as of August 18, 2026, Paramount’s proposed Warner Bros. Discovery acquisition had not closed.
The headline is therefore outdated and misleading without its date. Netflix became the only one of the three named companies with a documented acquisition agreement. Amazon and Apple were reported as possible interested parties, but the reviewed sources do not verify that either company submitted a successful formal bid.
Key takeaways
- In October 2025, Netflix, Amazon, and Apple were reported as possible buyers of Warner Bros. Discovery assets, but the report did not establish that all three had made formal offers.
- Netflix later announced a proposed Warner Bros. transaction valued at approximately $82.7 billion in enterprise value and $72 billion in equity value, structured to follow the separation of Discovery Global.
- Paramount Skydance made a superior proposal involving $31 in cash per WBD share, and Netflix said on February 26, 2026, that it would not raise its offer.
- Paramount Skydance became the proposed buyer, but the transaction had not closed as of August 18, 2026, because a U.S. antitrust lawsuit by 12 states delayed completion.
- European and U.K. approvals did not resolve the U.S. litigation; the agreement’s outside date was June 2027, subject to the case and other closing conditions.
What did “Netflix, Amazon, and Apple are reportedly planning to buy Warner Bros.” actually mean?
The October 2025 headline meant that the three companies were reported as potential interested parties during Warner Bros. Discovery’s strategic review. It did not prove that Netflix, Amazon, and Apple were working together, that each had submitted a binding offer, or that any of them had agreed to purchase the company.

The report did not establish identical levels of involvement by the three companies, and a comma-separated headline could incorrectly make separate possibilities look like a coordinated plan.

The October 2025 report naming Netflix, Amazon, and Apple is the basis for the original claim. The report should be cited in the past tense because the bidding situation changed substantially afterward.
What is the difference between interest, a bid, and a completed acquisition?
Media-sale reporting can describe several very different stages of a transaction. Being mentioned as a possible buyer is not equivalent to signing a merger agreement or completing a purchase.
| Stage | What it generally means | What the October 2025 report established |
|---|---|---|
| Potential interest | A company may be evaluating the opportunity or considering whether to participate. | Netflix, Amazon, and Apple were reported as possible interested parties. |
| Nondisclosure agreement | A prospective buyer may receive confidential information under agreed confidentiality terms. | Not established by the reviewed evidence for all three companies. |
| Nonbinding indication of interest | A preliminary expression of possible price or structure that is not yet a final commitment. | Not established for all three companies. |
| Binding bid | A more formal offer subject to specified conditions and negotiations. | Not established for Amazon or Apple in the reviewed sources. |
| Merger agreement | The target and buyer sign a transaction contract, still subject to approvals and closing conditions. | Netflix later reached a documented proposed agreement; the original report did not say that it had already done so. |
| Closing | Required conditions are satisfied and ownership legally transfers. | The Netflix transaction did not close, and the Paramount Skydance transaction had not closed as of August 18, 2026. |
Which Warner Bros. company or assets were being discussed?
The phrase “buy Warner Bros.” simplified a complicated corporate structure. The relevant company in the original strategic review was Warner Bros. Discovery, or WBD, a corporation containing Warner Bros. film and television production, HBO and HBO Max, Warner Bros. Games, CNN, Discovery’s lifestyle and factual networks, U.S. and international linear television networks, and related sports, news, and entertainment assets.
The Tool Desk
Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →WBD was considering strategic alternatives that included a potential sale or separation of businesses. WBD also planned to separate its Warner Bros. and Discovery Global operations. Netflix’s eventual proposal was designed to acquire Warner Bros. after the Discovery Global separation rather than simply purchase the entire pre-separation WBD corporation. The distinction is documented in Netflix’s acquisition announcement and the related SEC filing describing the transaction structure.
| Transaction reference | Package described in the dossier | Why the distinction matters |
|---|---|---|
| Netflix’s proposed deal | Warner Bros. following the separation of Discovery Global | Netflix was not proposing to acquire the entire pre-separation WBD company in the same form as Paramount’s later proposal. |
| Paramount Skydance’s proposed deal | The broader Warner Bros. Discovery company | The proposal covered a wider corporate package, including WBD businesses beyond the post-separation Warner Bros. assets. |
What happened after the October 2025 report?
The story moved from reported interest to a documented Netflix proposal and then to a competing Paramount Skydance transaction. The following chronology separates what was reported from what companies formally announced.
| Date | Development | Status |
|---|---|---|
| October 2025 | Netflix, Amazon, and Apple were reported as possible interested buyers during WBD’s strategic review. | Reported potential interest; not proof of three formal bids. |
| 2025 | Netflix announced a proposed acquisition of Warner Bros. following the planned separation of Discovery Global. | Documented proposed agreement, subject to conditions and approvals. |
| 2026 | Warner Bros. Discovery’s board determined that Paramount Skydance’s revised proposal could reasonably be expected to constitute a superior proposal. | Competing proposal; not yet a completed acquisition. |
| February 26, 2026 | Netflix announced that it would not raise its offer. | Netflix left the bidding contest. |
| July 2026 | The European Commission approved Paramount Skydance’s acquisition. | European clearance only; other conditions remained. |
| August 2026 | The U.K. Competition and Markets Authority approved the acquisition. | U.K. clearance only; U.S. litigation remained. |
| August 18, 2026 | The Paramount Skydance transaction remained delayed by U.S. antitrust litigation brought by 12 states. | Proposed acquisition pending, not closed. |
Did Netflix actually buy Warner Bros.?
No. Netflix announced a proposed deal, but Netflix did not acquire Warner Bros. Netflix declined to increase its offer after Paramount Skydance submitted a superior proposal.
Netflix’s original proposal was valued at approximately $82.7 billion in enterprise value and $72 billion in equity value, according to Netflix’s 2025 announcement. Enterprise value and equity value are different measures: enterprise value includes the value of the business’s capital structure, while equity value refers to the value attributed to shareholders.
On February 26, 2026, Netflix said that matching Paramount Skydance’s latest proposal was no longer financially attractive. Netflix’s statement declining to raise its offer is the clearest primary-source confirmation that Netflix withdrew rather than complete the purchase.

Who is the proposed buyer now?
Paramount Skydance is the proposed buyer under the later transaction, not the confirmed owner. Warner Bros. Discovery’s board said the revised Paramount Skydance proposal could reasonably be expected to lead to a superior proposal. The terms included $31 per WBD share in cash, a possible ticking fee, and a $7 billion regulatory termination fee, according to WBD’s board statement.
Paramount Skydance’s offer also differed from Netflix’s proposed transaction because Paramount pursued the broader Warner Bros. Discovery company. That means “Paramount is buying Warner Bros.” and “Netflix planned to buy Warner Bros.” did not describe the same asset package or transaction design.
Why has the Paramount Skydance deal not closed?
The Paramount Skydance transaction had not closed as of August 18, 2026 because U.S. antitrust litigation delayed completion, even though regulators in Europe and the U.K. had approved the acquisition.

The U.S. Department of Justice’s Antitrust Division reviewed competitive effects during the Netflix and Paramount bidding process and later issued a statement about closing its investigation of the merger. The DOJ review and the separate state lawsuit are not the same thing; ending a federal investigation did not automatically eliminate the litigation brought by the states. The relevant Department of Justice statement provides the federal position.
The European Commission approved the acquisition in July 2026, and the U.K. Competition and Markets Authority approved it in August 2026. Those approvals did not guarantee U.S. clearance.
A coalition of 12 states challenged the merger in the United States. The parties agreed to postpone completion until the litigation ends or until the merger agreement’s outside date in June 2027, subject to the case’s outcome and other closing conditions. The transaction was delayed, not definitively declared failed, as of August 18, 2026. The reported agreement to pause closing and the Associated Press report on the litigation describe the unresolved status.
Why were Netflix, Amazon, and Apple mentioned as possible buyers?
The three companies each had a plausible strategic reason to examine Warner Bros. Discovery assets, but strategic logic is not evidence that a company made a formal offer.
Do these 3 things before closing this tab:

Netflix could use HBO’s premium television brand, Warner Bros.’ film library, major franchises such as DC and Harry Potter, and additional production capacity to deepen its global entertainment business. Netflix ultimately demonstrated the strongest documented commitment among the three companies named in the original headline by announcing a proposed agreement.

Netflix’s stated transaction plan contemplated keeping streaming platforms separate and continuing theatrical releases, while Warner Bros. films could potentially reach streaming more quickly. Those were provisions or intentions associated with the former proposal, not current Netflix policies, because Netflix withdrew from the bidding contest.
Why would Amazon be interested?
Amazon could theoretically combine Warner Bros. content with Prime Video, Amazon MGM Studios, advertising, commerce, devices, and cloud infrastructure. Warner Bros. franchises and a larger content library could support streaming engagement, international expansion, and other parts of Amazon’s entertainment ecosystem.
The reviewed sources support describing Amazon only as a reported potential interested party. The sources do not verify that Amazon submitted a successful formal bid or became an eventual buyer.
Why would Apple be interested?
Apple could theoretically use Warner Bros. content to strengthen Apple TV+, its services business, and the value of its device ecosystem. Warner Bros.’ premium television, film, and franchise assets could complement Apple’s curated entertainment positioning.
The reviewed sources do not verify a formal Apple acquisition offer. Apple should therefore be described as a possible interested buyer in the October 2025 report, not as a confirmed bidder or current participant in the transaction.
Was this a joint Netflix, Amazon, and Apple plan?
No evidence in the reviewed sources supports the idea that Netflix, Amazon, and Apple were collaborating on a joint purchase. The companies would have been separate potential buyers, and the original report did not establish that they were acting together or seeking identical assets.
The wording “Netflix, Amazon, and Apple are planning to buy Warner Bros.” is also too definite when presented without attribution. A more accurate version is: “Netflix, Amazon, and Apple were reportedly among companies interested in Warner Bros. Discovery assets in October 2025.”

| Company | Possible strategic use | What is actually verified |
|---|---|---|
| Netflix | Add Warner Bros. films and television to its global catalog; use HBO and major franchises to expand premium streaming; potentially alter theatrical and licensing windows. | Netflix announced a proposed post-separation Warner Bros. acquisition, then declined to raise its offer. |

What could the deal mean for viewers?
The ownership outcome could affect streaming libraries, HBO Max availability, Warner Bros. theatrical releases, licensing to rival services, franchise distribution, subscription prices, and regional catalogues. No specific title removals, price changes, or platform policies should be treated as confirmed unless the companies announce them.
A Netflix transaction might have increased the incentive to place Warner Bros. content within Netflix’s global streaming operation, although the former Netflix proposal contemplated keeping platforms separate and continuing theatrical releases. An Amazon transaction could have connected content more closely to Prime Video and Amazon’s advertising ecosystem. An Apple transaction could have emphasized premium programming and a curated service. The Paramount proposal would combine major entertainment businesses, but its consumer effects cannot be known until the transaction closes and integration decisions are announced.
Regional differences would matter. Streaming rights, theatrical windows, existing licensing contracts, regulatory remedies, and local competition rules can produce different outcomes in the United States, the United Kingdom, Europe, and other markets. A change in corporate ownership would not automatically mean that every Warner Bros. title would move to one service at the same time.
Why would regulators scrutinize a Warner Bros. acquisition?
Regulators could examine whether a merger would reduce competition in film and television production, streaming, content licensing, advertising, or distribution. Warner Bros. Discovery controls valuable film and television libraries, premium brands, news and sports-related assets, and linear networks, so authorities may consider effects on cinemas, independent producers, advertisers, rival streaming services, and consumers.
Key questions can include whether the combined company would control too much must-have content, restrict licensing to competing services, disadvantage independent producers, reduce theatrical choices, or use a large streaming platform to limit distribution. These are the types of competitive effects that help explain why regulatory approval in one jurisdiction does not settle the outcome everywhere.
The state lawsuit also illustrates the difference between a proposed transaction and a completed merger. A company can announce an agreement, receive some regulatory approvals, and still face litigation or other conditions that prevent closing.
What is the accurate status on August 18, 2026?
Original claim: Netflix, Amazon, and Apple were reported as possible interested buyers in October 2025.

Current status: Paramount Skydance is the proposed buyer under a broader Warner Bros. Discovery transaction, but the deal remained delayed by U.S. antitrust litigation and had not closed as of August 18, 2026.
That status is the essential correction to recycled versions of the original headline. Netflix did not buy Warner Bros.; Amazon and Apple should not be called confirmed bidders based on the reviewed evidence; and Paramount Skydance had not yet become the completed owner.
