MUFG Bank has completed the acquisition of a 20.00% fully diluted stake in India’s Shriram Finance, but it has not announced a takeover or an agreement to take control. A possible future acquisition has been reported by The Economic Times, citing unnamed people familiar with the matter. That report is not confirmation of an official plan.
What MUFG has acquired
MUFG’s April 8, 2026 filing says its acquisition of newly issued Shriram Finance shares closed on that date. MUFG reported a 20.00% holding on a fully diluted basis and said Shriram Finance became an equity-method affiliate. The deal is a substantial minority investment, not a completed takeover. MUFG’s filing gives the investment cost as approximately ¥713.3 billion, including purchase consideration and acquisition-related costs.
The transaction began with an agreement announced on December 19, 2025. MUFG said it would subscribe to a preferential allotment representing a 20% equity interest, subject to relevant regulatory approvals. At the time, MUFG described the expected investment as approximately INR 396.2 billion, or approximately JPY 682.3 billion using the exchange-rate assumptions in that announcement. These are different figures reported at different stages and on different cost bases; the later filing’s amount includes acquisition-related costs. The original announcement also said the companies had signed a memorandum of understanding on a proposed strategic partnership.

Is MUFG taking control of Shriram Finance?
There is no confirmed control deal in the official disclosures described here. The Economic Times reported that the investment could pave the way for an eventual acquisition, attributing that possibility to unnamed people familiar with the matter. It should be understood as a reported prospect, not an announced decision, agreed next step or completed transaction. No named individual’s directly attributable statement confirming a future control plan was identified.
#1 Best Overall
Four separate elements matter when assessing the story: MUFG owns a 20% stake; MUFG said the deal includes two appointments to Shriram Finance’s board; the companies have a proposed strategic partnership; and a future control transaction is only a media-reported possibility. A minority holding, board appointments and strategic cooperation do not by themselves establish that control has changed or that another acquisition has been agreed.
How the transaction received approval and closed
- December 19, 2025: MUFG announced the preferential allotment agreement and proposed strategic partnership, subject to regulatory approvals.
- March 25, 2026: India’s Competition Commission announced that it had approved MUFG Bank’s acquisition of certain shares in Shriram Finance. The CCI release describes Shriram Finance as a publicly listed NBFC registered with the Reserve Bank of India.
- April 8, 2026: MUFG reported that the acquisition had closed, its fully diluted stake was 20.00%, and Shriram Finance had become an equity-method affiliate.
Why MUFG says it invested
MUFG framed the investment as a way to build a business foundation in India’s MSME and retail markets. Its stated aims include supporting growth in new commercial-vehicle and MSME lending, improving funding capacity and profitability, and combining MUFG’s client network and banking know-how with Shriram Finance’s local presence and customer relationships. MUFG also cited the two board appointments and the proposed strategic partnership as parts of the relationship. These are the companies’ stated objectives, not evidence that the anticipated business results have already occurred.

What Shriram Finance does
Shriram Finance is a publicly listed, RBI-registered non-banking financial company (NBFC) classified by the Competition Commission as an “NBFC-Upper Layer.” Its lending spans commercial and passenger vehicles, construction and farm equipment, MSMEs, two-wheelers, gold and personal loans. MUFG’s filing emphasizes the company’s focus on used commercial and passenger vehicles and working capital for MSMEs and individual business owners in the transportation sector. The CCI’s transaction release provides the broader description of its lending categories.

What to watch for next
A further move toward control would require new, verifiable disclosures; the current 20% investment and proposed cooperation do not settle whether one will occur. For an update, look for announcements or filings from MUFG and Shriram Finance, as well as notices from Indian regulators. The available official transaction disclosures establish the completed minority investment and approval, while the control possibility remains attributed to unnamed sources in media reporting.
