Choose the document according to the work and risk, not the title. Use a memorandum of understanding (MoU) for an exploratory relationship and shared intentions; use a research collaboration agreement (RCA) when the parties will jointly perform research and exchange data, materials or results; and use a binding sponsored-research, contract-research or other commercial contract when one party is paying for defined work, deliverables or enforceable commercial protections. An MoU can still be binding if its wording and governing law create obligations, so every version needs legal and institutional review.
The short answer: match the document to the relationship
Partners usually make the right choice by answering four questions:
- Are you still exploring a relationship, or are you committing to perform research?
- Will money, milestones, acceptance criteria or deliverables change hands?
- Will the parties exchange confidential information, human-subject data, software, biological materials or other controlled assets?
- Who should own, license and publish the results?
If the relationship is exploratory and no sensitive information, payment or deliverable is involved, a carefully drafted MoU can record the intended scope. If both parties will design and execute a project, an RCA is normally the better instrument. If one party is commissioning work for a fee or commercial objective, use a binding contract, sponsored-research agreement (SRA) or contract-research agreement (CRA).
The document name is only a label. The operative clauses, the parties’ intent and the governing law determine whether a promise is enforceable. The UK Government describes a contract as “a legally binding agreement that creates enforceable rights and obligations” and says an MoU is “generally intended to be a non-binding arrangement between parties.” Other institutional guidance, including UC San Diego’s, cautions that an MoU may be binding or non-binding depending on its wording.
How the three documents differ
| Question | MoU | Research collaboration agreement | Binding contract, SRA or CRA |
|---|---|---|---|
| Primary purpose | Record a proposed relationship, broad scope and mutual intentions. | Coordinate jointly executed research and the exchange of materials, confidential data and results. | Purchase or commission defined research, services or deliverables and allocate commercial risk. |
| Typical stage | Early exploration, institutional relationship-building or a framework before project agreements. | Project planning and performance once both parties have research responsibilities. | When work, funding, milestones or commercial outcomes are sufficiently defined to enforce. |
| Enforceability | Usually non-binding, but particular clauses or the whole document can be binding. | Normally binding for its operative terms. | Binding, subject to its governing law and negotiated limitations. |
| Funding and deliverables | Should not be the main instrument for compensation or formal deliverables. | May describe shared contributions, but should state whether costs are shared or separately funded. | Defines price or funding, milestones, acceptance, warranties, remedies and payment conditions. |
| Intellectual property | Should avoid accidental assignments or licences; detailed IP usually belongs in a later agreement. | Allocates background IP, new results, licences and exploitation rights. | Often gives the sponsor stronger control or ownership, subject to negotiation and applicable law. |
| Confidentiality and data | Do not assume protection; use an NDA, MTA or binding agreement for disclosures. | Sets enforceable rules for confidential information, data and materials. | Sets detailed security, permitted-use, audit, return/destruction and regulatory obligations. |
| Publication | Usually leaves publication for a later project agreement. | Commonly preserves academic publication with review and a limited patent-filing delay. | Must be negotiated; some models restrict or remove academic-publication rights. |
| Exit and remedies | May simply end when the parties do not proceed. | Specifies termination, surviving duties, data and material disposition, and dispute handling. | Adds termination for breach or convenience, refunds, service credits, indemnities, liability limits and post-termination rights. |
The Lambert Toolkit describes seven model approaches with different ownership and exploitation outcomes. That range is a reminder that an RCA or contract has no universal IP answer: the partners must choose and draft an allocation that fits their contributions, funding and legal constraints.
When an MoU is the right document
An MoU is useful when the parties need a shared written direction but are not yet ready to commit to a project. Typical uses include exploring a university–industry relationship, identifying broad research themes, agreeing to meet or exchange non-sensitive information, and creating a framework that will later be followed by project-specific agreements.

What a useful exploratory MoU contains
- The parties’ legal names and the purpose of the relationship.
- A non-technical description of possible areas of cooperation.
- Each party’s expected, non-binding role, such as appointing a contact or attending planning meetings.
- A statement that no funding, purchase, employment, agency, joint venture or research deliverable exists unless a later agreement says so.
- An express clause identifying which provisions, if any, are binding and which are statements of intention.
- A term, review date and a simple method for ending the discussions.
- A commitment to negotiate in good faith only if the parties genuinely intend that obligation and local counsel confirms its effect.
UT Dallas guidance warns that a non-binding MOU should not be used to set formal compensation, confidentiality or IP/licensing rights. Those subjects create obligations that belong in an NDA, MTA, RCA or contract. If an MoU mentions them, it should say clearly that the mention is a future negotiating objective rather than a grant, promise or protection.

When an MoU is unsafe on its own
Do not rely on an MoU alone when you will disclose trade secrets, transfer samples, process personal or regulated data, pay for work, promise a deliverable, grant access to facilities, or need a remedy if the other party fails to perform. Sign the appropriate binding instrument before the disclosure or performance. A separate NDA can protect confidential discussions; an MTA can govern physical or biological materials; the RCA or contract can incorporate both where appropriate.
When to use a research collaboration agreement
An RCA is designed for a genuinely joint project in which the parties contribute expertise, personnel, equipment, data, materials or funding and share responsibility for the work. The National Institutes of Health defines it this way: “A Research Collaboration Agreement (RCA) memorializes the exchange of materials, confidential data, and results during a joint research project.”
Core RCA clauses
- Project and contributions. Attach a statement of work identifying objectives, methods at an appropriate level, personnel, facilities, in-kind contributions, cash contributions, milestones and dependencies. State which party bears each cost.
- Governance. Name principal investigators and business contacts, create a steering or project committee if needed, set decision rules, record-keeping duties and escalation paths, and define how scope changes are approved.
- Background IP. List or define the patents, software, data, know-how, samples and other assets each party brings. Grant only the project-use licences required, with field, territory, term and sublicensing limits.
- Results or foreground IP. Define an invention, software, database, dataset and other result; set inventorship and ownership rules; assign responsibility for invention disclosures and patent filing; and describe licences for research, internal use and commercialisation.
- Confidential information. Define marking and oral-disclosure rules, permitted recipients, security standards, exclusions, duration and return or destruction. Align these terms with any existing NDA.
- Data and materials. Specify permitted uses, data protection roles, de-identification, retention, access controls, export or biosafety restrictions, sample destruction and whether derivatives may be made.
- Publication and review. Set authorship principles, acknowledgement, manuscript review deadlines and a narrow delay for patent filing or removal of a party’s confidential information.
- Compliance. Allocate responsibility for ethics approval, human-subject or animal review, biosafety, export controls, information security, applicable privacy law and research-integrity requirements.
- Risk allocation. Address warranties, negligence, indemnity if available, insurance, liability caps and exclusions. Do not assume a public institution can accept every commercial clause.
- Term and termination. Cover termination for breach, insolvency, funding loss or convenience; wind-down work; payment of committed costs; treatment of samples and data; continuing confidentiality; publication; and survival of IP licences and dispute provisions.
- Disputes and law. Choose governing law, venue or arbitration, escalation contacts and urgent-injunction rights where appropriate.
NIH describes one model in which each party retains title to inventions made by its employees. That is a model, not a mandatory rule. The parties can negotiate joint ownership, ownership by inventing party with licences, sponsor ownership, or another allocation that complies with institutional policy and funding terms.
When a binding contract, SRA or CRA is required
Use a binding commercial instrument when one party is buying a defined research service or when failure to perform would create a financial or operational loss that requires a remedy. WIPO distinguishes sponsored-research agreements, which govern a university or institute relationship with a government or commercial sponsor, from contract-research agreements, in which a company hires an institution to conduct research toward a commercial goal.

Signals that the project is commissioned research
- A sponsor pays a price, reimburses specified costs or funds named personnel and facilities.
- The work has milestones, acceptance tests, reports, prototypes, datasets or other deliverables.
- The sponsor needs warranties, service levels, audit rights, indemnity, a liability cap or termination remedies.
- The sponsor requires a defined commercial field, exclusivity, regulatory package or transfer of results.
- The institution is performing work largely to the sponsor’s specification rather than sharing equal scientific control.
A contract can still preserve academic independence and publication. Those rights must be written into the deal; they are not guaranteed by calling the document “sponsored research.” Conversely, some contract-research models provide no academic-publication right. UK guidance describes contract-research Agreement 5 as assigning results IP to the collaborator and providing no academic-publication right. Treat that outcome as a negotiated commercial position, not a default for every CRA.
Commercial terms that need precision
- Price, payment schedule, reimbursable expenses, taxes and currency.
- Milestones, acceptance criteria, review periods and what happens if a deliverable is rejected.
- Change control, schedule relief for dependencies and force-majeure treatment.
- Ownership or licences for background IP, results, improvements, software, data and physical outputs.
- Confidentiality duration, permitted disclosures and security standards.
- Publication review, patent-filing delay, public-record disclosures and press announcements.
- Representations, warranties, indemnities, insurance, liability caps and exclusions of consequential loss.
- Termination rights, cure periods, wind-down payment, return of property, data retention and surviving licences.
How to decide: a practical decision tree
- Are you only exploring? If there is no payment, deliverable, sensitive disclosure or transfer of materials, use an MoU with an explicit non-binding statement.
- Will you share confidential information or materials during exploration? Sign an NDA and, for transferred materials, an MTA. Keep the MoU limited to non-binding scope and intentions.
- Will both parties design and perform the research and share risks or results? Use an RCA with explicit governance, background IP, results IP, publication and compliance clauses.
- Is one party commissioning work for payment or a commercial objective? Use an SRA or CRA, or another binding contract, with deliverables, payment, acceptance, IP, publication and remedies.
- Are there several institutions, companies or funders? Use a consortium agreement tailored to governance, access, IP and voting. The Lambert Toolkit notes that multi-party permutations require negotiation rather than a single decision guide.
Who owns intellectual property from joint research?
There is no universal “joint research” ownership rule. Ownership may depend on inventorship, employee-assignment law, funding terms, institutional policy, the type of result and the contract. Separate four questions that are often confused:

- Background IP: What a party already owned before the project. It normally remains with that party.
- Results IP: What is created during the project. The agreement should define ownership by inventorship, creator, contribution or another stated test.
- Use rights: What each party may do with the background and results, including research, internal operations, sublicensing and commercialisation.
- Protection and cost: Who files patents, registers software or protects confidential know-how, who pays, and what happens if a party declines.
Joint ownership can sound fair but may be difficult in practice because patent filing, licensing, enforcement and accounting rules differ by jurisdiction. An ownership-by-inventing-party model with negotiated licences can be simpler; so can sponsor ownership paired with a broad research licence for the institution. Record the commercial field, territory, exclusivity, sublicensing, diligence milestones and revenue sharing rather than leaving them to a later “good faith” discussion.
Can a company-funded project publish its results?
Yes, but only if the agreement preserves that right. A common collaborative model allows a manuscript to be sent to the other party for a short review period to remove confidential information and identify patentable inventions. The review should not become an unlimited veto over unfavorable findings. Define the response deadline, the maximum patent-filing delay and what happens if the reviewer does not respond.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsA sponsor may instead request confidential treatment, delayed publication, approval of public statements or no academic publication. Those restrictions can be material to researchers, students and funders. UK contract-research Agreement 5 is an example in which results IP is assigned to the collaborator and no academic-publication right is provided. If publication is important, make it a condition of approval and check any funder or institutional policy before signing.
Confidentiality, data and materials: do not leave them implicit
An MoU’s existence does not automatically protect a disclosure. A binding NDA should identify confidential information, permitted use, recipient controls, exclusions for independently developed or publicly known information, compelled disclosure and the survival period. For personal, clinical or regulated data, add a data-processing or data-sharing schedule that allocates controller or processor roles, security measures, breach notification, retention and deletion.
An MTA is appropriate when a party supplies physical or biological material. It should cover permitted experiments, transfer to subcontractors, derivatives, genetic or sequence data, publication, safety, ownership, destruction and return. An RCA or contract may incorporate these terms, but the document should not leave a laboratory team to infer them from a broad “cooperate” clause.

Governance, compliance and risk allocation
Research agreements fail operationally when the legal document names a project but not the people and approvals that make it possible. Before signature, identify the principal investigators, project manager, authorised signatories, ethics committees, information-security contact and technology-transfer office. State which party obtains approvals and what happens if approval is denied or delayed.
For regulated or sensitive work, address human-subject protection, animal welfare, biosafety, export controls, sanctions, privacy, cybersecurity, records retention and research integrity. Assign responsibility for incident reporting and investigation. If a party cannot accept an indemnity or unlimited liability because of public-sector rules, negotiate a realistic cap, insurance requirement or risk-sharing mechanism instead of leaving the issue unresolved.

Calling a detailed deal an MoU
Problem: The document sets payment, milestones, IP assignments and confidentiality but labels itself non-binding.
Correction: Separate non-binding intentions from binding operative clauses, or replace the document with an RCA or contract. Ask counsel to check whether the wording creates a binding agreement despite the heading.
Promising “joint ownership” without operating rules

Signing checklist for partners
Before an authorised signatory executes any document, confirm:
Quick Recap
- The legal entities, authority, governing law and signature blocks are correct.
- The chosen instrument matches exploration, joint performance or commissioned work.
- Every contribution, payment, deliverable, dependency and acceptance test is identifiable.
- Background IP, results IP, data, materials, improvements and licences are defined.
- Confidentiality, security, privacy, retention and destruction duties are enforceable.
- Publication review, patent delay, authorship and public announcements are workable for all parties.
- Required ethics, safety, export, privacy and funder approvals are assigned.
- Liability, insurance, indemnity, termination, wind-down and dispute provisions reflect each party’s legal capacity.
- Survival clauses preserve confidentiality, payment, IP licences, publication and dispute rights after termination.
- The institution’s authorised contracts, technology-transfer or legal office has approved the final text.
Bottom line
An MoU is a planning document for an exploratory relationship, not a substitute for protections around money, confidential information or IP. An RCA is the normal choice when partners jointly conduct research and exchange data, materials and results. A sponsored-research or contract-research agreement is appropriate when a sponsor buys defined work or requires enforceable commercial outcomes. Because enforceability and required clauses vary by governing law, institution, funder and research domain, have the authorised contracts or legal office review the document before any money, material, data or confidential information changes hands.
