Market capitalization uses a company’s total shares outstanding; free-float market capitalization uses the shares a particular provider considers available for investment or public trading. The share price may be the same in both calculations, but the share count differs. That difference matters especially when an index uses float-adjusted market capitalization to set constituent weights.

How market capitalization is calculated

Market capitalization, often shortened to market cap, is the value of a corporation’s equity based on its current share price and total shares outstanding. Investor.gov defines it as the current public market price of one share multiplied by the number of total outstanding shares.

Market capitalization = current share price × total shares outstanding

For example, suppose a hypothetical company has 100 million shares outstanding and its shares trade at $20. Its market capitalization is $2 billion: $20 × 100 million. This is an equity-value measure, not the company’s total enterprise value, revenue, cash balance, or an estimate of what an investor would receive by buying the whole business.

The result changes when the share price changes, even if the number of shares stays constant. It can also change when the outstanding share count changes. A market-cap figure is therefore incomplete without knowing its price date and which share-count figure was used. For a company-specific comparison, use dates and share-count definitions that are consistent.

The calculation is simple, but the inputs require care. A stock quote supplies a price, while the share count comes from company information or a data provider. Those inputs may refer to different dates. If a company’s shares trade at a new price today but a published share count reflects an earlier reporting date, the resulting market cap combines a current price with a reported share base from that earlier date. That may be a standard convention, but a reader should know what the figure represents.

Market capitalization is also not a measure of how much cash a company has raised or how much it would cost to acquire control. It is the market value of the outstanding equity under the calculation’s inputs. It does not include a separate adjustment for debt or cash, and it does not tell an investor whether the shares are attractive at the quoted price.

What free float means

Free float is the portion of shares outstanding that a specified method treats as available to investors. The term does not have one universal calculation that every market-data provider and index uses. MSCI defines free float as “the proportion of shares outstanding that is deemed to be available for purchase in the public equity markets by international investors.” That is MSCI’s stated definition; other providers may use different eligibility rules or classifications.

A provider begins with the share base and assesses which holdings count toward the float. Large blocks held by owners who are not regarded as public-market investors may be excluded under the provider’s rules. S&P Dow Jones Indices, for example, describes public float as shares available for public trading and gives founder, executive, and government-agency holdings as examples of large non-trading blocks it excludes for the S&P 500. Those examples illustrate that index methods look beyond the raw share count; they do not establish a universal exclusion rule for every company or index.

Foreign ownership limits can also matter. If a market restricts how much of a company foreign investors may own, the share amount treated as investable by a provider may reflect that constraint. MSCI’s May 2025 Global Investable Market Indexes Methodology describes estimating free float, assigning a Foreign Inclusion Factor, and calculating float-adjusted market capitalization for index weights. The exact treatment depends on the methodology and the security in question.

Free float is not necessarily the same as shares that can be bought or sold instantly at any moment. It is a provider-defined estimate of shares considered available under stated rules, not a guarantee of trading volume, market depth, or liquidity in every condition.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

That distinction helps explain why two credible sources can publish different free-float figures for the same company without either one necessarily making an arithmetic error. They may classify ownership differently, apply different investor-eligibility rules, use different data dates, or update their estimates on different schedules. A figure without its provider and date can conceal these differences.

It is useful to treat free float as a rule-based share classification rather than a physical boundary around shares. A share counted in the float is not guaranteed to be offered for sale, and a share omitted today is not necessarily unavailable forever. The classification answers a specific methodological question: what share amount counts as available under the provider’s rules and at the time of its calculation?

How free-float market capitalization is calculated

Free-float market capitalization applies a share price to the share count included in the applicable free-float calculation:

Free-float market capitalization = share price × shares included in the applicable free-float calculation

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Consider a second hypothetical example. Assume the same $20 share price and 100 million shares outstanding, but a provider’s float estimate includes 60 million shares. Total market capitalization is $2 billion; free-float market capitalization under that provider’s definition is $1.2 billion. The difference reflects the share base used, not a different share price or a second valuation of the business.

The 60 million figure in this example is illustrative, not a claim about a real company or an industry-wide float percentage. An actual reported figure should identify the provider or methodology, the share-price date, and the share-count date. If those details are missing, readers cannot reliably tell what the number represents or reproduce it.

One way to check the arithmetic is to compare the share counts first. In the example, the float estimate includes 60 million of 100 million outstanding shares. Applying the same $20 share price to those included shares gives $1.2 billion. Applying that price to all 100 million shares gives $2 billion. The relationship between the two market values follows from the relationship between the share counts, provided the same price is used.

In an actual index calculation, a provider may express the eligible share amount through a float factor or another adjustment. Conceptually, the provider starts with the relevant share base, applies its assessment of what counts as investable, and then multiplies the included amount by the share price. A Foreign Inclusion Factor, as described by MSCI, is part of the methodology for reflecting foreign-investor access in relevant calculations. The exact formula and treatment should be taken from the provider’s current rules rather than assumed from the label alone.

When verifying a figure, write down the inputs instead of copying a number without context: the share price, price date, total or float-adjusted share count, share-count date, and provider’s definition. If an index is involved, add the index name and any weighting adjustments. This makes it easier to spot a mismatch such as one source using total shares while another uses a float-adjusted amount.

What the two measures tell investors

Total market capitalization gives a broad indication of a company’s equity size. Free-float market capitalization narrows that lens to the shares treated as available for investment by the specified method. Comparing the two can help show how much of the total share base is represented in the provider’s float measure and can draw attention to concentrated or otherwise excluded ownership.

That comparison is descriptive, not a standalone investment verdict. A smaller free-float market capitalization does not by itself show that a stock is cheap or expensive, that it will rise or fall, or that it will be illiquid. Nor does a larger float guarantee that investors can trade a large position easily: liquidity depends on actual market activity and conditions as well as the number of shares classified as float.

When looking at a company, keep the questions separate:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • How large is the company’s equity by total share count? Look at total market capitalization.
  • What share amount does this source treat as investable? Look at its free-float definition and reported float-adjusted value.
  • Can I trade the position I have in mind? Market-cap figures alone do not answer that. They are not a substitute for examining trading activity, spreads, or market conditions.

The comparison can also prompt a useful ownership question: is a substantial part of the company held in blocks that the chosen methodology does not count as public float? That may help explain why the company’s total equity value and float-adjusted value differ. It does not, on its own, explain why those holdings exist or predict whether they will change.

Investors should avoid treating the gap between total and float-adjusted capitalization as a measure of “locked-up” shares unless the provider’s rules and the specific ownership data support that description. The gap is the difference between two calculations under a stated classification system. It is not automatically a complete map of every share owner or every potential trade.

Why free-float market capitalization matters for indexes

In a float-adjusted market-cap-weighted index, a constituent’s weight is based in part on its float-adjusted market value. A company with more shares counted in the float calculation, or a higher share price, can have a larger float-adjusted value and therefore more influence on the index, subject to the index’s other construction rules. S&P Dow Jones Indices explains the relationship directly: “The larger a stock’s float-adjusted market cap, the greater the impact a change in that stock’s value will have on the index level.”

The S&P 500 is one familiar example of a float-adjusted market-cap-weighted index. Its weighting approach uses public float rather than treating every outstanding share as available for public trading. As a result, an investor looking at an index constituent’s total company market capitalization should not assume that the entire value determines its index weight.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

This distinction is useful for index investors because a weighted index is not simply a list of companies ranked by total size. The share base included by the provider affects the relative weight assigned to each constituent; the price movement of a more heavily weighted constituent has a greater effect on the index level, all else equal. Index methodology may also apply additional constraints, such as caps, so the float-adjusted value alone may not determine the final weight.

For a simplified comparison, imagine two constituents with the same share price but different numbers of shares included in the provider’s float estimate. Before any other index constraints, the one with the larger float-adjusted market value would generally receive the larger weight in a float-adjusted market-cap-weighted index. If its price moves, that larger weight means the movement has a larger effect on the index level, all else equal. This is a weighting relationship, not a forecast about which security will perform better.

It is also possible for total capitalization rankings and index weights to tell different stories. A company can have a large total market capitalization but a smaller float-adjusted value relative to another constituent if the provider counts a smaller share amount for index purposes. Conversely, a company’s float-adjusted value may be closer to its total market capitalization when a greater share amount is included. The applicable methodology determines the calculation; investors should not infer the float factor from total market capitalization alone.

Index methodology is the blueprint for how the index is built and maintained. S&P Dow Jones Indices publishes methodology materials covering both total- and float-adjusted-market-capitalization variants. To understand a particular index, read its current methodology rather than relying on the index name or assuming that its rules match another provider’s similarly named measure. The rules tell readers how share counts, float estimates, timing, and any caps or other constraints fit together.

How to compare figures or index methods correctly

Two values labeled “market cap” or “free float” are not necessarily comparable until their underlying definitions and dates match. Use this checklist when comparing a company’s data from different sources or examining an index:

  1. Identify the share base. Is the figure based on total shares outstanding or on a provider’s float estimate? Do not treat the two as interchangeable.
  2. Find the ownership rules. Check which strategic, controlling, restricted, or otherwise unavailable holdings are excluded under the stated method. Examples in one index methodology do not automatically apply to another.
  3. Check access limits. See whether foreign ownership limits or other investor eligibility constraints affect the investable share count. The applicable rule depends on the provider and market.
  4. Check the adjustment factor and timing. Find out whether the provider uses a float factor or another adjustment and when ownership changes are reflected. A reported figure can lag a recent change if the relevant data have not yet been incorporated.
  5. Read the index’s weighting rules. Confirm whether the index uses total or float-adjusted capitalization and whether caps or other constraints alter constituent weights.
  6. Align dates and inputs. Use the same price date where possible and note the date of the share-count or float data. Both price and share ownership can change.
  7. Label the result precisely. State whether a number is total market capitalization or provider-specific free-float market capitalization, and name the provider or index method when relevant.

If a company-specific number is being reported, its calculation should be traceable to the share price and share-count data used. If a figure is intended to explain an index weight, identify the index and consult its current methodology, including any capping rules. Without those details, a comparison may look precise while combining different definitions or dates.

A practical comparison can be organized in a small table with columns for source, measure, price date, share-count date, share base, ownership exclusions, and adjustment method. For index data, add the index name and whether the published value is a raw float-adjusted market value or a final weight after index-level constraints. The table does not settle which methodology is best; it makes the basis for each figure visible.

When comparing an index with another index, start by checking whether both are market-cap weighted in the same sense. One may use total capitalization and another float-adjusted capitalization; one or both may impose caps. Even when the index names or constituent lists look similar, differences in construction can affect the weights. Methodology documents, rather than a shared label, are the reliable guide to those distinctions.

For a company-specific report, use the price and share-count dates as close together as the available data permit, and disclose any mismatch. If a provider reports a factor or float-adjusted share amount, state which one you used. Avoid presenting a precise market-cap figure as though it were timeless: price changes continuously, while share ownership and provider estimates are updated according to their rules.

Common misunderstandings to avoid

  • “Free float” has one standard value everywhere. It does not. Providers classify holdings and apply eligibility rules under their own methods, so a figure should be attributed to its source.
  • Every share not in the float is permanently unavailable. A float estimate reflects a methodology at a point in time. Ownership or access conditions can change, and providers specify how and when their calculations are updated.
  • A large float means a stock is liquid. Float is not a measure of how much trading will occur or how easily a particular order can be filled in all market conditions.
  • Total market cap determines every index weight. Not in a float-adjusted index: the provider’s included share count affects the value used for weighting, and index-level constraints may also apply.
  • A lower free-float value signals a poor investment. The difference between total and free-float capitalization describes the share base counted by a method; it does not establish valuation or future performance.

Another common mistake is to compare a company’s total market cap from one source with a float-adjusted figure from another and interpret the difference as a change in business value. If the price is the same, a different share base can explain the difference. If the dates or prices also differ, both the price input and share classification may be contributing.

Likewise, do not assume that all index providers exclude the same kinds of owners in exactly the same way. S&P Dow Jones Indices’ examples for the S&P 500 are informative for that index’s public-float approach, while MSCI’s definition and methodology describe its own treatment. Each figure needs its own attribution.

Frequently asked questions

What is the difference between market capitalization and free-float market capitalization?

Market capitalization multiplies the share price by total shares outstanding. Free-float market capitalization multiplies the share price by the share amount included under a particular provider’s free-float rules. The price may be identical; the share base is what differs.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

How is market cap calculated?

Multiply the current public market price of one share by the company’s total shares outstanding. For example, at $20 a share and 100 million shares outstanding, the market capitalization is $2 billion. A reported figure should be read with its price and share-count dates in mind.

What is free float?

Free float is the portion of shares outstanding that a specified methodology treats as available to investors. Definitions can vary. MSCI describes free float as the proportion deemed available for purchase in public equity markets by international investors; other providers may use different classifications or eligibility rules.

Why does free-float market capitalization matter for an index?

A float-adjusted market-cap-weighted index uses the included share amount, along with share price, in determining constituent market values and weights. A larger float-adjusted value generally gives a constituent more influence, subject to the index’s other rules. The S&P 500 is an example of a float-adjusted market-cap-weighted index.

Does a larger free float mean a stock is more liquid?

Not necessarily. Free float is a provider-defined share classification, not a guarantee of trading volume, market depth, or the ability to execute a particular order. Liquidity depends on actual market activity and conditions as well as the number of shares classified as float.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Can two providers report different free-float market caps for the same company?

Yes. Providers may apply different ownership classifications, investor-access rules, adjustment factors, and update timing. Before comparing figures, check each provider’s definition, share-count date, price date, and methodology.

Does free-float market capitalization show whether a stock is cheap or expensive?

No. It describes a market value calculated from the price and a specified share base. It does not independently establish whether a security is undervalued, overvalued, likely to rise, or likely to fall.

What should I check before citing a company’s market-cap figure?

Identify whether it is total or free-float market capitalization, name the provider when the float definition matters, and state the price date and share-count or float-data date. For an index-weight discussion, also name the index and check its current methodology, including caps or other constraints.

Frequently Asked Questions

What is the difference between market capitalization and free-float market capitalization?

Market capitalization uses total shares outstanding; free-float market capitalization uses the share amount included by a specified provider’s rules. The same share price can be used for both.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Why does free-float market capitalization matter for an index?

Float-adjusted market-cap-weighted indexes use float-adjusted values to help determine constituent weights. A larger value generally means more influence, subject to index rules such as caps.

Does a large free float guarantee liquidity?

No. Float is not a guarantee of trading volume, market depth, or execution quality in every market condition.

Can different providers publish different free-float figures?

Yes. Their ownership classifications, eligibility rules, adjustment factors, and update timing may differ.

The Bottom Line

Bottom line: Total market capitalization uses all outstanding shares, while free-float market capitalization uses the share amount a specified methodology treats as available for investment or public trading. The distinction can change an index constituent’s weight, but it does not by itself measure liquidity, investment value, or future performance. When citing a figure, identify its share base, provider or index method, and relevant dates.
