SkyAI disclosed that it retained approximately 600,000 SOL on October 13, 2026, down from more than 2 million SOL disclosed in September. The company says it is using cash and SOL-sale proceeds to fund a proposed $3-per-share tender offer of up to 95% of several security classes. Bastion Trading, which says it owns about 9.99% of SkyAI, is refusing the terms and demanding a transaction-by-transaction account of the recent sales. Public filings do not yet explain an approximately 400,000-SOL discrepancy between SkyAI’s October 11 announcement and its October 13 filing.
What changed in SkyAI’s Solana treasury
SkyAI’s October 13, 2026 Form 8-K says the company retained approximately 600,000 SOL. That is roughly a 70% reduction in less than a month from the more than 2 million SOL balance disclosed in September.
SkyAI’s October 11 announcement described selling about 1 million SOL and having about 1 million SOL left. If those figures were read together, they imply a treasury of roughly 1 million SOL after the sale. The later 8-K instead reports approximately 600,000 SOL, creating an approximately 400,000-SOL difference. The reviewed public filings and announcements do not establish whether the difference reflects additional sales, transfers, measurement timing or another event. It should not be treated as explained until SkyAI publishes supporting records.

SkyAI’s proposed tender offer
SkyAI intends to make a cash tender offer for up to 95% of each class of its outstanding common stock, cash pre-funded warrants, cryptocurrency pre-funded warrants and strategic advisor warrants. The proposed price is $3.00 for each share or warrant, with a maximum aggregate purchase price of approximately $201 million.

The offer is expected to require valid tenders from at least 50% of each security class. It also depends on SOL remaining above $100 per token throughout the offer period. Other stated conditions include legal and market conditions and avoiding Nasdaq delisting or deregistration.
How SkyAI says it will pay
SkyAI says the purchases would be funded with cash on hand and proceeds from selling SOL. As of the October 13 filing, the company reported approximately 80% of the needed cash and approximately 600,000 SOL still in its treasury. That leaves the company relying on the remaining cash position, additional SOL-sale proceeds or both to satisfy the maximum offer amount, subject to the final terms and conditions.

What Bastion Trading is demanding
Bastion Trading and its affiliates say they beneficially own approximately 9.99% of SkyAI’s outstanding common stock. Bastion has said it will not tender at the announced terms and is challenging the process rather than accepting the $3 price.
Disclosure requests
Bastion is demanding immediate disclosure of the timing, quantity, sale prices, proceeds and approval process for the recent SOL transactions. Its release characterizes the issue as a lack of transparency around the disposal of approximately 70% of SkyAI’s Solana holdings.
Price and governance requests
Bastion is seeking a tender price of at least $3.50 per share or warrant, compared with SkyAI’s proposed $3.00. It is also calling for changes to the board and greater oversight of the transaction, including scrutiny of the strategic advisor warrants covered by the offer.

Those positions are Bastion’s demands, not findings established by SkyAI’s filing. The public documents establish the ownership claim, the refusal to tender on the announced terms and the requested changes; they do not establish that SkyAI breached a rule or that the sales were improper.

What happened to the missing 400,000 SOL?
At present, the answer is unresolved. The October 11 description of roughly 1 million SOL sold and roughly 1 million SOL remaining does not reconcile with the October 13 Form 8-K’s approximately 600,000-SOL balance. The available materials do not provide verified transaction-level dates, quantities, prices or proceeds that would bridge the gap.
Until those records are released, readers should avoid inferring that the difference represents an undisclosed sale, a transfer, an accounting error or another specific cause. Bastion is asking for exactly the records needed to test those possibilities, but a demand for disclosure is not proof of what occurred.

What happens if SOL falls below $100?
SkyAI’s stated condition is that SOL remain above $100 throughout the offer period. If that condition is not met, the company may be unable to complete the tender offer under the announced terms. The filing does not establish that a drop below $100 would automatically cancel the offer, nor does it specify a substitute price or financing plan. Final tender materials and the company’s formal treatment of the condition would determine the outcome.
The price condition matters because SkyAI plans to use SOL-sale proceeds to fund a cash purchase. A lower SOL price could reduce proceeds from any additional sales and increase pressure on the cash that the company says is already only approximately 80% of the amount required.
Why the dispute matters to shareholders
Disclosure
Investors need a complete ledger of the SOL sales to reconcile the treasury balance: dates, amounts, execution prices, counterparties or venues where required, gross proceeds, fees and the board or committee approvals. Without that information, shareholders cannot independently evaluate the approximately 400,000-SOL difference.

The central price dispute is $3.00 versus Bastion’s requested minimum of $3.50. Evaluating either figure requires knowing how much SOL and cash SkyAI will hold after funding the offer, how many securities are validly tendered and whether the 50% threshold is met for every class.
Governance
The offer covers common stock and several warrant classes, including strategic advisor warrants. That makes board independence, approval procedures and treatment of each class material to shareholders deciding whether the transaction is fair.
Execution
Completion depends on multiple moving parts: at least 50% valid tenders in each class, SOL staying above $100 during the offer period, sufficient financing, final offer documents, legal and market conditions and the company avoiding Nasdaq delisting or deregistration.
