Do not decide on a Jio IPO application from subscriber scale or headline profit alone. The proposed issue gives investors exposure to Jio Platforms Limited, but the eventual return will depend on the price paid, sustainable cash generation, borrowings and deferred obligations, telecom regulation, network execution, customer retention and governance. The final price band, issue timetable, lot size, post-issue share count and use of proceeds were not established in the available June 2026 announcement, so those items must be verified in the latest Red Herring Prospectus (RHP) and exchange notices before bidding.
What the proposed Jio IPO is—and what is still unknown
Reliance Industries announced on June 19, 2026 that its board had approved a Draft Red Herring Prospectus for a fresh issue of up to 27 crore shares of Jio Platforms Limited. The issue is intended to use book building, meaning the final offer price will be discovered from bids within a price band rather than fixed in the initial announcement.
A fresh issue creates new shares and sends the proceeds to the company, unlike an offer for sale in which existing holders sell their shares. That distinction matters: investors need to know whether the money will repay debt, fund spectrum and network investment, support digital infrastructure, or serve another purpose. The available announcement does not establish the final price band, issue dates, minimum lot, final number of shares, allocation rules or proceeds schedule. Treat any unofficial figures for those terms as provisional until the latest RHP and stock-exchange filings confirm them.
Jio’s reported scale and financial base
The business enters the proposed IPO with substantial reported scale. Jio Platforms reported FY2025–26 revenue from operations of ₹1,468,853 million and profit for the year of ₹300,491 million. For the quarter ended June 2026, revenue was ₹391,729 million and profit was ₹77,641 million. Reliance’s FY26 investor statement separately reported 524 million Jio users, 268 million 5G subscribers, ₹146,885 crore of revenue, ₹76,255 crore of EBITDA and more than ₹30,000 crore of profit after tax for Jio Platforms.

Those numbers show operating momentum, not a guaranteed investment return. Quarterly profit can include changes in depreciation, finance costs, tax and exceptional items. Before using a profit figure in a valuation, reconcile the consolidated financial statements, accounting policies, cash-flow statement and any non-recurring items in the RHP.

Risk 1: valuation may price in a perfect outcome
A strong business can still be a poor IPO purchase if the offer price assumes uninterrupted growth. Calculate the implied equity value only after the final terms are published:

Then compare that value with FY26 profit, the latest quarter’s annualised profit (clearly labelled as an illustration, not a forecast), operating cash flow and free cash flow after network and spectrum spending. Use the post-issue share count, not merely the number of fresh shares, because existing shares also form part of the market capitalisation.
Stress-test the earnings assumptions
- Model slower subscriber additions and a sustained rise in monthly churn from the March 2026 level.
- Test smaller or delayed tariff increases, including resistance from lower-value customers.
- Increase depreciation and amortisation as 5G, fibre, AirFiber and other infrastructure enter service.
- Raise finance costs if interest rates or refinancing spreads increase.
- Apply a lower valuation multiple to account for telecom competition or a weaker market after listing.
If a modest change in any of these assumptions removes most of the expected return, the issue is dependent on an aggressive entry valuation. Reported growth does not by itself prove that the IPO price is justified.
Risk 2: debt, leases and deferred payments can obscure leverage
The risk disclosure states that fund-based outstanding borrowings of Jio Platforms and its subsidiaries totalled ₹715,292 million at March 31, 2026. That is not a complete measure of the obligations supporting the network. Read borrowings together with lease liabilities, interest-bearing obligations, spectrum-related payments and deferred payment liabilities.

At June 30, 2026, deferred payment liabilities were reported at ₹995,517 million on a non-current basis and ₹49,620 million as current. These amounts should not automatically be added to bank debt without understanding their accounting classification and payment schedule, but they do show why a headline net-debt number can be incomplete.

Questions to answer in the RHP
- How much of the IPO proceeds will repay borrowings, and which facilities will be affected?
- What are the maturity dates, interest rates, currencies, security and refinancing assumptions for material debt?
- Which leases and deferred payments are fixed, indexed or contingent on future events?
- Do loan covenants require lender consent for acquisitions, dividends, asset transfers or other corporate actions?
- What annual cash commitment is required for spectrum, 5G radio equipment, fibre, AirFiber and digital infrastructure?
The filing warns that the capital-intensive business needs continuing funding and that covenants can require consent for certain corporate actions. An IPO can improve the financing mix without eliminating leverage; investors should model cash interest, scheduled repayments and maintenance capex rather than relying on a single debt ratio.
Risk 3: customer scale does not guarantee customer economics
RJIL had 524.4 million customers and a 1.67% monthly churn rate at March 31, 2026. The base is a major operating advantage, but the quality of that base matters more than the headline count. Track active subscribers, average revenue per user (ARPU), data consumption, prepaid-to-postpaid mix, plan downgrades and the cost of retaining or replacing customers.

What to monitor after listing
- Churn: Determine whether the monthly rate is stable, rising in particular circles or concentrated among high-value users.
- ARPU: Check whether increases come from genuine usage and tariff changes or merely from mix shifts.
- Tariff elasticity: Compare customer additions and usage after price increases; the prospectus warns that customers may resist higher tariffs.
- Competitive response: A rival’s discounts, bundled services or network improvements can force lower prices or higher marketing spending.
- 5G monetisation: A large 5G subscriber figure must translate into paid usage, premium plans or lower unit costs to justify the investment.
Churn is not a one-month verdict. Examine a multi-quarter trend, the company’s definition of a customer, and whether inactive or low-value connections are included. A sustained increase can reduce revenue, raise acquisition costs and weaken the return on network investment.
Risk 4: spectrum, licences and regulation can change the economics
Spectrum and telecom licences are essential operating assets, not optional upgrades. The DRHP identifies the risk that failure to maintain or renew licences, obtain needed spectrum or meet licence conditions could materially harm operations. Non-compliance with rules from the Telecom Regulatory Authority of India, the Department of Telecommunications and other authorities can lead to modification, suspension, non-renewal or additional payments.

- Read the expiry and renewal terms for each material licence and spectrum holding.
- Review spectrum dues, usage charges, bank guarantees, payment schedules and any disputed amounts.
- Assess possible changes to tariff regulation, quality-of-service standards, competition rules and data-protection obligations.
- Check whether policy changes could restrict infrastructure sharing, content distribution or digital-service monetisation.
- Look for disclosed litigation, notices, penalties and contingent liabilities involving telecom or spectrum matters.
Historical margins are less informative if a policy change adds recurring fees, limits pricing flexibility or delays a network deployment. Regulatory risk should therefore be included in the valuation range, not treated as a footnote.

Risk 5: network reliability, cyber incidents and technology obsolescence
Jio’s revenue depends on a network that customers can use continuously. The filing warns that prolonged disruption can cause customer losses, contractual penalties and reputational damage. Delayed upgrades can make the service less competitive and increase churn, while cyberattacks or privacy breaches can interrupt operations and trigger investigation, remediation and compensation costs.
Operational evidence to examine
- Network-availability and outage disclosures by circle and service type.
- Capital expenditure plans compared with depreciation, asset lives and expected 5G or fixed-wireless demand.
- Reliance on concentrated equipment, fibre, cloud or software suppliers, including replacement lead times.
- Cybersecurity governance, incident history, privacy controls, insurance and customer-notification procedures.
- Whether new technology deployments can be integrated without degrading existing 4G, 5G or broadband service.
High capex is not automatically bad: it can expand capacity and lower unit costs. The risk is spending ahead of demand, failing to monetise the capacity or needing another funding round before returns mature.
Risk 6: governance, related parties and the Jio trademark
The DRHP says Jio uses non-exclusive arrangements with Reliance Industries, Reliance Retail and other group entities for important business functions. It also notes that Jio Platforms does not control use of the Jio trademark by other Reliance Group companies. These arrangements may be commercially sensible, but public shareholders need to understand their terms and boundaries.
Governance documents to read
- Related-party transactions, balances, service agreements and approval procedures.
- Transfer-pricing methodology for shared employees, technology, infrastructure, marketing and support services.
- Trademark licences, fees, duration, termination rights and restrictions on use by other group companies.
- Promoter voting rights, board composition, independent-director qualifications and committee responsibilities.
- Any conflicts between Jio Platforms, Reliance Industries, retail businesses and other group entities.
Non-exclusive contracts can provide flexibility, but they may also be renegotiated. Investors should test whether the business remains competitive if a shared service becomes more expensive, unavailable or subject to a conflict of interest.
How to evaluate the latest RHP before bidding
- Confirm the issuer and terms. Verify that the document is the latest RHP for Jio Platforms Limited and record the price band, issue dates, fresh-share count, post-issue share count, lot size and reservation categories.
- Recalculate valuation. Multiply each end of the price band by the post-issue shares, then compare the implied market capitalisation with FY26 profit, the latest quarter, operating cash flow and free cash flow.
- Reconcile leverage. Build a schedule covering fund-based borrowings, lease liabilities, deferred payments, spectrum obligations, finance costs and maturities. Identify covenant restrictions and refinancing needs.
- Read the use-of-proceeds section. Separate debt repayment from growth capex and general corporate purposes. A fresh issue that mainly funds expansion carries a different risk from one that materially reduces debt.
- Test customer quality. Follow churn, ARPU, active subscribers, usage, tariff changes and competitive responses over several reporting periods.
- Review regulatory and technology exposure. Mark licence renewals, spectrum payments, litigation, data-protection duties, outage history, supplier concentration and cybersecurity controls.
- Assess governance. Read every material related-party agreement and trademark arrangement, not just the summary table. Note termination rights, pricing mechanisms and board oversight.
- Set a personal decision rule. Decide the maximum valuation and downside you can tolerate before the subscription window opens. Do not raise that limit because of oversubscription headlines or informal market rumours.
Application decisions and common mistakes
There is no evidence in the available announcement that establishes a final minimum application amount, lot size or subscription timetable. Use the final RHP and your SEBI-registered intermediary’s current application screen for those operational details. Confirm the bank account, UPI mandate, investor category, cut-off time and allotment process shown in the official issue documents.
- Mistake: treating users as profit. A large customer count does not reveal ARPU, churn or servicing cost.
- Mistake: using only net debt. Include leases, deferred payments, spectrum commitments and finance costs.
- Mistake: annualising one quarter without qualification. June 2026 profit is a reported quarter, not management’s full-year guidance.
- Mistake: ignoring dilution. Use the total post-issue share count when calculating market capitalisation and earnings per share.
- Mistake: assuming IPO proceeds remove risk. New equity can fund growth while leaving operating, regulatory and execution risks unchanged.
- Mistake: bidding before reading the risk factors. The prospectus itself tells investors to read them carefully before making an investment decision.

Bottom line
Jio Platforms combines exceptional scale with reported FY26 profitability, but those strengths do not settle the IPO decision. The decisive evidence will be the final offer valuation, the post-issue capital structure, the treatment of ₹715,292 million of fund-based borrowings and substantial deferred liabilities, and the company’s ability to convert subscribers and 5G investment into durable cash flow. Investors should wait for the latest RHP, run downside scenarios and apply only when the price compensates for leverage, regulation, execution, customer and governance risks.
