Jardine Matheson has completed its purchase of Balfour Beatty’s 50% interest in Gammon Construction, giving Jardines 100% ownership of the Hong Kong-based construction business. The transaction, signed and completed on 13 October 2026, is valued at £250 million (approximately US$330 million). It is the first acquisition for Jardine Engineering & Infrastructure (JE&I), a new Jardines strategic pillar intended to combine engineering, infrastructure and regional growth capabilities.
What happened in the Gammon transaction
Jardines now owns the entire joint venture
Gammon had been operated as a 50:50 joint venture between Jardine Matheson and Balfour Beatty since 2004. Balfour Beatty has now sold its half to Jardines, so Gammon is no longer jointly owned. The agreement was signed and completed on the same day, 13 October 2026, rather than leaving the ownership change subject to a later closing date.
Jardines described the consideration as £250 million, or approximately US$330 million. The dollar figure is the company’s stated approximation for the 2026 transaction and is not a separate payment.
Payment is spread across three dates
| Payment timing | Structure |
|---|---|
| 13 October 2026 | First of three equal cash tranches, paid at completion |
| 31 December 2027 | Second equal cash tranche |
| 29 December 2028 | Third equal cash tranche |
Because the consideration is divided equally, each instalment represents roughly one-third of the £250 million total, or about £83.3 million before any currency conversion. The announcements do not describe additional performance payments or a separate financing component.

Why Jardines bought Balfour Beatty’s stake
Gammon is the first deal for JE&I
Jardines created JE&I as a strategic platform for its engineering and infrastructure interests. The portfolio combines wholly owned Gammon Construction and Jardine Engineering Corporation with the joint-venture businesses Jardine Schindler and Hactl. Buying the remaining Gammon stake gives Jardines full control of the platform’s largest newly acquired operating business and allows its earnings and capabilities to sit directly within the group.
Jardine Matheson CEO Lincoln Pan called Gammon a “strategic, synergistic expansion” of the JE&I vertical. Jardines’ stated objective is to double JE&I earnings in the coming years through investments that increase controlled earnings and add capabilities across Asia.

Management sees several regional demand pools
Jardines and Gammon expect the construction company to continue pursuing sustainable growth in Hong Kong, Singapore and the wider region. The opportunities identified publicly include:

The earnings case starts immediately, according to Jardines
Jardines said the acquisition is expected to be modestly accretive to earnings from its first year. That statement describes the expected effect on Jardines’ earnings; it does not provide a forecast profit amount, margin target or return-on-investment percentage.
What changes for Gammon after completion
Ownership and accountability
Gammon moves from a jointly governed company to a wholly owned Jardines business. That gives Jardines direct authority over strategic decisions and the ability to pursue synergies with JE&I companies without negotiating future direction with a 50% partner.

Leadership link to the new platform
Kevin O’Brien became CEO of JE&I on 1 October 2026, alongside David Muir as CFO and Justin Wang as chief corporate development officer. O’Brien was previously Gammon’s CEO, giving the new platform an executive who already knows Gammon’s operations and customer relationships. The leadership appointments were announced in August 2026 and took effect before the acquisition closed.

Gammon has said it will continue pursuing growth in its existing markets and across the region, but the public announcements do not specify an employee-restructuring programme or changes to project teams.

Why Balfour Beatty is selling
The disposal supports its portfolio strategy
Balfour Beatty said the sale supports its Evolve, Energise and Explore framework. Exiting Gammon lets the group focus more heavily on its core US and UK geographies instead of retaining a 50% interest in an Asian construction joint venture.
Gammon will leave continuing operations in 2026 reporting
Balfour Beatty reported that its 50% share of Gammon’s profit from operations was £36 million for full-year 2025 and £11 million for the first half of 2026. Gammon will be presented as a discontinued operation in Balfour Beatty’s 2026 financial statements, so readers should not treat those figures as continuing post-sale earnings from the group’s retained businesses.

What has not been disclosed yet
The ownership change and payment timetable are clear, but several practical details remain open. Neither announcement supplies a post-acquisition integration calendar, a project-level investment schedule, or a plan for changing Gammon’s workforce. There is also no published milestone list showing when specific synergies with Jardine Engineering Corporation, Jardine Schindler or Hactl should appear.

For now, the measurable milestones are the completed transfer of ownership, the three scheduled cash payments through December 2028, the creation of JE&I leadership under O’Brien, and Jardines’ expectation of modest first-year earnings accretion. Future Jardines and Balfour Beatty filings will show how the transaction is reflected in full-year 2026 results and whether the regional expansion strategy produces the promised earnings growth.
