Short answer: Nebius Group (Nasdaq: NBIS) could become a substantial AI-cloud infrastructure business, but it is not yet a straightforward long-term investment. Revenue and adjusted EBITDA are growing rapidly, while the company is spending billions on GPUs and data centers, reporting a large quarterly GAAP loss, taking on debt, issuing equity-linked compensation and relying on successful execution. The stock’s attractiveness depends on the price you pay and on assumptions about utilization, margins, funding and dilution. The available 2026 filings do not establish a current share price, market capitalization or defensible price target, so a responsible conclusion is conditional rather than a categorical buy call.

What Nebius Group does

Nebius Group N.V. is headquartered in Amsterdam and listed on Nasdaq. Its main operating business, Nebius AI cloud, provides GPU compute, storage, networking and software services for training and running AI models. Customers can buy capacity on demand or reserve it under fixed contracts. That model is different from ordinary software: Nebius must acquire and install expensive equipment before the related capacity can produce revenue.

The group also owns Avride, an autonomous-vehicle and delivery-robotics business, and TripleTen, an online technology-education business. It has equity stakes, including ClickHouse and Toloka. Group-level earnings therefore combine cloud operations, other operating businesses and investment revaluations. A gain on an equity holding is not cloud revenue, and cloud growth should be assessed separately from the value of those investments.

What the latest results actually show

The most recent figures covered here are Nebius’s unaudited quarter and six months ended June 30, 2026, announced August 12, 2026. The company’s earnings release and operating and financial review provide the following picture:

Measure Q2 2026 First half 2026 How to read it
Revenue $582.3 million, up 454% year over year $981.3 million, up 529% year over year Exceptional reported growth, but group revenue includes more than the AI-cloud operation.
Adjusted EBITDA $236.2 million $365.7 million Non-GAAP profitability measure, not GAAP operating profit or net income.
GAAP net result from continuing operations Net loss of $190.4 million Net income of $430.8 million The half-year profit is affected by investment results and does not prove recurring cloud earnings.
Operating cash flow from continuing operations Positive $2.246 billion Positive $4.504 billion Must be reconciled with working capital, customer-payment timing and financing effects.
Purchases of property, equipment and intangible assets $5.657 billion $8.130 billion Shows how much cash the build-out requires; operating cash flow is not free cash flow.
Depreciation and amortization $259.7 million, up 245% year over year Not stated separately in the cited release Rising depreciation reflects the expanding GPU and data-center asset base.
Share-based compensation $102.5 million, versus $14.7 million a year earlier $137.8 million Track the effect on diluted shares and per-share economics, not just adjusted EBITDA.
Interest expense $119.1 million, versus $4.8 million a year earlier $182.8 million Primarily related to convertible notes issued in June 2025, September 2025 and March 2026.

Adjusted EBITDA excludes depreciation and amortization, share-based compensation, interest, certain transaction costs, investment results, other income or loss and income tax. It can help show operating momentum, but excluding the cost of the equipment, employee equity and financing does not make those obligations disappear.

The quarter’s $190.4 million GAAP loss sits alongside $236.2 million of adjusted EBITDA because depreciation, compensation, interest and other excluded items are substantial. Conversely, first-half GAAP income of $430.8 million should not be treated as a recurring run rate: Nebius recorded a $780.6 million gain from remeasuring its ClickHouse investment after a financing round. That mark is economically different from cash earned by selling cloud capacity.

Nebius changed the estimated useful life of server and network equipment from four to five years prospectively beginning in the first quarter of 2026. The change reduced depreciation relative to the previous estimate for the period. Investors should therefore keep the accounting assumption in view when comparing depreciation, operating income and asset returns across years.

Why the opportunity is attractive

Rapid demand and contracted visibility

The reported growth rate indicates that customers are buying capacity quickly. Nebius says it has more than $40 billion of additional contracted revenue from investment-grade customers such as Microsoft and Meta. This is a company statement, not an independently verified forecast. Contracted value can improve visibility, but it becomes recognized revenue only as delivery and service obligations are completed. Investors still need to check milestones, customer concentration, utilization and payment terms.

Rank #2

Financing tied to deployed infrastructure

On July 17, 2026, Nebius announced its first senior secured debt facility, approximately $775 million, backed by deployed GPU infrastructure and contracted cash flows from an investment-grade customer. It matures October 31, 2030 and is priced at SOFR plus 2.50%. The company said the facility, together with customer cash flows, covers more than 100% of the capital expenditure required for the underlying GPU deployment. That characterization is management’s; it is not an independent assessment of risk-adjusted returns, collateral value or refinancing risk.

Chief Operating Officer Ophir Nave described the strategy as: “We are executing across all the areas that matter for growth: securing capacity, raising capital, strengthening our product offering, and developing other capital-efficient models to scale even further and faster.” The statement captures the opportunity and the dependency: growth requires simultaneous progress in sites, funding, products and operating discipline.

Potential operating leverage

Once a data-center installation is live, additional workloads can improve utilization of already-installed power, networking and staff. Reserved-capacity contracts may also make demand more predictable than purely spot, pay-as-you-go sales. That leverage is only valuable if contracted capacity is delivered on schedule, customers continue using it and pricing remains high enough to cover depreciation, power, maintenance, financing and replacement cycles.

The risks that make NBIS a high-execution investment

Capital intensity and funding

GPU servers, networking, power systems, buildings and land require cash before revenue is recognized. The first-half $8.130 billion of purchases illustrates the scale. If capital markets tighten or equipment costs rise, Nebius may have to slow deployments, borrow more expensively or issue shares and convertibles. Debt creates interest and repayment obligations; equity financing dilutes existing owners.

Power, sites and construction

Winning a contract is not the same as bringing capacity online. Nebius must secure suitable land, electricity, connectivity, water, permits and construction capacity. Grid-connection delays, local restrictions, equipment shortages or cost overruns can postpone revenue and reduce the return on invested capital. A useful diligence question is whether each announced customer commitment has a documented site, power schedule and commissioning date.

GPU and supplier concentration

Nebius’s 2025 Form 20-F identifies reliance on NVIDIA for GPUs and on a limited number of suppliers for other components. A delayed shipment, unfavorable pricing, allocation constraint or rapid change in accelerator technology can affect deployment economics. Newer hardware can also make an existing fleet less competitive or shorten its economically useful life.

Customer concentration and contract execution

The 2025 Form 20-F reports that one customer represented 25% of 2025 revenue and another 15%. Concentration magnifies the effect of a cancellation, delayed deployment, renegotiation, credit problem or change in a customer’s internal AI strategy. Follow both the number of customers and the share of revenue and committed value represented by the largest accounts.

Competition and demand volatility

AI infrastructure is changing quickly. Competitors can add capacity, lower prices, offer different contract terms or adopt more efficient chips. Customers may optimize models, build their own infrastructure or shift workloads between providers. High growth during a supply-constrained period does not guarantee the same pricing or utilization when more capacity becomes available.

Accounting, compensation and dilution

Share-based compensation rose to $102.5 million in Q2 from $14.7 million a year earlier, with the filing attributing much of the increase to acquisition-related compensation and equity awards. Investors should examine basic and diluted shares, option and award activity, and the potential conversion of notes. The June 30, 2026 filing reported 271,855,218 shares issued and outstanding, excluding 50,185,726 Class A treasury shares. That point-in-time figure is not a current fully diluted share count.

How to judge whether the stock fits a long-term portfolio

There is no universal “good investment” answer without a valuation and an investor’s risk tolerance. A high-growth company can be a poor investment if its price assumes flawless execution; a volatile company can be attractive only when the expected return compensates for funding and operating risks. Because the reviewed filings do not establish an October 2026 share price or current market capitalization, do not infer a buy or sell price from these operating figures.

  • Growth-oriented investors: may accept volatility if they believe contracted demand will convert into utilized capacity and durable cash returns.
  • Income or low-volatility investors: should recognize that NBIS is a build-out story with material capital needs, interest expense and no established dividend case in the evidence presented.
  • Conservative investors: may require several periods of positive cash generation after capital expenditure, lower customer concentration and a clearer diluted-share count before considering a position.

Any investment thesis should state an expected revenue path, adjusted and GAAP margin assumptions, capital expenditure per unit of capacity, financing mix, dilution and an exit valuation. If changing one assumption—such as a two-year construction delay or a lower utilization rate—eliminates the expected return, the position is speculation rather than a resilient long-term thesis.

Metrics to monitor every quarter

Demand and delivery

  • AI-cloud revenue growth, customer mix and recognized revenue compared with newly announced contracts.
  • Contracted capacity versus commissioned capacity, utilized capacity and the timing of customer deliveries.
  • Customer concentration, cancellations, amendments, credit quality and payment behavior.

Profitability and cash conversion

  • Adjusted EBITDA and margin alongside GAAP operating income or loss.
  • Depreciation, interest expense and share-based compensation, with the company’s non-GAAP reconciliation.
  • Operating cash flow minus purchases of property, equipment and intangible assets. Review working-capital movements and customer prepayments before calling this figure self-funding.

Capital structure and returns

  • Capex per unit of installed capacity, utilization and eventual cash return on that investment.
  • Cash, gross debt, net debt, secured collateral, floating-rate exposure, maturities and refinancing needs.
  • Basic and diluted shares, convertible-note effects, equity awards and new issuances.
  • Power availability, data-center delivery milestones and supplier lead times.

How to compare Nebius with another AI infrastructure company

Use like-for-like measures rather than headlines. Compare revenue growth and customer concentration; contracted capacity with actually utilized capacity; capital expenditure intensity and return on invested capital; operating cash flow after infrastructure purchases; leverage, interest exposure and dilution; and valuation against a clearly stated revenue, EBITDA or cash-flow forecast.

Do not compare one company’s total contract announcement with another company’s recognized revenue. Also reconcile adjusted EBITDA definitions: exclusions for depreciation, compensation, interest, investment gains or transaction costs can differ materially. A table that places unlike measures side by side can make a weaker business look cheaper or more profitable than it is.

Bottom line for a long-term investor

Nebius offers a credible high-growth AI-cloud opportunity, supported by strong reported revenue growth, large customer commitments and a secured financing structure linked to deployed infrastructure. The counterweight is equally concrete: billions of required capital spending, negative Q2 GAAP earnings, rapidly rising depreciation, $119.1 million of quarterly interest expense, substantial equity compensation, supplier and customer concentration, and the need to secure power and complete construction on time.

NBIS is therefore best viewed as an execution- and valuation-sensitive growth investment, not a proven compounder. Before buying, establish the current share price and fully diluted market value from up-to-date filings or market data, then test whether realistic utilization, financing and margin assumptions justify that valuation. Nebius itself warns that actual results may differ materially from forward-looking statements and that reported results should not be considered an indication of future performance.
