The reported Getty Images take-private agreement and an investment of up to $533 million by the Getty family and Koch Equity are not confirmed by the SEC filings available here. Getty instead disclosed NYSE delisting proceedings, interest payments made within their grace periods, and ongoing discussions with key debt and equity holders about financing alternatives and balance-sheet management.

Is Getty Images going private?

The available company filings do not establish that Getty signed a restructuring agreement to go private, that the Getty family and Koch Equity committed up to $533 million, or that investors would own 100% of the company. Getty’s September 30, 2026 Form 8-K describes strategic financing and balance-sheet discussions, including “an active and progressing dialogue with its key debt and equity holders,” but does not identify a signed take-private agreement or its terms. Getty’s September 30 Form 8-K

That distinction matters: discussions about financing are not the same as a binding transaction. The filings cited here do not verify the agreement date, the investing legal entities, whether any $533 million would be committed or merely available up to a limit, how shareholders or creditors would be treated, or what approvals and closing conditions would apply.

What Getty has disclosed

NYSE delisting proceedings and OTC trading

In its October 1, 2026 Form 8-K, Getty said the NYSE had notified it that delisting proceedings would begin because of “abnormally low selling price” levels and that trading was immediately suspended. Getty said it did not intend to appeal and expected its common stock to be delisted. The company reported that its shares began trading on the OTC Pink Limited Market on September 30 under ticker GETY. Getty’s October 1 Form 8-K

Getty cautioned that it could not assure continued OTC trading, public quotes, or enough trading volume for an efficient market. It also stated that the move to the over-the-counter market would not affect its business operations; that is the company’s statement, not an independent assessment.

Interest payments on senior notes

Getty said it paid the interest due September 1, 2026, on its 9.750% Senior Notes due 2027 and 14.000% Senior Notes due 2028 within the applicable 30-calendar-day grace periods. The company said no Event of Default occurred under the relevant indentures as a result of those payments. This filing-specific disclosure does not, by itself, establish that Getty has completed a restructuring. September 30 Form 8-K

Annual meeting postponed

Getty’s October 1 filing said it postponed its 2026 annual meeting, which had been scheduled for October 8. The filing does not say that this postponement confirms or is a condition of a take-private transaction. October 1 Form 8-K

What happens to GETY stock after the NYSE delisting?

Getty reported that GETY began trading on OTC Pink on September 30, 2026, after the NYSE suspended trading. An OTC listing is not evidence that the company has gone private: Getty’s filing describes a move in where its publicly traded shares were quoted, not a completed change in ownership.

What would need confirmation before calling it a take-private deal?

A definitive company announcement or filed agreement would be needed to substantiate the transaction and explain its mechanics. Key details to check would include:

  • The exact investor entities and whether they are the Getty family, Koch Equity, or other parties.
  • Whether the stated amount is a firm commitment or a capped “up to” figure, and whether it is structured as cash, debt, equity, or a combination.
  • How existing common shareholders and creditors would be treated.
  • Any required shareholder, court, regulatory, or lender approvals, along with conditions to closing and an expected timetable.
  • Whether the transaction would result in 100% ownership and what, if anything, it would change about Getty’s operating business.

Until those points are documented, the reported $533 million figure and 100% ownership claim should be treated as unverified rather than as completed or agreed transaction terms.
