A traditional IPO sells newly issued shares through underwriters, who distribute them to selected investors before public trading begins. A conventional direct listing instead lets existing shareholders sell through the market, usually without the company raising new money at listing. Some direct listings can include newly issued shares sold in the opening auction, so the phrase “direct listing” does not always mean “no capital raise.” The distinction affects who receives proceeds, how the opening price is set, and how an individual investor can try to buy shares. This guide focuses on U.S. listings and the processes described by the SEC, NYSE, and Nasdaq.

What is the difference between an IPO and a direct listing?

The central difference is how shares reach the market. In a traditional initial public offering (IPO), the company issues shares and sells them through underwriters. In a conventional direct listing without a capital raise, existing shareholders offer shares for sale through the exchange’s market process; the company does not issue shares to raise money at listing. In a direct listing with a capital raise, the company can sell newly issued shares in the opening auction. The SEC distinguishes primary offerings, in which the issuer sells securities, from secondary sales by existing holders. SEC: Types of Registered Offerings

That means “direct listing” describes a route to public trading, not one fixed arrangement for who sells or whether the company receives proceeds. The registration statement, exchange, and transaction terms determine the details. The overview below compares a traditional IPO with both direct-listing structures; it is a framework, not legal advice about a specific transaction.

How a traditional IPO works

The company prepares and registers the offering

A company pursuing an IPO prepares an offering and registration statement describing the securities it intends to sell and the terms investors need to evaluate the offer. The issuer works with underwriters, who play a central role in selling the new shares and supporting the offering. IPOs can raise capital for the company because proceeds from primary shares go to the issuer. The SEC describes the process as a way to raise capital, but notes that it typically takes a long time and involves high fees and transaction costs. SEC: Types of Registered Offerings

Demand informs an offer price

Before public trading begins, the issuer and underwriters gather demand during the offering process and agree on an IPO offer price. This is not the same as the first price at which the stock later trades in the open market: once trading starts, buyers and sellers set market prices. The offer price is the initial price for the shares distributed in the offering, not a guarantee that an investor can buy at that price or that the stock will continue trading near it.

Underwriters allocate shares before trading

Underwriters and the issuing company control allocation decisions for IPO shares. Investor.gov says allocations often target institutional or wealthy investors, and an individual’s access can be limited. A brokerage may not participate in a particular underwriting syndicate; even a participating broker may receive only a small allotment for individual clients. This does not mean individual investors are categorically excluded, but the ability to express interest through a brokerage is not the same as receiving an allocation. Investor.gov also makes the boundary of the SEC’s role clear: “The SEC does not regulate the business decision of how IPO shares are allocated.” Allocation is therefore not a promise that every brokerage customer will have the same opportunity or receive shares. Investors considering a particular IPO need to ask their brokerage whether it is participating and what eligibility or order requirements apply.

How a direct listing works

Conventional direct listing: existing holders sell

In a conventional direct listing without a capital raise, existing shareholders—not the company selling newly issued shares—supply the shares offered for sale. Those holders receive proceeds if their shares sell. Since the company typically does not sell new shares at listing, it does not obtain new capital from that transaction. A direct listing may still involve financial advisors, but it is not the conventional underwritten distribution of newly issued shares used in an IPO. The precise arrangement depends on the transaction and exchange rules. Nasdaq: Direct Listings

Direct listing with a capital raise: the issuer can sell too

A direct listing can also include a primary sale. In this structure, the company sells newly issued shares in the opening auction, and existing shareholders may also sell if exchange rules and the transaction permit. The issuer receives proceeds from its shares; holders receive proceeds only from shares they sell. Nasdaq’s rules require the issuer to retain and identify an underwriter for its primary share sale. In that arrangement, the underwriter acts as a selling agent and bears underwriter liability, even though the shares are sold through the auction process rather than a conventional pre-trading allocation. Nasdaq: Direct Listings with Capital Raise SEC-filed Nasdaq rule exhibit

The opening auction matches interest

Rather than setting a single offer price and distributing IPO shares ahead of public trading, a direct listing uses an opening auction to bring buy and sell interest together. The auction’s orders help establish the opening trading price. NYSE describes a Designated Market Maker participating in price discovery in its own model; that detail is specific to NYSE and should not be assumed to describe every exchange’s process. Nasdaq describes investors wishing to purchase shares as able to participate in its opening trade. NYSE: Choose Your Path to Public Nasdaq: Direct Listings

What investor access means in each route

IPO access is mediated by allocation

For an IPO, an individual generally seeks shares through a brokerage that participates in the offering. The issuer and underwriters decide how the offering’s shares are allocated; a broker’s participation does not guarantee that it receives a substantial allotment or that a particular customer gets shares. An investor who does not receive an allocation may still be able to buy after public trading starts, but then the purchase is at the market price available at that time, not necessarily the IPO offer price. Allocation is a feature of the offering distribution, not a right to purchase at the offer price.

Direct listings provide an auction route, not a guaranteed fill

In a direct listing, investors can submit orders into the market process, including the opening auction where the exchange and broker support it. That replaces the IPO’s pre-trading allocation mechanism with market participation for the opening price-discovery process. It does not guarantee that every investor can submit an order through every broker, that an order will be accepted under the applicable rules, or that it will execute. The result depends on broker access, order instructions, the supply of shares offered for sale, competing demand, and the exchange’s opening process. An order can go unfilled or execute at a price different from an indicated reference price.

For a direct listing with a capital raise, NYSE says that no shares are sold before the opening auction and that the auction determines pricing from supply and demand. Nasdaq’s process likewise directs purchase interest to the opening trade. Those descriptions explain the market mechanism; they do not guarantee identical access across brokers or across listings. NYSE: Choose Your Path to Public Nasdaq: Direct Listings with Capital Raise

How pricing and the opening trade differ

An IPO offer price is agreed before trading

The IPO offer price is set by the issuer and underwriters using demand gathered during the offering. Once the stock begins trading, market supply and demand can move its price away from that offer price. If the first-day market price rises above the offer price, the company does not receive the difference on shares it already sold in the offering. If the market price falls, the issuer may have raised more on those shares than an auction at the lower market price would have produced. NYSE describes this as a structural difference, not proof that either route consistently gives the issuer a better outcome. NYSE: Choose Your Path to Public

A direct-listing reference price is not a promised sale price

In a direct listing, the opening auction discovers the price from submitted interest and available supply. An exchange’s reference price is an indication or input to that process, not a guaranteed offer price, minimum, maximum, or promise of execution. The final opening price and the price available to an individual investor depend on the applicable auction rules and the orders entered. Investors should distinguish an indication displayed before the opening from an executable order and from the price at which their own order actually fills.

Nasdaq’s capital-raise price limits are exchange-specific

Nasdaq’s current description of direct listings with a capital raise says the opening price may be up to 80% above or 20% below the registration-statement price range, calculated from the high end of that range. These are Nasdaq-specific mechanics, not a general direct-listing rule and not a description of NYSE requirements. The related SEC-filed Nasdaq rule exhibit provides the rule mechanics. Anyone evaluating an actual transaction should check the current exchange rules and the issuer’s registration statement rather than applying those limits to another listing structure. Nasdaq: Direct Listings with Capital Raise SEC-filed Nasdaq rule exhibit

What lock-ups and share supply can mean

Nasdaq’s general comparison says that direct listings have no lock-up restrictions for existing shareholders, while IPO lock-ups are typically 90 to 180 days. Treat those as generalized descriptions, not guarantees for a specific holder or deal. Transaction terms, securities-law restrictions, or holder-specific arrangements may still constrain sales. The practical question is not just whether an offering is called a direct listing or IPO, but which shares can actually be sold, by whom, and when. Nasdaq: Direct Listings

Share supply can also affect what an auction produces. In a resale direct listing, the company’s capital raise is not the source of the shares offered at the opening; selling shareholders determine which of their shares they offer. In a capital-raise listing, issuer shares may add supply, alongside eligible selling-holder shares. The auction price reflects the orders and supply present under the applicable rules; the structure alone cannot establish whether demand will be strong or whether trading will be smooth.

Why a company might choose one route

Reasons to consider an IPO

An IPO can raise capital through a primary share sale. The SEC also notes that it can give the company more control over its initial investor base and provide underwriter marketing support and help managing initial trading volume. In exchange, the process typically takes a long time and has high fees and transaction costs. Underwriters’ role in the distribution also means that the issuer and underwriters shape the initial allocation of shares before public trading begins. SEC: Types of Registered Offerings

Reasons to consider a direct listing

The SEC says direct listings may have lower transaction costs, but warns that the issuer may have less control over its initial investor base without underwriters and may face trading-volume challenges. A direct listing without a capital raise is not a substitute for an IPO when the company’s goal is to sell new shares for proceeds at listing. A listing that includes an issuer sale can raise capital, but the sale takes place through an auction mechanism, and Nasdaq’s primary-sale structure still requires an underwriter. Lower costs are a possibility, not a guaranteed outcome, and neither route promises a favorable opening price or trading volume. SEC: Types of Registered Offerings

A practical decision framework

  • If the priority is company proceeds: identify whether the company is selling newly issued shares. A conventional resale direct listing generally does not raise new capital; an IPO or a direct listing with a primary sale can.
  • If the priority is a managed initial distribution: an IPO uses underwriters to distribute shares to selected investors before trading, while a direct-listing auction relies on market orders and available selling supply.
  • If the priority is individual access: distinguish the chance to request an IPO allocation from the ability to enter an auction order. Neither mechanism guarantees that an individual will receive or buy shares.
  • If comparing a live deal: check the exchange, registration statement, share sellers, underwriter or advisor role, any sale restrictions, and broker order procedures. Rules and terms vary by listing and transaction.

Questions to check before placing an order

Before trying to participate in an IPO or direct listing, clarify the mechanics with the brokerage handling the order. The process may vary by firm and by transaction, and a general description of an exchange’s process cannot establish a particular broker’s access or order handling.

  • For an IPO: ask whether the brokerage participates in the offering, whether you are eligible to request an allocation, how allocation decisions are made, and when the offer-price order must be submitted.
  • For a direct listing: ask whether the broker accepts orders for the opening auction, what order types and cutoffs apply, and how it communicates an indicative price versus an execution.
  • For either route: read the registration statement and offering materials to identify whether shares are primary or secondary, who receives proceeds, and any restrictions or terms relevant to the sale.

The terms can differ even among listings that share a label. For a particular U.S. offering, the issuer’s filings and the relevant exchange rules control over shorthand descriptions of “IPO” or “direct listing.”
