A lockup expiration and a secondary offering are not the same event. A lockup expiration ends a contractual restriction that may have prevented insiders or other early holders from selling shares. It makes some shares potentially eligible for sale, but it is not a sale itself. A secondary offering is a transaction involving shares sold by existing holders; a primary offering involves newly issued shares sold by the company. One transaction can contain both.

For a specific stock, read the issuer’s current IPO prospectus, lockup disclosures, offering prospectus and supplements. Those filings identify who is selling, which shares are involved, when restrictions end, whether a resale is registered or exempt, and who receives the proceeds.

The basic distinction

Investors often use “lockup expiration” and “secondary offering” as if they describe the same catalyst. They do not. One describes the end of a contractual restriction; the other describes a share sale.

What a lockup agreement does

A lockup agreement is a contract, usually signed around an initial public offering (IPO), that restricts specified shareholders from selling for a stated period after the IPO. Covered holders can include founders, executives, directors, employees and other early investors. The agreement may also limit the number of shares that can be sold over time or impose conditions on how a release occurs.

Investor.gov states that most lockups prevent insiders from selling for 180 days, while emphasizing that terms vary. The 180-day period is therefore a common reference point, not a legal rule and not a guarantee that every holder becomes free to sell on day 181. The issuer’s registration statement and prospectus control the analysis for that company.

What “lockup expiration” means

Expiration means the contractual restriction has ended, or that a specified release date or condition has been reached. Shares covered by the expired provision may then be eligible for resale, subject to other restrictions. The holder still has to decide whether to sell, how many shares to sell and which legal resale pathway to use. A lockup expiration can occur with no sale at all.

What a secondary offering is

A secondary offering generally consists of already-outstanding shares sold by existing shareholders, often called selling stockholders. The company did not issue those shares in the offering, so the sale typically sends proceeds to the selling holders rather than to the issuer. The offering can still be registered and marketed through an offering prospectus or supplement.

“Secondary” describes the source of the shares, not automatically the size, timing or market effect of the transaction. A secondary offering may involve one selling holder or many, and the number of shares can range from a small block to a substantial portion of the public float.

How a primary offering differs

In a primary offering, the issuer sells newly issued shares. The company receives the offering proceeds, after offering expenses and the terms disclosed in its documents. Issuing new shares can increase the total share count, so investors must examine potential dilution as well as the company’s stated use of proceeds.

An offering can combine primary and secondary components. In that case, some shares are newly issued by the company and some are resold by existing holders. The label “secondary offering” alone does not tell you whether new shares are included; read the offering summary, the selling-stockholder table and the use-of-proceeds section.

Why eligibility is not the same as selling

The most important practical point is that a lockup expiration changes what a holder may be able to do, not what the holder has done. A release can create potential supply without creating an executed trade.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • A holder may retain the shares because of confidence in the company, tax planning, voting considerations or personal investment objectives.
  • A holder may sell only part of the position rather than the entire unlocked amount.
  • A holder may face other resale conditions even after the contractual lockup ends.
  • A holder may sell through a registered resale, an applicable exemption or a later marketed offering, depending on the facts.

Investor.gov describes the shares that are not tradable at the IPO as a potential “market overhang.” As restrictions expire, more shares can become available to the public. That possibility can affect how investors value the stock before any sale is announced, but it does not establish that selling will occur or that the price will move in a particular direction.

Who gets the money and what changes for shareholders?

Following the proceeds is a reliable way to separate primary and secondary components. The same headline can conceal very different consequences for the company and for existing investors.

Question Primary offering Secondary offering
Which shares are sold? Newly issued shares from the company Already-outstanding shares from existing holders
Who normally receives proceeds? The issuer, less disclosed offering costs and subject to the offering terms The selling stockholders; the issuer generally receives no proceeds from those shares
Does the company’s share count change? New issuance can increase shares outstanding and may create dilution The resale itself does not create new shares
What should you read? Use of proceeds, new share count, dilution discussion and offering terms Selling-stockholder table, number and type of shares, proceeds language and resale terms

A mixed offering requires this analysis for each component. For example, a supplement may state that the company is issuing one group of shares while selling stockholders resell another group. The company could receive proceeds from the primary shares and none from the selling-stockholder shares. Do not assume that every dollar raised under one offering document goes to the issuer.

How a lockup expiration can affect the market

The supply channel

When restricted shares become eligible for resale, the potential public supply increases. Investor.gov warns that a share price may decline over time as restricted shares become available and that a significant decline is possible if a large number become available at once. This is a risk mechanism, not a stand-alone forecast.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The actual effect depends on facts that are specific to the issuer:

  • How many shares are released and what percentage of the public float they represent.
  • Whether the holders are founders, executives, venture investors, employees or other shareholders with different incentives.
  • Whether the release is simultaneous or staggered.
  • Trading volume, investor demand and the company’s operating news at the time.
  • Whether holders can sell immediately under the applicable resale rules.

No general statistic establishes the average price move after a lockup expiration, the percentage of unlocked shares that will actually be sold or a guaranteed direction for the stock. Company-specific filings and current market data are necessary for that work.

Why a secondary offering can feel different

A marketed secondary offering makes a sale explicit: identified holders are offering a stated number of shares under stated terms. That can provide greater visibility into near-term supply than a bare expiration date. The market still has to assess the size of the transaction, the discount or price terms, seller identity and whether the offering is primary, secondary or mixed.

A primary component adds a separate issue. New shares can fund the business but increase the number of shares outstanding. A secondary component can transfer ownership without giving the company operating capital. Investors should evaluate these effects separately rather than treating all offerings as equivalent.

What to check in the IPO prospectus

The IPO prospectus is the starting point for reconstructing the lockup calendar and the potential supply overhang.

  1. Find the lockup agreement description. Record the stated duration, the date from which it is measured and the classes of holders covered.
  2. List release conditions and exceptions. Look for provisions allowing an early release, waivers, automatic releases, transfers to permitted recipients or limits on the quantity that can be sold.
  3. Identify the affected securities. The agreement may cover common shares, options, warrants or other securities, and the treatment of each can differ.
  4. Check registered and unregistered shares. Investor.gov identifies shares registered for sale and shares that may become available without registration as relevant to assessing overhang.
  5. Calculate the potential scale. Compare the shares that could become available with the public float and average trading activity, using current figures rather than relying on the IPO date alone.

Do not substitute the common 180-day period for the issuer’s actual terms. Some agreements release on a different schedule, limit the amount sold, or permit an underwriter or issuer to waive restrictions earlier.

What to check in a secondary-offering prospectus or supplement

When an offering is announced, use the document for the transaction rather than inferring details from a headline or press summary.

  1. Separate primary and secondary shares. The cover page and offering summary should identify whether the issuer, selling stockholders or both are offering shares.
  2. Read the selling-stockholder table. Note each named seller, the number of shares offered and the number expected to remain after the offering when disclosed.
  3. Confirm the security type. Common stock, converted preferred shares and other securities can carry different rights and resale conditions.
  4. Follow the proceeds. The use-of-proceeds section should say what the company receives from newly issued shares. The document should also state that the company receives no proceeds from shares sold by selling stockholders when that is the case.
  5. Review the registration and distribution terms. Determine whether the resale is registered, whether an underwriter or placement agent is involved and whether selling restrictions or stabilization provisions are described.
  6. Check for dilution. If new shares are issued, compare the pre-offering and post-offering share counts and read the dilution discussion.

Resale registration, Rule 144 and why labels are not enough

A lockup release does not eliminate securities-law requirements. One possible pathway for restricted-security resales is Securities Act Rule 144, but its conditions depend in part on the issuer’s reporting status and whether the seller is an affiliate.

The SEC describes Rule 144 conditions that can include a holding period, the manner of sale and limits on the amount sold. The applicable requirements vary with the security, issuer and seller circumstances. A holder who is free under a contract may still need to satisfy those conditions or use another valid exemption or registration statement.

Do not treat the word “secondary” as conclusive about the legal characterization of every transaction. SEC staff guidance says the analysis can be fact-specific, including how long sellers held the shares, how they acquired them, their relationship with the issuer, the quantity involved and whether they may be acting as a conduit for the issuer. The filing’s legal analysis and the facts of the sale matter more than the label used in a headline.

A concrete filing example: Immersed Inc.

An SEC-filed Immersed Inc. offering circular supplement dated March 27, 2026 illustrates the distinction without serving as a template for every issuer. The supplement separately describes a primary offering of shares issued and sold by the company and a secondary offering of shares sold by selling stockholders.

Under the supplement’s description, the company would receive proceeds from the primary shares but would not receive proceeds from the selling-stockholder shares. That separation shows why investors should trace each block of shares to its seller and recipient of proceeds. It also demonstrates why a document can discuss primary and secondary components together while preserving different economic effects.

Compare a lockup event with an offering using six questions

For any company, organize the analysis around the same six questions. The answers should come from the current prospectus, supplement and applicable resale disclosures.

Question Lockup expiration Secondary offering
Is there a completed sale? No. The contractual restriction ends or is released; a holder may still do nothing. Yes, the transaction is structured to sell existing shares, subject to its stated terms and completion.
Are the shares newly issued? No new issuance follows merely from expiration. Normally no, although the same document can include a separate primary component.
Who controls the decision to sell? The holder decides whether and how much to sell, within applicable restrictions. The named selling stockholders participate under the offering arrangement.
Who receives proceeds? No proceeds exist unless a holder later sells. Generally the selling stockholders for the secondary shares.
What legal issue remains? Registration or exemption requirements and any continuing contractual limits. The registration statement, prospectus terms and distribution rules for the resale.
What market question matters most? How many shares could become available and when holders might sell. How many shares are being offered now, at what terms and by which holders.

A practical investor workflow

Before the expected expiration

  1. Locate the IPO prospectus and the latest supplements in the issuer’s SEC filings.
  2. Write down the lockup end date, the measurement date, covered holders and any early-release provisions.
  3. Estimate the shares subject to release and compare them with the public float.
  4. Check whether the holders’ shares are already registered for resale or would need an exemption.
  5. Review recent company disclosures for a planned offering, waiver or change to the capital structure.

When an offering is announced

  1. Read the preliminary or final prospectus supplement rather than relying on the announcement headline.
  2. Separate primary shares from selling-stockholder shares.
  3. Record the offering size, security type, sellers, proceeds allocation and any stated price or pricing method.
  4. Recalculate potential dilution if new shares are included.
  5. Compare the transaction size with the existing float and normal trading volume.

After the event

  1. Confirm whether the offering closed and whether the final share count changed.
  2. Check subsequent filings for additional selling-stockholder activity or amended lockup terms.
  3. Compare actual trading supply with the number that was merely eligible for resale.
  4. Update the analysis when a new prospectus supplement or resale filing appears.

Common mistakes to avoid

  • Calling expiration a sale. Eligibility creates potential supply; it does not prove that a trade occurred.
  • Treating 180 days as universal. It is common according to Investor.gov, but each issuer’s agreement can differ.
  • Assuming a secondary offering raises company capital. Existing-holder proceeds generally go to those holders, not the issuer.
  • Ignoring mixed offerings. A single transaction can contain both newly issued shares and resales.
  • Forecasting a price drop from the date alone. Overhang can weigh on price, but the available evidence does not establish the size or direction of a particular move.
  • Skipping resale-law analysis. Contractual release and securities-law eligibility are separate questions.
  • Relying on stale filings. Lockups can be waived, amended or supplemented; use the issuer’s current documents.
  • Using the transaction label as the legal conclusion. The facts of acquisition, holding period, relationship and sale mechanics can change the analysis.

Questions to answer before making an investment decision

For a company approaching a lockup date or announcing a secondary transaction, write down concrete answers to these questions:

  • What exact date ends the contractual restriction, and does the agreement contain earlier releases or staged limits?
  • How many shares could become eligible, and what percentage of the public float is that?
  • Which holders control those shares, and are their incentives or relationships with the issuer disclosed?
  • Are the shares already registered for resale, or must the seller rely on an exemption such as Rule 144?
  • Is the announced offering entirely secondary, entirely primary or mixed?
  • Who receives the proceeds from each class of shares?
  • Will newly issued shares increase the outstanding share count and create dilution?
  • Does the issuer state a use of proceeds for the primary component?
  • Has the company filed a current prospectus supplement that changes earlier assumptions?

Bottom line for investors

A lockup expiration is the end of a restriction; a secondary offering is a sale of existing shares. Expiration can make shares eligible for resale, but it does not require a holder to sell. A secondary offering identifies a transaction and its sellers, while a primary offering sends proceeds to the issuer and can dilute existing ownership. Because one document can combine primary and secondary shares, follow the shares, the sellers and the proceeds rather than relying on the headline.

For U.S. stocks, the issuer’s current prospectus and supplements, together with the applicable resale rules, provide the facts needed to assess timing, supply, dilution and legal eligibility. Treat possible market overhang as a risk to investigate—not as a prediction that the stock will fall.
