Indian IPO bid categories are regulatory allocation buckets, not ratings of investor quality or signals of better returns. A retail individual investor (RII) is an eligible individual applying under the retail rules; a non-institutional investor (NII) is, in SEBI’s definition, an investor who is neither an RII nor a qualified institutional buyer (QIB); and a shareholder reservation is a separate, conditional portion that exists only when the issuer and offer document create it.

The prospectus or red herring prospectus for the specific issue is the controlling document. It sets the eligibility test, application limits, reservation size, holding or record-date requirements, bid lot, issue structure and permitted application route. Do not infer a universal retail-value cutoff, allotment probability or shareholder entitlement from another IPO.

What the three IPO categories actually mean

Retail individual investor (RII)

RII is a defined regulatory category for eligible individual applicants who satisfy the retail conditions in force for that issue. “Retail” does not simply mean a person with a small income, a first-time investor or anyone using a personal bank account. Eligibility depends on the applicable SEBI rules and the offer document.

Because thresholds and subcategories can change, there is no single application-value cutoff that should be quoted for every IPO. Read the live issue document for the maximum bid value, lot rules, permitted revisions and any separate retail subcategory. A bid that exceeds the stated retail ceiling may have to be treated in another category or may be rejected, depending on the issue terms.

Non-institutional investor (NII)

SEBI’s ICDR definition is deliberately broad: an NII is an investor other than a retail individual investor and a qualified institutional buyer. NII is therefore a residual regulatory category, not a synonym for “wealthy individual.” An applicant who does not qualify as retail, as well as eligible non-QIB entities or individuals applying outside the retail bucket, can fall within NII when the offer document permits it.

The prospectus normally states the NII sub-buckets, minimum bid size, maximum bid size and whether a portion is identified for particular NII applicants. Do not assume that every NII application has the same limits or treatment as every other IPO.

Shareholder reservation

A shareholder reservation is a conditional reservation for a specified shareholder group. SEBI describes situations involving shareholders other than promoters of listed promoting companies or listed subsidiaries, and it also allows a listed company to make a competitive reservation for retail individual shareholders. These are enabling rules, not a promise that every IPO will include a shareholder portion.

The offer document determines the required relationship, eligible holding, record date, proof, maximum application and the interaction with other categories. A shareholder reservation is not a rights issue: it does not offer existing shareholders a contractual right to buy a proportionate number of new shares at a fixed entitlement. It is an IPO reservation that must be expressly provided in that issue’s terms.

How category allocation is set

Allocation depends on the issue route and the wording of the governing regulations. Percentages below are regulatory patterns, not predictions of allotment or investment performance.

“Net offer” means the portion left after the exclusions and reservations specified by the regulations and the offer document. A shareholder reservation, employee reservation or other permitted reservation can change the shares available in the general category pools. The live prospectus shows the actual number of shares and the order in which reservations are handled.

Who should use each category?

Use the retail category only when you meet its current conditions

  • Confirm that the applicant is an eligible individual under the issue’s retail definition.
  • Check the stated retail bid-value ceiling and lot size in the current offer document.
  • Use the applicant’s own permitted bank account and, where required, the applicant’s own UPI credentials.
  • Check whether the issue imposes separate rules for revisions, cut-off bids or joint applications.

Being an individual does not automatically make a bid retail. The category is determined by the rules and the bid, not by a personal description such as “small investor.”

Use NII only on the basis of the issue terms

NII is appropriate when the applicant is outside the RII definition and is not a QIB, provided the prospectus accepts that applicant and bid. Read the minimum application, lot multiples, payment method and any separate small-NII or big-NII split. A larger application does not create a right to shares, and NII status does not imply superior returns.

Use a shareholder reservation only when the evidence matches

First identify the exact issuer or subsidiary relationship covered by the prospectus. Then verify the record date, minimum holding, dematerialised-account requirement, application cap and documents. If any condition is missing, apply under the category for which you actually qualify rather than assuming a shareholder reservation is available.

How allotment works after you apply

SEBI’s Investor FAQ states: It is to be noted that there is no discretion in the allotment process. In practical terms, the registrar and issuer apply the published category rules and the final demand in each bucket; an intermediary cannot choose a favoured applicant.

For retail and NII applicants, SEBI explains that an allotment should not be less than the minimum bid lot, subject to shares being available in that category. If demand exceeds the available shares, the remaining shares are allotted proportionately under the applicable formula. This is conditional on category availability and does not promise that every valid application receives even one lot.

Oversubscription can therefore produce a partial allotment or no allotment despite a correctly submitted bid. The category percentage tells you how the issue is divided at the regulatory level; it does not reveal an individual applicant’s chance, expected return or listing result.

How ASBA and UPI funding works

ASBA (Application Supported by Blocked Amount) does not send the full application amount to an escrow account. The bank blocks the amount corresponding to the bid in the applicant’s account. If shares are allotted, the required amount is debited. If there is no allotment, or if only part of the bid is allotted, the unneeded amount is unblocked according to the process described by SEBI.

UPI application sequence

  1. Enter the bid, category and lot details through an eligible intermediary or bank interface named in the issue process.
  2. Provide the UPI ID linked to the applicant’s own bank account.
  3. Review the block request in the UPI application and authorise it before the issue’s deadline.
  4. Keep the block in place while bids are processed and allotment is finalised.
  5. After the basis of allotment, the bank debits the amount for allotted shares and releases the excess block.

SEBI’s investor guidance states a ₹5 lakh per-transaction IPO application limit on UPI for retail individual investors. Treat that as an operational rule to recheck against the current approved bank, app and UPI-handle lists before applying; payment-network and intermediary requirements can change.

SEBI also states that third-party UPI IDs or third-party bank accounts will not be considered for allocation. A mismatch between the applicant’s name, PAN, demat account, bank account and UPI authorisation can therefore cause rejection or prevent a valid block.

Shareholder reservation is not a shortcut around the rules

A shareholder portion can look attractive because it is separated from the ordinary pools, but it remains subject to a finite reservation and the issue’s own allotment method. It does not guarantee a lot, remove the need to submit a valid application or improve an investor’s expected return.

Check four items in the prospectus before selecting it:

  • Eligible relationship: the named listed company, promoting company or subsidiary and any exclusion of promoters or related persons.
  • Record date and holding: the date and minimum number or type of shares that establish eligibility.
  • Application ceiling: the maximum shares or value allowed in the reserved portion.
  • Proof and account matching: how the registrar verifies the holding and links it to the applicant’s PAN and demat account.

If the IPO has no shareholder reservation, an existing shareholder cannot create one by selecting “shareholder” in an application form. The relevant option must appear in the official issue materials and application workflow.

A practical checklist before submitting an IPO bid

  1. Read the current offer document. Locate the sections titled investor categories, reservations, bidding, allotment and payment instructions.
  2. Classify the applicant. Decide whether the facts satisfy RII, NII, QIB or a stated shareholder reservation; do not classify by wealth or expectation.
  3. Check the issue structure. Confirm whether it is book-built, fixed-price or a route with an exception to the ordinary Regulation 43 pattern.
  4. Record the exact numbers. Note the lot size, minimum bid, category cap, cut-off availability and any shareholder record-date condition.
  5. Match identity and funding. Use the permitted account, PAN, demat details and applicant-linked UPI ID.
  6. Authorise before the deadline. A submitted form without a successful ASBA block or UPI mandate is not a completed application.
  7. Monitor the outcome. Check the basis of allotment and bank block status; only the allotted amount should be debited, with excess funds released.

Common errors and what they mean

Assuming a universal retail cutoff

Historical articles often quote one value as if it applies to every IPO. Thresholds, subcategories and operational rules can be amended. Use the current prospectus and live SEBI requirements instead.

Calling every NII a high-net-worth individual

That description is too narrow. NII is defined by exclusion from RII and QIB, so the applicant’s regulatory classification must be checked against the specific issue.

Treating allocation percentages as odds

A 35% retail minimum or 15% NII minimum describes the shares earmarked in an ordinary book-built pattern. It is not a probability of allotment. Demand, category availability and the allotment formula determine the result.

Using someone else’s UPI or bank account

SEBI’s guidance excludes third-party UPI IDs and bank accounts from allocation. Correct the ownership and identity mismatch before submitting rather than relying on a later manual fix.

Confusing a shareholder reservation with a rights issue

A shareholder reservation is an optional IPO feature defined by the offer terms. It is not a pro-rata entitlement and cannot be assumed merely because an investor already owns shares.

What to verify for every new IPO

Regulations and payment operations can change after an article is published. For each issue, verify the latest SEBI rules, the issuer’s red herring prospectus or prospectus, the registrar’s instructions and the currently approved ASBA or UPI route. Those documents, rather than a generic category label, answer whether you qualify, how many shares are available and how your funds will be handled.
