India Cements has disclosed plans to acquire a 3.62% equity stake in Zenataris Renewable Energy Private Limited for a maximum cash consideration of ₹20.90 crore. The investment is tied to an 11 MW inter-state transmission system (ISTS) hybrid renewable-energy project in Karnataka that is intended to supply India Cements plants under a group-captive arrangement. The transaction was disclosed on 15 October 2026 and is expected to close within 120 days after the relevant agreements are executed; it should not be treated as completed until a later filing confirms closing.
What India Cements is acquiring
The proposed acquisition is a minority equity investment in Zenataris Renewable Energy Private Limited, a special-purpose vehicle incorporated on 9 October 2018. Zenataris is associated with an ISTS hybrid renewable-energy project at Kudligi in Vijayanagara district, Karnataka.
India Cements would subscribe for or acquire 3.62% of Zenataris’ equity. The disclosed maximum consideration is ₹20.90 crore, payable in cash. The announcement describes the transaction as an investment connected to energy supply rather than a takeover of Zenataris.

How the renewable-energy arrangement works
The project is designed to supply 11 MW of renewable electricity to India Cements plants on a group-captive basis. In this structure, the cement company participates in the project and consumes the contracted power for its own operations, rather than buying all of the electricity as an ordinary third-party customer.
#1 Best Overall
The transaction includes an Energy Supply Agreement and a Share Subscription and Shareholders Agreement. Together, these documents provide the framework for India Cements’ ownership interest, governance rights and receipt of renewable power. The project is described as a hybrid renewable-energy facility, although the disclosure summary does not state the individual generation split between technologies such as wind and solar.
Why India Cements is making the investment
India Cements has stated three connected objectives:
Rank #2
- Meeting more of its electricity demand with renewable energy.
- Optimizing energy costs through captive power consumption.
- Supporting compliance with applicable electricity-law requirements.
For a cement producer, electricity is a significant operating input. A captive renewable arrangement can provide a contracted source of power while helping the company manage exposure to conventional electricity costs. The financial benefit will depend on the eventual operating performance, tariffs, transmission charges, captive-consumption conditions and other terms in the executed agreements; the disclosure does not provide a projected annual saving.

Agreements, approvals and related-party status
India Cements said the acquisition is not a related-party transaction. The disclosure also states that its promoters and group companies have no interest in Zenataris.
No specific government or regulatory approval is identified as a prerequisite for this shareholding acquisition in the transaction report. The underlying renewable project remains subject to the electricity laws and other operating requirements that apply to the facility and its transmission arrangements. The absence of a stated approval condition should not be read as confirmation that every project-level consent has already been obtained.
Rank #4
When will the acquisition be completed?
Completion is expected within 120 days from execution of the relevant agreements. That is a target timetable, not a closing confirmation. The transaction will be considered completed only when India Cements or the relevant exchange filing reports that the agreements have been executed and the share acquisition has closed.

What the deal means for India Cements
The investment gives India Cements a small direct ownership position in a renewable-energy vehicle while linking that position to a planned 11 MW supply arrangement. The strategic value is therefore less about control of Zenataris and more about securing renewable electricity for group plants under a captive model.

Important details remain undisclosed in the available announcement summary, including the project’s technology-by-technology capacity, commissioning status, power tariff, transmission costs, expected annual energy delivery and the precise rights attached to the 3.62% holding. Those terms will determine how much the arrangement ultimately contributes to cost control and renewable-power consumption.
