You do not automatically own a VTuber character because you perform it, helped design it, or paid for part of its creation. Ownership depends on the signed agreement and on separate rights in the name, logo, illustrations, Live2D or 3D files, scripts, recordings, music, channel accounts, merchandise art, voice, and likeness. An agency may own some assets, license others, or receive a copyright transfer from the creator.
There is no industry-wide rule that a departing VTuber keeps—or loses—their character. Before joining, graduating, streaming under another persona, or selling merchandise, identify the owner and permitted use of every asset in writing. A lawyer qualified in the contract’s governing jurisdiction should review the agreement before you sign or commercialize anything.
What an agency agreement actually controls
A VTuber agency relationship is normally documented in an exclusive or partly exclusive talent agreement. The arrangement may combine elements of employment, a quasi-mandate, and a contract for work. Monolith Law Office’s 2023 legal analysis describes these agreements as combining “employment, quasi-mandate, and contract-for-work contract elements” in an exclusive talent contract.

Do not treat “the character” as one indivisible legal object. One agreement can give the agency ownership of a trademark while granting it only a license to use an illustration. A different clause can assign recordings made during the engagement, while a third-party illustrator retains copyright in the original design. The rights must be mapped asset by asset.
Character rights are a bundle, not a single switch
Copyright can protect original drawings, model assets, scripts, music, videos, promotional artwork, and recordings. Trademark law can protect a character name, logo, or other identifier used to distinguish services or merchandise. Personality, voice, performance, publicity, and likeness rights may arise under separate laws or contractual permissions.

Performance does not itself prove ownership. Helping develop a persona, writing lore, or suggesting a costume may create evidence of creative contribution, but the signed assignment, commissioning terms, and applicable law determine what rights were actually granted.
Three common ownership structures
Agency-owned character
The agency or an affiliated company commissions the design and owns the copyright and trademark. The talent receives permission to perform under the persona for the contract term, often with strict limits on outside use. On departure, the agency can generally continue the character with another performer unless the agreement says otherwise; the exact result depends on the contract and local law.
Talent-owned character licensed to the agency
The creator keeps ownership but grants a license. Read whether it is exclusive, worldwide, perpetual, transferable, sublicensable, and royalty-bearing. A license that is exclusive for the contract term is materially different from one that survives termination or lets the agency appoint another performer.

Split or third-party ownership
A talent may own a name while an illustrator owns the design, a rigger owns model files, and a composer owns music. The agency may hold licenses from each party. This structure can make graduation or merchandise difficult because one missing permission can block continued use. Obtain written commissioning agreements and retain invoices, drafts, delivery notes, and permission emails.
Clauses to compare before signing
Legal relationship and duties
Identify whether you are an employee, independent contractor, mandatary, or a combination under the governing law. Check required hours, minimum output, rehearsal, reporting, conduct rules, travel, equipment, tax handling, insurance, and approval procedures. An “exclusive talent” label does not answer these questions.

Exclusivity and outside activity
Look for restrictions on independent streaming, another persona, sponsorships, game collaborations, music releases, convention appearances, and social-media accounts. Some clauses prohibit competing activities; others require disclosure or written approval. Check whether the restriction applies during the agreement only or for a post-termination period, and whether it covers activities that do not use the agency character.
Asset schedule and chain of title
Ask for a schedule listing every existing and planned asset, its owner, the licensee, and the permitted uses. The schedule should identify model source files, illustrations, logos, music stems, scripts, recordings, channel accounts, domains, handles, and merchandise designs. If an asset is “agency property,” confirm which legal entity owns it and whether a contractor’s rights were properly transferred.
License scope and copyright transfer
A license should state territory, duration, exclusivity, media, languages, sublicensing, transferability, editing rights, and post-termination treatment. A copyright assignment should identify the works and the rights being transferred. Monolith Law Office notes that an agreement receiving copyrights from a creator should specify both the copyrighted work and the rights transferred. Do not assume a broad phrase such as “all content” resolves every statutory requirement.

Revenue, approvals, and expenses
Separate streaming revenue from sponsorships, merchandise, events, memberships, tips, music, licensing, and advertising. Confirm whether the split is calculated before or after platform fees, taxes, refunds, manufacturing, chargebacks, or agency expenses. Record which activities require prior approval, how quickly approval must be given, and what happens if the agency does not respond.

Termination, resignation, and graduation
Read notice periods, termination for cause, suspension, inactivity, illness, force majeure, and post-termination obligations. The agreement should address the character, model files, archives, recordings, unfinished commissions, channel access, social handles, fan databases, sponsorship contracts, and outstanding royalties. Ask whether the agency may keep publishing old material, whether you may display a portfolio, and whether a buyout or transition license is available.
Confidentiality and dispute resolution
Confidentiality can cover unreleased designs, business terms, client information, and internal tools. Check its duration and exceptions for legal advice or regulatory reporting. Identify governing law, court or arbitration forum, language, service of notices, and the process for urgent injunctions. A favorable ownership clause can still be expensive to enforce in a distant jurisdiction.
Third-party rights and indemnity
Determine who clears music, illustrations, fonts, game footage, stock assets, voice samples, and brand references. An indemnity may require you to reimburse the agency for claims arising from materials you supplied, or may protect you when the agency selected the material. Limitations, notice requirements, defense control, and caps on liability matter as much as the indemnity headline.
Can you keep the model after graduation?
Only the agreement and the underlying asset history can answer that question. A talent might receive a continuing license, a copy of the model, a right to retire the persona, or no continuing permission at all. If the agency owns the copyright and trademark, downloading a model file does not create a right to use it. If an illustrator or rigger retained rights, the agency may not be able to grant you more than it received.

Do not sign a graduation document or release before comparing it with the original agreement. A release can change ownership, waive claims, authorize archival use, or settle unpaid royalties.
Can you stream under another persona?
Often, but not automatically. Check exclusivity, non-compete language, confidentiality, and restrictions on confusingly similar names or designs. A new persona can still breach a contract if it uses the agency’s unreleased lore, model assets, catchphrases, customer lists, or sponsor relationships. Some agreements permit unrelated personal activity; others require approval for any public performance during the term.
Keep an evidence file showing when you created independent assets, who commissioned them, and which accounts are separate. Use new artwork, music, logos, and model files unless the license expressly permits reuse. Do not imply that a new channel is affiliated with the former agency if the contract or trademark rights prohibit that presentation.

Agency guidelines are permissions, not universal law. Nijisanji’s official guideline applies to official characters for which the company exclusively owns copyright. It treats a derivative work as a creation adding new creativity and says the creator must obtain permission when the underlying material is not exclusively company-owned. That means a fan must separately clear an illustrator’s, musician’s, game publisher’s, or brand owner’s rights where applicable.

The general rule limits derivative activity to fan or hobby activities and prohibits commercial or corporate activity. Figures, garage kits, capsule toys, resin kits, and similar three-dimensional works require applicable rights-clearance, event, platform, and licensing procedures. The policy also states: “We do not relinquish our copyright or related rights through these Overall Guidelines.”

Commercial projects can use different terms from a fan policy. ANYCOLOR’s cheering-advertisement terms provide a concrete example: copyright in the advertisement, including rights under Articles 27 and 28 of Japan’s Copyright Act, belongs to ANYCOLOR or is transferred to it when the work is completed. A permission to make a fan illustration therefore should not be confused with a commercial assignment.
Before selling a shirt, 3D figure, digital pack, fan book, or paid advertisement, verify the relevant agency policy, platform rules, event requirements, and every third-party license. Keep proof of permission and stop using material when a license expires or is withdrawn.
A practical rights-check workflow
- Collect the complete document set. Obtain the main agreement, schedules, commission agreements, policies, amendments, graduation terms, and any email that changes a deal.
- Build an asset register. List the name, logo, drawings, model files, voice, recordings, music, scripts, channels, handles, merchandise, and promotional materials.
- Trace each asset’s creator. Record the commissioning party, delivery date, invoice, copyright assignment, license, territory, and permitted media.
- Mark the control type. Label each item agency-owned, talent-owned, jointly controlled, third-party-owned, licensed, or unresolved. Do not treat an unresolved item as cleared.
- Map activities to permissions. Test ordinary streaming, sponsorships, clips, translations, fan merchandise, events, voice synthesis, and a new persona against exclusivity and approval clauses.
- Model departure outcomes. Write down what happens to the character, channel, archives, recordings, handles, unfinished work, royalties, and personal data on each termination scenario.
- Obtain jurisdiction-specific advice. Have a qualified lawyer review copyright transfer, trademark, exclusivity, termination, confidentiality, indemnity, and dispute-resolution language before signing, leaving, or commercializing.
Mistakes that create avoidable disputes
- Relying on verbal promises: Put ownership, approvals, and post-termination rights in a signed document.
- Assuming payment equals ownership: Paying an artist or rigger does not by itself transfer copyright.
- Using a company-owned logo on a new channel: A familiar emblem can create trademark and affiliation problems even when the performer is the same.
- Ignoring third-party material: Agency approval may not cover a game, song, font, or collaborator’s work.
- Keeping only exported files: A rendered model is not the same as rights to source files, revisions, or derivative edits.
- Signing a release without an inventory: You may waive royalties or authorize uses you intended to retain.
- Treating a fan guideline as a commercial license: Hobby permissions commonly exclude paid, corporate, or manufactured activity.
When professional review is worth the cost
Get advice before signing an agency contract, commissioning an expensive model, accepting a buyout, announcing graduation, launching a second persona, or selling merchandise. Give counsel the entire agreement and the asset register, not only the paragraph titled “intellectual property.” Ask specifically about copyright assignments, trademark ownership, publicity and likeness permissions, exclusivity, post-termination use, indemnity, and dispute forum in the governing jurisdiction.

The objective is a written answer for every asset and every planned activity: who owns it, who may use it, for how long, where, on what platforms, for whose revenue, and what happens when the relationship ends. If any answer is missing, treat that item as a negotiation point rather than assuming an industry default.
