Tokenized bonds and traditional bonds are both debt investments, but they use different systems to record, transfer and service the investor’s claim. A conventional bond is generally an electronic book-entry security recorded through a central securities depository (CSD) and intermediary accounts. A tokenized bond is represented by a token on a programmable platform, often a distributed ledger. That token may be the issuer-recognized security itself, or it may represent an indirect interest in a bond held by a custodian.

Tokenization therefore changes the bond’s recordkeeping and operating infrastructure; it does not automatically change the issuer’s promise to repay, the bond’s contractual rights or its credit risk. The governing documents, legal register and settlement design determine what an investor actually owns.

What “tokenized bond” means

A bond is a loan made by investors to an issuer. The issuer promises interest payments and repayment of principal according to the bond terms. In a traditional issue, ownership is usually recorded as book entries in a CSD and in accounts maintained by brokers, banks or custodians. Investors normally do not hold paper certificates.

In a tokenized issue, a digital token records a bond claim or an interest connected with that claim. A blockchain or another distributed ledger can validate transfers and run programmed instructions. The label alone does not answer the most important legal question: whether the token is the security recognized by the issuer and applicable law, or merely evidence of an entitlement to a security held elsewhere.

Two common legal structures

Issuer-sponsored security. The issuer creates the bond directly in tokenized form. The token and the legal register are designed to identify the holder entitled to principal, interest and other rights. The governing documents should state which record prevails if a ledger entry and another register conflict.

Custodial or indirect token. A custodian holds the conventional bond, while tokens represent investors’ security entitlements or beneficial interests. The token holder may have a contractual claim against the custodian or an intermediary rather than direct ownership of the issuer’s bond. The U.S. Securities and Exchange Commission’s Investor.gov explanation of tokenized securities emphasizes that the legal relationship depends on the instrument’s structure.

Side-by-side comparison

Feature Traditional bond Tokenized bond Question to verify
Ownership record Book-entry records in a CSD and intermediary accounts are common. A token ledger may be connected to a legal register or may represent an indirect interest. Which record is legally authoritative?
Legal rights Rights come from the bond terms, applicable law and the account structure. Rights may match a conventional bond, or the token may be a distinct security or entitlement. Who is the legal issuer or obligor, and does the token confer the same rights?
Transfer authorization Account instructions are processed by intermediaries and the CSD. Platform rules validate token transfers, subject to legal and access controls. Who can approve, reverse, freeze or correct a transfer?
Settlement Securities and cash usually move through linked market systems. The platform may coordinate securities and cash, or connect to account-based payment systems. What is the settlement asset, and when is settlement final?
Interest and corporate actions Agents and intermediaries process payments, notices and redemptions. Programmable instructions may automate parts of servicing. Who handles an error, missed payment, default or correction?
Custody and access Investors use a broker, custodian or direct CSD account. Investors may control cryptographic keys or use institutional custody; conventional custody can also be retained. Who controls the keys, and what recovery process applies if they are lost?
Liquidity and costs Trading uses established infrastructure, although liquidity varies by issue. Infrastructure is developing and results differ by bond and venue. What are the issue’s actual trading depth, spread, fees and issuance costs?
Interoperability Existing exchanges, custodians, payment systems and CSDs are familiar connections. Links to those systems may still be necessary. Can the investor use existing custody and settlement arrangements?

How a tokenized bond works in practice

  1. Define the legal instrument. The issuer and its advisers specify whether the token is the bond itself, a separate security or an interest in a custodially held bond. The prospectus, terms and legal register should identify the holder’s rights.
  2. Create the issuance record. Tokens are minted or otherwise recorded on the chosen platform. Eligibility rules can restrict who may hold or transfer them, for example to approved institutions or investors in a particular jurisdiction.
  3. Match investor and issuer records. A platform may be the authoritative register, or it may be synchronized with a CSD, custodian or other register. This connection determines how a transfer becomes legally effective.
  4. Settle the purchase. The cash leg can use a bank account, a payment system, tokenized commercial-bank money or wholesale central-bank money. A platform can coordinate delivery of the token against payment, but the two systems still need compatible legal finality and operational controls.
  5. Service the bond. Interest, redemption and notices can be triggered by programmed rules. Human agents and intermediaries may still be needed to supply payment funds, verify events, handle exceptions and communicate with investors.
  6. Transfer or redeem. A permitted holder transfers the token under platform rules, or the issuer redeems it at maturity. Any restrictions, reversals, freezes and dispute procedures should be documented before purchase.

The Bank for International Settlements’ report On the future of securities settlement explains that token-to-account and account-to-token arrangements require legal and technical coordination. A token can streamline a workflow without removing the need for custodians, payment systems or settlement controls.

What tokenization can change—and what it cannot

Potential operational changes

  • A shared ledger can give authorized participants a common view of holdings and transfer status.
  • Programmable rules can automate recurring interest calculations, eligibility checks, collateral movements or linked asset-and-cash delivery.
  • Transactions can be coordinated across systems rather than reconciled manually after separate securities and cash movements.
  • Digital records can support new issuance and settlement arrangements while still connecting to conventional exchanges and custodians.

These are design possibilities, not guaranteed outcomes. Automation depends on accurate data, funded payment accounts, functioning validators and clear procedures for exceptions.

Risks that remain familiar

  • Issuer credit risk: If the issuer cannot pay, tokenization does not improve its ability to repay principal or interest.
  • Bond-term risk: Maturity, coupon, ranking, call features, covenants and governing law still determine the economic claim.
  • Market risk: A tokenized bond can lose value when interest rates, credit spreads or market conditions change.
  • Liquidity risk: A digital transfer mechanism does not guarantee buyers, tight spreads or trading during market stress.
  • Custody and key risk: Lost or compromised keys, an unavailable wallet or a custodian’s operational failure can block access unless recovery arrangements exist.
  • Platform and governance risk: Administrators, validators or operators may have powers to pause, reverse or restrict transfers under system rules.
  • Settlement risk: A transaction can fail if the cash leg, securities leg or connecting system does not complete as intended.
  • Regulatory risk: Treatment depends on the jurisdiction, instrument and facts. A tokenized security may be legally different from its conventional counterpart.

Real-world examples

World Bank Swiss-franc digital bond (2024)

The World Bank announced a Swiss-franc digital bond that initially settled using Swiss wholesale central bank digital currency supplied by the Swiss National Bank. Coupon and redemption payments use tokenized Swiss francs on SIX Digital Exchange (SDX). The bond was listed on SDX and the conventional SIX Swiss Exchange, and SDX’s link to conventional settlement systems allows investors to hold it through traditional custodians. The securities are governed by Swiss law. The World Bank announcement illustrates that tokenized issuance can coexist with familiar exchange access and custody rather than replacing every conventional component.

Canada’s Project Samara (2026)

The Bank of Canada reported that Export Development Canada issued Canada’s first tokenized bond in a real-world experiment, with payments settled in wholesale central-bank deposits. The March 5, 2026 report describes a project, not a claim that Canada’s broader bond market has converted to tokenized issuance.

Bond-i and earlier experiments

The BIS settlement report discusses Bond-i, issued by the World Bank and Commonwealth Bank of Australia using distributed-ledger technology, with payment made through cash in accounts. It demonstrates an important hybrid pattern: a tokenized securities process can use account-based money and must coordinate with established legal and technical infrastructure.

Are tokenized bonds cheaper or more liquid?

Early evidence is encouraging in some samples but does not support a universal verdict. In its July 2025 bulletin, the BIS compared 39 tokenized bonds—24 corporate and 15 government or supranational—with conventional counterparts sharing issuer, currency and coupon type. The study characterized its findings as suggestive.

Measure Finding How to interpret it
Average bid-ask spread 17 basis points for the tokenized bonds versus 30 basis points for the conventional comparison in the BIS sample. A lower observed spread in this sample is not a forecast for an individual issue or proof of greater liquidity in stressed markets.
Issuance cost No significant difference between the tokenized and conventional bonds compared by BIS. Tokenization did not demonstrate a general cost advantage in that comparison.

The BIS’s July 10, 2025 bulletin describes an early market and a selected sample. Its Annual Economic Report 2025 reported more than 20 tokenized sovereign, supranational and agency bonds totaling over $4 billion across nine currencies, while the bulletin discussed a market sample of about $8 billion issued to date. Those figures are snapshots tied to the publications’ time frames, not current totals or evidence of broad retail availability.

U.S. bank-capital treatment is not a universal safety label

The Federal Reserve’s Capital Treatment of Tokenized Securities Frequently Asked Questions, updated March 5, 2026, states: “The capital rule for banking organizations implemented by the Office of the Comptroller of the Currency, the Board of Governors of the Federal Reserve System, and the Federal Deposit Insurance Corporation (together, the federal banking agencies) is technology neutral.”

That FAQ addresses eligible tokenized securities whose legal rights are identical to the conventional form for purposes of U.S. banking-capital rules. It does not mean every tokenized instrument has identical rights, qualifies under the rule or is safer for investors. The instrument’s legal terms and the facts of the issuance still control.

Questions to answer before buying

  1. Who is the legal issuer and obligor? Confirm the entity promising interest and principal, its credit position and the governing law.
  2. What exactly do you own? Determine whether the token is the bond, a separate security or a custodial entitlement.
  3. Which record controls? Read the terms to identify whether the ledger, a CSD entry, a custodian’s register or another legal register is authoritative.
  4. How are transfers restricted? Check eligibility, approved wallets, identity checks, transfer windows and the authority to freeze or reverse transactions.
  5. Who controls access? Identify the key holder, custodian, backup method and process for loss, compromise, death or insolvency.
  6. How does cash settle? Establish whether payment uses bank money, central-bank money or another settlement asset, and when both legs become final.
  7. Who services the bond? Find the paying agent, event administrator and escalation route for missed coupons, calculation errors, defaults and corrections.
  8. What happens if the platform fails? Look for business-continuity, record-recovery, insolvency and migration provisions.
  9. What is the real trading market? Review the specific venue’s volume, quoted spreads, fees and investor access instead of relying on aggregate tokenization statistics.

Bottom line for investors

A tokenized bond is not automatically a new kind of credit risk, a cheaper bond or a faster settlement guarantee. It is a bond claim implemented through a different combination of ledger, custody, payment and governance systems. The decisive comparison is therefore legal and operational: identify the rights attached to the token, the record that proves ownership, the parties controlling keys and transfers, and the way cash and securities become final. Once those details are clear, compare the issuer and bond terms just as you would for any other debt investment.
