There is no single “correct” startup valuation created by a quiet IPO market. Build a valuation range from the company’s stage, operating evidence, financing terms, comparable data and realistic liquidity scenarios. Treat an IPO as one possible exit—not a forecast—and show how the result changes if an exit is delayed, smaller, or takes another form.

What a quiet IPO market changes—and what it does not

A startup can still be valued when public listings are scarce. The valuation question is not “What would the IPO price be?” but “What is this company worth today, for a defined purpose and on a defined date, given the cash it may generate, the prices of relevant businesses or transactions, the assets it controls, and the ways investors might eventually obtain liquidity?”

Quiet IPO activity makes exit assumptions more consequential. A future listing may take longer, involve a lower valuation, or never happen. That affects venture-capital calculations, discounted cash flow (DCF) terminal values, employee and investor liquidity expectations, and the discount applied to private-company interests. It does not, by itself, prove that every startup deserves a lower multiple.

The sources available for this guide do not establish a current IPO-activity level, a geography, or a quantitative relationship between IPO volume and startup multiples. Therefore, describe a market as “quiet” only when you have a dated dataset with a stated geography and definition. Otherwise, use the condition as a scenario-planning fact: public-market liquidity is less dependable, so the valuation should expose timing and exit-route risk.

Define the valuation before choosing a method

Two people can use the word “valuation” while asking for different numbers. Write the assignment in one sentence before opening a spreadsheet:

  • Purpose: fundraising, financial reporting, tax or compensation work, a secondary sale, strategic planning, or another specified use.
  • Valuation date: the exact date at which the conclusion applies. A financing six months ago is evidence, not a timeless answer.
  • Interest being valued: the entire business, an equity stake, common shares, preferred shares, options, or another instrument.
  • Standard and premise: for example, fair value under the relevant accounting framework, or an investment-pricing range for a financing discussion.
  • Capitalization and dilution: issued shares, options, warrants, convertibles, preference rights, and the effect of future financing.

Keep these outputs separate:

  • Enterprise value represents the operating business before adjusting for cash, debt and similar claims.
  • Equity value is the residual value attributable to equity after those balance-sheet claims.
  • Post-money valuation is the negotiated value after a financing has added new capital; it is not automatically the value of every security.
  • Common-share value can differ from a preferred-round price because preferred shares may have liquidation preferences, conversion rights, anti-dilution provisions or other protections.
  • Security-specific fair value must reflect the substantive rights and restrictions of the instrument being measured.

The four principal valuation approaches

1. Income approach: discounted cash flow

A DCF projects future cash flows and discounts them to a present value. The conceptual structure is:

Present value = sum of forecast cash flows discounted to today + present value of the terminal value

For a young startup, the terminal value and the years farthest from the valuation date can dominate the result. A defensible model therefore connects each major assumption to operating evidence:

  • Revenue by product, customer cohort, geography or channel, rather than one unexamined growth percentage.
  • Gross margin, sales and marketing efficiency, headcount, infrastructure costs and other operating expenses.
  • Working-capital needs, capital expenditure and the reinvestment required to reach the forecast scale.
  • The date at which the company reaches sustainable free cash flow, if that can be supported.
  • A terminal growth rate or terminal multiple that is consistent with the company’s long-term economics.
  • A discount rate that reflects company-specific risk, size and limited access to public markets.

The CFA Institute’s 2026 private-company valuation curriculum describes private-company valuation as conceptually similar to public-company valuation, with adjustments to financial information and discount rates for private-company factors. Do not present a single DCF output to the nearest dollar. Show a range, identify the assumptions that drive it, and include sensitivity tables for growth, margin, discount rate, terminal value and timing.

2. Market approach: comparable companies and transactions

The market approach uses valuation multiples observed for similar public companies or private transactions. Similarity must be substantive, not merely based on a shared industry label. Screen for:

  • Business model and revenue type, such as recurring subscription revenue versus one-time sales.
  • Sector, geography and regulatory environment.
  • Stage, scale, growth rate, gross margin and path to profitability.
  • Customer concentration, retention, capital intensity and dependence on a platform or supplier.
  • Transaction date and market conditions at that date.
  • Security type and deal terms, including liquidation preferences and control rights.

A public-company revenue or enterprise-value multiple is a reference point, not a direct answer for a private startup. Public companies are generally larger, more liquid and better disclosed. A private startup may require adjustments for scale, concentration, execution risk and limited market access. The CFA Institute lists multiples of similar firms among the principal private-company methods; the NVCA 2025 Yearbook provides industry context for early-stage companies, multiples and DCF but is not a valuation standard.

Private transaction data can be closer to the subject company, but it may be sparse, confidential, stale or tied to preferred securities with rights that the startup’s common shares do not have. Record the date, security, amount invested, implied price and material rights for every transaction used.

3. Asset-based approach

An asset-based valuation estimates the underlying assets less liabilities. It can provide context or a floor in situations where tangible assets, working capital or identifiable intellectual property are significant. It may be useful for an asset-heavy startup, a wind-down analysis or a cross-check on a business whose operating prospects are uncertain.

It often understates a growth startup because internally developed software, network effects, customer relationships, data and know-how may not appear at a carrying value that reflects their earning potential. Use it as a cross-check unless the company’s value is primarily represented by separable assets.

4. Venture-capital method

The VC method works backward from a possible future liquidity event. The basic sequence is:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Estimate the company’s value at a future financing, trade sale or listing.
  2. Choose a possible date for that event.
  3. Discount the future value to the valuation date using the investor’s required return or discount rate.
  4. Adjust for expected dilution and the ownership represented by the investment being valued.

Singapore government guidance published on 13 May 2026 describes this method for pre-revenue or loss-making companies and explains that it references a future liquidity event, such as an IPO or trade sale, with terminal value discounted to the valuation date. The future event is an assumption in the model, not a promise. State the assumed exit value, timing, dilution, discount rate and ownership explicitly.

Approach Most useful when Evidence required Main failure mode
DCF Operating forecasts can be defended and cash-flow economics are becoming visible Historical operating data, forecast drivers, reinvestment needs and discount-rate support Terminal assumptions overwhelm the result or create false precision
Comparable companies or transactions Relevant, recent peers or deals exist Business-model, stage, growth, geography, date and security-term comparability A public or preferred-security multiple is applied without adjustment
Asset-based Assets and liabilities explain much of the company’s value Reliable asset measurements and complete liabilities Growth prospects and intangible capabilities are missed
VC method The company is pre-revenue or loss-making and investors price a future liquidity event Exit scenarios, timing, dilution, ownership and required return An IPO is treated as certain or near-term

How to model exit uncertainty when listings are scarce

Use at least three cases rather than one IPO forecast. The labels can be adapted to the company, but the logic should be visible:

Case Exit assumption What to vary Reader-facing interpretation
Base case A plausible liquidity event at a defensible value and date Revenue or cash-flow path, exit multiple, timing and dilution The central planning outcome, not a guarantee
Delayed or lower-value case Liquidity occurs later or at a lower value One or more extra years of discounting, lower multiple, additional financing Shows how sensitive value is to a weak public-market window
Non-IPO case Trade sale, private secondary transaction or another route Buyer economics, transaction costs, timing and rights attached to securities Prevents the model from making a listing the only path to liquidity

Do not assign probabilities merely to make a weighted average look sophisticated. If probabilities are used, explain who set them, what evidence supports them and how the result changes if they move. Otherwise, present a range and the individual outcomes.

The Securities and Exchange Commission explains that a traditional IPO involves market-based price discovery. In a SPAC transaction, the SPAC decision-makers determine the value of the private operating company and the amount paid. Those are structurally different routes. The distinction supports modeling exit routes separately; it does not establish that a SPAC, trade sale or IPO is available or attractive for a particular startup.

Should the latest funding round set the valuation?

A recent priced round is important evidence, but it is not automatically the present fair value of every share or security. Conditions may have changed since the round, and the purchased instrument may have rights that common shares lack.

The FCA’s review of private-market valuation practices reports that venture-capital firms commonly used the last available transaction price as a valuation basis, then more often used multiples once companies had achieved revenue. That is a description of observed practice, not a rule that makes the last round correct in all circumstances.

Ask the following before carrying a round price forward:

  • How close is the transaction date to the valuation date?
  • Has revenue, retention, cash runway, product performance or market conditions changed?
  • Was the round priced, or was it a convertible instrument whose ultimate price remains conditional?
  • Does the price refer to preferred shares while the subject interest is common?
  • What liquidation preference, participation, conversion, anti-dilution or control rights were included?
  • Did the round include unusual strategic terms, a distressed financing, or a small insider-led purchase?
  • Would a new investor receive the same information, rights and downside protection today?

The SEC’s Staff Accounting Bulletin No. 107 states that “a valuation technique or model that (a) is applied in a manner consistent with the fair value measurement objective and other requirements of Statement 123R, (b) is based on established principles of financial economic theory and generally applied in that field and (c) reflects all substantive characteristics of the instrument.” In practical terms, the model and the reference transaction must match the fair-value objective and the actual security being measured.

A step-by-step valuation workflow

  1. Write the assignment. Record purpose, valuation date, subject security, standard of value and intended users.
  2. Assemble the capitalization record. Reconcile the cap table to share-issuance documents, option grants, warrants, convertibles and preference terms. Model both current and expected dilution.
  3. Prepare historical operating data. Gather revenue by product or cohort, gross margin, customer retention, cash burn, headcount, operating expenses, capital expenditure and cash balance. Label unaudited or incomplete data.
  4. Document the forecast. Tie growth, pricing, churn, hiring and margin assumptions to observed performance or a clearly identified management plan.
  5. Select relevant comparables. Record why each public company or transaction matches on business model, stage, scale, geography, growth, date and security.
  6. Build at least two methods where evidence permits. For example, combine a DCF with transaction multiples, or use a VC method alongside a market cross-check for a pre-revenue company.
  7. Model exit routes. Include an IPO only as one scenario. Add a delayed or lower-value case and a non-IPO route such as a trade sale when plausible.
  8. Run sensitivities. Change the assumptions that matter most: growth, margin, terminal value, discount rate, exit date, exit multiple and dilution.
  9. Reconcile the outputs. Explain why one method deserves more weight, why another is a cross-check, and where the methods are not comparable.
  10. Report a range and limitations. State the selected range, the valuation date, key assumptions, security rights, unavailable information and events that would trigger an update.

What to stress-test in a DCF or VC model

Revenue and margins

Separate customer additions, expansion, churn, pricing and usage. A top-line percentage that is not linked to those drivers is difficult to defend. Test whether gross margin improves because of repeatable scale or because the model assumes away support, infrastructure or delivery costs.

Reinvestment and cash runway

Fast growth can require hiring, product development, inventory, regulatory work or working capital. If the model omits those needs, it may overstate cash flow and understate future dilution from additional fundraising.

Discount rate and private-company risk

Private companies may face greater company-specific risk, smaller scale and limited access to public markets. The CFA Institute identifies these as factors requiring adjustments to financial information and discount rates. Do not simply copy a public-company discount rate without explaining the differences.

Terminal value and exit timing

Show the value before and after terminal assumptions. In a VC method, discounting a future exit one or two additional years can materially reduce present value even when the nominal exit price is unchanged. A delayed listing may also require another financing, increasing dilution before liquidity.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Ownership and preference waterfalls

After estimating enterprise or equity value, allocate proceeds according to the actual rights of each security. A headline post-money value does not tell a common shareholder what would be received in every exit outcome. If the documents are incomplete, say so rather than presenting a precise common-share number.

Illustrative example: showing a range instead of a headline

The following figures are hypothetical and demonstrate the mechanics only; they are not market data or a valuation of a real company.

Assume a pre-revenue software startup expects a possible five-year liquidity event. In a base case, the model estimates a future equity value of $60 million. Discounting that amount at a 35% annual required return produces a present value of approximately $13.5 million before considering future dilution. If the event is delayed to year seven at the same nominal value, the present value falls to approximately $7.3 million. If a lower-value trade sale produces $35 million in year five, the present value is approximately $7.9 million. The spread comes from timing and exit value, not from changing a single “correct” multiple.

Suppose the company expects a new financing that reduces the current holder’s ownership by 20%. The holder’s modeled value must reflect that dilution. If the investment is a preferred security with a liquidation preference, the proceeds waterfall may produce a different result from simply multiplying the common-share percentage by the headline equity value.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A useful report would show all three outcomes, identify the assumptions behind each, and explain which evidence supports the base case. It would not label the $60 million event an expected IPO unless a specific, supportable process justified that statement.

Evidence quality: how to choose between conflicting methods

Question Stronger evidence Warning sign
Company stage Repeatable revenue, a proven product and a forecast history Pre-revenue or rapidly changing product with long-range assumptions
Input observability Signed financing documents, audited or reconciled financials and documented transactions Rumored prices, stale term sheets or management estimates without support
Market relevance Peers or deals matching sector, model, stage, geography, growth and date A famous public company selected only because its sector label matches
Exit dependence Several routes with explicit timing and sensitivity analysis One near-term IPO treated as certain
Security terms Same class and rights, or a documented adjustment Preferred-round price applied directly to common stock
Uncertainty range Drivers and downside cases are visible A precise point estimate with no sensitivity

When methods disagree, do not average them mechanically. Investigate the reason. A DCF may be high because its terminal growth is aggressive; a transaction multiple may be low because the reference deal was distressed; an asset approach may be low because it omits internally developed capabilities. Weight the method whose inputs best match the company and the valuation purpose, and explain the judgment.

Common mistakes and how to correct them

  • Calling an IPO “the exit.” Replace it with separate IPO, trade-sale and delayed-liquidity scenarios.
  • Using a public-company multiple without adjustment. Document differences in scale, liquidity, growth, geography and security rights.
  • Carrying forward the last round indefinitely. Test whether company performance, financing terms or market conditions changed after the transaction.
  • Confusing post-money value with common-share value. Review the capitalization table and preference waterfall.
  • Hiding dilution. Model option pools, convertibles and the financing required to reach the forecast.
  • Using an unsupported terminal value. Show terminal-value sensitivity and compare it with an exit-based cross-check.
  • Reporting one precise number. Give a range and identify the assumptions that move it.
  • Mixing valuation dates. Restate or adjust older transactions rather than combining them with current data without explanation.
  • Confusing valuation with liquidity. A paper value does not mean a founder, employee or investor can sell at that price today.
  • Failing to state missing information. Identify unavailable financials, cap-table details, comparable terms or transaction documents and explain the effect on confidence.

When to update the valuation

Set update triggers instead of waiting for the next formal financing. Revisit the range after a material revenue or retention change, a major product or regulatory event, a significant cash-flow shift, a new financing or secondary transaction, a change in capital structure, or a meaningful change in the plausibility or timing of an exit route.

Each update should preserve the prior valuation date and assumptions so readers can see what changed. A new number without a bridge from the previous number makes it difficult to distinguish operating progress from a change in market or exit assumptions.

What a defensible valuation package contains

  • Assignment letter stating purpose, date, security and standard of value.
  • Fully reconciled capitalization table and financing documents.
  • Historical financial statements and operating metrics.
  • Forecast model with formulas, sources and management explanations.
  • Comparable-company and transaction selection log.
  • DCF, market, asset-based or VC calculations used, including sensitivities.
  • Exit scenarios with timing, dilution and proceeds waterfalls.
  • Discussion of limitations, missing data and events that could invalidate the range.
  • Approval record showing who reviewed assumptions and when.

This package is especially important when the public-exit environment is uncertain. It allows a board, investor, auditor or prospective buyer to challenge assumptions without mistaking a negotiated financing price for an objectively guaranteed market price.

Bottom line

Value a startup in a quiet IPO environment with a triangulated range, not an IPO headline. Use DCF when cash-flow forecasts are supportable, comparable companies and transactions when the matches are genuinely relevant, asset value as a context or floor where appropriate, and the VC method for an explicit future-liquidity scenario. Make timing, dilution, security rights and non-IPO exits visible. The result is a reasoned estimate for a stated date and purpose—not a promise that liquidity exists at that price.
