To convert paper share certificates into electronic holdings, open a demat account with a SEBI-registered Depository Participant (DP), obtain the DP’s Demat Request Form (DRF), and submit the signed form with the original certificates. The DP sends the request to the issuing company or its registrar and transfer agent (RTA), which verifies it before the shares are credited to your account. This dematerialisation converts the form of your existing holding; it does not by itself change ownership or add a joint holder.
“Transfer physical shares to demat” can also mean changing the owner, such as after a sale, gift, inheritance, or an old purchase that was never registered. Those cases do not follow the same checklist. Identify whether you need conversion, transfer, transmission, or transposition before handing over certificates.
Dematerialisation is different from transferring ownership
People often use “transfer physical shares to a demat account” for two different actions:
Free tools Windows power users keep installed

- Dematerialisation: converting certificates already registered in your name into an electronic holding in a demat account with the same holder names.
- Transfer: changing the registered owner, such as selling or gifting shares to another person.
For listed securities, SEBI’s general rule is that a transfer in physical form is no longer processed. In a March 27, 2019 clarification, SEBI stated: “Any investor who is desirous of transferring shares (which are held in physical form) after April 01, 2019 can do so only after the shares are dematerialized.” That rule concerns transfer, not your ability to continue holding certificates. You can generally retain physical holdings, but you normally need to dematerialise them before transferring them.

If the certificates are already in your name and you only want electronic ownership, follow the standard dematerialisation route below. If a buyer’s name was never registered, a holder has died, or the ownership names must change, stop before filing a routine DRF: transmission, transposition, or a special transfer route may apply.
What you need before submitting a request
A demat account with a registered DP
Use a DP registered with a securities depository and overseen within SEBI’s framework. The DP is the operational point of contact: it supplies the form, checks your submission, accepts the certificates, and tracks the request with the issuer or RTA. Compare the DP’s current tariff and submission requirements before opening the account. Registration can be checked through the official DP directory referenced in SEBI’s investor charter.
Ask how the DP accepts paper documents. Some may require an in-person branch submission, while others may permit a documented courier process. Confirm whether original certificates must be presented, how the package is acknowledged, and where you can obtain a copy of the request details. These practical rules are set by the DP, so obtain them in writing rather than relying on a generic online fee advertisement.

Certificates that can be matched to the account
Review every certificate before visiting the DP. The holder names and their order must correspond to the demat account. Dematerialisation cannot be used to add an owner, remove an owner, or otherwise rewrite the ownership recorded on the certificate. Check spelling, initials, order of joint names, certificate number, distinctive numbers, quantity, and the security description.
Separate requests by ISIN and status
CDSL’s process requires a separate DRF for each ISIN (International Securities Identification Number). It also requires separate requests for free securities and securities subject to a lock-in. If your certificates cover more than one security, prepare separate sets rather than assuming the DP can combine them. A mismatch can result in a return and another submission.
Decide whether the standard route is appropriate
A certificate in the deceased holder’s name, a certificate bought from someone but never registered in your name, or a request to change the set of holders is not a routine conversion. Before signing a DRF, describe the history to both the DP and issuer/RTA and ask whether transmission, transposition, an ownership transfer, or the 2026 special window is required.
Step-by-step: convert certificates into your own demat account
- Open or confirm the demat account. Choose a SEBI-registered DP and make sure the account names, holder order, and other details match the certificates. Ask for the DP’s current charges and document checklist.
- Obtain the Demat Request Form. The DP provides the DRF. Complete it exactly as instructed and sign it. Use a separate DRF for each ISIN and separate forms where the securities are free or locked in, as applicable.
- Inspect the certificates and form together. Confirm that the certificate numbers, quantity, security identity, holder names, and order are consistent with the DRF and demat account. Do not attach a transfer deed: CDSL says a transfer deed is not required for dematerialisation.
- Submit the signed DRF and original certificates to the DP. Ask for a dated acknowledgement describing the certificates and request. Keep a copy of the form and the acknowledgement. If a courier is permitted, retain the tracking record and delivery confirmation.
- Let the DP route the request. The DP verifies the details, records the dematerialisation request, and forwards the request and certificates to the issuing company or its RTA. The issuer/RTA checks the request against its records and confirms or rejects it.
- Check the electronic credit. After confirmation, the shares are credited to the demat account. Review the account statement, security identifier, holder names, and quantity credited. CDSL says the issuer or RTA may then retain or destroy the paper certificates.
For a delay, correction, or status question, start with the DP because it submitted and routes the request. Keep the acknowledgement until the electronic credit is visible. If the DP says the issuer has not received the package, ask for dispatch details; if receipt is confirmed, ask the DP to identify whether the issuer/RTA has accepted, rejected, or queried the request.

What happens after the DP accepts the papers?
The DP’s acceptance is only the first hand-off. It checks the DRF and certificates, creates the request in its system, and sends the documents to the issuer or RTA. The issuer/RTA compares the certificate and holder information with its register. A confirmation results in an electronic credit; a discrepancy or eligibility problem can result in rejection or a request for correction.
Ask the DP for three dates if timing becomes important: the date it entered the request, the date it dispatched the documents, and the date the issuer/RTA recorded receipt. Those dates distinguish a delay at the DP from a delay after the issuer received the certificates. Keep the DP acknowledgement even after the credit appears, because it is the clearest record of what was submitted.
Forms, charges and holdings that need special care
| Item | What the official process says | What you should do |
|---|---|---|
| Demat Request Form | CDSL requires a DRF obtained from the DP and signed by the investor. | Complete the DP-provided form; do not substitute a transfer deed. |
| Transfer deed | Not required for dematerialising certificates. | Submit the DRF and certificates instead. |
| Dematerialisation fee | CDSL itself does not levy a dematerialisation charge. | Check the DP’s current tariff; the DP may charge its own fee and postage or courier costs. |
| Odd-lot holding | CDSL says odd lots can be dematerialised. | Declare the actual quantity on the DRF rather than assuming a marketable-lot minimum. |
| Partial dematerialisation | Part of a holding may remain physical, but one physical certificate cannot be split for partial dematerialisation. | Use certificates that represent the quantity you want to dematerialise; ask the issuer/RTA how to handle a quantity that exists on one indivisible certificate. |
| Unlisted security not admitted with CDSL | CDSL’s FAQ says the company should have the security admitted before dematerialisation through CDSL can proceed. | Contact the company and DP first. This CDSL guidance should not be assumed to describe another depository’s procedure. |
There is no universal DP price. Charges, courier options, and document-submission methods can change, so obtain the current written tariff before handing over certificates. Ask specifically whether a fee is per certificate, per DRF, or per request, and whether returned or corrected requests incur another charge. CDSL’s statement that it does not levy a dematerialisation charge does not prevent a DP from charging for its service or logistics.
How long dematerialisation takes
CDSL states that dematerialisation should be completed within 15 days of the issuer or RTA receiving the certificates. The clock is not necessarily 15 days from your first visit to the DP: the DP must first accept and set up the request, and the issuer/RTA must receive the certificates. Keep the DP’s acknowledgement and ask when the request was dispatched and when receipt was recorded.
If the 15-day period has passed after confirmed receipt by the issuer/RTA, request a status explanation from the DP. Ask whether the issuer/RTA rejected the request, sought a correction, or has not yet confirmed the certificate details. Preserve every acknowledgement, message, and account statement in case you need to escalate. A request returned for an incorrect name, ISIN, quantity, or certificate detail may need a corrected DRF and a fresh processing cycle.
Joint holders, name order and ownership changes
Adding a joint holder
A sole holder cannot add a joint holder through dematerialisation. The ordinary alternative described by CDSL is to dematerialise the shares in the single holder’s account first and then use an off-market transfer to the joint account, subject to the applicable transfer process. Another possibility is to complete the relevant ownership-transfer route before dematerialisation. Ask the DP which sequence and documents apply to your facts; do not write an extra name onto the DRF and assume it will be accepted.
Transposition-cum-dematerialisation
Transposition is for the same people whose names appear on the certificate when their order differs from the order in the demat account. For example, the two existing joint holders may need their names reordered. It is not a method for deleting an existing holder or inserting a new one. The names must remain exactly the same set of holders. If the certificate names are A and B, a transposition can reorder them as B and A, but it cannot produce A and C.

Death of a holder
When a holder has died, the matter is transmission, not a routine dematerialisation. Contact both the DP and the issuer/RTA and ask for the transmission procedure, because the documents and account destination depend on the succession circumstances. Do not assume that signing a standard DRF can move a deceased holder’s securities. The surviving-holder, nominee, legal-heir, and account requirements can differ, so obtain the issuer/RTA’s prescribed list before sending original certificates.
Certificates bought but never registered in the buyer’s name
An old purchase may have been completed privately while the issuer’s register still shows the seller. That is not the same as a certificate registered in your name. SEBI treats old unregistered purchases and transmission or transposition as distinct situations. Give the DP and issuer/RTA the purchase history and ask which route applies before submitting a standard demat request. A routine DRF cannot silently replace the registered owner.
Special SEBI window for certain pre-2019 physical transfers
SEBI Circular HO/38/13/11(2)2026-MIRSD-POD/I/3750/2026, dated January 30, 2026, created a limited exception for physical securities sold or purchased before April 1, 2019. The window runs from February 5, 2026, through February 4, 2027.
| Feature | Rule under the 2026 window |
|---|---|
| Eligible transaction timing | Sale or purchase of physical securities before April 1, 2019, subject to the circular’s conditions. |
| Application period | February 5, 2026 to February 4, 2027. |
| Earlier failed requests | Certain requests previously submitted and rejected, returned, or left unattended because of deficiencies or process issues may be covered. |
| Required credit | Securities transferred under the window must be credited to the transferee in demat mode. |
| Lock-in | One year from the date the transfer is registered. |
This is a time-limited exception, not a general return to physical transfers. Contact the issuer/RTA for the prescribed documents and verify that your transaction satisfies every condition in the circular. Do not rely on the ordinary DRF route alone for an old purchase that was never registered in your name. Plan for the one-year lock-in: securities transferred under the window cannot be treated as immediately freely transferable during that period.
Why a request may be rejected or delayed
Names do not match
A spelling difference, missing holder, or different joint-holder order can prevent confirmation. If the same names are merely in a different order, ask about transposition-cum-dematerialisation. If the set of names differs, stop and establish the appropriate ownership or succession route.

Using one DRF for multiple ISINs, or combining free and lock-in securities on a request that should be separate, conflicts with CDSL’s stated process. Prepare a separate request for each required category.
Certificate and DRF details conflict
Quantity, certificate number, or security details that do not agree can trigger a return. Compare the physical certificate with the completed form before submission and obtain a written explanation for any correction requested.

The request is stuck between DP and issuer/RTA
Ask the DP for the request date, dispatch date, issuer/RTA receipt date, and current status. The issuer/RTA performs the register check; the DP remains your first operational contact. Escalate through the grievance channels identified in SEBI’s investor charter if the DP or depository does not resolve the matter.
The security is not admitted for dematerialisation
For a CDSL security not admitted with CDSL, CDSL’s FAQ directs the investor to ask the company to arrange admission before proceeding. Confirm the relevant depository’s rule rather than assuming another depository follows the same process.

Safety and complaint handling
- Use a DP whose registration can be verified through official SEBI or depository information.
- Never disclose demat-account passwords, one-time passwords, or other authentication codes to a DP employee, courier, caller, or purported issuer representative.
- Retain the DRF copy, certificate details, acknowledgement, courier proof, correspondence, and account statements.
- Check the credited quantity and holder names in the demat statement as soon as the request is completed.
- For an unresolved issue, complain first through the DP or depository process and then use the SEBI grievance channels set out in its investor charter.
Choosing a DP for this specific task
A low account fee alone does not tell you whether a DP is suitable for paper-share work. Compare the following items before opening the account or submitting certificates:
- Current dematerialisation, postage, courier, and account-maintenance charges.
- Proof of SEBI registration and the relevant depository relationship.
- Whether the DP accepts physical certificates at a branch, by permitted courier, or through another documented method.
- How it provides DRFs and acknowledges receipt.
- How you can obtain the issuer/RTA dispatch and receipt status.
- Customer-support escalation for rejected, returned, or delayed requests.
- Whether it handles transposition, transmission, and the 2026 special-window cases or directs those matters to the issuer/RTA.
Do not choose a provider solely on an advertised “free” demat account if the relevant certificate-handling or courier charges are separate. A provider that explains the paper workflow, gives a dated receipt, and offers a clear escalation path may be more useful for this task than one selected only for a low annual fee.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Questions to ask the DP before you submit
- Is my account opened in exactly the same holder names and order as the certificates?
- Do I need one DRF per ISIN and separate DRFs for free and lock-in holdings?
- What is the current per-request or per-certificate charge, including courier or postage?
- How will you acknowledge receipt of my original certificates?
- When and how will I receive the issuer/RTA dispatch and receipt details?
- Does my case involve transposition, transmission, an unregistered purchase, or the 2026 special window rather than ordinary dematerialisation?
Final submission checklist
- Demat account opened with a SEBI-registered DP.
- Holder names and order checked against every certificate.
- Separate DRF prepared for each ISIN.
- Separate treatment arranged for free and lock-in securities.
- Original certificates and signed DRF checked for matching details.
- No transfer deed attached for a routine dematerialisation request.
- Current DP charges confirmed.
- Dated acknowledgement retained.
- Issuer/RTA receipt date obtained if timing becomes an issue.
- Special route confirmed for inheritance, transposition, an unregistered old purchase, or a qualifying pre-April 1, 2019 transaction.
The standard route is therefore straightforward only when the certificate already records the same holders as the demat account. Where ownership, succession, name order, or a legacy transfer is involved, identify that issue first; filing a routine DRF will not correct it.
Frequently Asked Questions
How do I convert physical shares to demat?
Open a demat account with a SEBI-registered DP, obtain its DRF, complete and sign a separate form for each ISIN, and submit the form with the original certificates. The DP forwards the request to the issuer or RTA for verification before crediting the shares.

What documents are needed to dematerialise share certificates?
The usual submission is the DP-provided, signed DRF and the original physical certificates. The DP may require account-opening or identification documents under its own procedures, so obtain its current checklist and submission instructions.
How long does it take to demat physical shares?
CDSL states that dematerialisation should be completed within 15 days after the issuer or RTA receives the certificates. That period is not necessarily measured from your first visit to the DP. Keep the acknowledgement and confirm the issuer/RTA receipt date.
Can I dematerialise only part of my physical holding?
Part of a holding may remain physical, but one physical certificate cannot be split for partial dematerialisation. Use certificates representing the quantity you want to convert and ask the issuer or RTA how to handle an indivisible certificate.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesCan I add a joint holder while dematerialising shares?
No. Dematerialisation does not add an owner. CDSL describes dematerialising first in the sole holder’s account and then using an off-market transfer to the joint account, or completing the relevant ownership route before dematerialisation.
What if the joint-holder names are in the wrong order?
Ask about transposition-cum-dematerialisation. It can reorder the same names, but it cannot delete an existing holder or add a new one. The set of holders must remain identical to the certificate.
Can I demat shares inherited from a deceased holder with a normal DRF?
Usually not as a simple routine request. Death of a holder involves transmission. Contact the DP and issuer/RTA for the applicable documents and destination account before submitting original certificates.
Can I transfer old physical shares bought before 2019?
A limited SEBI window runs from February 5, 2026 through February 4, 2027 for qualifying physical securities sold or purchased before April 1, 2019, including certain earlier rejected or unattended requests. Conditions apply, the transferee must receive demat credit, and the securities are locked in for one year from registration.
The Tool Desk
Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →Is a transfer deed required for dematerialisation?
No. CDSL says the certificates should be accompanied by the DRF obtained from the DP; a transfer deed is not required for the ordinary dematerialisation request.
Who should I contact when a demat request is delayed?
Start with the DP, which accepted and routed the request. Ask for dispatch and issuer/RTA receipt dates and the current status. If the matter remains unresolved, use the depository and SEBI grievance channels identified in SEBI’s investor charter.
The Bottom Line
For certificates already registered in your name, the process is: use a SEBI-registered DP, submit its signed DRF and matching certificates, and track the issuer/RTA confirmation. Dematerialisation changes paper into electronic form; it does not change ownership. Name mismatches, inheritance, unregistered old purchases, and qualifying pre-2019 transfers require a different route, so resolve that issue before filing a routine request.
