Track the certificates, not just the electricity. A solar power-purchase agreement (PPA) supports a renewable-electricity or market-based Scope 2 claim only when the contract gives the buyer the relevant renewable-energy certificates (RECs), those certificates are transferred and retired for the claimed electricity, and the records rule out resale or other use. If the developer keeps or sells the RECs, buying solar power alone does not give your organization the right to claim that renewable attribute.

The practical control is a chain of evidence: a REC allocation clause in the PPA, production reconciliations, registry transfer records, retirement confirmations, and a claims ledger tying retired serial numbers to facilities, megawatt-hours (MWh), reporting periods and approved wording.

What a REC means in a solar PPA

A renewable-energy certificate is the tradable instrument that carries the renewable attributes of one megawatt-hour of generation. The U.S. Environmental Protection Agency (EPA) describes a REC as the legal property right to the renewable-ness, or non-power attributes, of renewable electricity. The certificate is separate from the physical electricity moving through the grid.

Owning the exclusive REC rights gives a party the right to make the associated renewable-electricity use claim. A PPA can deliver solar electricity, financial settlement, or both while assigning the RECs to someone else. That distinction determines what can be said publicly and how the purchase is treated in market-based Scope 2 accounting.

Bundled and unbundled arrangements

  • Bundled PPA: The electricity arrangement and the project’s RECs stay together, and the contract transfers the relevant REC rights to the buyer for retirement.
  • Unbundled certificates: RECs are purchased separately from electricity. They can support a claim only if they meet the applicable market and quality requirements and are retired for the buyer.
  • REC-retained or REC-resold PPA: The generator or another party keeps, transfers or sells the certificates. The buyer may still receive power or financial benefits, but cannot claim the sold renewable attributes.

EPA’s guidance for third-party-owned systems and PPAs advises organizations to make sure the contract conveys associated REC ownership to the organization. A clause that merely says the project is solar, without assigning exclusive environmental attributes, is not enough.

Put the REC terms in a contract schedule

Before signing, create a REC schedule inside the PPA file. Have counsel or the sustainability and energy teams quote the operative clause, identify the exclusive claimant and record the operational details that will later be needed for reporting.

Field to record What to specify Why it matters
Project identity Project name, generating-unit or registry ID, technology and operating location Prevents certificates from a different facility being substituted without approval.
REC owner Named party that receives the certificates and has exclusive claim rights Establishes who may make the renewable-use statement.
Exclusivity Language prohibiting the seller, lender, tenant or another buyer from claiming or reselling the same attributes Reduces double-selling and double-counting risk.
Eligible market Certificate market or geographic boundary and the facilities or load that may use the certificates Market-based Scope 2 methods generally require the renewable electricity to come from the same market as the operational load.
Production period and vintage Delivery years or months and the generation vintage accepted for each claim Allows a reporting period to be matched to the correct certificates.
Expected and settled MWh Forecast output, metered output, settlement method and adjustment dates Separates an estimate from the quantity actually eligible for retirement.
Transfer mechanism Tracking system, account names, transfer timing and evidence supplied after each transfer Creates a verifiable chain from generation to buyer.
Shortfall and replacement rules Whether replacement RECs are supplied, their technology, market, vintage and price, and who bears the cost Defines what happens when the project produces less than expected or certificates are invalidated.
Excess generation Whether excess certificates are delivered, sold by the seller, banked or allocated to another facility Stops the buyer from claiming certificates it never received or retired.
Retirement beneficiary Exact legal entity, account or facility named as the beneficiary of retirement Connects the registry event to the organization making the claim.
Audit and claim rights Access to meter data, registry records, transfer confirmations and permitted external wording Lets reviewers test the claim and prevents marketing language that exceeds the purchase.

Do not rely on an invoice description such as “solar power.” The schedule should state whether the buyer has the exclusive right to the associated RECs and what happens to any certificate that is not delivered. EPA warns that a PPA silent on REC ownership can lead to double selling or double counting.

Six-step tracking workflow

1. Review and classify the contract

  1. Copy the REC-allocation clause into the REC schedule and identify the exclusive claimant.
  2. Record the project, generator ID, location, eligible market, contract term and production period.
  3. Mark whether the arrangement is bundled, unbundled or REC-retained.
  4. Document replacement-REC, shortfall, excess and invalidation provisions.
  5. Obtain an approved claim statement from legal, sustainability and financial-reporting owners before any public release.

The result should be a one-page control record that a reviewer can read without interpreting the entire PPA.

2. Reconcile generation to registered MWh

Each month or quarter, compare the project’s meter or production statement with the MWh registered in the applicable certificate-tracking system. EPA explains that these systems register renewable generation, issue one REC for each renewable MWh and permit electronic transfers between account holders.

Use a reconciliation table with at least these columns:

  • Production period and statement date
  • Metered or settled MWh
  • RECs issued and serial-number range
  • Registry account and transfer date
  • Variance, explanation and approver

Investigate differences rather than rounding them away. A forecast is not evidence that the corresponding certificates were issued, and a certificate issuance record is not proof that the buyer received or retired it.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

3. Preserve transfer evidence

Save the registry transfer confirmation for every delivery, including serial-number ranges, quantity, vintage, technology, project and receiving account. Keep the related invoice, production statement, settlement report and any supplier attestation in the same period folder. If the project uses a contract path without a certificate registry, retain the contractual transfer document, generator records and an independent attestation sufficient for an auditor to follow the attributes from generation to buyer.

4. Retire the certificates before making the claim

Retirement or cancellation removes the RECs from circulation so another party cannot use them. Retire the exact MWh, project or product definition, market and reporting period described in the claim. EPA recommends consulting the supplier or tracking system for the formal retirement procedure.

Capture the retirement confirmation, retirement date, beneficiary name, quantity, serial-number range and stated purpose. A transfer into the buyer’s account is not the same as retirement: transferred certificates remain available for sale or another claim until the account holder retires them.

5. Maintain a claims ledger

Link each external statement, customer disclosure and market-based Scope 2 allocation to the retired serial numbers that support it. The ledger should identify:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Claim text and publication or reporting date
  • Covered legal entity, facility, meter or load
  • Electricity consumption and claimed MWh
  • Project, market, vintage and certificate quantity
  • Retirement confirmation and serial-number range
  • Reviewer, approver and any limitation on the wording

When a claim covers only a subset of operations, record that boundary explicitly. This prevents a facility-level retirement from being reused as a company-wide statement.

6. Perform an annual close

At year-end, confirm that none of the certificates used in a claim was sold, transferred, applied to a renewable-portfolio standard (RPS) mandate, or included in a supplier’s own renewable claim after retirement. EPA identifies those overlaps as double counting. Reconcile the final settled MWh, replacement certificates, retirements and claims ledger, then obtain a documented sign-off.

How to prove that RECs were retired

An audit-ready file should let an independent reviewer answer four questions without inference: what was generated, who owned the attributes, where the certificates went, and whether they were retired before the claim.

Evidence What it demonstrates Common weakness
PPA REC clause and schedule Contractual ownership, exclusivity, market and term Describes solar generation but never assigns REC rights.
Meter or production statement Actual project output for the period Uses forecast MWh as if it were settled generation.
Registry issuance record Certificates were created for renewable generation Does not show the buyer received or retired them.
Transfer confirmation Serial-numbered certificates moved to the buyer Omits the receiving account or quantity.
Retirement confirmation Certificates were canceled for a named beneficiary and purpose Retires a different vintage, market or quantity than the claim.
Invoice and settlement report Commercial delivery and payment tie to the period Invoice labels the product “renewable” without certificate details.
Claims ledger and approval trail Public wording and Scope 2 allocation use the retired certificates once One retirement is copied into several overlapping claims.

Keep the records under a consistent naming convention, such as YYYY-MM_project_period_document-type, and preserve the original registry export rather than only a screenshot. Retention periods should follow your financial, environmental and contractual audit policies.

Using the PPA in market-based Scope 2 accounting

The GHG Protocol treats PPAs and energy attribute certificates as contractual instruments. Their certificates must be tracked and retired or canceled when a claim is made. Before applying a project-specific or zero-emission factor, confirm that the instrument satisfies the applicable market boundary and quality criteria for your reporting framework.

Match the claim to the covered load

EPA says claims for a subset of facilities or electricity use should describe that limited scope, and its guidance generally expects renewable electricity to come from the same market as the organization’s operational load. A retirement for one office cannot automatically support an assertion about every site in a different market.

State the entity, facilities, electricity quantity, project or product, market and calendar year. If certificates cover 8,000 MWh of a 10,000-MWh load, report the covered 8,000 MWh and explain the treatment of the remaining 2,000 MWh under the chosen Scope 2 method.

Example of bounded wording

Use wording such as: “For calendar year [year], [company] purchased and retired [MWh] of solar RECs associated with [project] for [facility/load] in [market]. These retired attributes support our market-based Scope 2 accounting for that covered electricity.” Replace every variable with the exact legal entity, quantity, facility, market and period supported by the ledger.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Avoid saying “the company runs on 100% renewable electricity” when the retirement covers only selected facilities, a partial load or a single reporting year. Do not extend a one-time retirement into a continuing claim unless certificates are retired for each additional period.

Do not turn a REC into an offset

RECs and carbon offsets serve different accounting purposes. EPA classifies RECs as instruments for managing indirect electricity emissions; offsets are instruments intended to reduce direct global emissions. A REC claim should not be presented as an offset claim unless a separate, valid offset instrument and accounting treatment exist.

The Federal Trade Commission gives a direct compliance warning: “Marketers who generate renewable energy – say, by using solar panels – but sell RECs for all the renewable energy they generate shouldn’t claim they ‘use’ renewable energy.” If the developer sold the project’s RECs, the buyer should describe the electricity or financial arrangement without claiming the associated renewable attributes.

How to compare solar PPA offers

Price and forecast output do not tell you whether a PPA can support the claim you need. Compare offers across the following dimensions before selecting one.

What’s actually slowing this PC down?

Pick the symptom - the matching free tool is one click away.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Comparison axis Questions to ask Decision implication
REC ownership and exclusivity Who receives the certificates? Can any seller, financier or host retain, resell or claim them? A buyer without exclusive rights cannot make the same claim as a buyer receiving and retiring the RECs.
Project and load geography Where is the generator, and does it fall within the market boundary for the intended Scope 2 method? A project outside the relevant market may not qualify for the desired accounting treatment.
Term and production period Which contract years and certificate vintages are delivered? Ensures each reporting year has matching attributes.
Expected versus settled MWh How are forecasts reconciled, and when is final output known? Determines the quantity that can actually be retired.
Registry and retirement process Which tracking system is used, who controls the accounts and who submits retirement instructions? A formal registry process generally provides stronger serial-number evidence.
Replacement RECs What technology, market and vintage apply if the project under-produces or certificates are invalidated? Protects continuity without silently changing the claim’s attributes.
Excess and shortfall treatment Who owns surplus certificates, and how is an MWh deficit covered? Prevents claims for undelivered output and clarifies cost exposure.
Scope 2 eligibility Does the instrument meet the reporting framework’s market and quality criteria? A solar label alone does not establish eligibility.
Audit rights Can the buyer inspect meter data, registry records, transfer logs and supplier attestations? Without access, proving the claim may depend on an unverified assertion.
Permitted wording What environmental statements does the contract allow, and are partial-load limits stated? Aligns marketing, sustainability and financial disclosures.

A lower-cost PPA that strips or resells RECs cannot support the same renewable claim as a bundled PPA that transfers and retires them. Evaluate the certificate rights as a separate product, not as an implied feature of solar generation.

Managing shortfalls, excesses and replacement certificates

Project produces less than expected

Use settled generation, not the original forecast, as the starting quantity. Apply the contract’s replacement rule and record the replacement project, technology, market, vintage and serial numbers. If replacement certificates do not meet the intended Scope 2 criteria, reduce or qualify the claim rather than silently substituting them.

Project produces more than the buyer needs

Decide in advance whether excess certificates are delivered to the buyer, banked for a later eligible period or retained and sold by the seller. The buyer must not claim excess MWh that were never transferred and retired for its facilities.

Certificate is invalidated or ownership is disputed

Freeze the related claim, notify the reporting owner and preserve the registry notice and contract correspondence. Follow the replacement or indemnity provision, then update the claims ledger and any published statement. Do not delete the original record; an auditor needs to see the event and remediation.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Failure modes and corrective actions

Symptom Likely cause Corrective action
The PPA says “renewable” but names no REC owner. Environmental attributes were left undefined. Obtain a signed amendment or supplier clarification assigning exclusive rights before making a claim.
Certificates appear in the buyer’s account but are not retired. Transfer was mistaken for cancellation. Submit retirement instructions for the exact quantity and capture the confirmation.
Retirement quantity exceeds settled generation. Forecast MWh or an incorrect period was used. Reconcile to final production and correct the ledger and disclosure.
Supplier also advertises the project as its renewable electricity. Exclusive ownership or claim restrictions are absent. Check the contract, request cessation or correction, and assess whether the buyer’s claim must be withdrawn.
Certificates were used for an RPS mandate after the buyer claimed them. Double counting across compliance and voluntary use. Remove the overlapping certificates from the claim and document the control failure.
One facility’s retirement is cited for the entire company. Claim boundary was expanded in communications. Rewrite the statement to name covered facilities, MWh, market and reporting period.
REC records and Scope 2 workbook use different MWh totals. Consumption, delivery and certificate periods were not aligned. Define the reporting period, reconcile every variance and obtain reviewer sign-off before close.

Publication and audit checklist

  • Name the PPA project, market, covered facilities and reporting period.
  • Quote or reference the REC-allocation clause and identify the exclusive claimant.
  • Reconcile generation to registry issuance and preserve serial numbers.
  • Retire the exact claimed MWh before or when publishing the statement.
  • Check for RPS use, resale, supplier claims and other double-counting paths.
  • Separate renewable-electricity and Scope 2 language from carbon-offset language.
  • Describe partial coverage instead of using unqualified company-wide “100% renewable” wording.
  • Retain the retirement statement, invoices, production data, registry exports and approval trail.

These controls turn a solar PPA from a promise about a project into a traceable, period-specific claim that an auditor, customer or regulator can test.
