Close a startup as a managed project, not a single announcement. First document the decision and liabilities, then map employment obligations, fund final pay and customer remedies, secure data, and complete tax and entity filings. Keep a named owner and a monitored contact active until the last promised service, refund, record transfer, or support duty is complete.
This is a U.S.-centered baseline, not legal advice. Employment, privacy, consumer, tax, insolvency, sector, and entity rules can differ by state and country. Have counsel and tax professionals check each workforce location, contract, and filing before you promise a date, payment, refund, deletion, or continuing service.
1. Decide what kind of shutdown you are undertaking
A responsible closure starts with an explicit decision, not an informal instruction to stop spending. The board, members, or other authorized owners should approve and date a written resolution. Record who has authority, who will run the wind-down, and what happens if the plan changes.

The Small Business Administration advises owners to “Create a thorough plan to transfer ownership, sell, or close your business.” Its close-business guidance also calls for dissolution documents, canceled registrations, compliance with labor laws, resolved financial obligations, and retained records. Treat those as workstreams with owners and evidence of completion rather than as a last-day checklist.
Choose the path deliberately
| Path | Customer continuity | Cash and creditor considerations | Control and exposure |
|---|---|---|---|
| Orderly wind-down | You control a defined service, refund, and support run-out. | Cash must cover operating costs, employee protections, taxes, refunds, and other obligations in the chosen sequence. | Owners and executives manage the process directly, with personal exposure depending on guarantees, misconduct, and applicable law. |
| Sale or transfer | A buyer may continue service, but contracts, warranties, data, and customer consent may limit what can transfer. | Purchase proceeds and assumed liabilities depend on the transaction documents; unresolved obligations still need a plan. | Negotiation and diligence take time, and authority to transfer assets or data must be confirmed. |
| Bankruptcy or another insolvency process | Continuity is governed by the proceeding, available funding, and any approved sale or assignment. | Creditor priority, automatic stays, professional fees, and court requirements control what can be paid and when. | Management authority and personal exposure can change; insolvency counsel should be involved before commitments are made. |
Do not announce a permanent closure while accepting new money without a documented fulfillment or refund path. If the cash forecast cannot cover promised obligations, escalate to insolvency counsel before taking additional deposits or subscription payments.
2. Map employees and employment law before anyone is told
Build a location-by-location workforce register before setting an announcement date. Include employees, contractors, consultants, and anyone supplied through another employer. For each person, record work location, tenure, role, pay cycle, benefits, accrued leave, expenses, equity, employment agreement, immigration constraints, collective-bargaining status, company property, and a reliable personal contact. Keep access to this register limited to the wind-down team.

Federal WARN generally applies to an employer with 100 or more employees and requires 60 calendar days of written notice for a covered plant closing or mass layoff affecting 50 or more employees at one site. The U.S. Department of Labor says WARN “protects workers, their families, and communities” by giving them transition time to seek jobs and training. A covered notice also goes to employee representatives, the local chief elected official, and the state dislocated-worker unit.
Those figures are a federal baseline, not a safe harbor for every startup. State or local laws can set lower thresholds, longer notice periods, additional recipients, or different definitions of employee, site, closing, and layoff. Check every location where people work, including remote-work arrangements, and examine statutory exceptions with counsel. A notice decision should be documented even when the conclusion is that federal WARN does not apply.

Compare immediate termination with a notice-period continuation
| Approach | Advantages | Risks to resolve | Controls |
|---|---|---|---|
| Immediate termination | Reduces payroll burn and may limit security or operational risk. | May trigger WARN or state notice claims, disrupt customer support, lose essential knowledge, and leave no time to transfer work. | Confirm notice rules, preserve records, collect property, revoke access safely, and assign a small team for critical obligations. |
| Notice-period continuation | Supports legal notice compliance, handoffs, customer service, collections, and orderly documentation. | Consumes cash and requires supervision, access controls, and a realistic workload. | Define duties, end dates, approval limits, security monitoring, and the funding reserve for wages and benefits. |
The least expensive payroll option is not automatically the responsible one. Compare payroll cost with notice exposure, the value of knowledge transfer, customer harm, security risk, and the cash needed to complete refunds and filings.
3. Fund final pay and other employee protections
Before announcing closure, ring-fence enough cash for final wages, required expense reimbursements, accrued amounts required by contract or state law, benefits notices, payroll taxes, and any severance you have promised or must provide. Model payroll through each person’s actual last day, not just through the public shutdown date.
What to calculate for each person
- Wages through the final minute worked, including approved overtime where applicable.
- Reimbursable business expenses and any contractual commissions or bonuses that have become payable.
- Accrued leave or other amounts required by the employment agreement, plan, or state law.
- Benefit premiums, continuation notices, and the date coverage ends.
- Equity-plan treatment, exercise windows, and the location of the governing documents.
- Payroll-tax deposits, wage statements, and the person responsible for answering corrections.
The Internal Revenue Service requires a business to make final wages or compensation payments, complete final federal tax deposits, file the final return, and retain required records. Coordinate payroll timing with the applicable state wage-payment rule; a single national payday assumption is unsafe.
Do not assume severance is required—or assume it is optional
The Department of Labor states: “There is no requirement in the Fair Labor Standards Act (FLSA) for severance pay.” That statement addresses the federal FLSA only. Severance can still be owed under an employment agreement, severance plan, collective-bargaining agreement, promise made during the shutdown, or state law. Have counsel review written and implied commitments before communicating an amount.
A federal WARN violation can expose an employer to back pay and benefits for up to 60 days. Preserve the notice analysis, delivery evidence, payroll calculations, and any settlement authority. Never promise a payment date that the cash forecast cannot support.

Help people leave with usable support
Give each person a written statement of final-pay timing, benefits contacts, expense-submission deadlines, equity-document location, property-return instructions, and a channel for payroll questions. Offer references, outplacement or job-search help, and information about available retraining. Keep that channel monitored after most staff lose system access, and designate a backup owner.
4. Give customers a controlled run-out
Customer protection requires a defined cutoff for new sales and recurring charges. Decide that cutoff before the announcement, test the billing change, and assign an owner who can authorize exceptions. A shutdown plan must distinguish what will be delivered, transferred, refunded, or forfeited under each contract and applicable law.
Inventory every customer obligation
| Obligation | Questions to answer | Evidence to retain |
|---|---|---|
| Subscriptions and prepaid terms | What is the service end date? Which periods were paid in advance? How will unused amounts be calculated? | Billing ledger, cancellation timestamp, calculation, refund or credit record. |
| Deposits and open orders | Can the order be completed, transferred, or canceled? Who owns inventory and shipping costs? | Order status, customer choice, delivery or refund confirmation. |
| Warranties and service-level commitments | What remedy does the contract provide, and who can perform it after the shutdown? | Contract version, claim status, assigned provider, customer notice. |
| Gift balances and credits | Are they transferable, refundable, or subject to a statutory expiration rule? | Balance report, legal review, customer resolution. |
| Support cases | Which issues need a final answer, export, workaround, or escalation? | Case export, owner, response, and closure reason. |
Consumer cancellation must be simple. Federal Trade Commission guidance says businesses should make cancellation straightforward; if a company continues charging after cancellation or refuses to refund an unauthorized charge, a consumer may seek a card chargeback. Turn off recurring billing at the announced cutoff, retain the cancellation and refund logs, and keep a monitored support inbox or phone number through the final support date.
Write the customer notice around decisions
Tell customers what is changing, the effective dates, the last day of support, the remedy for prepaid or undelivered service, the treatment of data, and the one contact channel that will remain monitored. Give different instructions to customers whose service will be transferred, completed during a run-out, or refunded. Do not describe a refund as guaranteed until the cash reserve and legal review confirm it can be paid.
5. Secure customer and employee data during the wind-down
Closing reduces staff, but it does not reduce the duty to protect information. The FTC’s security guidance puts it plainly: “If you collect and retain data, you must protect it.” Start with an inventory of every data store, vendor, administrator account, backup, log, payment token, endpoint, and regulated record.

Use a staged access and retention plan
- Take stock. List production databases, file shares, SaaS tools, code repositories, support systems, payment processors, backups, paper files, and data held by vendors. Identify the owner, data types, location, retention requirement, and deletion method.
- Scale down access. Move administration to the small wind-down team, remove departing users, rotate shared credentials and keys, disable unused integrations, and monitor privileged activity. Preserve evidence needed for legal, tax, employment, and security matters before deleting anything.
- Confirm transfer authority. Review privacy notices, contracts, sector rules, and customer instructions before selling or transferring a database. A buyer or service provider cannot automatically receive every record merely because it is an asset.
- Dispose securely. When a business need and legal retention duty end, use a method appropriate to the medium, obtain vendor destruction evidence, and record what was deleted, when, by whom, and under which rule.
Decide whether to delete, retain, or transfer
| Action | Use it when | Required safeguards |
|---|---|---|
| Delete | No legal, tax, contractual, dispute, or operational reason to keep the record remains. | Secure deletion, vendor confirmation where applicable, and an audit record. |
| Retain | A law, tax rule, employment matter, contract, claim, or legitimate operational need requires it. | Limit access, protect backups, set a review date, and prevent use for unrelated purposes. |
| Transfer | A documented sale, assignment, or service arrangement permits the recipient to receive the data. | Verify privacy promises, contracts, consent requirements, security controls, and a written chain of custody. |
Covered financial institutions under the FTC Safeguards Rule must securely dispose of customer information no later than two years after its most recent use, unless a legitimate business need or legal requirement requires longer retention. The rule’s 2021 amendments and breach-reporting requirement effective in 2024 make a dated retention analysis especially important for affected businesses.
6. Close the legal entity and settle obligations
Stopping operations does not by itself dissolve a corporation or LLC. The SBA warns that failing to legally dissolve an entity can leave continuing tax and filing requirements. Follow the formation state and every jurisdiction where the company registered to do business.
Run the closure sequence
- Approve the dissolution, sale, merger, or insolvency path under the governing documents and applicable law.
- File state dissolution or withdrawal documents and obtain evidence of acceptance. Cancel permits, licenses, registrations, and assumed names that are no longer needed.
- Review leases, vendor agreements, software subscriptions, insurance, loans, guarantees, and customer contracts. Terminate or assign them only as the contract and law allow; document notice, fees, and remaining obligations.
- Reconcile receivables and payables. Collect amounts owed, notify creditors, preserve dispute reserves, and pay obligations in the order required by law or the selected insolvency process.
- Complete sales-tax, payroll-tax, income-tax, information-return, and other required filings. Make final federal tax deposits and file the final federal and state returns.
- Follow IRS instructions to close the business account and EIN record after required returns and payments are complete. Keep confirmation and copies of filed documents.
- Archive the decision record, cap table, minutes, contracts, payroll, tax filings, customer refunds, security logs, data-disposal certificates, and dissolution evidence for the required retention periods.
Tax and record-retention periods differ by document and jurisdiction. Ask the tax adviser to produce a retention schedule rather than deleting files when the last employee leaves.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.7. Communicate in a humane, defensible order
When practicable, tell employees first, then customers, partners, creditors, and the public. The order gives the people most affected a chance to ask questions before they read a public statement. Coordinate the timing with any required WARN or state notices; a public announcement cannot substitute for a legally compliant notice.
What every audience needs
- Employees: the decision and effective dates, final-pay and benefit mechanics, notice rights, property and access instructions, equity-document location, references or retraining help, and a monitored payroll channel.
- Customers: the service cutoff, treatment of prepaid amounts and open orders, warranty or support remedy, cancellation and refund instructions, data handling, and the final support date.
- Partners and vendors: contract contact, delivery or transition status, invoice and creditor process, data-return requirements, and the date operational access ends.
- Public audience: a concise factual explanation, the final operating date, and the same customer contact used in direct notices.
Explain the reason at an honest level without disclosing confidential personal information. Avoid blaming employees or implying that a future relaunch is certain. Use one version-controlled fact sheet so dates, refund language, and contact details do not conflict across email, help-center pages, and social posts.

9. Common failure modes and the safer correction
Announcing before checking notice law
Failure: Leadership posts a closure message, then discovers a federal or state notice obligation. Correction: Complete the workforce map and written WARN analysis first, identify every required recipient, and coordinate delivery evidence with counsel.
Turning off billing without a refund process
Failure: The payment gateway is disabled, but customers cannot cancel, receive unused-service refunds, or ask about open orders. Correction: Set a tested cutoff, export the billing ledger, assign refund authority, publish one contact, and retain each cancellation and payment record.
Deleting data to reduce cost
Failure: Backups, payroll records, or dispute evidence disappear while legal and tax duties remain. Correction: Classify data first, preserve required records, restrict access, and delete only under a documented retention decision.

Failure: A manager promises identical severance or continuing coverage without checking contracts, state law, plan terms, or cash. Correction: Have counsel and the benefits administrator approve the language and fund the obligation before communicating it.
Removing every employee on day one
Failure: No one can answer payroll questions, transfer customer data, process refunds, or complete filings. Correction: Retain a small, access-limited wind-down team with written duties, end dates, approval limits, and security monitoring.
10. The accountable owner’s final review
Before declaring the startup closed, the accountable owner should be able to produce evidence—not just assurances—for each of these questions:
- Was the decision authorized, dated, and supported by a liabilities and cash analysis?
- Were every employee location, contractor relationship, notice rule, final-pay item, benefit, and promised severance reviewed?
- Did recurring charges stop at the stated cutoff, and can every prepaid customer see a documented outcome?
- Is a monitored support channel still working through the last promised date?
- Are customer, employee, payment, tax, and legal records protected, retained, transferred, or securely destroyed under a written decision?
- Were creditors, vendors, tax agencies, and relevant registries handled through the required filings and notices?
- Can the company prove final wages, tax deposits, refunds, dissolution filings, and record-retention decisions?
A shutdown is responsible when people can understand what happens next, receive what the company owes, and reach someone who can correct an error. Documenting each handoff and preserving the evidence protects employees and customers long after the product and office have disappeared.
