The safest structure is a worker cooperative owned and governed by the developers, with a separately documented player-participation layer. Worker members should retain responsibility for employment, budgets, legal compliance, intellectual property and fiduciary decisions. Players can still shape the game through advisory seats, surveys, paid playtests, accessibility reviews, community consultations or narrowly defined reserved votes. Giving players ownership or economic rights is possible only after specialist legal advice because it can change the entity’s membership, tax and securities obligations.
A successful studio needs more than a cooperative label. Founders must choose a lawful entity, write enforceable governance rules, finance pre-revenue work, delegate day-to-day authority and protect contributors and players. The sequence below turns those requirements into an operating plan.
What a developer-and-player cooperative actually is
A worker cooperative is a business owned and democratically controlled by the people who work in it. The usual rule is one worker member, one vote, with members electing or serving on the board or other governing body. An informal promise that “everyone gets input” does not create worker ownership or democratic control.
The Canada Cooperatives Act describes a worker cooperative around member employment and member control. In the United States, the legal form varies by state; the United States Federation of Worker Cooperatives (USFWC) notes that worker cooperatives are values-driven businesses that put worker and community benefit at the center of their purpose. A cooperative may be incorporated under a cooperative statute, or—where that option is unavailable—organized as an LLC or corporation whose operating agreement and other documents preserve democratic worker control.

Players are a different constituency. They usually buy the product rather than work for the studio, so automatically giving every player a membership, vote or share of revenue can create legal and operational complications. A clear two-layer model is easier to administer:
| Layer | Who participates | Typical authority |
|---|---|---|
| Worker cooperative | Eligible employees and working founders | Hiring, pay, budgets, contracts, IP, legal compliance, major strategy and board elections |
| Player participation | Players, testers, accessibility advocates and community representatives | Feedback, testing, player-facing priorities and any specifically published advisory or reserved votes |
Publish a governance map that states which decisions are binding, which are advisory, who can participate, how conflicts are resolved and how a decision can be appealed. Without that map, a player council can become a parallel power center while workers remain legally responsible for decisions they do not control.
Confirm the purpose before choosing a legal form
Write a one-page founding brief
Before filing anything, agree on the mission, the first game, the people the studio exists to serve and the definition of success. Include:
- The studio’s social and creative purpose.
- Who qualifies as a worker member and how a probationary period works.
- What players may influence and what remains a worker decision.
- The expected pre-revenue period and minimum cash runway.
- Whether the studio will release one game, operate as a long-term publisher or support contract work between projects.
Founders should also discuss uncomfortable realities: unpaid or below-market periods, administrative workload, conflict, performance expectations and the possibility that membership ends. Put those assumptions in writing before anyone contributes substantial unpaid labor or money.
Use local cooperative and employment advice
Entity rules, employment classifications, tax treatment and securities law depend on jurisdiction. A lawyer experienced with cooperatives should review the structure before incorporation and before accepting money from players. An accountant familiar with cooperative patronage or surplus allocation should model payroll, taxes and member distributions. Ontario Creates’ 2023 study found that existing cooperatives and official agencies were important advice sources for aspiring studios; that kind of sector-specific guidance is more useful than copying a generic startup template.

Choose the entity and write governing documents
Compare the main structural choices
| Choice | When it fits | Key issue |
|---|---|---|
| Cooperative corporation | Your jurisdiction has a workable cooperative statute | Follow statutory member, director, capital and reporting rules |
| LLC or corporation with cooperative operating rules | No practical cooperative statute or the studio needs a conventional entity | Democratic control must be protected in the operating agreement, shareholder agreement and related contracts |
| Informal collective or partnership | Only a very short pre-incorporation experiment | Usually provides weak liability, IP and governance protection; do not treat it as a finished studio structure |
The legal entity should be formed where the founding developers work and where the studio will employ people, unless counsel identifies a better arrangement. Registering elsewhere does not avoid local employment, tax, privacy or consumer obligations.
Cover every decision that can destabilize a studio
Cooperative-experienced counsel should help draft bylaws, an operating agreement or equivalent documents covering:

The Canada Cooperatives Act expressly addresses capital obligations, termination, surplus, probation and work allocation. Even outside Canada, those subjects are a useful drafting checklist.
Design player participation without losing worker control
Start with the least legally complex mechanism that solves the problem
| Mechanism | What players do | Binding effect | Best use |
|---|---|---|---|
| Open feedback | Submit ideas, bug reports and votes in published channels | Advisory | Broad discovery and prioritization |
| Player council | Selected or elected representatives meet on a fixed schedule | Advisory unless documents say otherwise | Structured community accountability |
| Paid playtests | Test builds under a written agreement | Test results inform worker decisions | Usability, balance and retention evidence |
| Accessibility review | Players with relevant expertise review features and builds | Set acceptance criteria before testing | Accessible design and compliance |
| Community consultation | Players comment on moderation, monetization or safety policies | Advisory, with a published response from the studio | Trust and policy legitimacy |
| Reserved player vote | A defined player group votes on specified player-facing features | Binding only within the published scope | High-trust decisions where the studio can accept slower delivery |
| Economic membership | Players receive ownership, surplus rights or investment rights | Potentially binding and heavily regulated | Only after jurisdiction-specific legal review |
State in plain language what happens when player preferences conflict with accessibility, safety, budget, platform rules or employment obligations. Worker members remain accountable for lawful operation even when a player vote is binding on a narrow feature.
Do not use “ownership” casually
Badges, loyalty points and community titles can be harmless labels, but a promise of profit, resale value, dividends or repayment can create a security or financial-product issue. Do not sell tokens, shares or “founder rights” to players until counsel has analyzed securities, consumer-protection, money-transmission, tax and platform requirements in every relevant market. A non-owner council is usually a safer first step.

Recruit founders and establish membership expectations
Recruit people who can commit to both development and cooperative administration. A founding team should include the skills needed for the first production plan, not only the most visible creative roles. Record each founder’s expected time, cash contribution, equipment contribution and decision responsibilities.
Recommended Free Tools
- Hold a formation meeting. Approve the mission, first project, provisional roles and a date for adopting final governing documents.
- Sign a pre-incorporation agreement. Assign work product and expenses temporarily, identify who can sign contracts and state what happens if the entity is never formed.
- Set a probation process. Define a measurable trial period, mentorship, evaluation, voting eligibility and an appeal route.
- Adopt a code of conduct. Cover harassment, discrimination, retaliation, confidentiality, moderation and safeguarding for both workers and community participants.
- Decide how membership ends. Specify resignation, termination for cause, incapacity, non-participation and return of capital or other amounts owed.
Membership is not a lifetime guarantee of a job. The documents should distinguish employment rights from membership rights so a performance or conduct process is fair and legally compliant.
Finance the pre-revenue period and define compensation
Build a cash-flow model through launch plus contingency
A cooperative does not remove the central game-studio risk: people must be paid while the game earns little or no revenue. Model monthly cash needs for:
- Salaries, stipends, payroll taxes and benefits.
- Freelance art, audio, localization, QA and legal or accounting work.
- Software, hardware, cloud services, office costs and insurance.
- Taxes, platform fees, payment processing and ratings or certification costs.
- Community management, accessibility work, marketing and launch support.
- Contingency for schedule slips, rework, platform changes and unexpected legal costs.
Use a milestone-based budget and show the month in which cash falls below the minimum reserve. Do not count projected launch sales as runway. Decide in advance which spending requires a full membership vote and which spending a budget-holder can approve.
Compare funding routes
| Source | Strength | Control or risk question |
|---|---|---|
| Member capital | Fast and aligned with worker ownership | Can every member afford the contribution, and how is it repaid? |
| Grants | May not require repayment or equity | Eligibility, reporting and milestone restrictions |
| Crowdfunding | Tests demand and builds a player community | Consumer promises, delivery liability, platform fees and possible securities issues |
| Contract work | Generates cash while the game is in development | Protect the first game’s schedule and prevent client IP conflicts |
| Publisher advance | Can fund production and distribution | Negotiate approval rights, recoupment, IP ownership and worker-control safeguards |
| Patient cooperative finance | May fit long development cycles | Interest, covenants and whether the lender can influence governance |
Funding strategy and the funded-versus-bootstrapped choice are central formation issues identified in game-industry education from the Game Developers Conference. External capital should be documented so financial rights do not quietly become control rights.

Choose a transparent pay and surplus policy
Decide whether members receive fixed wages, variable patronage or surplus distributions, or a mix. A practical policy can provide predictable wages first, reserve cash for operations and taxes, repay approved member loans, then allocate any distributable surplus under a formula approved by members. State whether non-member contractors are paid market rates and whether they share in any surplus; never leave that assumption implicit.
Build democratic production that can still ship
Reserve major decisions for members
| Decision | Suggested authority | Reason |
|---|---|---|
| Mission, bylaws and admission rules | Full membership | Constitutional matters |
| Annual budget and major borrowing | Full membership or a member-elected board under a clear threshold | Material financial risk |
| Hiring, dismissal and compensation bands | Board or delegated people committee within approved policy | Requires confidentiality and timely action |
| Daily sprint priorities and technical choices | Accountable production or discipline leads | Prevents every task becoming a referendum |
| Major IP sale, sequel commitment or pivot | Full membership | Long-term strategic effect |
| Player-facing feature consultation | Player council or published survey process | Uses community knowledge without transferring legal responsibility |
Use delegation, records and recall
Give each lead a written mandate, spending limit and review date. Record proposals, votes, abstentions, conflicts and implementation owners in a shared system. Publish financial and production summaries to members on a regular schedule. Members should be able to recall a board member or revoke a delegation through a defined process.
The Ontario Creates study warns that bureaucracy, slow decisions and domination by cliques or strong personalities can undermine democratic practice. Counter those risks with time-boxed consultations, consent thresholds for routine decisions, rotating facilitation, secret ballots for sensitive votes and an appeal path that does not depend on the original decision-maker.
Protect the game, contributors and players
Secure intellectual property from the first line of code
Use written agreements with founders, employees, freelancers, composers, artists and testers. Each agreement should identify the work, payment, ownership or license, permitted portfolio use, confidentiality and credit. Confirm that pre-incorporation work is properly assigned to the studio after formation. Track third-party assets and open-source licenses in an inventory with their required notices and restrictions.

- Classify workers correctly under local employment law and pay required wages, taxes and benefits.
- Document moderation, safeguarding, reporting, investigation and anti-retaliation procedures.
- Collect only player data needed for the stated purpose, publish a privacy notice and limit access.
- Use age-appropriate design and parental-consent processes where minors may participate.
- Build accessibility requirements into design, testing and release acceptance rather than treating them as optional polish.
- Review consumer, crowdfunding, tax, privacy, employment and securities obligations before opening a paid player program.
Pilot the model before scaling
Run the cooperative process on a small vertical slice, prototype or community project before committing to a multi-year production. The pilot should use the real meeting, delegation, player-feedback and budgeting rules, not an informal substitute.

What industry evidence suggests
In a 2023 Ontario Creates survey of 52 participants, 60% reported a strong understanding of what a worker cooperative is. The same survey found that 69% were confident worker cooperatives could thrive in the game industry, 71% believed they could help solve current industry problems, 37% wanted to start or found one and 65% were open to joining an existing cooperative. These figures indicate interest, not proof that a particular studio will succeed; the sample is small and region-specific.
Kaye Grant of the Canadian Worker Co-operative Federation observed, “They don’t teach co-operatives in business school.” That gap explains why founders should budget for cooperative governance training rather than assume that talented developers already know how member capital, patronage, board duties or dispute procedures work.
Émile Brodeur of Lucid Tales described the attraction this way: “We really liked the fact that a co-op cannot be appropriated and cannot be bought—it’s made for the workers by the workers. If you’re a toxic element, you can just be kicked out.” The practical lesson is to define both the protection against outside appropriation and the fair, documented process for removing a harmful member.
Failure modes to catch early
- Everyone votes on everything: reserve votes for constitutional, financial and strategic matters; delegate routine work.
- Player ownership is promised before legal review: replace it with advisory participation until membership and securities consequences are understood.
- Founders subsidize an indefinite runway: set a cash limit, review date and stop-or-pivot rule.
- IP remains with individuals: execute assignments and licenses before production expands.
- Contractors are treated as invisible: give them clear payment, credit, rights and conduct terms.
- Consensus hides a veto: publish thresholds, deadlines and a deadlock process.
- Financial transparency arrives too late: report budget, burn, commitments and forecast changes on a fixed schedule.
- Community input has no response: publish what was accepted, rejected or deferred and why.

Frequently Asked Questions
Does a worker cooperative require unanimous decisions?
No. One-member-one-vote describes voting equality, not unanimity. Your governing documents can use a simple majority for ordinary matters, a higher threshold for constitutional or major financial decisions and a defined mediation or tie-break process for deadlocks.
Can a publisher invest without controlling the studio?
Potentially, but the contract must separate financial rights from governance rights. Have counsel review board seats, approval rights, recoupment, IP ownership, termination and any covenant that could undermine worker control before signing.
Should players receive equity or revenue sharing for testing?
Not by default. Paid testing or a non-owner council can compensate participation without granting economic rights. Equity, profit promises or transferable interests require jurisdiction-specific review of securities, tax and consumer rules.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteWhich professionals should founders hire first?
Start with a lawyer who has cooperative and employment experience, then an accountant who understands cooperative capital and surplus treatment. Add privacy, securities or crowdfunding counsel when the player program or financing model creates those issues.
