A company should hold material Bitcoin in an M-of-N multisignature wallet governed by a board-approved policy, with signing keys split among independent people, devices and locations. A practical starting point is 2-of-3 for a small treasury or 3-of-5 when the organization needs more resilience against unavailable signers. Neither quorum removes the need for secure backups, transaction review, recovery rehearsals, monitoring, legal advice and documented incident response.

The right custody model depends on who controls the keys, how recovery works, what audit evidence is required, the company’s jurisdiction and its tolerance for counterparty risk. The guide below sets out a deployable control framework and shows how self-managed, assisted and institutional arrangements differ.

What a corporate multisignature wallet does

Multisignature, or multisig, requires a defined number of independent private keys to authorize one Bitcoin spend. In an M-of-N policy, M is the minimum signatures required and N is the total number of signers. A 2-of-3 wallet has three keys and needs any two; a 3-of-5 wallet has five keys and needs any three. Losing or disabling one signer does not stop the wallet when the remaining quorum is available.

The quorum changes the failure model. A stolen or coerced key should not be enough to move funds, and one employee’s absence should not permanently strand the balance. It does not, however, prevent collusion among enough signers, a malicious or mistaken transaction approved by the quorum, loss of the wallet policy, or a company-wide failure in governance and recovery.

Bitkey Bitcoin Hardware Wallet, No Screen - Self-Custody, No Seed Phrase
  • BITCOIN EXCLUSIVE, PHONE VERIFICATION: Bitkey is designed from the ground up exclusively for bitcoin — a dedicated hardware wallet for secure bitcoin storage. Approve transactions with a tap using your phone and NFC. No device screen is required.
  • SELF-CUSTODY, NO EXCHANGE OR CUSTODIAN REQUIRED: You hold two of the three keys in the Bitkey system – one on your phone and one on your Bitkey device. The third is stored on Bitkey’s server and cannot move your bitcoin on its own.
  • NO SEED PHRASE: Set up and use Bitkey without creating or storing a seed phrase.
  • 2-of-3 MULTISIG: Three keys are stored separately across your phone, Bitkey device, and Bitkey’s server. Any two keys are required to move your bitcoin.
  • BUILT-IN RECOVERY: Encrypted backup and recovery tools can help you regain access if you lose your phone or Bitkey device. You can also designate a Recovery Contact.

Watch-only monitoring without spending authority

Extended public keys (xpubs) let a coordinator derive addresses and monitor balances without exposing private keys. Keep xpubs separate from seeds and label their purpose. A watch-only system is useful for treasury reporting and alerts, but possession of an xpub does not authorize a spend.

Policy data is part of the asset

Seeds alone may not be sufficient to reconstruct a wallet. Preserve the multisig descriptor or equivalent wallet policy, derivation path, signer-key positions, network, address type and any required fingerprints. BIP-129’s design calls for displaying and confirming policy parameters such as M, N, derivation-path restrictions and signer-key positions. Treat those values as controlled records, not informal notes.

Approve the custody policy before creating keys

The board or an equivalent governing body should approve a treasury and custody policy before any production deposit. The policy should be versioned, dated and owned by a named control function. At minimum, define:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Permitted assets, networks and wallet tiers, including which balances may remain online and which must be in cold storage.
  • Who may propose, review, approve and broadcast a transaction. For high-value transfers, keep these duties separate.
  • Per-transaction, daily and emergency spending limits, with a documented process for changing them.
  • Approved destination addresses or counterparties, how allowlists are created, and the independent checks required before an address is added.
  • Required evidence: proposal ID, purpose, amount, fee, destination, reviewers, signatures, broadcast transaction ID and accounting treatment.
  • Key-generation, replacement, leave-of-absence, succession and revocation procedures.
  • Incident triggers, escalation contacts, communications authority and the point at which legal counsel, insurers or regulators must be notified.
  • Retention periods for policy versions, recovery tests, approvals, device inventories and access logs.

Include a change-control rule for the quorum itself. Changing from 2-of-3 to 3-of-5, replacing a signer or changing derivation parameters is a wallet migration, not an administrative edit. Require a separately approved transaction plan, a test transfer and a record of the old and new policies.

Choose the quorum that fits the organization

Design Operational behavior Strengths Costs and risks
2-of-3 Any two of three signers authorize a spend; one signer can be unavailable. Simple coordination, fewer devices to maintain and a good fit for a small company with three genuinely independent control roles. Two compromised or colluding signers can move funds. Losing two keys, or losing the policy needed to identify the surviving key positions, can make recovery impossible.
3-of-5 Any three of five signers authorize a spend; up to two signers may be unavailable. More tolerance for travel, turnover, illness and isolated device loss; responsibility can be spread across more roles or locations. More devices, backups, approvals and recovery paths must be maintained. Coordination takes longer and a poorly documented setup creates more ways to make an operational error.

A sound design survives one unavailable signer without allowing one person to move funds alone. Headcount, transaction frequency, travel schedules, legal structure and the threat model should drive the choice. Do not select 3-of-5 merely because a larger number sounds safer; test whether the company can reliably reach three signers during a weekend incident, a key-person departure or a regional outage.

Assign independent roles

Use roles rather than a collection of colleagues who share the same manager, laptop image and office. A possible 3-of-5 arrangement assigns keys to treasury, finance control, information security, a board-designated recovery role and an external or separately governed recovery role. A 2-of-3 arrangement might use treasury, finance control and security. The exact titles can vary, but no single executive should be able to assemble the quorum alone.

Independence should exist across several dimensions:

  • Person or role: key holders should have distinct accountability and not be direct substitutes for one another.
  • Device: use dedicated signing devices with separate PINs and verified firmware. Do not keep every seed on the same device family or in one administrator’s password manager.
  • Location: separate offices, secure facilities or jurisdictions where appropriate. A flood, fire, seizure or local outage should not remove the quorum.
  • Administrative domain: separate access administrators, backup custodians and recovery contacts when the company’s size permits.

Independence is not a license to make keys inaccessible. Each role needs a documented owner, a substitute or succession path, and a tested way to prove control without revealing the seed.

Generate, document and store the keys

  1. Prepare a clean ceremony. Approve the wallet policy, participants and equipment list. Record device serial numbers and firmware versions. Use a controlled environment free of cameras, phones and unapproved computers.
  2. Generate each key separately. Create each recovery phrase on its assigned hardware signer. Never photograph, email, scan or type a seed into a computer. Verify that the device can restore the phrase before it is placed into service.
  3. Record public information only in the coordinator. Export the required xpub or public descriptor through the device’s documented process. Confirm fingerprints, derivation paths and signer positions on the trusted device and in the policy record.
  4. Protect recovery material under dual control. Store encrypted backups of seeds and the descriptor or equivalent policy data in separate secure locations. A backup custodian should not be able to retrieve the complete quorum alone.
  5. Build a watch-only view. Import only the public data needed for balances, address generation and alerts. Test that the view cannot sign and that it derives the same addresses as the signing devices.
  6. Fund a test wallet first. Send a small amount, complete a spend using the required quorum and restore one signer from backup. Record every result and correct the policy before moving material funds.

Never put all seeds, xpubs, descriptors and recovery instructions in one safe, cloud account or administrator relationship. Encrypt digital copies, restrict access and maintain an inventory that identifies where each component is held without disclosing the secret itself.

Hardware signer choices

A hardware wallet is one control in the quorum, not a complete custody program. Casa lists Trezor, Ledger, Coldcard, Passport, Keystone and YubiKey device families for vault use, while Ledger describes hardware-backed multisig and corporate treasury workflows. Device support depends on the coordinator, firmware and wallet policy; verify compatibility before purchase and again after any firmware change.

Prioritize a signer that displays the destination, amount and fee on a trusted screen; supports the required address type and derivation path; permits independent verification of fingerprints; and has a documented recovery procedure. A device that merely stores a seed but does not let an operator verify the transaction details is a weak fit for high-value corporate use.

Use a controlled transaction workflow

Separate proposal, review, signing and broadcast wherever the value or threat model warrants it. The following workflow gives each participant a defined stopping point.

  1. Initiate: the proposer creates a transaction request with purpose, destination, amount, fee ceiling, timing, funding wallet and supporting business documents.
  2. Check the destination: an independent reviewer obtains the address through a trusted channel, compares it character by character or with an approved address book, and confirms that no malware or email-account compromise changed it.
  3. Check the amount and fee: reviewers verify units, decimal placement, available balance, change output and the fee in satoshis and fiat terms used by the policy. A fee that is unusually high or low is an exception requiring explanation.
  4. Inspect on a signing device: each signer verifies the destination, amount, fee, inputs and change on the device screen, not only in a computer application. Reject any transaction whose details differ from the approved request.
  5. Collect the quorum: obtain the required M independent signatures. Signers should not hand devices or PINs to another person and should document approval in the transaction record.
  6. Broadcast: a designated broadcaster submits the fully signed transaction. For higher-value transfers, the broadcaster should not be the person who initiated the request.
  7. Reconcile and monitor: record the transaction ID, confirmation status, final fee and accounting entry. Alert on unexpected outgoing transactions or a balance below the policy threshold.

Maintain allowlists for recurring counterparties when the platform supports them, but treat an allowlist as a risk reduction rather than proof that a payment is legitimate. Reconfirm the counterparty and business purpose when bank details, invoices or contact information change.

Rehearse recovery, succession and key replacement

Recovery should be demonstrated before the production wallet holds a material balance and then repeated on a schedule set by policy. Use a separate test environment or a very small balance so the exercise cannot endanger treasury funds.

  1. Retrieve the documented recovery materials under the same dual-control rules used during an incident.
  2. Restore one signer on a clean, compatible device and verify its fingerprint and position in the wallet policy.
  3. Reconstruct the watch-only wallet from the descriptor or equivalent data and confirm that known addresses and balances match.
  4. Spend the test balance using the required quorum and confirm that the destination and change are correct.
  5. Record the date, participants, device versions, observed problems and corrective actions. Do not record seed words in the test report.

Define what happens when a signer leaves, loses a device or becomes unavailable. If the quorum still works, use an approved migration to a new wallet rather than quietly changing records. If a key may be compromised, stop nonessential spending, preserve logs, assess whether the remaining quorum is trustworthy and move funds to a newly approved wallet as soon as the incident team authorizes it.

Monitor the wallet and respond to incidents

Monitoring should be independent of the signing devices. Track balances, new addresses, pending and confirmed outgoing transactions, fee anomalies, policy changes and failed signing attempts. Alert at least two control roles so a compromised notification account cannot suppress the warning.

An incident runbook should state:

  • Who can freeze routine payments and who can authorize an emergency transfer.
  • How the company verifies whether a key, device, coordinator account or communications channel was compromised.
  • Which logs and device images must be preserved.
  • How signers authenticate with one another during an incident using pre-established contact methods.
  • When legal counsel, the board, law enforcement, a custodian or a regulator is contacted.
  • How customers, suppliers and employees are warned about address-substitution or impersonation attempts.

Multisig reduces dependence on one key; it does not detect a fraudulent invoice, prevent colluding signers or make an irreversible Bitcoin transaction reversible. Governance and monitoring remain active controls.

Compare the three custody models

Criterion Self-managed multisig Assisted multisig Institutional custody or enterprise governance
Key control The company controls every signer and the coordinator. A provider coordinates setup and may hold or help recover one key while the customer retains a quorum structure. A professional provider operates policy, approval and signing infrastructure; determine contractually which keys and actions remain under customer control.
Recovery and succession The company owns all backups, rehearsals and replacement procedures. The provider may assist with recovery; review its authority, authentication and service-dependency limits. Assess recovery service levels, legal authority, business continuity and the process for replacing an employee or provider key.
Governance and audit Build your own approval logs, allowlists, monitoring and evidence collection. Some coordination and workflow may be supplied; verify exportable records and administrator permissions. Policy controls, quorum approvals, hardware-backed signing, monitoring and audit workflows may be available; verify the actual implementation.
Counterparty and insolvency exposure Lower dependence on a custody provider, but the company bears operational failure risk. Exposure depends on contractual control, recovery authority, provider solvency and exit rights. Review segregation, sub-custodians, insolvency treatment, service availability and how beneficial ownership is preserved.
Jurisdiction The company must handle its own legal and tax analysis. Provider location, contract law and the location of any held key matter. Regulated status, licensing, governing law and cross-border data or asset controls require legal review.
Operating cost and portability Internal staff, secure facilities, devices, testing and incident-response costs; migration is under the company’s control. Provider fees and dependence on its coordinator or recovery process; test an exit before funding. Service and implementation fees, integration work and contractual limits; require a usable export and a documented termination plan.

Named examples illustrate categories, not endorsements. Casa Enterprise and Unchained describe assisted multisig operations; BitGo describes treasury-management services; Ledger Enterprise describes enterprise multisig workflows. Treat feature, availability, fee, insurance and recovery statements as product claims that require current contractual and technical verification.

Questions to ask any provider

  • Which legal entity controls each key, and can the provider unilaterally sign, freeze or move assets?
  • Where are keys, backups, coordinators and sub-custodians located?
  • What happens if the provider is insolvent, unavailable, acquired or subject to a government order?
  • Can the customer export descriptors, xpubs, transaction history and policy records in a usable format?
  • How are employee departures, lost devices, suspected compromise and emergency transfers handled?
  • What independent audits, access logs, segregation controls and incident notifications are contractually promised?
  • What fees recur, what services are optional and how can the company terminate without losing access?

Regulatory and legal considerations

Custody obligations depend on the company’s jurisdiction, legal entity, customers, activities and whether the assets are treated as securities or other regulated property. Obtain advice for the actual structure rather than assuming that a multisig wallet itself establishes compliance.

In a joint statement dated July 14, 2025, the Federal Reserve, FDIC and OCC said: “The statement discusses existing risk-management principles that apply to crypto-asset safekeeping and reminds banks that provide or are considering providing safekeeping of such assets that they must do so in a safe and sound manner and in compliance with applicable laws and regulations.”

OCC News Release 2025-42, dated May 7, 2025, said that national banks and federal savings associations may buy and sell assets held in custody at a customer’s direction and may outsource bank-permissible crypto-asset activities, including custody and execution, subject to appropriate third-party risk management. That permission applies to the institutions and activities described by the OCC; it is not a blanket approval for every company or service.

New York Department of Financial Services guidance emphasizes custody structure, sub-custodian oversight, disclosure and preserving a customer’s beneficial interest if insolvency occurs. SEC Commissioner Mark T. Uyeda said at the Crypto Task Force custody roundtable on April 25, 2025: “Proper custody of client and customer assets have been a key protection under the federal securities laws.” Use these statements as prompts for counsel and compliance teams, not as a substitute for a jurisdiction-specific opinion.

Costs, records and control ownership

No universal price or industry loss rate establishes that one quorum is cheapest or safest. Budget for dedicated signers, secure storage, backup encryption, coordinator software, independent monitoring, staff time, recovery tests, legal review, accounting and incident response. A provider adds contractual and service costs; self-custody converts those costs into internal responsibilities.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Assign an owner to every control: policy, each key, each backup location, the coordinator, alerts, allowlists, transaction approval, reconciliation and recovery testing. Review ownership after reorganizations, acquisitions, employee departures and changes in transaction volume. A wallet that no one can explain or restore is not safely controlled, regardless of its hardware.

Pre-funding checklist

  • Board-approved policy identifies assets, quorum, roles, limits, destinations, records and incident contacts.
  • Every signer is independent by role, device, location and administrative access.
  • Hardware and coordinator compatibility, firmware and derivation paths are documented.
  • Seeds, xpubs, descriptors and recovery instructions are separated and protected by dual control.
  • Watch-only monitoring matches the signing devices and generates alerts.
  • A small test deposit, quorum spend and restoration have succeeded and been recorded.
  • Provider contracts, sub-custodian arrangements, insolvency treatment and exit procedures have been reviewed.
  • Legal, tax, accounting and regulatory responsibilities are assigned for the company’s jurisdictions.

Only after these checks pass should the company move material Bitcoin into the production wallet. Revisit the design whenever the organization changes, not only after an incident.
