Start by separating the conflict into four questions: who owns what, who may control the business, what money is owed or distributable, and what family relationship must continue. Then preserve the company, collect the will or trust and business records, obtain independent advice in the relevant jurisdiction, and use a structured negotiation or mediation before choosing litigation or arbitration. An heir may receive an economic interest without receiving management authority, so the documents and applicable law—not family expectation alone—determine who can act.

Why an inherited business dispute becomes complicated

A family business combines roles that are usually separate. One person may be a parent, sibling or cousin, a shareholder, an employee, a trustee and a creditor at the same time. A disagreement that begins as grief or resentment can affect payroll, suppliers, customers and the value of the company. Conversely, a management decision can be interpreted as a family betrayal.

Benjamin Means, writing for the American Bar Association (ABA), describes the tension between family loyalty and the economic goals of a business. Succession is especially difficult when a controlling owner dies or becomes incapacitated without a workable plan. As Means puts it, “each generation must eventually cede control to the next.” That transition can be governed by a will, trust, operating agreement, bylaws, shareholder or buy-sell agreement, ownership ledger and succession plan, often with different documents addressing different rights.

An ABA article by Means reported in 2015 that “Family businesses represent the majority of all businesses and employ about half the nation’s workforce.” That is a historical statement attributed to that article, not a current estimate or a universal measure of family ownership.

First priority: keep the business safe while the dispute is sorted out

Before arguing about a buyout or a perceived unfairness, identify the immediate risks. The company may need someone with valid authority to sign checks, pay employees and taxes, maintain insurance, protect intellectual property, renew contracts and preserve electronic records. A relative who expects to inherit shares may not be entitled to perform those tasks.

Make an interim authority plan

  1. Identify the current decision-maker. Check the operating agreement, bylaws, shareholder agreement, trustee powers, powers of attorney and any succession resolution. Confirm who can act during probate, trust administration or a period of incapacity.
  2. Protect cash and records. Use ordinary controls for bank access, accounting software, payroll, customer data and company devices. Do not delete, alter or privately distribute records. Preserve emails, texts and minutes that bear on ownership, compensation or succession.
  3. List deadlines and essential payments. Create a short schedule for payroll, debt service, taxes, insurance, licenses, leases and critical suppliers. Ask counsel how to handle a payment when authority is disputed rather than allowing a payment freeze to damage the company.
  4. Set communication rules. Choose one person to communicate with employees, customers and vendors unless the governing documents require another arrangement. Keep external messages factual and avoid accusing a relative of theft, fraud or incapacity before the facts and legal advice support such a statement.

If assets, records or customer relationships are at immediate risk, tell local counsel promptly. The available interim court or arbitration measures vary by jurisdiction and by the governing documents; do not assume an injunction, receiver or emergency order is available.

Build one shared factual record

Disputes often persist because each relative has a different set of documents or a different understanding of a promise made years earlier. Request copies from the estate or trust fiduciary, the company and relevant advisers, and keep an indexed, dated folder accessible to the participants and their lawyers.

Documents to collect

  • The signed will, codicils, trust instrument and amendments, together with probate or trust-administration filings.
  • The operating agreement, partnership agreement, corporation bylaws, shareholder agreement and any buy-sell, redemption, option or right-of-first-refusal terms.
  • Stock certificates, membership certificates, the ownership ledger, capitalization table, transfer records and prior gifting or contribution records.
  • Succession plans, board or member resolutions, powers of attorney, employment agreements and compensation arrangements.
  • Recent financial statements, tax returns, general ledgers, bank statements, debt schedules, budgets, accounts receivable and accounts payable aging.
  • Loan documents, personal guarantees, insurance policies, leases, major customer or supplier contracts and intellectual-property registrations.
  • Relevant emails, letters, texts, meeting minutes and notes about ownership, promised inheritances, roles, distributions or a planned sale.

Create a chronology and an issues list

Record the owner’s key transfers, changes in control, incapacity or death, document signatures, distributions, loans and disputed decisions. Next to each event, note the document or witness that supports it and what remains unknown. This prevents a family story from being treated as an established legal fact and helps advisers identify the questions that actually require evidence.

Get advice that matches the conflict

Have a lawyer qualified in the relevant jurisdiction review the estate documents and business documents together. A lawyer representing the company, an executor or trustee, and several heirs may face conflicts when those interests diverge. Each interested family member should consider independent advice before waiving a claim, approving a transaction or signing a settlement. A company’s lawyer is not automatically every shareholder’s or beneficiary’s lawyer.

Use specialists for distinct questions

Question Useful professional What to ask for
What rights were transferred, and who can vote or manage? Jurisdiction-qualified estate and business counsel A document-by-document explanation of ownership, fiduciary powers, voting, transfer restrictions and unresolved legal issues.
Are the books complete and reliable? Forensic accountant Reconciliation of accounts, tracing of transfers, related-party transactions, compensation, distributions and missing records.
What is an inherited interest worth? Independent business appraiser or valuation professional A valuation of the specified interest, as of a specified date, using stated assumptions and the purpose required by the documents or law.
Can the family reach workable terms? Qualified mediator or mediation-trained family-business facilitator A process design that addresses participation, confidentiality, information exchange and settlement drafting.

The cited ABA materials establish the usefulness of valuation and financial experts but do not prescribe one credential or one valuation method for every inheritance dispute. Ask counsel how a professional’s work will be used and whether the person is independent of the company, estate and other heirs.

Define the dispute before negotiating a remedy

Do not begin with “How much does each person get?” First classify each issue. A grievance about exclusion from management is not solved by a valuation alone, and a disagreement over an accounting is not solved by appointing a new director.

Ownership

Determine which person, trust or estate owns shares, membership units, partnership interests or specific assets. Check whether a transfer at death is automatic, subject to probate, restricted by a buy-sell clause or affected by a trust. Separate the company’s assets from an owner’s personal assets and from an heir’s claim against the estate.

Control and governance

Identify who may vote, appoint directors or managers, sign contracts, hire or dismiss executives, approve distributions and access records. A beneficiary may be entitled to value while a trustee or surviving owner retains voting control. The answer depends on the documents and local law.

Money and information

List disputed distributions, salary, loans, expense reimbursements, retained earnings, guarantees and the timing of any buyout. Specify which records are needed to test each allegation. Agreeing on an information protocol can reduce suspicion while the larger settlement is negotiated.

Family relationships

State which relationships must remain functional—for example, siblings who will continue to work together or cousins who will share a property. This does not override legal rights. It helps the parties choose communication rules and a business arrangement that does not create a fresh conflict every week.

Decide whether negotiation or mediation is realistic

Negotiation works best when participants have basic financial information, authority to make decisions and a realistic way to implement an agreement. Mediation adds a neutral process manager. The mediator can organize conversations, test options and help participants distinguish interests from positions, but does not decide legal ownership and cannot guarantee a settlement.

The ABA publication Mediation for Estate Planners: Managing Family Conflict, edited by Susan N. Gary (ABA Book Publishing, 330 pages, ISBN 9781634255486, published September 21, 2016), discusses mediation clauses, probate and trust disputes, and family-business succession, including conflicts among siblings and cousins. Its preface says a mediation-trained consultant “may be able to help the family address potential conflict before a full-blown dispute develops.”

Prepare for a productive mediation

  1. Confirm participation and authority. Include the estate or trust fiduciary, company representatives and any person whose signature will be necessary. Ask each participant to obtain independent legal advice.
  2. Agree on information exchange. Set dates and formats for financial statements, ownership records, valuations and questions. Mark genuinely confidential material and decide who may see it.
  3. Choose the mediator carefully. Look for experience with family-business succession, estate or trust disputes and complex financial information. A mediator’s neutrality, fee structure, conflicts check and approach to separate meetings should be clear in writing.
  4. Set ground rules. Decide how interruptions, private caucuses, communications with employees and media or social-media statements will be handled. Clarify the scope of confidentiality under the applicable law and mediation agreement.
  5. Draft terms precisely. Record ownership transfers, voting rights, employment or board roles, payment dates, security, releases, tax responsibilities, information rights and what happens if a payment or closing fails.
  6. Obtain legal review before signing. A mediator’s memorandum is not necessarily a final enforceable contract. Have counsel check authority, formalities, tax consequences and consistency with the company and estate documents.

Use valuation evidence without treating it as an answer to every question

Valuation may be necessary when relatives disagree about a buyout, the worth of an inherited interest or the financial effect of a proposed settlement. It is not a universal answer to who controls the business or whether a promise is legally binding.

Define the assignment

Before commissioning a report, specify:

  • The interest: a whole company, a controlling block, a minority interest, a partnership unit or a particular asset.
  • The valuation date: death, a contractually stated date, a proposed buyout date or another date required by law.
  • The purpose and standard: the buy-sell agreement, estate administration, settlement, tax filing or another defined use.
  • The information and assumptions: whether records are complete, how owner compensation is treated, and which future events are assumed.
  • Restrictions and rights: voting power, transfer limits, redemption provisions and any obligation to sell.

Different purposes, dates, assumptions and interests can produce different defensible results. Ask the appraiser and counsel to explain those choices in plain language. If the parties disagree about missing money or undisclosed transactions, a forensic accountant may need to investigate before a valuation can be relied on.

Compare possible settlements on the same decision axes

Once the facts are clearer, compare realistic options rather than trading demands one at a time. The following framework is practical, not a legal test; an option is available only if the documents, financing and local law permit it.

Option Control Economic outcome Continuity and relationship considerations
One or more relatives buy out the others Concentrates voting and management in the buyer or buyer group. Requires an agreed value, payment schedule, funding source and protection if payments fail. Can simplify operations but may create resentment if information, price or financing is contested.
Company redemption of an interest May change voting percentages without adding a new family owner. Depends on redemption authority, available cash, lender consent and the value assigned to the interest. Can preserve a family relationship outside the business, but excessive cash use may weaken the company.
Shared ownership with a governance agreement Allocates voting, board seats, reserved decisions, deadlock procedures and information rights. Owners may receive distributions while retaining their interests; funding and distribution rules must be explicit. Can preserve participation, but unresolved deadlock or unequal effort can renew the dispute.
Trustee- or manager-led transition A trustee or independent manager operates within defined powers while succession occurs. May defer a sale or distribution while records, financing or a valuation are completed. Can create breathing room, but fees, reporting and the limits of the fiduciary’s authority must be understood.
Sale to an outside buyer or orderly wind-down Ends or substantially reduces family control. Produces sale proceeds or liquidation distributions after debts, costs and taxes are addressed. May protect enterprise value when family governance is unworkable, but removes the family business as a shared asset.

For each proposal, ask five questions: Does it fit the governing documents? Who controls decisions during implementation? How will the business or buyers fund it? Can the company operate without interruption? What family cooperation will still be required?

Know when to escalate to formal proceedings

If information is withheld, assets are at risk, a fiduciary will not act, or negotiation has reached an impasse, ask local counsel about litigation, arbitration or other formal procedures. The correct forum, available remedies, filing requirements, limitation periods and enforceability of a mediation, no-contest or buy-sell clause depend on the jurisdiction, document language and facts. No general article can safely supply a deadline or promise a particular remedy.

Prepare before filing or demanding arbitration

  • Identify the precise claim or decision in dispute, rather than describing the entire family history.
  • Assemble the signed documents, ownership records, financial evidence and chronology.
  • Confirm who has authority to commence a proceeding for the estate, trust or company.
  • Ask about preservation of assets and records, confidentiality, publicity and the effect on employees and customers.
  • Estimate legal, valuation, accounting and expert costs against the company’s ability to pay and the likely economic benefit.
  • Consider whether a negotiated interim arrangement could protect operations while the formal issue is decided.

Formal action can clarify rights, but it can also consume cash, expose private family information and make future cooperation harder. The decision should follow a jurisdiction-specific risk assessment, not a threat made during a family argument.

A practical checklist for the first 30 days

  1. Confirm who is authorized to operate the business today.
  2. Secure bank, accounting, payroll, insurance, customer and intellectual-property records without altering them.
  3. Obtain the will, trust, entity documents, ownership ledger, buy-sell terms and succession materials.
  4. Make a dated chronology and list each disputed ownership, control, money and information question.
  5. Arrange independent consultations with estate and business counsel for each materially adverse interest.
  6. Commission accounting or valuation work only after defining the interest, date, purpose, assumptions and access to records.
  7. Propose written ground rules for communications, information exchange and interim business decisions.
  8. Evaluate a qualified mediator if participants can exchange information and negotiate in good faith.
  9. Compare buyout, redemption, shared governance, transitional management and sale options against control, economics, continuity, relationships and document fit.
  10. Ask local counsel about formal proceedings if the business or estate cannot be protected through agreement.

Planning that prevents the next succession dispute

After the immediate conflict is contained, revise the succession plan rather than relying on family understanding. Owners can discuss who may work in the company, how non-working heirs will be treated, how a buyout will be funded, what valuation process will apply, and how deadlock will be handled. Those intentions must be implemented through coordinated estate and entity documents and reviewed when ownership, tax rules, financing or family circumstances change.

Gregory Monday’s The Lawyer’s Guide to Family Business Succession Planning is described by its ABA publisher as a step-by-step succession guide for owners, lawyers and advisers. It can help frame a planning conversation, but it does not replace advice about a particular family’s documents and jurisdiction.
